THAILAND REGIONAL OPERATIONS

Thailand IBC vs Regional Headquarters: Functions, Incentives, and Substance

A decision guide to legal form, qualifying services, tax treatment and the evidence behind each route.

An International Business Center (IBC) is a defined framework for qualifying Thai-company activities; “regional headquarters” can describe a business role, a foreign-company regional office, or an older tax arrangement. The right comparison begins with the entity and the work it will actually perform. BOI’s IBC guidance and the Revenue Department’s IBC decree apply different conditions to promotion and tax relief.

Key takeaways

  • Map who provides each service, who receives it, and whether the operation will charge for it.
  • BOI promotion and Revenue Department tax approval are separate decisions; neither follows from a headquarters name.
  • Ordinary IBC tax relief depends on annual Thai-recipient expenditure, eligible income, staff and other conditions.
  • Foreign business and treasury permissions depend on the actual activities and remain separate checks.
  • For an existing ROH or IHQ, inspect the original approval and current law before assuming any legacy benefit continues or can be converted.

Compare the function, legal form and outcome

A group may call its Bangkok team a regional headquarters because it coordinates strategy, procurement, marketing or finance across countries. That description alone does not establish its legal form, permission to operate, or entitlement to a special tax rate. A Thai subsidiary, a foreign company’s office and a business with a historical tax approval can all be described in commercial language as a headquarters.

The legal entity, the activity and the approval must be tested separately. A foreign company’s regional office is part of that foreign company, whereas Revenue Department IBC approval requires a company incorporated under Thai law. A Thai company can perform regional functions without claiming IBC tax relief, subject to the ordinary rules and any other permissions that apply.

Route or description Function and income Authority and evidence
Thai company seeking IBC Qualifying group services; international trade may also be conducted within applicable scope. Service fees may be earned. BOI project approval if promotion is sought; separate Revenue Department approval for IBC tax benefits.
Foreign-company regional office Group coordination within the applicable regional-office scope. Do not assume a right to invoice clients or trade. Check the foreign company’s activities and DBD classification; scope and any other registrations still matter.
Regional headquarters as a commercial label Could describe a Thai company, a branch or another arrangement; the name itself does not determine income or tax. Identify the entity, contracts, ownership and applicable foreign-business and sector permissions.
Existing ROH or IHQ A specific historical tax or promotion status, if actually granted; it is not synonymous with every regional office. Review the actual approval, conditions and any approved conversion with the relevant authority.

The historical Revenue Department ROH decree describes a Thai-company headquarters providing qualifying services. By contrast, the Ministry of Foreign Affairs’ historical business handbook describes the foreign-company regional office as a different arrangement funded by its head office and restricted from deriving income. The handbook is old, so use it to identify the distinction rather than as a current filing checklist; confirm today’s exact scope with DBD before operating.

Test the proposed mandate

Map the legal entity, service recipients and proposed charges before choosing an incentive route.

Match the work to the route

BOI identifies IBC services including business planning, procurement, product research, technical support, marketing, human resources, financial advice and treasury-center management. Its activity 7.34 is principally an affiliated-enterprise service activity. Services in the specified core categories must reach affiliated enterprises in at least one foreign country; services may also be provided to affiliates in Thailand. See the BOI scope and conditions .

Start with a service schedule: name each recipient, location, work product, contracting party and charging method. A Thai company that signs a management-services agreement and earns a fee presents a different operating and tax profile from a foreign office coordinating its parent’s group without service income. A business called “regional headquarters” can earn revenue if its actual legal form, activities and permissions allow it; the label alone does not settle the question.

The BOI definition of affiliated enterprises covers specified direct or indirect shareholdings of at least 25% and specified control relationships. Document the actual chain and control basis for each recipient. A group chart alone is a useful starting point, but it should agree with share registers, agreements and the applicant’s service plan. The Revenue Department’s IBC overview illustrates associated-enterprise relationships for tax purposes; check the applicable definition under each scheme.

An IBC project may also involve international trade, but trading alone is not a BOI IBC project . BOI requires meaningful involvement of a core headquarters service. Its headquarters FAQ says trade may be with non-affiliates and domestic trading within the promoted activity is wholesale rather than retail to end users. Trade outside the project or additional regulated activities need their own legal review.

Compare the routes for regional functions A commercial mandate branches into a foreign-company regional office, a Thai company, or an existing legacy approval. The Thai company may separately seek BOI promotion and Revenue Department IBC approval. Regional mandate and activities Foreign-company regional office Thai company may seek IBC Existing ROH / IHQ inspect approval BOI promotion project conditions Revenue approval tax conditions Foreign business and treasury permissions are separate checks.
Identify the legal route first, then test each applicable approval and activity separately.

For a foreign-company regional office, DBD’s foreign-business data notes identifies regional-office service as exempt from the foreign-business licence requirement under the specified 2017 regulation. That exemption concerns the relevant service category; it is not permission for unrelated trading or chargeable services. Confirm the planned work, legal-entity identification, tax and other registration obligations with DBD. The regional office functions and registration guide explains the limited office route in more detail.

Compare the incentives on the income that earns them

BOI promotion and Revenue Department IBC tax relief serve different purposes. The BOI guidance describes non-tax privileges, which may include majority foreign ownership and facilitation for qualifying foreign experts, plus a limited machinery-duty benefit for research, development and training equipment. Rights depend on the certificate and applicable conditions; they do not automatically confer a visa, work permit or permission for every business line.

The IBC Royal Decree No. 674 gives qualifying IBCs a framework for reduced corporate income tax on eligible net profit. For ordinary cases, the rate is 8% with at least THB 60 million of qualifying IBC expenses paid to recipients in Thailand in the accounting period, 5% at THB 300 million and 3% at THB 600 million. These are expenditure thresholds, not revenue or investment targets. The decree’s framework covers 15 accounting periods, with the first period determined by the approval timing and continuing conditions.

Income or cost IBC comparison Evidence to retain
Eligible affiliate services Management, technical, support or financial-management service income can qualify, subject to approval and conditions. Signed agreements, invoices, service outputs and recipient relationship evidence.
Eligible royalties Royalties from associated enterprises may qualify when derived from technological R &D carried out in Thailand. R &D records, location, ownership and royalty calculation.
International trade Trading income is excluded from the reduced IBC corporate rate, including out-out trade. Contracts, invoices and separate revenue and expense records.
Annual expenditure Only eligible IBC expenditure paid to recipients in Thailand counts for the ordinary thresholds; international-trading expenses do not. Supplier invoices, payment evidence, recipient location and allocation working papers.

The Revenue Department’s income guidance makes the trade distinction explicit. Its decree also provides, subject to conditions, an exemption for dividends received from associated enterprises and a specific business tax exemption for qualifying financial-management service income. These are separate rules, not a blanket exemption for every transaction. Other income follows its applicable general corporate tax treatment or any separately established incentive.

Keep a separate income and expenditure trail. The official IBC FAQ excludes international-trading expenses from the IBC expenditure test and says inseparable shared IBC and non-IBC expenses are allocated based on revenue. Model the expense test every accounting period, not just at application, and check the classification of payments before relying on a projected rate.

Review the income mix

Compare projected affiliate services, trading income and Thai expenditure with the relevant tests.

Substance: what must exist and what proves it

For Revenue Department approval, the decree requires a Thai-incorporated company, at least THB 10 million paid-up capital on the last day of each accounting period, and at least ten full-time employees with the necessary IBC knowledge and skills. A financial-management-only IBC may have at least five. It must conduct qualifying services and meet the relevant annual expenditure and other conditions. The decree’s sections 10–13 supply the governing test.

BOI similarly describes at least ten permanent skilled IBC personnel, or five where the project only provides treasury-center financial management to affiliates. BOI also states a minimum project investment of THB 1 million excluding land and working capital, subject to its project rules. Its staff review considers education, position and job description; a nominal headcount without evidence of work will not answer that inquiry. See BOI personnel guidance and the project investment FAQ .

Physical presence should follow the work: a usable office, staff able to perform the services, management and operational records, and an accountable local team. The specific legal tests are those of the relevant approval; an office lease alone does not prove that services were delivered or that expenses qualify. For a general regional headquarters there is no single universal IBC headcount or expenditure test merely because of its name, although its own legal form, licences and contracts can impose requirements.

A practical evidence set

  • Entity and authority: company registration, paid-up capital records, approved business objectives, ownership chart and relevant certificates.
  • Activities and recipients: service agreements, affiliate ownership or control evidence, recipient locations, work plans, deliverables and invoices.
  • People and premises: employment contracts, job descriptions, payroll records, office evidence and records showing who actually performed the work.
  • Tax and spending: ledgers separating service and trading income, Thai-recipient invoices, payment evidence and a documented shared-cost allocation.
  • Ongoing conditions: the approval letters, reporting calendar, annual calculation and a record of changes or authority correspondence.

If an ordinary IBC fails a section 13 qualification, the decree suspends the specified benefits for that accounting period. Section 15 also allows termination and retrospective revocation in specified circumstances. Investigate a shortfall promptly; do not assume it is cured by a later year or that every issue has the same consequence. Keep the supporting computation alongside each return and discuss material changes with the Revenue Department.

Separate the authorities and the completion evidence

First establish the vehicle and its business objects. For a new Thai company, the Thailand company formation guide covers the underlying incorporation task. Incorporation provides a legal vehicle; it does not itself award IBC incentives or authorise every restricted activity. If using a foreign company instead, identify the office’s scope and the parent’s liability. BOI’s branch guidance explains that a branch is part of the foreign corporation and may need registrations or permissions depending on its operations.

For BOI promotion, submit the appropriate project application describing services, recipients, staffing and investment; the BOI application procedure explains the review and certificate process. The applicant should respond to requests for clarification, accept applicable conditions and obtain the promotion certificate before treating a promoted right as established. BOI also requires project progress and annual performance reporting through e-Monitoring . Record the scope on the actual certificate, not just the application.

For tax benefits, file separately with the Revenue Department. The IBC application page provides form Sor.Gor.Ror.1 and supporting electronic schemas; the decree requires a business plan showing regional or global intent and a list of associated enterprises. Prepare the prescribed supporting details, arrange authorised signing or submission as required, answer any requests for correction and retain the Director-General’s approval and conditions. Plan around the complete application and agency review, not a guaranteed start date.

For a foreign business under the Foreign Business Act, check each service and trading activity with DBD. A restricted activity may need a Foreign Business Licence (FBL) unless an applicable exemption or other route applies. A BOI-promoted foreign business can seek a Foreign Business Certificate (FBC) under section 12 for the promoted scope; the DBD certificate manual addresses that route. An FBC is evidence of the applicable promoted authorisation, not a substitute for licences outside its scope.

If the plan includes treasury-center activity, consult the Bank of Thailand on exchange-control licensing and the scope of permitted transactions. The BOI headquarters FAQ requires proof of a treasury-centre licence application for BOI treasury promotion and the licence before the BOI certificate is issued. Other lending or financial activities may require different permissions. Banking, immigration and employment decisions are separate and should be planned on their own evidence.

How to assess existing ROH and IHQ rights

The Revenue Department’s ROH and IHQ were specific tax regimes, not generic descriptions of a regional team. Decree No. 674, sections 16–18 sets out conditional conversion provisions for identified ROH and IHQ categories seeking IBC approval, including different expenditure conditions for different categories. A conversion requires an application and approval; it is not automatic.

On the promotion side, BOI’s IBC FAQ says IHQ and international trading center promotion was repealed and describes how existing promoted projects may assess a change. That statement concerns BOI promotion; it does not itself determine the present status of an individual company’s historical Revenue Department tax rights. Confirm the actual regime, effective dates, amendments, conditions and any conversion or revocation with the authorities. This comparison does not assert that a new ROH or IHQ tax application is currently available, or that a particular old benefit survives.

For an existing structure, assemble the original applications, promotion certificate, tax approval, amendments and annual compliance records. Compare the benefits actually remaining under those documents with the proposed IBC service mix and expense forecast. Conversion may change conditions and should be assessed before submitting an application; a name change or corporate restructuring alone does not establish eligibility.

Choose the route using the evidence you can sustain

Choose a foreign-company regional-office analysis when the mandate is limited coordination for the overseas group and the team can operate inside the confirmed office scope without assuming service revenue. If the plan includes contracting, billing, trade or services outside that scope, map the relevant branch or Thai-company permissions before beginning those activities.

Consider a Thai-company IBC when the group needs substantial qualifying services, can demonstrate the necessary affiliate relationships and staff, and can sustain the separate BOI and tax conditions relevant to the benefits sought. Compare the cost and administration of that evidence against the value of the eligible income, rather than applying a reduced rate to the entire forecast.

A complete decision requires both an operating model and an approval map. For a general headquarters without IBC approval, use the applicable ordinary tax and licensing rules and evaluate any other incentive independently. For an existing ROH or IHQ, have the actual legacy documents and current rules reviewed before deciding whether to retain, amend or seek conversion. Revisit the decision when service recipients, staffing, transaction types or expenditure change.

Frequently asked questions

Is an IBC the same as a regional headquarters?

An IBC is a defined promotion or tax framework for qualifying activities. Regional headquarters can describe a commercial function, a foreign-company regional office, or a historical ROH/IHQ arrangement. The underlying entity and approvals decide the applicable rules.

Can a regional headquarters charge service fees?

A Thai company or appropriately authorised branch may earn service income within its permitted scope. A foreign-company regional office’s limited scope must be checked separately; do not assume it can charge for services.

Does BOI promotion automatically grant IBC tax rates?

No. The Revenue Department has its own application, approval and annual qualification requirements for IBC tax relief.

Does international trading income receive the reduced IBC corporate tax rate?

No. The Revenue Department excludes international trading income from the reduced IBC corporate income tax rate. Separate records help establish the treatment of each income stream.

What if an IBC misses the annual expenditure threshold?

For an ordinary IBC, missing an applicable section 13 condition suspends the specified benefits for that accounting period. Other facts can trigger different consequences, so review the decree and seek advice on the particular shortfall.
