THAILAND BUSINESS FORMATION
Thailand SME Company Registration: Eligibility, Tax, and Compliance
A practical route from founder decisions to a company record, a defensible tax position and an assigned compliance calendar.
A business can qualify as a Thai SME for one purpose and fail a different SME test. For company registration, choose and incorporate a legal entity; for reduced corporate income tax, verify the separate capital, revenue and historical conditions. An SME label does not replace either exercise.
For an ordinary Thai private limited company, start with the ownership and capital plan, then prepare the DBD filing and tax evidence together. Registering the company does not certify its entitlement to SME tax rates. The immediate question is which records will prove each status when a return or application is reviewed.
Key takeaways
- DBD incorporation, Revenue Department tax treatment and OSMEP programme eligibility answer different questions.
- The reduced corporate income tax regime uses paid-up capital and sales/service revenue, with a continuing eligibility condition.
- VAT has a separate turnover trigger; a company can qualify for SME income tax rates and still need VAT registration.
- Private limited companies retain accounting, audit and annual filing duties even when tax payable is nil.
- Give the registration preparer and accountant the same capital schedule, business description and accounting year-end.
Decide which SME test your business needs to satisfy
“SME company” is a commercial description, rather than a separate private-company incorporation category. The legal entity on the DBD register may be a private limited company. Its size can then be measured under different rules for tax relief, business support or a specific financing programme. Treat each requested benefit as its own eligibility exercise.
The Office of Small and Medium Enterprises Promotion (OSMEP) uses sector, annual revenue and employment in its MSME classification . That framework is different from the Revenue Department’s paid-up-capital and revenue tests for the reduced corporate income tax bands. A programme’s own application terms can add further conditions. Do not use an OSMEP classification or a bank’s marketing description as proof for the company’s tax return.
Create four short records before submitting anything: the incorporation record identifies the legal entity; the income-tax record supports its rate treatment; the VAT record identifies its taxable activities and turnover; and any programme record addresses the particular benefit being sought. These records may share documents, but none should be marked complete because another authority issued an approval.
Choose a company structure because it fits the founders’ ownership, contracts and financing needs. For the underlying company registration in Thailand work, an SME business still needs a coherent share structure and director authority. Foreign participation or a regulated activity requires its own permission analysis; small size does not remove those questions.

Build a tax eligibility file before using reduced rates
For the ordinary SME corporate income tax concession, the company must have paid-up capital of no more than THB 5 million at the end of its accounting period and sales and service revenue of no more than THB 30 million in that period. Sections 6–8 of Royal Decree No. 530, as amended also require that neither threshold has been exceeded in any relevant accounting period beginning on or after 1 January 2012. A newly formed company should preserve this history from its first period.
The capital test concerns paid-up capital, rather than merely the registered capital printed on a company document. Reconcile the legal share records with actual capital payments and the accounts. The revenue test concerns sales and services, rather than taxable profit. A strong profit margin does not itself disqualify a company, while a loss does not cure excessive revenue.
Use this control sheet at formation, before a capital change and at each year-end. It is a working method for organizing the evidence, rather than a government application form.
| Record | Evidence to retain | Review trigger | Decision it supports |
|---|---|---|---|
| Paid-up capital | Share payment evidence and a reconciliation to the share and accounting records | Formation, further calls or capital changes; year-end | Whether the THB 5 million period-end ceiling is met |
| Sales and services | Ledger totals reconciled to invoices and the financial statements | Monthly forecast updates and year-end close | Whether the THB 30 million period revenue ceiling is met |
| Eligibility history | A period-by-period schedule of both tests and prior filed returns | Before claiming reduced rates or taking over an existing company | Whether a previous breach prevents reliance on the concession |
| Taxable profit | Accounts-to-tax reconciliation and supporting expense records | Half-year estimate and annual return | The profit amount to which the eligible bands apply |
Apply the rates to slices of taxable profit
Royal Decree No. 603 sets the reduced bands for eligible accounting periods beginning on or after 1 January 2017: the first THB 300,000 of net profit is exempt; the portion over THB 300,000 up to THB 3 million is taxed at 15%; and the portion above THB 3 million is taxed at 20%. The exemption is supported by the amended section 7 of Decree No. 530. The 20% band does not retrospectively apply to the lower slices just because profit exceeds THB 3 million.
For a hypothetical eligible company with THB 4 million of taxable net profit, the calculation is THB 300,000 × 0%, plus THB 2.7 million × 15%, plus THB 1 million × 20%: THB 605,000 before credits. This is an illustration of the bands, not a forecast for a particular business. The accountant must first establish eligibility and adjust accounting profit under the Revenue Code.
If either eligibility threshold is exceeded, stop treating the reduced bands as an automatic planning assumption. Check both the current period and the historical restriction before estimating tax. Reducing revenue or capital in a later year should not be assumed to restore the concession. Preserve the reason for the rate decision with the return working papers.
Register the company through DBD Biz Regist
As checked on 30 October 2026, DBD’s current digital registration notice states that new partnership and private limited company incorporations have used DBD Biz Regist exclusively since 1 July 2026. It also announces online-only handling of all such application types from 1 November 2026. Use the current platform and its instructions, rather than following old e-Registration screenshots or assuming a paper incorporation route remains available.
Prepare the decisions and evidence before entering the e-Form
The DBD memorandum requirements identify at least two natural-person promoters, each subscribing for at least one share, together with the company name, head-office province, objects, capital and promoter details. Decide the full office address, shareholders, directors and signing powers as part of the incorporation file. The shareholder information, capital figures and actual business description should agree across the application and supporting records.
Complete the required formation decisions, including share subscription, the statutory meeting, appointment of directors and auditor, and the capital call. DBD’s formation checklist specifies payment of at least 25% of each share’s value and filing within three months after the statutory meeting. Those company-law steps remain separate from the much higher-level question of whether the eventual paid-up capital satisfies the SME tax ceiling.
Before fixing signing powers or promising investment rights, settle the co-founder decisions that belong before filing . A later disagreement about who can bind the company is harder to resolve when contracts have already been signed using the registered authority.
- Access DBD Biz Regist through DBD’s website. Register the relevant users and complete the supported identity-verification route; DBD lists DBD e-Service, ThaID and Paotang among its online channels. Confirm the route available to each participant before setting a signing date.
- Reserve the proposed name and select the appropriate company application. Enter the e-Form details and attach the evidence required for that application, including identification and the formation records. The memorandum is associated with Thai form บอจ.2 (Bor Or Jor. 2); follow the current system-generated document set.
- Submit the prepared application for registrar examination. Monitor the application status and answer any correction or additional-document request. Keep amendments consistent across the e-Form and attachments before resubmitting.
- After the registrar’s approval stage, arrange the required electronic signatures and complete the online fee payment. Check the payment summary and any selected registration date in the system.
- Confirm registration completion and download the issued electronic company documents and payment evidence. Check the registered name, number, address, directors, signing conditions and capital before using them with the accountant or counterparties.
DBD’s workflow explanation describes identity verification, e-Form preparation, registrar review, electronic signing, online payment and document download. Platform availability does not guarantee immediate approval. The practical timetable depends on a complete file, available signers, review and corrections. For foreign investment or signing arrangements, check the current supporting-document rules on the DBD legal notices page before submission.
Set VAT and the return calendar independently
A company with THB 28 million of sales and service revenue may fall within the SME income-tax revenue ceiling while exceeding the VAT threshold by a wide margin. This hypothetical is why “we are an SME” is not an answer to a VAT registration question. Classify the supplies first: VAT exemptions and activities subject to a different tax treatment require separate consideration.
For ordinary taxable supplies, the Revenue Department’s VAT registration rules require registration when annual turnover exceeds THB 1.8 million, with the application due within 30 days of exceeding the threshold. Monitor cumulative turnover during the year instead of waiting for the annual accounts. Incorporation alone is not evidence that VAT registration has been completed.
For supplies subject to the standard rate, the temporary rate is 7% including local tax. Royal Decree No. 807, effective 1 October 2026 continues the national rate of 6.3%, corresponding to 7% with local tax, through 30 September 2027. Zero-rated and exempt transactions require their own treatment; do not apply 7% to every invoice simply because the supplier is a company.
Keep the main return deadlines separate from the registration date. The following are statutory baseline periods, rather than promises about any electronic-filing extension or holiday adjustment. Have the accountant check the live Revenue Department calendar for the particular filing date and channel.
- Annual corporate income tax: file ภ.ง.ด.50 (PND 50) and pay any balance within 150 days after the accounting period ends.
- Half-year corporate income tax: where applicable, file ภ.ง.ด.51 (PND 51) and pay within two months after the end of the first six months of the accounting period.
- VAT after registration: file ภ.พ.30 (PP 30) monthly; the ordinary statutory deadline is the 15th day of the following month.
The Revenue Department corporate-return guidance supports the PND 50 and PND 51 baseline deadlines, and its VAT return guidance explains the monthly period and PP 30 deadline. A first accounting period shorter than twelve months is outside the ordinary half-year filing requirement, as stated in the department’s income-tax calculation guidance . Confirm the actual first year-end instead of assuming every newly formed company files a half-year return.
Resolve the first filing calendar
Bring the proposed year-end, turnover forecast and capital payment schedule so incorporation and accounting work can be planned together.
Keep accounts and audit work running after incorporation
SME tax treatment is not an audit exemption. A Thai private limited company needs accounts and audited financial statements. The small registered-partnership audit exception should not be transferred to a company just because its capital or revenue is low. The Revenue Department’s filing questions and answers distinguishes the partnership exception from the audited statements required for limited companies.
The company should appoint a qualified bookkeeper and establish a monthly document handover from the start. Retain sales invoices, purchase evidence, expense approvals, capital receipts and bank reconciliations in an organized file. Record who supplies the documents and who reviews gaps. This makes the SME test reproducible and helps the auditor distinguish a missing document from a transaction that never occurred.
For a private limited company, audited annual statements must be presented to the shareholders for approval within four months after the accounting year-end, and filed with DBD within one month after approval. The Ministry of Commerce’s 2026 financial-statement reminder states these separate periods and identifies DBD e-Filing as the submission channel. Schedule the audit early enough to support the meeting; the annual tax deadline is a different deadline.
An inactive or loss-making company still needs a filing assessment. Nil corporate income tax does not show that the annual return, financial statements or other applicable submissions have been completed. If trading is postponed, ask the accountant to confirm the duties arising from the company’s actual registrations and transactions, and retain submission acknowledgements rather than relying on a verbal “nothing due.”
Assign the next action to the right owner
Use a short handover meeting to turn the four records into named responsibilities. The registration preparer should confirm the DBD inputs, signatures, registration status and downloaded outputs. The accountant should document the capital and revenue tests, historical eligibility, first year-end and return calendar. A programme adviser should identify the exact scheme and evidence if a grant, financing facility or support registration is sought.
Prioritize unresolved evidence over assumed labels . If founders have not agreed the share structure, settle that before filing. If the company exists but capital payments or prior revenue records are unclear, resolve the tax evidence before claiming reduced rates. If VAT turnover is approaching its threshold, set a monitoring owner and application date now. These actions have different completion evidence and should remain separately visible.
Proceed when the company file can be submitted coherently and the post-registration duties have owners. Ask HSJGlobal to help coordinate the incorporation scope and document handover where needed; a registrar, tax authority or programme administrator still determines matters within its own remit. The useful result is a company record you can use and tax positions your accountant can support.

Frequently asked questions
Do I need an SME certificate before incorporating a private limited company?
An SME programme registration is separate from DBD incorporation. If you want a particular grant, financing product or support benefit, check that programme’s own application requirements. Do not delay an otherwise prepared company filing on the assumption that every small company needs the same SME certificate.
Can a company registered this year prove that it qualifies forever?
No. Its first-period records begin the evidence history, while later capital and revenue changes can affect the tax position. Keep the relevant period-by-period schedule and review proposed changes before relying on the reduced bands.
Does THB 300,000 of profit mean no company paperwork is due?
No. The exemption concerns a slice of taxable profit for an eligible company. It does not remove annual company accounts, audit or return filing. Taxable profit also differs from cash in the bank and may differ from accounting profit.
Can shareholders choose capital solely to stay under the SME ceiling?
The capital plan should reflect real funding and the requirements of the business and its ownership arrangements. Give the accountant the actual payment schedule. A stated figure chosen for a concession does not substitute for evidence of what was paid.
What should I request after someone files the incorporation for me?
Request confirmation of registration completion, the issued electronic company documents, the payment evidence and a copy of the submitted particulars. Then have the registered details reconciled with the accounting setup and give the ongoing filings to a named owner.
