Trading Company Registration in Indonesia: Activities, Ownership and Permits
Set up an Indonesian trading company from the actual goods flow, ownership structure, KBLI activity and product-permission path—not a generic trading label.
A trading company is defined by how goods move and who carries the commercial role: supplier, importer, owner of stock, warehouse operator, seller, platform, customer and returns party. Adding “trading” to a company description does not answer those questions.
The company is ready to trade only when its entity, ownership, KBLI activity, customs identity, product conditions and customer contracts describe the same business. Incorporation alone is not clearance to import or sell a particular product.
Key takeaways
- Map goods, ownership, import role, storage and sales channel before selecting activities.
- Wholesale, retail, distribution, e-commerce and importing can create different licensing and evidence needs.
- Foreign ownership must be checked against verified activities rather than a broad sector name.
- NIB/API/customs access establishes an identity route; product permissions remain separate.
- Add a product, warehouse or sales channel through a formal change review.
Map goods, contracts and cash before registration
Draw the full commercial chain for each product family: supplier, manufacturer, owner in transit, importer of record, warehouse, seller, marketplace, customer, delivery party and warranty/returns party. Then add the cash path: who invoices, who receives payment, who bears bad debt and who pays for returns. The map is more important than a broad phrase such as “general trading”.
A local distributor that genuinely buys, imports and resells has a different profile from a PT PMA that imports its own stock, an e-commerce merchant that sells through a platform, or a service company arranging a foreign sale. The contracts must reflect the selected role. If they do not, the company may be registered as one thing while operating as another.
Group goods by product category rather than assuming all products need the same permissions. A company importing consumer goods, industrial inputs and regulated accessories may need separate product files, classifications and channels even where it uses one legal entity.
| Commercial fact | Registration impact | Evidence |
|---|---|---|
| Importer of record | Identity, customs and product route | NIB and importer data |
| Physical stock | Address/warehouse analysis | Lease and inventory plan |
| Online sale | Merchant/platform allocation | Platform terms and invoices |
| Foreign shareholder | Ownership and document chain | Shareholding/beneficial-owner file |
For the formal establishment stage, use the broader Indonesia company registration process as the administrative workstream; it should follow this decision analysis rather than replace it.

Map the trading route first
Turn goods, contracts, import roles and channels into an activity-ready plan.
Select KBLI and test ownership against the real role
Use the current OSS KBLI search against the actual function: wholesale, retail, e-commerce, distribution, import for own use or another supported activity. The risk-based system groups activities by risk level and determines permit/obligation paths. Do not assume the lowest-risk code can be used to support a more complex product or premises-led operation.
For foreign investors, test the intended activities and ownership position before forming a PT PMA. The shareholder structure, investment plan and beneficial-owner evidence should be designed around the verified business, not around a local nominee or an undefined “partner”. A genuine local company must also have genuine ownership and governance facts.
The deciding question is simple but demanding: can the entity openly say what it buys, imports, stores, sells and invoices? If not, the activity and ownership model needs work before registration.

Clear customs and product barriers before goods move
Customs states that an NIB can function as API and customs access for importers, with data integrated between OSS, Customs and DGT. That gives an importer an identity path. It does not establish the HS classification, release conditions, restricted-goods position, product certificate, label requirement, quota or sector approval for the goods.
Create one controlled product file per category. It should identify product description, origin, intended use, classification rationale, supplier documents, applicable approvals, labelling plan, owner and expiry/renewal dates. Give the compliance owner authority to stop a purchase order when the evidence is incomplete.
A broker’s prior handling of a similar product is not conclusive permission. Recheck when the composition, model, supplier, origin, target customer, channel or use changes. Product controls are commercial launch conditions, not a downstream customs formality.
- Reconcile broker data with current NIB and NPWP details before every first shipment or material change.
- Separate government identity steps from third-party testing, certification, translation, storage and broker costs.
- Do not promise customer delivery until the importer and product files are complete.

Budget and sequence a trading launch around dependencies
The operating sequence is goods/contract map → activity and ownership review → shareholder documents → incorporation and NIB → address/warehouse and applicable licences → tax set-up → customs/product route → bank/visa planning where relevant → controlled first shipment → recurring accounting and compliance. A single fast corporate step cannot eliminate a slow product or site dependency.
Budget government/notarial work, professional setup, registered address or warehouse, sector/product licences, translation/legalisation, customs/broker work, taxes, bank support, visas, monthly accounting and annual compliance separately. The approved qualifying PT PMA packages begin at IDR 29,500,000 for Essential, but each has scope limits and does not price product permissions, warehousing, imports or regulated goods automatically.
The practical delay trigger is an irreversible commercial action—supplier deposit, warehouse lease, shipment booking or customer commitment—taken before the product and role analysis is complete. Put a signed readiness check before that point.
| Stage | Completion evidence | Delay trigger |
|---|---|---|
| Activity/ownership | Verified KBLI and ownership route | Unclear business role |
| Entity/NIB | Current legal and OSS identity | Foreign documents or address gap |
| Product/customs | Product file and importer route | Late classification or approval |
| Operation | Contracts, inventory and tax process align | Stock or channel added informally |

Choose a trading model that can operate after launch
The correct trading company is the one that can openly carry the commercial facts: ownership, import, storage, customer sale and product responsibility. Where a distributor has that genuine role, document it. Where a PT PMA needs to perform it, build the activity, ownership and product evidence around the PT PMA. Do not ask an entity to perform a role its documents do not support.
Review before adding a product family, e-commerce channel, warehouse, retailer, importer role, repair function or foreign investor. Such a change may affect not only the NIB/KBLI record but also product permissions, address evidence, contracts, taxes, logistics and working capital.
Escalate consumer products, controlled goods, food, cosmetics, medical products, chemicals and other regulated categories early. The cost of a specialised check before purchasing is lower than the cost of stranded inventory or an unsupported customer promise.

Frequently asked questions
Can a PT PMA automatically import goods?
No. It needs a coherent activity, NIB/customs identity and product-specific compliance route.
Does a generic trading code cover retail, e-commerce and distribution?
Do not assume so; check each real commercial activity and channel.
Can one entity handle all product categories?
Possibly, but each product family needs its own activity and product-control analysis.
Does a distributor remove foreign-seller responsibility?
Only where the distribution model is genuine and the parties’ contracts/operations match it.
When should the company update its trading analysis?
Before adding goods, origin countries, warehouses, channels, customers or material operational roles.
