US Company Formation for Founders in Chile: Options and Steps

Match the ownership instrument to the documents and decisions each stage needs.

US company formation for a founder in Chile begins with two linked choices: which entity will own the business and who can authorize it. An LLC may suit agreed membership arrangements, while a C corporation merits comparison when shares and investor governance are central. The state choice then follows the US operating footprint and the commercial reason for that entity.

The route below focuses on forming a new US entity. Registering an existing Chilean company directly creates a different parent-exposure and reporting exercise. Treat tax-treaty relief, banking and permission to operate as separate assessments after the legal route has been identified.

Key takeaways

  • The required financing instrument should be established before drafting the state certificate.
  • A Chilean company as owner needs an authority chain that differs from personal ownership.
  • Delaware LLC and corporate maintenance follow different payment and reporting tracks.
  • Treaty provisions require recipient-specific eligibility; formation does not supply it.
  • An acceptance register assigns each document and unresolved task to a responsible person.

Choose between membership interests and corporate stock

A Chile-based founder’s practical starting options are usually an LLC or a corporation taxed as a C corporation, with the choice driven by ownership, financing and the intended cash flows. An LLC provides membership interests and flexible management arrangements. A corporation uses shares, directors and corporate actions. Neither structure delivers a pre-approved banking result or a universal tax advantage.

Decision LLC route C corporation route Evidence before selection
Ownership instrument Membership interest under an operating agreement Stock under charter and corporate records Founder and investor requirements
Federal tax starting point One member: usually disregarded; multiple members: usually partnership Separate corporate income-tax treatment Owner identities and any intended election
Control documentation Member or manager authority and reserved decisions Board, officer and shareholder authority Who approves contracts, funding and changes
Financing preparation Test whether investors accept membership interests Test share classes, issuance and option needs Actual proposed investment terms
Cross-border review Reconcile US classification with Chilean treatment Reconcile company tax and shareholder receipts A two-country cash-flow analysis

The IRS treatment of domestic LLCs establishes the default classifications and the possibility of an eligible Form 8832 election. Selecting a name ending in LLC does not settle the owner’s income reporting in Chile. If stock is central to the financing plan, compare the corporation directly; an LLC-to-corporation change later can involve approvals, tax and contract work.

S corporation status depends on eligibility and an election; it is not a default nonresident-founder solution. IRS S corporation rules bar nonresident-alien shareholders and several types of entity shareholders. Start with the actual owner and required investment instrument. Do not ask a filing agent to infer those facts from the founder’s Chilean address.

Clarify the financing instrument

Identify whether the business needs membership arrangements or a corporate share structure.

Decide whether the owner is the founder or a Chilean company

Direct personal ownership and ownership through an existing Chilean business create different evidence trails. Identify the intended legal subscriber before drafting an operating agreement or share subscription. If a Chilean company is the owner, obtain its current existence record, governing documents, ownership chart and an authorization that covers the proposed US investment and signer. The recipient determines whether translations or authentication are needed.

Keep the company authorizing the investment distinct from the individual signing an SS-4 or operating a bank account. A person can act in more than one role, but the file should show the basis for each role. A parent’s shareholder is not automatically authorized to bind the parent simply because that person benefits economically. Ask the parent’s Chilean advisers to verify the required approvals under its own documents and law.

A parent-owned LLC may still be disregarded for US federal income tax where it has one owner, unless an election changes the position. That does not mean the parent has no US filing questions. The control and tax records for a corporate LLC owner explain why the chain of legal ownership, ultimate control and transaction records needs to be preserved. If you instead register the Chilean company itself to operate in the US, obtain a separate branch and parent-exposure analysis; that is outside the subsidiary filing route described here.

Select a formation state using the planned US footprint

A founder planning staff or premises in one state should first examine that operating state. Forming in Delaware while operating elsewhere can add qualification and recurring duties. The SBA explanation of multistate registration distinguishes domestic formation from foreign qualification. “Foreign” in state registration can mean a company formed in another US state; it does not define the nationality of its owners.

Where there is no fixed US operating state, compare a limited shortlist using governance, annual obligations, agent arrangements and financing expectations. Delaware’s official entity-formation process requires a Delaware registered agent and provides formation forms and submission instructions. Delaware can be relevant to a corporation whose investors want that legal framework, but the commercial justification should be written down rather than presumed.

Recurring state obligations also differ by entity. For the 2026 tax year, Delaware LLCs pay an annual USD 400 tax generally due June 1 of the following year, without an LLC annual report, under the current LLC tax instructions . Domestic corporations generally file an annual report and pay franchise tax by March 1; the corporation franchise-tax instructions set different calculation methods and minima. Do not apply the LLC’s flat amount to a corporation. The certificate type determines the maintenance track. These state amounts, checked October 28, 2026, exclude agents, federal returns, other-state work and actual operating taxes.

Confirm whether a warehouse, employee or contract-signing representative creates additional state questions before selecting the final scope. A registered-agent office is for legal service and official notices. It does not prove the enterprise works from that location or satisfy every bank’s address policy. Record operating, mailing and agent addresses according to their real purposes.

Different governance paths, shared formation handoffs The LLC and corporate routes require different authority records before converging on state acceptance, EIN and separate operating tasks. Approved owner and plan LLC agreement Charter and stock plan Member authority Board and officers State acceptance and EIN Tax and operating handoffs
Governance deliverables diverge by entity; the later tax and operating handoffs remain distinct.

Run formation as a series of authorized handoffs

Once the route is selected, the project should move through clearly owned handoffs. Use the following order to prevent a service provider from choosing substantive ownership or governance terms without instructions. Steps that depend on state acceptance should wait for it, while draft governance and tax planning can begin earlier.

  1. Approve the formation instruction. Name the legal owner, entity, state, management model, registered agent and filing signer. For a corporation, settle the authorized share structure with appropriate advice.
  2. Prepare the exact state document. Use Articles of Organization for the relevant LLC jurisdiction or the jurisdiction’s corporate certificate. Check name, office, agent and organizer or incorporator fields against the instruction.
  3. Submit through the official route. Delaware provides its Document Filing and Certificate Request Service or a mailed submission. Confirm the current fee and optional expedited service before payment; retain the cover sheet or order record.
  4. Check acceptance and correct discrepancies. Download or retain the accepted certificate and entity identifier, compare them with the approved data and follow the registry’s correction process if needed.
  5. Authorize governance and ownership. Execute the LLC agreement or corporate organizational actions, officer appointments and valid share records. A filed certificate alone does not show every ownership and signing decision.
  6. Complete the EIN and operational handoffs. Use the IRS route available to the applicant, assign tax work and obtain separate permissions or provider approval before treating the business as operational.

The general United States company formation requirements provide the state-registration foundation; the Chilean ownership and financing instructions determine which formation document and post-filing records are appropriate. Ask for deliverables rather than an ambiguous “completed company” promise. A submission receipt, accepted certificate, signed operating agreement and EIN notice prove different stages.

If the state asks for a correction, give the response owner the rejection notice and approved instruction together. If a signer changes, recheck authorization before resubmission. If the funding plan changes from member capital to shares, stop the handoff and confirm the entity route instead of treating the change as a typographical correction.

Check the next handoff

Resolve who can approve the filing, sign the governance records and release the funding.

Keep treaty eligibility separate from entity formation

Chile and the United States have an income-tax treaty, but a US registration does not automatically qualify a payment or recipient for relief. US Treasury’s entry-into-force announcement explains that withholding provisions apply to relevant amounts paid or credited from February 1, 2024, while other-tax provisions generally apply to taxable periods beginning from January 1, 2024. The announcement also identifies limitation-on-benefits provisions. These dates do not prove a particular LLC member is entitled to a treaty rate.

For income through a fiscally transparent entity, classification in the relevant jurisdictions matters. The official Chilean treaty and protocol publication addresses when such income is considered derived by a resident. Have the advisers identify the recipient, income type, residence, entity treatment and supporting claim procedure. Treaty residence and entitlement must be evidenced; nationality and a US EIN are not substitutes.

The domestic position still needs its own review. SII explains the general worldwide-income framework for Chilean residents or domiciliaries, with special rules for certain foreign individuals. Ask how the chosen entity’s profit, distributions and any foreign tax will be treated in the owner’s specific circumstances. Where the two systems differ on timing or character, model that difference before fixing a routine withdrawal policy.

US compliance follows the actual classification and transactions. A foreign-owned disregarded entity may need Form 5472 with a pro forma Form 1120 for reportable related-party dealings; a C corporation has its corporate return analysis and may also have Form 5472 obligations when the ownership and transaction tests apply. The IRS reporting instructions distinguish these categories. Set the preparer’s scope explicitly; a promise to “do the annual return” can conceal a missing information return.

Build an acceptance file that can survive a change of adviser

Use a deliverable register with one row per milestone: approved instruction, accepted certificate, ownership record, governance authority, EIN evidence, federal filing assessment, state calendar and Chilean review. For each row record who prepared it, who approved it, where the original is stored and which later event requires an update. This is the project’s acceptance test, not merely a list of attachments.

For the EIN, IRS SS-4 guidance distinguishes international application routes and online eligibility; the IRS issues the number without a government application fee. Use a single method and keep a signed request and assignment evidence. A coordinator’s estimate should separate document preparation from IRS processing and should never extend a state expedited-service promise to the EIN or bank review.

The acceptance register should also state the BOI conclusion. Under FinCEN’s current rule , US-created entities are exempt, while certain foreign-law entities registered in the US remain reportable. US-created subsidiary and Chilean-company registration are therefore different classifications for this purpose. Bank beneficial-owner identification remains a separate provider process.

Reserve budget categories for state fees, agent service, optional address handling, governance work, accounting, tax preparation and operating approvals. Keep taxes and investment capital separate from service charges. The register should show which items remain unpriced or outside the engagement, so a change of adviser does not leave an undocumented task between two providers.

Authorize the Chile-to-US project in the right order

First settle the economic owner and financing instrument; then confirm the state and the entity-specific governance documents. Next approve the filing instruction, reconcile the accepted record and complete the EIN, tax and operating handoffs. The sequence works when each stage has a named decision-maker and a specific acceptance record.

Do not authorize the next handoff while a parent-company approval, investor requirement or treaty assumption remains unresolved. If a different entity or direct registration of the Chilean business becomes preferable, revise the scope before funds or contracts commit the enterprise to the old route.

Approve an evidence-based scope

Bring the chosen route and remaining cross-border questions into a written formation plan.

Frequently asked questions

Is a reserved Delaware name the same as a formed company?

No. Name reservation is a separate optional step. The company’s formation status depends on the accepted formation filing and applicable state law.

Can a service provider decide the founder share split?

The owners must approve the commercial arrangement and obtain advice where needed. A filing engagement should not leave the share split or membership allocation to an unsupported assumption.

Does a treaty eliminate state taxes automatically?

Do not assume so. Establish the taxes covered, the relevant state’s rules and the actual activities; a federal treaty conclusion is not a complete state-tax review.

What happens if the Chilean parent changes its authorized signer?

Update the authority evidence and any affected filing, banking or engagement instructions. Keep the previous and replacement approvals so the company can explain who acted at each stage.
