US Company Formation for Founders in Taiwan: Options and Steps

Choose the investor and ownership rights before releasing state filing instructions.

For a founder in Taiwan, selecting a US company and identifying its investor are separate decisions. An LLC or C corporation can be assessed against the required rights, financing and tax treatment; an individual and a Taiwan company then follow different authority and home-country review paths. State filing should implement those decisions rather than make them by default.

Use a new US entity route only when that is the intended commercial structure. Registering the Taiwan company itself, transferring an existing group or entering a regulated sector requires a revised scope. The stages below preserve separate proof of formation, governance, EIN and operating readiness.

Key takeaways

  • US membership interests and corporate shares should be compared against the intended business rights.
  • A Taiwan company investor needs a corporate authority and investment-procedure review distinct from personal investment.
  • The effective law on the investment date matters more than the date a reform was announced.
  • State acceptance must be followed by organization and ownership records appropriate to the entity.
  • A realistic schedule and budget assign each dependency to a named party rather than promise one universal completion date.

Compare the US entity against the investor’s required rights

A Taiwan-based founder should compare an LLC with a C corporation using ownership rights, financing, management and the intended movement of profits. An LLC issues membership interests governed by its agreement; a corporation uses shares and corporate governance. The choice must work for the person or company making the investment, not just for the organizer completing the state form.

Investor or business plan Option to assess Document that makes the choice concrete Unresolved issue that stops selection
Individual owner running a closely held business Single-member LLC versus C corporation Member agreement or approved corporate ownership plan Two-country treatment of profit and withdrawals
Several founders sharing a venture Multi-member LLC versus corporation Admission, control, transfer and exit terms Unagreed voting, authority or funding obligations
Startup negotiating stock-based funding C corporation directly compared with LLC Actual proposed share, option and governance terms Assumption that investors accept either instrument
Taiwan company funding a US subsidiary Parent-owned LLC versus corporation Parent authorization and subsidiary governance documents Investment procedure, signer authority or group tax scope

Under IRS LLC classification guidance , the ordinary federal defaults differ for one-member and multi-member LLCs, with eligible elections available. C corporation treatment means a separate corporate taxpayer rather than a universal lower-tax route. The ownership instrument should solve the business requirement. If neither route has been tested against investor expectations and cash flows, the entity selection is still provisional.

S corporation status is an election with shareholder restrictions, including the IRS prohibition on nonresident-alien shareholders . Do not include it in a standard overseas-founder recommendation without establishing eligibility. Where the investor is a Taiwan company, shareholder-type restrictions are another reason to avoid an assumed S election.

Identify the investment route

Bring the legal investor, intended rights and source of funding into the first structure decision.

Route the Taiwan-side work by investor type and effective law

Personal investment and investment by a Taiwan company should not share one undifferentiated approval checklist. A company investor needs corporate authority and an assessment of the applicable company overseas-investment procedures. An individual needs an assessment appropriate to that person, transaction and residence. The fact that both will hold a US interest does not make the home-country procedure identical.

The official Company Overseas Investment regulations describe company investments through foreign shares or capital interests, certain overseas business establishments and qualifying loans. Ask the Taiwan adviser to determine the applicable approval or reporting route and required evidence before the investment is implemented. Funding with cash, equipment or intellectual property can require different supporting records; a bank transfer is not the only possible investment event.

Effective dates matter. On the October 28, 2026 check, the official Statute for Industrial Innovation page flags the 2025 amendments to Article 22 and Article 67-3 as not yet effective, with commencement to be set by the Executive Yuan. A published amendment is not automatically the operative procedure. Have the responsible adviser confirm the law and implementing rules effective on the actual investment date rather than applying a reform announcement or an old threshold from memory.

For an individual investor, obtain a Taiwan tax-residence and foreign-income assessment, including whether any CFC rules affect the actual structure. The Ministry of Finance’s individual basic-income guidance identifies overseas income and the individual CFC regime. It does not establish that every US LLC has the same classification or that retaining profits abroad removes a Taiwan tax event.

Build an investor routing record with the legal investor, authority source, investment instrument, planned date and responsible Taiwan adviser. If a parent lends as well as contributes equity, give each transaction its own description. Keep evidence of the applicable approval, accepted report or documented non-applicability assessment with the contribution records so the US company can explain the funding later.

Select the state and prepare an evidence packet for that route

Start the state analysis with where the business will actually operate. The SBA guidance on foreign qualification explains why an entity formed in one state may still need registration and recurring work elsewhere. A Taiwan-managed software business without US staff has a different footprint from a business leasing a US workplace or storing stock. Customer location, inventory, personnel and signing authority should be recorded separately.

Where corporate financing and governance support Delaware, use its official formation instructions to identify the registered agent and certificate route. Where an ordinary LLC is preferred, evaluate the chosen state’s own requirements and recurring obligations. A shortlist is enough; a fifty-state comparison without operating facts creates apparent precision rather than a usable decision.

The document packet should include the approved entity-and-state instruction, owner identification, any parent corporate records and authority, agent consent, address purposes and a controlled English data sheet. For a corporation, include the approved charter and share instructions. For an LLC, include the member and manager arrangements. Obtain recipient-specific requirements for translation, authentication or certified copies before ordering them.

The corporate-member ownership and authority chain is especially relevant when a Taiwan parent is the investor. An ultimate individual owner, parent-company signer and person operating the US subsidiary can be different people. Distinguish ownership from signing authority in the packet instead of assuming a passport proves every role. Record who approved the US investment and who may execute each document.

Follow the entity-specific filing and organization steps

Use an approval sequence that separates owner decisions, state acceptance and post-filing organization. Draft governance work can run alongside document preparation, but the final record must reflect the entity and accepted details. A change in the legal investor or required financing instrument should return to the owner decision before submission.

  1. Approve the route and signers. Confirm LLC or corporation, formation and operating states, name, legal owner, management model and authorized filing person.
  2. Confirm the registered agent and state document. Delaware uses its relevant Certificate of Formation or Certificate of Incorporation; another state may use different document names and fields.
  3. Prepare and review the complete submission. Check address purposes, incorporator or organizer details and any approved corporate capital structure against the written instruction.
  4. Pay and submit through the official service. Delaware offers its Document Filing and Certificate Request Service and a mailed route. Confirm the current document fee, optional expedited service and return method before payment.
  5. Verify the accepted record. Keep the filed certificate, entity number and acknowledgement, and resolve a rejection or discrepancy through the registry’s procedure before relying on the document.
  6. Complete governance and ownership. Execute the LLC agreement or corporate bylaws, initial actions, appointments and supported member or share records. Retain the related funding authorization.
  7. Obtain the EIN and assign operational tasks. Use the eligible IRS application route, retain assignment evidence and complete the separate tax, licensing, payroll or financial-provider work the actual activity requires.

The US company registration requirements concern the underlying state-created entity. They do not give a filing provider authority to decide a Taiwan parent’s investment policy or guarantee a financial account. The accepted state certificate should be one documented deliverable among the company’s organization, tax and operating records.

If a certificate is rejected for a name, agent or signature issue, identify and repair that issue using the state’s instructions. If the owners change the entity or investor, treat that as a substantive revision, with new approvals where needed. A revised commercial plan cannot safely be handled by silently replacing one name in the form.

Verify the filing authorization

Check the approved entity, state, investor and signers before the submission is released.

Plan the dependencies and the recurring owner of each task

A realistic schedule begins when the owner facts and authority are complete, not when an initial enquiry is sent. Separate the stages for Taiwan approvals or reporting assessment, translation and authority, state processing, internal organization, EIN and the chosen financial provider. Without a fixed state, filing service and account provider, a combined end-to-end promise would conceal the largest uncertainties.

The IRS SS-4 instructions describe fax assignment generally within four business days and mail assignment in approximately four weeks, recommending a four-to-five-week lead when mailing. Those estimates apply to the IRS method and do not include state formation or banking. Overseas applicants must use the route supported by their actual presence and identifiers; buying an agent address is not a basis for an inaccurate online eligibility declaration. The IRS charges no EIN fee.

For a Delaware corporation, the annual-report and franchise-tax instructions generally require the domestic annual report and franchise-tax payment by March 1. The share structure affects the tax calculation. For the 2026 tax year, a Delaware LLC follows the separate annual USD 400 tax track, generally due June 1 of the following year, under the current LLC tax instructions . Keep state, entity and due-date source together; a single national “renewal” entry loses important distinctions.

Foreign-owner federal reporting also needs a named preparer. The Form 5472 instructions distinguish a foreign-owned disregarded entity and a qualifying foreign-owned reporting corporation, with reportable transactions determining the relevant duties. Assign the actual return scope rather than assuming it is covered by an agent or address renewal. Keep contributions, loans, reimbursements and distributions in the company’s transaction file from inception.

FinCEN’s current BOI framework exempts US-created entities, while certain foreign-law entities registered in the United States remain reportable. Record the appropriate category and keep bank ownership checks and Taiwan investment reporting separate. A US subsidiary and direct registration of the Taiwan company are different routes, even when both sell to the same customers.

Price each dependency in the written engagement: government filing, optional expedited or certified-copy work, agent, address, organization, bookkeeping, tax preparation and other-state compliance. Actual tax payments and investment capital should remain separate. State what is included, excluded and renewed so no task falls between the formation provider and the Taiwan or US adviser.

Approve the Taiwan founder’s formation route before releasing the filing

Settle the investor type and financing instrument first, then confirm the operative Taiwan investment procedure and two-country tax questions. Use those decisions to approve the US entity, state, documents and signers. Only then release the filing and follow the accepted record into governance, EIN and operational work.

Pause for a missing parent authorization, an uncertain commencement date, a changed investor requirement or a tax classification that has not been reconciled. A workable company-formation plan has a clear owner for every material decision and a distinct record proving each completed stage.

Set the remaining project owners

Assign the Taiwan review, IRS work and operational decisions still needed after state acceptance.

Frequently asked questions

Does a newly published amendment always apply immediately?

No. Check the official commencement provisions and effective text. The cited statute flags certain amendments with a commencement date still to be determined at the research date.

Can the Taiwan parent’s founder sign every subsidiary document automatically?

Do not assume so. Establish authority under the parent’s documents and the US entity’s governance arrangements for the particular act.

Is a state-certified copy always necessary for formation?

Follow the state’s filing rules and the requirements of the later recipient. Ordering a certified copy or good-standing certificate is a separate task from obtaining the accepted formation record.

Can I fix a change from personal to corporate ownership by changing the EIN address?

No. A change in legal ownership requires an entity, governance and tax assessment. An address update does not transfer the interest or document the transaction.
