US Company Setup for Founders in Israel: Entity and State Choices

Separate ownership, tax classification and operating footprint before committing to an entity and state.

Founders in Israel should choose a US LLC or corporation by testing the proposed owner’s tax treatment and financing needs, then choose the formation state against the company’s actual US activity. For example, a founder-run business managed from Israel and a business opening a US office need different state analyses. Complete the Israel–US tax review before filing; neither Delaware incorporation nor an LLC’s US tax default supplies that answer.

Key takeaways

  • Resolve personal ownership versus ownership through an Israeli company before preparing the state documents.
  • A requested corporate cap table is evidence for the entity decision; planned US activity is evidence for the state decision.
  • Cross-border tax classification and credit timing can outweigh a small difference in formation charges.
  • Keep written assumptions and review triggers so future funding or hiring reopens the right decision.
  • Track state acceptance, tax reporting and account approval as separate completion states.

First decide what the US company must accomplish

An Israeli founder selling software from Tel Aviv and an Israeli business opening a staffed US sales office may both need an American company, but their filing decisions begin with different facts. Start with the contract that needs to be signed, the person or company receiving the economic return, and the people doing the work. A request for a US billing entity does not establish a requirement for a Delaware corporation.

Write down whether the owner will be you personally, several founders, or an existing Israeli company. Then distinguish a new US subsidiary from registration of the Israeli company itself to do business in a state. The latter keeps the Israeli legal entity as the business; it does not create a separate US subsidiary. Have counsel compare the liability and tax consequences before treating those routes as interchangeable.

For an existing Israeli business, inventory the intellectual property, customer contracts, staff and cash already in place. Decide which functions the US company would actually perform. Do not assign valuable IP or move existing contracts simply to complete a formation order; those transfers need their own legal and tax review. A US company that only contracts with customers has a different fact pattern from one employing developers or holding the product IP.

Choose the legal owner before choosing the state. An ownership change after filing can affect governance documents, tax analysis and account verification. Record any planned funding round or relocation as a dated assumption, rather than building the structure around an uncertain future event.

HSJGlobal’s United States company formation services can coordinate the formation work once the owner, entity and state instructions have been agreed. Scope the engagement against those instructions, including who handles US and Israeli tax advice, rather than assuming registration includes every launch requirement.

Clarify the owner and business purpose

Bring your proposed ownership chart, customer requirement and US activity plan so the formation instructions reflect the business you intend to run.

Compare LLC and corporation through an Israeli owner’s return

An LLC and a stock corporation are state-law structures; their US federal tax treatment is a separate layer. The IRS explanation of LLC classification says a domestic single-member LLC generally defaults to disregarded status and a domestic LLC with two or more members generally defaults to partnership treatment. An eligible LLC can elect corporate treatment using Form 8832. Neither the word “LLC” nor the state on the certificate settles the owner’s entire tax position.

Compare the legal structure, the tax result and the financing requirement separately.
Decision factor LLC route Stock corporation taxed as a C corporation
Ownership and governance Membership interests and an operating agreement; define economic rights and who can bind the business. Shares, directors and corporate approvals; document stock issuances and the intended capitalization.
US tax starting point Default treatment follows the number of owners, unless an election changes it. Company-level federal income tax and a corporate return; separately assess payments to foreign owners.
Israel-side checkpoint Confirm how the owner reports the LLC’s income and obtains any available foreign tax credit. Model company tax and later payments or distributions to the Israeli shareholder.
Funding decision Ask whether the proposed investors accept the structure before issuing interests. Consider when an actual financing requirement calls for a corporate cap table and specified share rights.
Evidence to retain Ownership agreement, tax-classification decision and coordinated reporting instructions. Capitalization plan, share approvals, tax model and any investor entity/state requirement.

The Israel-specific issue is the possible mismatch between the two countries’ treatment. Israel Tax Authority Circular 5/2004 on foreign tax credits for LLC holders addresses double-taxation problems for an Israeli resident holding an LLC. The practical inference is that a US “disregarded” label alone does not establish matching Israeli treatment. Ask the Israeli adviser to reconcile income attribution, timing, distributions and foreign tax credits with the US preparer before relying on the default classification.

For the C corporation route, IRS Publication 542 describes ordinary domestic corporate income-tax reporting. Have the advisers compare retained profits with money you expect to withdraw. A structure that suits reinvestment may produce a different result when profits are paid to a shareholder. This comparison needs the actual owner’s residence and status, not simply an Israeli passport.

Treat S corporation eligibility as an additional test, not a third state formation type. The IRS shareholder restrictions exclude nonresident alien shareholders and corporations, among other limitations. A founder who lives in Israel may also be a US citizen or otherwise a US tax resident, so establish status first; an Israeli corporate shareholder cannot simply be inserted into an S corporation.

If a funding conversation is the reason for incorporating, use corporate share and funding decisions for overseas founders to prepare the equity questions. Obtain the intended investor’s requirements in writing. Incorporating in a familiar state does not itself make the company financeable, and a speculative funding plan is weak evidence for accepting a more complex structure today.

Two separate choices meet in one formation instruction The ownership and tax lane identifies the entity; the activity and investor lane identifies the state. Both are combined only after the Israel tax checkpoint. Owner and tax treatment Israel + United States US activity and funding Actual facts + requirements Entity candidate LLC or C corporation State candidate Formation + qualification Agreed formation instruction Owner · entity · state · review triggers
Entity selection and state selection answer different questions. Combine them after the ownership, tax and operating assumptions have been tested.

Use the operating footprint to shortlist states

Begin with where the business will actually operate. If your company will have an office, staff or other meaningful activity in a particular US state, compare forming there with forming elsewhere and qualifying there. The SBA’s registration guidance explains that activity in additional states can require foreign qualification, with obligations in more than one state. The precise trigger must be checked under each state’s law; a list of customers is not a substitute for that analysis.

The registered agent receives official legal papers in the relevant state. It is not evidence that your business works there, and the agent’s address is not automatically an acceptable principal operating address for a bank. Keep the agent address, management location, mailing address and physical workspace distinct in the records you give to advisers and account providers.

A conditional shortlist, not a nationwide ranking or a tax-residence determination.
Candidate When to examine it What can defeat the apparent advantage
Actual operating state Use as the baseline when the company will work in one identifiable state. A documented investor requirement or another material governance reason may justify a second state.
Delaware Examine when the financing or governance plan specifically calls for Delaware corporate law. A second state’s qualification, taxes and agent obligations remain possible; Delaware also has its own annual requirements.
Wyoming Include as a candidate for an LLC when there is no fixed US operating footprint and the ownership/tax review supports an LLC. A later operating state, investor requirement or incompatible tax result can outweigh a filing-fee comparison.

As checked on October 26, 2026, Delaware’s official annual-report guidance requires domestic corporations to file an annual report and pay applicable franchise tax by March 1. The annual-report filing fee for a non-exempt domestic corporation is USD 50; franchise tax is additional and depends on the applicable calculation. Model the proposed share structure rather than assuming a quoted minimum will be the company’s bill.

Wyoming’s official registration instructions list a USD 100 filing fee for an LLC, with an additional online credit-card processing charge. That is a formation component, not the recurring cost of running the company. Obtain the current annual-report requirements, agent renewal and any other-state obligations before choosing on price.

California illustrates why activity matters more than a low out-of-state filing fee. The California FTB LLC guidance generally imposes an annual USD 800 tax on LLCs organized or doing business in California, subject to stated exceptions. The temporary first-year exemption for tax years beginning in 2021–2023 is not a general exemption for a 2026 formation. Additional LLC fees can also apply. A Delaware or Wyoming certificate does not eliminate an operating state’s rules. Compare formation charges, recurring state reports and taxes, registered agents, tax preparation and professional service fees on the same ownership and activity assumptions.

Test the second-state exposure

Identify planned US hires, workspace and business activity before comparing the recurring obligations of your shortlisted states.

Change one assumption: test whether the choice still holds

Use this sensitivity test before authorizing a filing. These are illustrative planning assumptions, not client cases or legal conclusions. Hold the product and customer revenue constant, then change one input. The purpose is to identify which decision needs reopening and which evidence would justify it; revenue alone should not determine the entity or state.

An assumption-controlled test: change one business fact and identify the decision it affects.
Changed input Decision to reopen Evidence that resolves the question
A founder in Israel owns the business personally; no fixed US workplace or committed investor. Compare LLC and C corporation tax results first. Keep the state shortlist open until recurring obligations are priced. Coordinated tax model covering retained profit and owner withdrawals, plus an activity map.
An identified investor now requires a Delaware C corporation. Reopen both entity and formation state; preserve the separate review of any operating state. Written financing requirement, capitalization plan and advice on the proposed ownership chain.
The same owner now plans a staffed California office. Reopen California qualification, tax, payroll and licensing work. The LLC-versus-corporation decision still needs its own analysis. Office and hiring plan, state-law qualification conclusion and applicable tax-account instructions.
The shareholder will instead be an existing Israeli company. Reopen the owner-level tax model, related-party arrangements and account evidence. The formation state does not change automatically. Approved ownership chart, corporate authorization and documented allocation of functions, assets and payments.

Add a fifth column to your working copy: who owns the unresolved question and when the answer is needed. A financing requirement belongs with transaction counsel; the Israel–US classification issue belongs with the tax advisers; the activity map should be checked against state registration rules. “The service provider will handle it” is not a completion standard unless the engagement actually assigns that work.

Test timing as well as the final design. If US staff are only a possibility, record the event that triggers a fresh state review, such as signing an office lease or approving a hire. If an investor requirement is firm now, settle the structure before issuing interests that would later need replacement. This avoids paying for a second structure merely because two assumptions were decided at different times.

Where the test exposes a mistake in an existing filing, preserve the filed documents and pause further ownership or asset transfers. Have advisers compare amendment, conversion or a new entity as permitted by the relevant laws and tax rules. Do not assume changing an LLC’s tax election changes its state-law form or repairs earlier reporting.

Close the reporting and account gaps before filing

The selected structure needs a first-year reporting owner, even if sales have not begun. Under the IRS Form 5472 instructions , a foreign-owned US disregarded entity can need Form 5472 with a pro forma Form 1120 when it has reportable transactions. Formation-related contributions and distributions can count. A 25% foreign-owned US corporation also needs a related-party transaction review. Record founder funding, loans and transfers from the start; “no revenue” is not a sufficient filing analysis.

Assign the preparer to confirm the return’s due date, any extension and the permitted submission method for the chosen classification. Keep delivery or acceptance evidence. The Form 5472 instructions state a USD 25,000 failure-to-file penalty, including substantially incomplete filings. This is an information-reporting exposure, separate from the amount of income tax due.

For the Israeli owner, the Tax Authority’s 2025 individual annual-return resources include Form 150 for foreign-company shareholdings. Ask the Israeli preparer which ownership disclosures and income schedules apply to your facts and the relevant filing year. Do not treat a US preparer’s completion email as proof that the Israel-side reporting has also been addressed.

Plan the EIN application around real eligibility. The current IRS Form SS-4 instructions provide international telephone, fax and mail routes; an applicant without a US legal residence, principal place of business, or principal office or agency cannot use the online application. The online route also requires the specified valid taxpayer identification number. The IRS issues EINs without a government application fee; separately identify any adviser’s preparation fee. Keep the assignment notice with the state acceptance and governance records.

As verified on October 26, 2026, FinCEN’s current BOI notice states that US-created companies are exempt under the final rule effective August 14, 2026. A company formed under Israeli law and registered in a US jurisdiction can fall into the remaining foreign reporting-company category unless exempt. Ownership by an Israeli person does not turn a US-created subsidiary into that foreign-law entity. BOI status does not replace IRS reporting or an account provider’s ownership checks.

Before relying on a bank or payment account, ask the intended provider to confirm its current country, entity and activity eligibility and the evidence it will accept. Prepare the ownership chain, identification, business explanation and address evidence it requests. A formation certificate and EIN are useful inputs; they do not guarantee approval, remote onboarding or continued account access. Keep an alternative payment plan until the provider has approved the actual business.

Release the filing instructions when the owner and classification are agreed, then track separate receipts for state acceptance, EIN assignment, any foreign qualification, tax registrations, licences and account approval. Company formation does not confer permission to work in the United States. If a founder plans to relocate or perform work there, obtain the relevant immigration advice before scheduling that work.

Approve the Israel–US structure in the right order

First settle the economic owner and reconcile the US and Israeli tax treatments. Next obtain any real investor requirement and match the formation state to the planned operating footprint. Then authorize the filing, with a named person responsible for every first-year reporting task. Preserve the assumptions alongside the instruction so a future hire, financing round or ownership change prompts a targeted review.

The minimum decision record is a single agreed statement naming the owner, state-law entity, US tax classification, formation state, expected qualification states and unresolved launch approvals. Attach the tax adviser’s conclusion and the supporting business facts. If the Israel-side treatment is unresolved, or the proposed documents describe a business location you cannot substantiate, resolve that gap before committing to the structure. A completed decision record gives the filing team a defensible instruction and gives you a clear basis for revisiting it.

Turn the decision into filing instructions

Use the agreed owner, tax classification and state choices to scope formation, EIN coordination and the first compliance calendar, with separate advisers assigned where needed.

Frequently asked questions

Does being an Israeli citizen establish the tax assumptions used here?

No. Establish each founder’s actual tax residence and any US citizenship or tax status. A passport and an address do not answer all residence or shareholder-eligibility questions; give the advisers the full facts before they model the structure.

Must an Israeli company be placed above a new US business?

That is an ownership decision, not an automatic formation requirement. Compare the commercial purpose and tax consequences of personal ownership with an Israeli parent. Existing contracts, assets, investors and corporate approvals can change the choice.

Should customer requests decide the formation state?

Ask the customer to distinguish a US contracting entity, an EIN, a particular governing law and an actual state registration requirement. Obtain the requested condition in writing before treating a procurement preference as a legal filing instruction.

Can the company be described as US-based while all work remains in Israel?

Describe the actual facts consistently in contracts, tax filings and account applications. A US entity can have cross-border operations, but its registration should not be used as proof of personnel, workspace or management facts that do not exist.

What should a quotation show after the entity and state are selected?

Request separate one-time filing and preparation charges, recurring agent or address charges, annual state obligations, and tax or accounting work. Specify included states, renewal terms and third-party charges; keep taxes and any bank deposit separate from professional service fees.
