KENYA FOUNDER PLANNING
US Company Setup for Founders in Kenya: Entity and State Choices
Match ownership and financing to a US entity, then justify the state against where the business will actually operate.
Choose the ownership and financing model before shopping for a US formation state. For founders working from Kenya, an LLC can suit an owner-led business, while a corporation deserves consideration when the financing plan calls for corporate shares. A real US operating location can outweigh either Delaware or Wyoming as the practical state choice. First establish who will own the company, where management and work occur, and what an investor actually requires.
Key takeaways
- A Kenya address or passport does not settle either personal tax residence or the tax residence of the proposed US company.
- An LLC’s legal form and its federal tax classification are separate decisions; a second owner can change the default classification.
- Ask investors for their entity, jurisdiction and equity requirements before treating a future funding round as a reason to incorporate.
- The ordinary LLC filing-fee gap is USD 10 between Wyoming and Delaware; recurring state charges make a much larger difference.
- Record Kenya management, work and intercompany payments before approving the ownership chain or moving startup funds.
Start with the commitments the US entity must support
The useful starting point is a short commercial brief, not a list of cheap states. Identify the contract the US company must sign, the assets it must own and the money it must receive. If those needs can already be met through the Kenyan business, establish what a separate US entity adds before accepting another compliance budget.
Use three commitments to narrow the design. They are planning questions rather than legal eligibility tests:
- Ownership: name every proposed owner and percentage, including whether the owner will be you personally or an existing Kenyan company. Resolve an expected co-founder stake before filing.
- Capital: distinguish founder cash, a documented shareholder loan and an investor subscribing for equity. “We may raise money someday” is weaker evidence than a term sheet specifying the issuer and share rights.
- Operations: list the people, premises, inventory and decision-makers expected during the next twelve months. Record planned US activity even if it starts after formation.
A completed brief should make one sentence possible: “This entity will own these assets, contract with these customers and be funded by these identified owners.” If that sentence changes when the accountant or co-founder reads it, pause the filing. A name reservation or formation certificate will not resolve the disagreement.
Check the ownership design before filing
Bring the proposed owners, financing terms and operating brief so the entity recommendation can address the business you intend to build.
Choose an LLC or corporation using ownership and funding
Use an LLC as a candidate for a closely held business with a manageable ownership agreement. Consider a corporation when the actual equity design calls for corporate shares, a board structure and investment documents built around that form. This is a commercial screening recommendation; neither the founder’s nationality nor a hoped-for bank account determines the answer.
| Commitment being tested | LLC candidate | Corporation candidate | Evidence to obtain |
|---|---|---|---|
| Founder-controlled operating business | Owners can agree management, profit and exit terms. | A separate corporate framework serves a concrete commercial need. | Ownership schedule and expected cash withdrawals. |
| More than one founder | An operating agreement can address voting, deadlock and departures. | The team wants share ownership and corporate governance from the outset. | Written vesting, control and departure decisions. |
| External equity round | The proposed investor confirms that LLC membership is acceptable. | The proposed investor specifies corporate shares or a corporation issuer. | Investor requirements, rather than a generic startup convention. |
| Existing Kenyan business involved | The intended member and business boundary are explicit. | The proposed shareholder and any subsidiary relationship are explicit. | A group ownership chart and an asset/contract allocation. |
The IRS classification rules treat a domestic single-member LLC as disregarded for federal income tax by default and a domestic LLC with at least two members as a partnership by default, unless an election changes the treatment. A corporate tax election does not itself turn a state-law LLC into a corporation with shares. Ask for separate recommendations on legal form and tax treatment.
A C corporation pays income tax on its profits, and a dividend can create another tax layer for the shareholder, as the SBA’s structure comparison explains. Compare expected profit retained in the company with money paid out to owners. Neither a pass-through label nor incorporation in a low-fee state establishes a zero-tax result. Have the US and Kenya advisers model the same cash flows before accepting a tax-based recommendation.
S corporation status is not a default foreign-founder option. The IRS shareholder restrictions exclude nonresident alien shareholders and corporate shareholders. “Founder in Kenya” does not establish US tax status, so confirm the actual owner’s status before discussing that election.
Test the Kenya consequences before selecting a tax default
Kenya must remain on the operating map when founders continue managing or delivering work there. KRA’s residence definitions distinguish an individual’s home and presence tests from a company’s incorporation or management-and-control tests. A US incorporation certificate alone therefore does not settle a company’s Kenyan residence analysis. The effect on a particular US LLC also requires Kenyan advice on how that entity is characterized locally.
Separately, KRA’s foreign-income guidance describes Kenya as source based, with exceptions including business carried on partly in Kenya and partly outside Kenya and certain foreign employment income of resident individuals. A US customer and a US account do not establish where the business income is taxable. Identify the actual work and contracting arrangements instead of classifying revenue by the payment currency.
Separate the residence file from the operating file
Give the Kenya adviser two short records. The residence record should explain the founder’s home and presence and where the company’s management decisions will actually be made. The operating record should identify who performs services, who owns intellectual property, which entity invoices customers and which entity pays the Kenyan team. These are evidence prompts, not a claim that one board minute or one invoice decides the tax result.
Then test the proposed ownership chain. Personal ownership, ownership by a Kenyan company and a US company purchasing services from a Kenyan business are different arrangements. Ask the adviser to identify the relevant taxpayer, characterize each payment and confirm local reporting before you transfer existing contracts or intellectual property. Do not assume that the IRS treatment of an LLC automatically carries into Kenya.
The selection becomes easier once those records exist: compare an LLC and corporation using the same activity and cash-flow assumptions . Changing the assumed location of management between the two models would produce a misleading comparison. The diagram keeps the commercial choice and the Kenya review connected before the state shortlist is approved.
Place the company where the operating map justifies it
Start the state decision with the expected US footprint. Where an office, employee or other substantial business activity is planned, examine that state’s formation or foreign-qualification rules before comparing a remote formation state. The SBA’s registration guidance explains that an entity may form in one state and need qualification in other states where it is active, with continuing obligations in more than one place.
If there is no planned US operating location, compare Delaware and Wyoming as candidates rather than treating either as a universal answer. Ask whether a specific investor or transaction needs Delaware, whether the selected entity can be maintained within budget and who will handle the recurring filings. A registered agent receives legal and official papers; its address is not evidence that your commercial team works in that state.
- Known US operating state: price formation there against formation elsewhere plus qualification there. Use that state’s actual requirements before deciding.
- Kenya-led business with no identified US premises or staff: compare the shortlist on legal needs and recurring administration; revisit the map when operations change.
- Investor specifies a Delaware corporation: verify the requirement, then test the separate obligations created by every real operating location. Investor preference does not erase them.
Tax nexus and permission to conduct business are separate questions. Do not assume that avoiding foreign qualification also resolves income, franchise, sales or payroll tax. A state comparison beyond filing charges should use the same operating facts for each candidate and include the cost of any additional registrations.
Resolve the operating-state question
Bring the planned offices, employees and inventory locations so the formation shortlist can account for additional registrations and recurring work.
Price the state decision over more than the filing day
For a domestic LLC with no second-state registration in this limited comparison, the recurring state charge creates a much larger difference than the initial filing fee. The following USD figures were checked on November 5, 2026. They compare government formation charges and ordinary recurring LLC obligations; they are not a quote for a fully operational business.
| LLC formation state | Ordinary formation fee | Recurring state obligation | Meaning for the choice |
|---|---|---|---|
| Wyoming | USD 100 for Articles of Organization. | Annual report licence tax: at least USD 60; otherwise USD 0.0002 per dollar of assets located and employed in Wyoming, if greater. | A lower government-fee floor does not determine Kenya treatment or remove another state’s obligations. |
| Delaware | USD 110 for the domestic Certificate of Formation. | USD 400 annual LLC tax for tax years beginning January 1, 2026; due June 1 after the tax year. | Use the current tax-year amount, rather than the older USD 300 figure still found in some summaries. |
Sources: Wyoming’s July 2026 fee schedule , Delaware’s August 2026 filing schedule and Delaware’s current LLC tax statute . Delaware’s annual tax is not prorated: an LLC formed on November 5, 2026 ordinarily owes its 2026 charge by June 1, 2027. This LLC calculation must not be reused for a corporation’s franchise-tax and reporting budget.
A simple two-horizon screen makes the recurring effect visible. Formation plus one minimum annual charge is USD 160 in Wyoming (100 + 60) versus USD 510 in Delaware (110 + 400). Formation plus two such annual charges is USD 220 versus USD 910. These are defined government-fee baskets, not “first-year total cost”; the payment dates differ and Wyoming’s asset-based amount may exceed the minimum.
Add registered agent service, any commercial address, bookkeeping, US and Kenya tax advice, return preparation, licences and additional-state fees as separate lines. Certified copies, expedited service and transaction charges are excluded above. Capital contributed to the company is also separate. Obtain a written professional-fee quote with its scope, renewal cycle and applicable invoice taxes rather than attaching an unsupported package price to the state fee.
Turn the selected pair into a filing instruction
Approve a written filing instruction before submitting the state document. For an LLC, that instruction identifies the members, manager or management arrangement and operating-agreement decisions. For a corporation, it identifies the intended shareholders, directors and share design for the incorporation documents. State acceptance establishes the filed entity; it does not establish that every tax, licence or account requirement is complete.
The underlying US company formation requirements belong in this instruction alongside the selected state and legal form. Keep the state filing, internal ownership documents and tax classification aligned, then assign the downstream work rather than letting the filing service decide the tax model implicitly.
Match the first funding movement to its owner
Keep a funding record naming the legal sender, recipient, amount, date and intended character: capital, loan or payment for an identified transaction. If a Kenyan company is the owner but the founder pays personally, resolve how the books will reflect that mismatch before the transfer. This is an accounting-control recommendation; a bank’s document requests and permission to process a transfer remain its own decision.
For a wholly foreign-owned US disregarded entity, owner funding is not outside the reporting analysis . The IRS Form 5472 instructions include formation-related contributions and distributions among its reportable transactions. A required filing uses Form 5472 attached to a pro forma Form 1120, by the applicable return deadline including extensions. A 25% foreign-owned US corporation also needs the related-party reporting test; changing legal form does not make that question disappear.
- State filing owner: retain the accepted formation document and state file number; resolve a rejection before treating the company as formed.
- Governance owner: retain the signed operating agreement or corporate approvals and the agreed ownership record.
- Tax owner: confirm the actual classification, first reporting year, applicable returns, deadlines and responsibility for related-party records.
- Operations owner: confirm any additional-state registration, local licensing, employment and tax accounts before the relevant activity starts.
As checked on November 5, 2026, FinCEN’s current BOI notice exempts US-created companies from BOI reporting. Keep that rule separate from IRS information returns and bank ownership checks. A Kenyan legal entity registering itself in the US presents a different BOI question from forming a new US subsidiary; do not substitute the domestic-company exemption for an assessment of that route.
Avoid promising a single completion date for this package of work. State acceptance, EIN issuance, licence approvals and bank or payment-provider approval are distinct events. Attach the relevant receipt or confirmation to each assigned task. If a filing is accepted but the governance or tax instruction remains unresolved, fix that gap before commencing the affected transactions.
Approve the entity–state pair when the trade-offs are recorded
Proceed when the ownership schedule, financing requirement, Kenya tax review and US operating map support the same entity–state pair. The written decision should name the rejected alternative and the specific fact that made it less suitable. That prevents a low filing fee or an unsupported “investor-friendly” label from becoming the entire rationale.
Hold the filing if the owners disagree, the Kenya treatment depends on an untested assumption, or the selected state creates an additional registration that nobody has budgeted. Reopen the decision when a real funding term, new owner or operating location changes the facts. Approval means the design is ready to implement; each downstream filing or external approval still needs its own completion evidence.
Put the agreed entity and state into instructions
Bring the documented choice and unresolved items so the formation work can start with clear owners, boundaries and deliverables.
Frequently asked questions
Should I wait until an investor has signed a term sheet?
You can prepare the ownership and operating analysis earlier. Before paying to implement a structure chosen specifically for funding, obtain the investor’s actual entity and jurisdiction requirements. A vague plan to raise capital is not a substitute for those requirements.
Can my co-founder join after I form a single-member LLC?
That is a change to review before admission. It can affect the ownership agreement and the LLC’s default federal tax classification. Do not keep using a single-owner compliance plan after adding another member.
Does a Delaware registered agent make management US based?
An agent’s statutory role does not establish where commercial management occurs. Keep the records of who actually makes decisions and where, and give those facts to the Kenya adviser.
Must I transfer my Kenyan business into the US company?
A new US entity does not itself decide which existing contracts or assets it should receive. Separate the new activity from any proposed transfer, then assess the commercial documents and tax consequences before moving assets or rewriting customer agreements.
Does the state-fee comparison cover tax-return preparation?
No. The illustrated baskets contain only the stated formation and annual state charges. Return preparation, agent service, tax advice and other operating costs need separate scope and pricing.
