US Company Setup for Founders in South Korea: Entity and State Choices

Evaluate the investor, US footprint and recurring work together before authorizing formation.

A South Korean founder should choose a US entity and state from the planned business, financing and ownership facts. Test an LLC for membership-based ownership or a C corporation for a stock-based plan, then assess the actual US operating state before adding another formation jurisdiction. Neither Wyoming nor Delaware removes Korean investor obligations or duties in other states.

The decisive question is whether the structure can be maintained across the US entity, any operating state and the Korean investor. Settle the legal owner and funding route before comparing the first formation invoice.

Key takeaways

  • Investor identity controls which ownership, authority and funding records the formation instruction needs.
  • An operating-state obligation can survive a formation in another state.
  • State annual costs depend on both the jurisdiction and entity, rather than a national renewal price.
  • An LLC’s US classification does not settle its Korean treatment or an owner’s tax position.
  • Korean investment reporting, account disclosure and US returns require separate evidence and owners.

Identify the Korean investor before evaluating the US label

Choose who will legally hold the US interest: the founder personally, several founders or an existing Korean company. Record who contributes the money, who controls decisions and who will receive distributions. If the intended investor and actual payer differ, resolve the reason and documentation before filing. A convenient name on an organizer form is not a substitute for the real ownership plan.

For a Korean corporate investor, verify the investment authorization, permitted signer, corporate existence records and ownership chain. For a personal investor, establish the person’s tax and foreign-exchange status rather than assuming a passport settles both. The legal investor must match the funding instruction. This connection affects later bank evidence, related-party accounting and Korea-side reporting, regardless of which state issues the certificate.

The Bank of Korea’s foreign-exchange framework gives designated banks an important role in overseas direct investment. Ask the handling bank to identify the filing route, documents, exceptions and continuing reports for the proposed instrument before funds move. If the Korean parent lends money as well as subscribing capital, record the two transactions separately; an LLC membership document does not explain every later payment.

This planning route covers an ordinary new US LLC or for-profit corporation. A regulated financial activity, direct registration of the Korean company, immigration plan or complex group restructuring needs a different scope. Identify those triggers before comparing promotional formation prices, because they can change both the entity and the responsible authority.

Settle the investor identity

Align the intended legal owner, payer and instrument before the structure is selected.

Compare states through an obligation ledger

The most useful state is the one supported by the operating facts and governance needs after its recurring work is included. A business operating in one US state should first test forming there. A company without a fixed US operating state can compare a limited shortlist, including Wyoming for an LLC or Delaware where a corporate financing plan supports it. The entries below are decision prompts, not a nationwide best-state ranking.

Location or route What creates the obligation Recurring evidence or charge Selection test
Actual US operating state Staff, premises, stock, authority or other relevant activity State-specific registration, tax, payroll and licensing review Does forming elsewhere add another layer?
Wyoming LLC Formation or qualification there Annual report; licence tax at least USD 60 Does the LLC fit ownership and real activity?
Delaware LLC Delaware formation USD 400 annual tax for 2026, generally due June 1 the following year Does its governance value justify maintenance?
Delaware corporation Delaware incorporation Annual report and calculated franchise tax, generally due March 1 Do investor or governance requirements support corporate stock?
Korean investor location Owner residence, investment and transaction facts Korean tax, foreign-exchange and applicable disclosure review Can the chosen cash flows be administered in Korea?

The Wyoming annual-report instructions calculate the licence tax as the greater of USD 60 or 0.0002 times assets located and employed in Wyoming. The report is due on the first day of the anniversary month. Delaware’s current LLC tax instructions distinguishes its LLC annual tax from corporate reporting. These amounts were checked October 28, 2026 and exclude professional work, agents, other states and actual operating taxes.

The SBA’s foreign-qualification explanation describes how a US company can be domestic in its formation state and foreign in another state where it operates. Korean ownership is a separate use of the word foreign. Formation jurisdiction does not define the entire compliance footprint. Track registration and tax nexus separately rather than assuming that absence of one obligation removes the other.

A Delaware corporation’s franchise tax depends on its authorized shares or assumed par value capital calculation. The state’s corporation tax instructions give minimums of USD 175 and USD 400 respectively, plus a USD 50 non-exempt domestic annual-report fee. These are method-dependent minimums, not two interchangeable all-in annual prices. Model the proposed capital structure instead of pricing a startup solely from the lowest displayed minimum.

Test entity fit against control, investment and withdrawals

Use an LLC when its membership and management arrangements solve the actual business problem, subject to the tax review. Use a corporation when shares, board governance or a financing requirement justify that structure. A personal services business and a startup issuing investor stock do not have the same acceptance criteria. Write the intended ownership instrument into the decision record before asking an agent to prepare forms.

Under IRS LLC classification guidance , a domestic one-member LLC normally defaults to disregarded treatment and a domestic multi-member LLC normally defaults to partnership treatment, with eligible elections possible. A state-law LLC can therefore have different federal tax positions. Member count and tax elections must be recorded alongside the legal entity, not left as an assumption in the preparer’s file.

A C corporation introduces a separate corporate taxpayer and a corporate ownership and authority record. Compare the cost of returns, retained earnings, payments to the owner and eventual distributions with the LLC alternative. The outcome also depends on Korean treatment; the United States does not determine whether Korea views the entity or a payment in the same way. Ask both advisers to analyze the same hypothetical cash flows.

For a founder who is a nonresident alien for US tax purposes, S corporation status is not an available default. IRS S corporation requirements also limit the types of shareholders. Do not confuse “founder lives in Korea” with a completed tax-residence determination, but do reject a proposal that assumes S eligibility without checking ownership. The corporate financing and Delaware governance tradeoffs are a useful extension where an investor’s required stock instrument drives the structure.

State maintenance is only one layer Wyoming and Delaware maintenance tracks converge with actual operating-state duties and Korean investor reporting. Check Korean tax and account disclosure without conflating them

Korea-side review should identify the owner’s residence and tax status, the treatment of the US entity, income recognition and possible relief for foreign tax. NTS guidance on resident and nonresident taxation describes the general worldwide-income scope for residents and Korean-source scope for nonresidents. Special rules can affect particular foreign residents. A US formation certificate is not a conclusion on those categories or on a particular distribution.

Foreign-account disclosure is a different obligation. The NTS 2026 overseas-account reporting notice explains the test for relevant Korean residents and domestic corporations where aggregate overseas financial-account balances exceed KRW 500 million on any month-end during the reporting year, subject to exemptions. Reporting generally occurs in June of the following year. This is not simply a December 31 balance test or a threshold applied separately to each account.

Do not automatically treat every US subsidiary account as the individual shareholder’s personal account. Ask the Korean adviser to apply the holder, beneficial-ownership, joint-account and exemption rules to the actual structure. Keep the account holder distinct from the investor. The ownership chart, account mandate and funding ledger provide the facts; a generic statement that “foreign companies are exempt” does not.

For a capital contribution or loan, obtain the designated bank’s instructions for any applicable pre-transaction filing and post-investment reports. Keep those instructions apart from the tax-return and overseas-account assessment. If one adviser handles only tax, assign the investment-reporting work to another identified party rather than assuming it is included.

Check the two-country obligation map

Identify which US and Korean filings follow the real entity, account and activity facts.

Implement the chosen structure with explicit acceptance points

A complete filing instruction should give the entity, state, approved name, agent, address purposes, owners and authorized signer. For an LLC, settle management and admission terms in its agreement; for a corporation, settle charter, director and officer arrangements and the intended share record with appropriate advice. The instruction should specify which facts the provider may enter and which substantive decisions require owner approval.

For a Wyoming LLC, follow the official business-search and WyoBiz or paper Articles route, obtain agent consent, review the current form and pay the applicable government charge. The formation instructions state a USD 100 fee. For Delaware, use its entity-specific certificate and Document Filing and Certificate Request Service or permitted mail submission, with the fee appropriate to the document. A payment receipt proves payment, not acceptance.

The ordinary US company formation requirements create the entity foundation. Retain the accepted state document and identifier, reconcile the legal name, then execute governance and ownership actions. Correct a registry discrepancy through the appropriate state process before using the record for the EIN or banking. The internal owner record should reflect who actually funded and holds the interest.

Apply for the EIN using the IRS SS-4 route appropriate to the applicant’s actual US presence and identifiers. The IRS does not charge for assignment; a coordinator’s work is a separate service. International phone, fax or mail routes and their estimates are not a promise of an operational company by a fixed date. Keep banking, licences, tax accounts and any employment permission as separate decisions with their own evidence.

Approve the recurring scope before comparing setup quotes

Ask for a written maintenance schedule showing state reports and taxes, agent renewal, address handling, bookkeeping, federal returns, Korean advice and any other-state work. Separate professional charges from government fees, actual taxes and capital. State whether the quote covers one owner or several, one state or more, and which tax classification the return scope assumes. Unpriced obligations should remain visible rather than being absorbed into a vague renewal amount.

A foreign-owned disregarded entity can have Form 5472 and pro forma Form 1120 requirements for reportable related-party transactions. A 25%-foreign-owned corporation can also have Form 5472 duties when the applicable transaction tests are met. The IRS reporting instructions prescribe the relevant filing positions and initial USD 25,000 failure penalty. Give the preparer the contribution, loan, expense and distribution records from inception.

Under FinCEN’s current BOI regime , entities created under US law are exempt, while certain foreign-law entities registered to do business in the US remain in scope. That state of the BOI rules does not remove Korean investment reporting, foreign-account analysis, bank ownership checks or IRS returns. Different obligations need different completion evidence. Put the responsible person and proof of completion beside each calendar entry.

Approve the Korean founder’s entity and state as one workable plan

Proceed when the legal investor, funding route, financing instrument and US footprint support the chosen LLC or corporation, and the recurring obligations have owners. A founder without fixed US operations should compare a short, evidenced state list. A founder with a real operating state should include the cost of any additional formation jurisdiction rather than treating it as an automatic saving.

Stop if the plan assumes an unavailable S election, confuses the account holder with the investor or leaves a required Korean investment procedure unresolved. Resolve those inputs before accepting a certificate as the end of the project. The company should be chosen because the whole plan can be administered, not because one state has the most attractive first invoice.

Approve the complete structure

Bring the state decision, financing requirements and maintenance scope into one instruction.

Frequently asked questions

Is the Korean foreign-account threshold tested only at year-end?

No. The cited NTS notice uses aggregate balances at month-end during the reporting year, with relevant taxpayer and exemption rules. Do not substitute one December balance.

Can a Korean company own the US entity instead of its founder?

Often that is a route to assess, but it needs corporate authority, an ownership chain and a matching investment and tax review. It is a different instruction from personal ownership.

Does using Delaware mean all activity is taxed only there?

No. Actual activity, income and nexus can create obligations elsewhere. Establish the relevant state and tax tests for the proposed operations.

Should a future investment round determine today’s entity automatically?

Ask whether the anticipated investor requirements are real and sufficiently defined. Compare the consequences of forming for those requirements now with a later restructuring; do not assume either path is costless.
