Applicant and role eligibility

Who Can Register a Company in the Philippines? Eligibility Checks

Check who may incorporate, which ownership conditions apply, and whether the proposed officers can actually serve.

Individuals of legal age and eligible legal entities can form Philippine corporations; foreign investors may also participate where the activity and investment rules allow. The right route depends on who will own the company, what it will do, and whether the proposed ownership, capital and officers satisfy the applicable conditions.

Start with those facts before reserving a structure. A person eligible to own shares may still be unsuitable for a particular corporate office, while a foreign founder’s permission to work locally requires a separate check.

Key takeaways

  • Separate the incorporator, shareholder, beneficial owner and officer roles before deciding who signs or serves.
  • A corporate parent cannot use an OPC simply because it will be the only proposed investor.
  • Foreign participation depends on the actual activity, the current negative list and any applicable special law.
  • General corporate capital rules do not remove conditional foreign-investment or sector capital requirements.
  • A filing-channel restriction and a personal work-permission issue require different solutions.

Match the applicant to an incorporation route

An incorporator is an original participant named in the articles who signs to form the corporation. A shareholder holds shares; a beneficial owner is the individual ultimately behind an ownership or control arrangement. These labels answer different questions. Start an applicant record with the proposed legal owner, the person authorised to sign, and the individuals behind any corporate ownership chain.

Under sections 5 and 10 of the Revised Corporation Code , incorporators may include persons, partnerships, associations and corporations. Natural persons must be of legal age, and each stock-corporation incorporator must own or subscribe to at least one share. A standard corporation uses multiple incorporators, up to fifteen; a single-stockholder proposal must satisfy the OPC rules.

For a juridical incorporator, establish its existence and authority for the investment and signatory. The authorised signatory is not automatically the shareholder. Keep the entity’s name consistent across the ownership chart, subscription information and supporting authority; an individual signing for a parent should not accidentally be recorded as investing personally.

The broader Philippines company registration service scope includes reviewing activity and foreign participation before coordinating a filing route. This eligibility review comes before a complete application or an operating-permit assessment. This article concerns corporations; a sole proprietorship is a separate form, rather than another name for an OPC.

Use an OPC only when its owner qualifies

The single-stockholder option is restricted to a natural person, trust or estate . An existing corporation or partnership does not become an eligible OPC owner by appointing a human representative. For a trust or estate, identify the relevant fiduciary and the authority to act; do not treat the word “trust” as permission for any trust business to register an OPC.

The OPC provisions in sections 116–124 also exclude specified categories, including banks, quasi-banks, preneed, trust and insurance companies, public and publicly listed companies, and non-chartered government-owned or controlled corporations. Professional practice has its own special-law exception; a licensed professional should verify the permitted practice structure before using a corporation for that activity.

An otherwise eligible foreign individual must still pass the activity and investment tests below. Plan the OPC’s nominee and alternate nominee arrangements as part of the structure, rather than assuming one owner means no other people are involved. For a corporate parent, reopen the entity choice instead of inserting a representative’s personal name merely to fit the OPC category.

Check the proposed owner before choosing the form

Identify whether the applicant is investing personally, through a legal entity, or for a trust or estate, then assess the available incorporation route.

Test the actual activity before the shareholding

Foreign-owned does not mean foreign-incorporated. A corporation formed under Philippine law is a domestic corporation even when foreign investors hold its shares. An existing overseas corporation seeking its own Philippine licence follows the foreign-corporation framework in sections 140–143 of the Code . Choose which entity will contract with customers before treating these as interchangeable applications.

Executive Order No. 113 of 13 April 2026 promulgated the 13th Regular Foreign Investment Negative List. The order reserves the listed activities subject to their stated conditions and exceptions. Use its applicable annex entry and underlying law for the proposed activity; neither the order’s title nor an old ownership summary establishes a particular investor’s permitted percentage.

Write the commercial activity precisely: what will be supplied, to whom, and whether the company will undertake a regulated function. Then record the ownership restriction, exception or regulator referral that follows. A broad description such as “services” can hide the fact that one revenue line requires a different analysis. Assess additional activities separately when they change the rule.

The result should be a reasoned ownership position, not a borrowed percentage. If an entry requires Philippine participation, identify who will genuinely hold and exercise the relevant rights. Do not use a nominal local owner as a substitute for establishing a lawful structure. The next check is whether the proposed capital supports that same activity and market classification.

Choose the owner route before checking activity conditions The proposed owner divides into individual, trust or estate and corporate or partnership paths. The first path may use an OPC if permitted; the second needs another eligible structure. Both still require activity and capital checks. Who will own the shares? Individual, trust or estate Corporation or partnership OPC may fit Check exclusions OPC unavailable Reconsider structure Then check activity, nationality and capital
Owner category determines whether the OPC route is available. It does not settle the activity, nationality or capital conditions that must still be assessed.

Apply the capital test to the right business

Separate general corporate capital rules from foreign-investment and sector requirements. Code sections 12 and 117 do not create a universal exemption from other capital rules. Record which law supplies the amount, which capital measure it uses, and why it applies to this business.

Under RA 11647’s amendments to the Foreign Investments Act , micro and small domestic-market enterprises below US$200,000 in paid-in equity are reserved to Philippine nationals, subject to the statutory qualifications. The US$100,000 alternative requires DOST-determined advanced technology, qualifying startup or startup-enabler endorsement, or a majority of direct employees being Filipino with at least fifteen Filipino employees.

These are conditional investment thresholds, rather than registration fees. Do not apply them universally to export enterprises or activities governed by special legislation. A proposed export model needs its own classification and continuing-compliance review; an international customer alone does not establish the result. Where an exception is essential, identify the evidence and responsible authority before relying on the lower amount. Keep the capital calculation distinct from the cash needed to launch.

Choose officers independently of owners

An ownership chart is not an officer appointment plan. Under section 24 of the Code , the president must be a director, the treasurer must be resident, and the corporate secretary must be both a Philippine citizen and resident. Normally, the president cannot simultaneously be secretary or treasurer. Review section 26 disqualifications and any additional sector qualifications when assessing the proposed people.

For an OPC, the single stockholder is the sole director and president. That stockholder cannot be corporate secretary; self-appointment as treasurer carries the Code’s bond and undertaking requirements. These distinctions matter particularly when the owner lives abroad and expects to occupy every role personally.

Prepare a separate row for each office, with the person’s capacity, relevant qualification and evidence still needed. Residence and citizenship are different tests. Do not infer either from a passport copy alone or use a local address as a substitute for checking the applicable requirement. Where the same person is proposed for multiple positions, review the combination as well as each individual appointment.

This review should resolve a staffing decision: confirm the candidate, replace the candidate, or obtain specialist advice on a specific rule. Leaving an officer field blank is a preparation issue; entering a person who cannot lawfully hold the office creates a different problem.

Resolve the ownership and officer gaps together

Bring the activity description, ownership chart, capital position and proposed officers so the unresolved eligibility questions can be scoped.

Complete an applicant-by-role eligibility card

Use this eligibility card as a working decision record. It combines the incorporation, investment, officer and portal rules above; the result labels are a planning method, not an SEC classification. Mark a row “supported” only when its facts and evidence agree. “Unresolved” means identify the missing proof; “change required” means revise the structure or appointment before filing.

Check Evidence to match Result that changes the next action
Applicant capacity Individual identity or entity existence and signatory authority Unresolved authority: establish who owns and who signs.
Single-owner form Owner category and proposed OPC activity Ineligible owner or activity: reopen the entity choice.
Nationality position Precise activities, ownership chain and applicable restriction Unresolved restriction: obtain an activity-specific conclusion.
Capital position Applicable rule, calculation and exception evidence Unsupported exception: revise the capital plan or evidence.
Officer suitability Named candidates and role-specific qualifications Failed qualification: change the appointment.
Filing channel Applicant facts against live channel conditions Channel mismatch: select another applicable SEC route.
Personal work status Actual Philippine duties and relevant permission Unresolved permission: plan work authorisation separately.

Give every unresolved row an owner and a specific question. For example, ask which entity approved an investment or which activity triggers a restriction; “check compliance” is too broad to close. For a transferable evidence method, see matching eligibility claims to supporting evidence . That global guide helps organise proof; it does not supply Philippine eligibility law or replace the sources linked here.

Keep filing access and permission to work separate

Passing the legal-form test does not mean every SEC channel is available. The current OneSEC ZERO conditions require natural-person incorporators, directors and subscribers, alongside other conditions covering purpose, shares, payment and endorsements. The terms also contain criminal-case and sanctions declarations. A juridical incorporator or another channel mismatch may require the applicable Regular route; do not turn a streamlined-channel condition into a universal ban on incorporation.

The SEC eSPARC homepage describes remote authentication through eSECURE and eSAP. Establish who needs a credentialed account and who can authenticate in the capacity being claimed. Remote signing helps with submission logistics; it does not repair an impermissible ownership arrangement or prove that a representative has authority.

A foreign founder who will actually work in the Philippines also needs a separate labour and immigration assessment. The Supreme Court’s discussion in Rouche v. French Chamber distinguishes an Alien Employment Permit from the relevant working visa. Check the current route and any applicable exemption or exclusion against the real duties and immigration status before the person starts work; share ownership alone does not answer that question.

Keep remote investment, officer appointment and physical work as three separate facts in the file. The global articles below support remote-document and launch planning; they do not determine Philippine legal qualifications.

Resolve the failed eligibility check before filing

Proceed to application preparation when the proposed applicant and form fit, the activity supports the intended ownership and capital, and the officers can serve. Preserve the evidence behind each conclusion so the application reflects the structure actually agreed.

If a row requires a change, address that row first: reconsider the form for an ineligible OPC owner, obtain an activity-specific view for an uncertain nationality limit, or replace an unsuitable officer. A filing-channel problem calls for a route decision; a founder’s work-permission problem calls for a separate personal-permission plan. Recording the failed test makes the next action clear without treating every issue as a rejection of the whole investment.

Turn the eligibility card into a filing brief

Use the supported conclusions and outstanding evidence requests to define the preparation work before an application is submitted.

Frequently asked questions

Must I live in the Philippines to be an incorporator?

The general incorporator provision does not impose a blanket Philippine residence test. Specific officer, sector, authentication and personal work requirements still need their own review.

Can an overseas company be the sole owner of an OPC?

A corporation is outside the OPC owner categories. Assess an eligible domestic structure or the existing overseas company’s licensing route before preparing the application.

Does a pending case always prevent company registration?

Do not assume that. Statutory disqualifications and a filing channel’s declarations have different scope. Review the actual person, case, role and applicable SEC route rather than treating a channel condition as a universal rule.

Is US$200,000 the minimum for every foreign-owned company?

No. The Foreign Investments Act threshold has a defined domestic-market context and conditional alternatives. Export classification and special legislation require separate analysis.

Can registration eligibility be confirmed before all documents are assembled?

You can identify a plausible route early, but an unsupported fact remains unresolved. Record the evidence needed and who must provide or assess it before relying on the conclusion.
