WITHDRAW COMPANY APPLICATION / SINGAPORE FILING / TRANSACTION STAGE

Withdraw a Singapore Company Application: Stage and Filing Options

Choose a supported route from the actual Bizfile stage and preserve the final result.

You can withdraw a Singapore business-name application through ACRA’s published route before the name is approved. That rule does not establish a universal withdrawal procedure for every pending company incorporation, and it cannot cancel a company that already exists.

Check the transaction reference and latest official status first. The main risk is cancelling a provider engagement while assuming that an agency filing or incorporated entity has also disappeared.

Key takeaways

  • Separate a pending name from a submitted incorporation and a registered company.
  • The original lodger handles the published pending-name withdrawal using the same login.
  • The S$15 name fee is non-refundable under ACRA’s stated terms.
  • An endorsement lapse and a confirmed withdrawal are different outcomes.
  • Keep official status, service cancellation and refund questions on separate records.

Identify the transaction before requesting cancellation

The word “application” can refer to a name request, a draft incorporation, a submitted registration awaiting action or a company that is already incorporated. The remedy changes with that status. Retrieve the transaction reference, the applicant identity, payment record and latest agency message before telling a provider to cancel anything.

Actual stage What to check Appropriate direction
Name pending approval Name transaction and original lodger ACRA publishes a withdrawal route before approval.
Name already approved Approval date and reservation expiry Do not apply the pending-name withdrawal instructions automatically.
Incorporation submitted or pending action Endorsement, payment and agency review status Ask the lodger/ACRA about this specific transaction; no universal withdrawal button is asserted here.
Company incorporated Successful incorporation notice and UEN Review a company change or closure route, rather than application withdrawal.

A service-provider cancellation is not an ACRA transaction result. The company’s underlying Singapore company incorporation process may already have moved beyond the stage described in the provider’s email. Confirm the official position independently through the lodger’s records and Bizfile notices.

Which stage needs attention?

Locate the transaction reference and current status before instructing cancellation.

Use the published withdrawal route for an unapproved name

ACRA’s name-withdrawal instructions allow the original applicant to withdraw before name approval. Use the same Singpass or Corppass credentials as the original submission. Locate the correct name transaction in My transactions, review the details, select Withdraw and confirm. ACRA describes a confirmation message and a Bizfile inbox notification after successful withdrawal.

Keep the confirmation with the original reference and receipt. The name request will no longer be processed and the name becomes available for others to apply for. Withdrawal is therefore a real commercial decision if the brand matters. Confirm whether the instruction is to abandon the name or merely pause incorporation before the lodger submits it.

ACRA’s name application guidance lists the S$15 application fee as non-refundable if the application is withdrawn or rejected. That official fee is separate from any provider’s charge. Check the written service terms for work already performed, third-party disbursements and cancellation rights; do not promise that the whole setup payment will be refunded.

Handle a pending incorporation through the actual filing owner

For an incorporation that has already been submitted, obtain the exact status before choosing a response. A missing endorsement, an unpaid transaction and an agency query are not the same event. The online incorporation filing route helps identify whether the founder or a CSP controls the transaction. Where a CSP lodged it, send a clear instruction identifying the reference and intended outcome, and request the agency-confirmed route.

The published pending-name withdrawal route should not be presented as a universal incorporation withdrawal procedure. The official materials checked for this article do not establish such a general route for every submitted local-company registration state. Ask ACRA or the registered lodger what can be withdrawn, corrected or otherwise dealt with at the actual stage, and retain the response before relying on it.

ACRA’s new-registration endorsement guidance says endorsements and payment must be completed within 60 days or the application is rejected and requires resubmission. A lapse is not evidence that a voluntary withdrawal was processed. Do not use silence as the only record of a cancellation instruction; a party may still act on an earlier request while the founders assume the project has stopped.

Is the pending filing unclear?

Organise the lodger’s evidence and the agency question before a duplicate submission.

Deal with an approved name and an already formed company separately

An approved name is a reservation, not incorporation. ACRA’s name guidance describes using the transaction within the 120-day reservation period, after which it is released. Check the actual approval notice and expiry. If the name or entity type needs to change, ask the lodger which new application or other transaction is required; do not assume the old name request can be edited into a different structure.

If successful incorporation has already occurred, the legal entity exists even if the founders have not opened a bank account or started selling. Decide whether the problem is a wrong particular, a proposed change, or abandonment of the entity. A correction or change filing is different from closure. A company’s obligations do not disappear because a founder refers to it as an unused application.

Closure can involve strike-off where its conditions are met, or a different route requiring advice. Check the company’s assets, liabilities, tax and other matters with the current official guidance. Avoid moving directly from “we no longer want it” to an assertion that the company is dissolved. This article identifies that boundary; it does not provide a complete liquidation or strike-off procedure.

Preserve the instruction, money trail and final status

Build a short cancellation record with the decision date, authorised requester, transaction reference, current stage, intended outcome and agency response. Keep separate lines for official fees, provider fees, refundable deposits and future recurring services. Ending an incorporation engagement may not automatically end an address, secretary or director-support agreement.

Check downstream commitments before abandoning the file: preliminary supplier contracts, lease deposits, signed appointments, bank applications and name-dependent marketing. Decide who communicates the change and which records must remain available. Do not erase a submitted ownership or identity record to make it appear that no application ever existed; keep the appropriate evidence under the applicable retention and privacy rules.

For a genuine mistake in a draft, correct the source instructions before a new submission. For a disputed filed appointment or ownership instruction, obtain legal and agency guidance promptly. A second application using a different name may create a second problem without resolving the first transaction or the underlying authority dispute.

Close against the confirmed status, not the request email

The completion evidence must match the stage-specific outcome. For an eligible pending name request, retain the withdrawal confirmation. For a pending incorporation, retain ACRA’s or the lodger’s confirmed disposition. For an incorporated company, retain the appropriate correction, change or eventual closure evidence.

Do not call the company cancelled while the agency record still shows a live entity or unresolved transaction. If status, authority or refund entitlement is contested, separate those issues and assign each an owner. Resolve the official transaction and the private service contract on their own evidence.

Document the correct outcome

Coordinate the filing disposition and separate service-contract questions.

Frequently asked questions

Can I withdraw an unapproved name?

ACRA publishes a route for the original applicant to withdraw before approval.

Will the name fee be refunded?

ACRA states that the S$15 name application fee is non-refundable on withdrawal or rejection.

Does not endorsing equal a withdrawal?

No. An incomplete application can lapse or be rejected; that is not the same as confirmed withdrawal.

Can I withdraw after incorporation?

Once the company exists, examine an appropriate company change or closure route.

Does cancelling my agent cancel ACRA records?

No. Obtain the actual official transaction outcome separately.
