US LLC cost decisions
Are LLCs Free?
Read the zero-dollar claim against the government invoice and the continuing commitment.
LLCs are usually not free to establish and maintain. A provider may waive its own preparation fee, but that does not waive government charges: Florida lists USD $125 for a new LLC, while Colorado lists USD $50 for online Articles of Organization. A free federal Employer Identification Number (EIN) is a different item. Compare the total commitment, including later reports and services, before accepting a zero-dollar offer.
Key takeaways
- A USD $0 preparation offer describes one supplier charge; identify who pays the state filing amount.
- Colorado and Florida have different filing and recurring-report charges, so there is no single US LLC price.
- The IRS issues an EIN without a government fee; paid application assistance is a separate service.
- Audit agent renewals, optional extras and cancellation terms before authorizing payment.
- Keep taxes, local or sector licenses and working capital outside the formation-fee subtotal.
Are LLCs free when a provider charges zero?
A free LLC offer is meaningful only when it identifies the charge being waived. An organizer can prepare and submit a filing without charging for that work. The state may still collect a filing fee, and another supplier may charge for an address, registered-agent service or ongoing support. A waived provider fee does not establish a zero-cost LLC. Ask for a written breakdown instead of treating the advertisement as the invoice.
The IRS explanation of LLC status describes an LLC as a structure created under state law. It is therefore important to name the state and the filing route. There is no national government filing price that a commercial provider can apply to every LLC. Foreign ownership also does not, by itself, identify the correct formation state or the places where further registrations may be needed.
For a basic comparison, separate four buckets: government formation and report charges; professional preparation or coordination; third-party services; and taxes or operating funds. A free preparation line affects only its own bucket. Money contributed to the company is funding for the business, rather than a fee paid to establish it.
Compare government charges on the same basis
Compare one-time formation charges with one-time formation charges, then compare recurring obligations separately. The examples below are official USD amounts verified October 23, 2026. They are the listed government charges, without professional services, commercial agent services, optional documents or other business taxes. They are not complete launch budgets or tax-inclusive supplier quotations.
| Jurisdiction and item | Amount | Charging basis | Boundary |
|---|---|---|---|
| Colorado Articles of Organization | USD $50 | One online domestic formation filing | Government filing only |
| Colorado Periodic Report | USD $25 | Each report; annual obligation | Separate from formation |
| Florida new LLC | USD $125 | One formation: $100 filing + $25 agent designation fee | The $25 state fee is not a commercial agent subscription |
| Florida annual report | USD $138.75 | Each timely annual report | Late charges are excluded |
| California annual LLC tax | USD $800 | Annual tax for covered LLCs | Tax, rather than formation or service fee |
Colorado’s fee schedule supplies the filing and report amounts; its Periodic Report guidance confirms the yearly obligation. Florida’s LLC fee schedule separates the two compulsory formation components and the annual report. Do not add a second USD $25 state agent-designation fee to Florida’s USD $125 total; it is already included.
For California, the Franchise Tax Board’s LLC guidance generally requires the USD $800 annual tax when an LLC is organized or doing business there. The former first-year exemption covered tax years beginning in 2021–2023, not an ordinary new 2026 LLC. Specific exceptions, including qualifying short-form cancellation, need separate review. California can therefore add a tax obligation even when a formation advertisement emphasizes a small service charge.
Audit the zero-dollar offer line by line
Use an invoice audit to turn the headline into an approval decision. For every line, record the recipient, exact task, amount, payment date and whether it repeats. Mark an unconfirmed charge as unresolved rather than silently entering zero. This makes a missing price visible to the person approving the budget.
- Government pass-through: Confirm whether the filing amount is collected at checkout or paid separately. Match it to the official schedule and retain the authority’s payment evidence.
- Recurring service: Identify the agent or address supplier, the free period if any, the first renewal amount, automatic billing and the cancellation process. Do not confuse an annual supplier renewal with an annual state report.
- Optional work: Decline unwanted copies, expedited handling, templates or subscriptions before payment. Ask which deliverables remain available if the add-on is removed.
- Refund boundary: Separate the supplier’s refundable work from amounts already remitted to an authority. Read the actual terms instead of assuming that cancellation reverses every charge.
Ask who will receive state notices and who will file later reports. A reminder email is different from a paid filing service, and a filing service can still exclude the government fee. For the broader online purchase checks, use our online LLC formation and provider checks guide . Preserve the offer, final checkout and agreed renewal terms together so a later invoice can be reconciled.
Calculate a total through the first report
A useful comparison horizon runs from formation through the first required report, rather than an undefined “first year.” Reports and supplier renewals may fall on different dates. State the events included so another founder can reproduce the arithmetic without assuming that every charge falls within twelve months.
Consider a Florida domestic LLC using ordinary filing and filing its first annual report on time. Assume, solely to test the advertisement, that the provider’s preparation fee is USD $0. The government subtotal for those two events is USD $125 + USD $138.75 = USD $263.75 . This is an illustrative government-charge subtotal using rates verified October 23, 2026, not an HSJGlobal quotation or a promise that later rates will be unchanged.
The complete comparison is USD $263.75 plus the contracted agent or address cost, other professional work, applicable permits and taxes. Keep working capital separate. Do not enter zero for these additions until their applicability and price have been confirmed. If an agent’s introductory period ends before the first report, include that renewal in the comparison horizon as well.
Florida’s annual-report instructions confirm that the report updates or verifies registry information and is required even without changes. A late report can add USD $400; that penalty is excluded from the timely example. Record the report obligation and payment owner immediately, and check the current deadline and fee again before filing. A zero preparation charge offers little value if the handoff leaves recurring obligations unassigned.
Separate the EIN, taxes and permission to operate
Some individual tasks can be free, but they do not remove the other tasks. The IRS EIN application guidance confirms that the agency issues the number for USD $0. A provider charging to prepare an application is selling assistance, not charging an IRS issuance fee. Request a separate description of that assistance before paying for it.
Overseas founders should also check access to the IRS route. Its online tool requires, among other conditions, a principal place of business in the United States or its territories and the responsible party’s Social Security number or individual taxpayer identification number. The IRS directs applicants with a principal place of business outside the United States to phone, fax or mail routes. A US formation certificate alone does not prove online eligibility.
An LLC’s tax treatment depends on ownership and elections, rather than the price paid to form it. Under the IRS Form 5472 instructions , a wholly foreign-owned US disregarded entity generally has reporting obligations when reportable transactions occur with a related party, including the required pro forma Form 1120 attachment. A disregarded entity is one treated as part of its owner for federal income-tax purposes. Obtain a tax review before assuming that no trading revenue means no filing work.
Operating permission is another separate budget. The Small Business Administration’s launch guidance ties license requirements and fees to activity, location and the issuing authority. Check the actual city or county, premises, regulated service, product and professional role. An LLC filing and an EIN do not cover every operating approval; there is no universal nationwide license fee to add to every budget.
Choose the offer only after closing the cost gaps
Choose a zero-dollar offer only when the written total and the continuing responsibilities fit the business. Compare the selected state, government amounts, supplier scope, renewal commitments and unresolved operating costs. If two offers include different work, reconcile those differences before comparing their headline prices.
HSJGlobal’s US company registration and LLC formation services cover formation support, EIN coordination, registered-agent arrangements and initial compliance planning. Request a scope matched to the ownership and operating footprint. Keep any professional quotation separate from the official examples here; no HSJGlobal service price is represented by these government amounts.
Before authorizing payment, retain the itemized quote, identify the filing recipient, record renewal dates and assign the report and tax review. Are LLCs free? A particular preparation task may be, but the decision should rest on the documented cost of forming, maintaining and operating this LLC. Approve the budget only after every material unknown has either been priced or assigned for confirmation.
Questions about comparing LLC offers
Can a provider reimburse a state filing fee?
It may offer a documented reimbursement or credit. Confirm the eligible filing, funding party, conditions and payment timing. That promotion does not change the government’s underlying fee schedule.
Is a do-it-yourself operating agreement always sufficient?
A template has to fit the members, management, funding and exit arrangements. Several owners, outside investors or cross-border issues can justify tailored professional work, even when downloading a template costs nothing.
Does paying for expedited service guarantee a bank account?
No. Filing speed and bank onboarding are separate decisions. Obtain the bank’s own identity, ownership and business-evidence requirements before relying on a formation service’s delivery date.
What evidence should I keep if a charge differs from the offer?
Keep the dated advertisement, selected options, final order summary, written terms, invoice, payment record and correspondence. Ask the supplier to reconcile the particular line and explain which party received the payment.
