Business Registration Without Revenue in the Philippines: Duties to Check

An inactive sales pipeline does not automatically suspend a registered taxpayer or company.

No revenue does not by itself cancel a Philippine business registration or its filing duties. A registered corporation may still have BIR returns, SEC reporting and records to maintain; a city permit may have its own renewal or retirement procedure. Which returns apply depends on the actual tax registration and transactions, and which SEC reports apply depends on entity type and current reporting rules. Check the issued records and calendar before treating a zero-sales month as a filing exemption.

Keep evidence of no operations and of any formal update or closure. If the project will not proceed, ask each relevant office how to retire or amend its record rather than simply stopping filings.

Key takeaways

  • Zero sales and zero tax due are different from no filing obligation; inspect the registered tax types and forms.
  • A dormant corporation remains a legal entity unless formally changed or dissolved, with SEC reporting to review.
  • The PHP 500 BIR annual registration fee was abolished in 2024, but that change did not cancel other obligations.
  • Local permit status depends on the city and whether the business actually opened or needs a formal retirement.
  • A contemporaneous no-operation file helps explain later returns and changes; it is not itself an automatic exemption.

Determine what has actually been registered

Start with the issued DTI or SEC record, BIR Certificate of Registration, any local permit and the first filing notices. A reserved name, approved corporation, tax-registered enterprise and open shop are four different states. The company may have paid for incorporation but never registered a local premise, or may have completed BIR registration without making a sale. Those differences matter to the obligations ledger.

Do not use the phrase “inactive business” as a filing instruction. Write down whether it means no invoices, no contracts, no employees, no physical opening or a formally cancelled registration. An entity may have bank charges, rent, subscriptions or capital contributions even without sales. Those events may require accounting treatment although revenue is zero.

For the original entity evidence, the Philippines company registration route clarifies the distinction between a name registration and incorporation. The continuing duty must be checked against the actual holder and agencies reached.

Read BIR obligations from the registered tax record

The BIR corporate return guidance describes quarterly Form 1702Q and annual corporate income tax returns, including filing with or without payment in the applicable categories. Do not infer from a zero amount due that no return is required. Check tax types, registered status, period, taxable or exempt category and any actual transactions with the tax preparer. Withholding or VAT obligations need their own trigger and registration review; avoid filing a generic zero return for a tax type that does not apply.

Maintain books and the supporting records from the beginning of the company's existence. A genuinely no-operation period should be documented with bank statements, leases, board records and an explanation of why there were no sales. If an issued BIR record contains a wrong activity or tax type, request the official update route rather than silently ignoring the item.

No revenue is a fact about sales, not a legal termination of tax registration. The BIR's RMC 14-2024 ended collection of the PHP 500 annual registration fee from January 22, 2024. Removing that fee does not remove income-tax, invoicing, books or other duties that fit the registered taxpayer.

Keep a register of filed returns and official acknowledgments, including zero-payment filings. A spreadsheet saying “no activity” cannot prove that the correct form was filed on time. If a tax type is removed or the business is closed, store the accepted update and its effective date alongside the old COR.

Check SEC reports for a company with no operation

For a corporation, inspect the current SEC reportorial requirements by legal form and filing year. SEC's eFAST guidance identifies annual financial statements, General Information Sheets and covered affidavits including an Affidavit of Non-Operation. The exact forms, due dates, digital route and acceptance depend on current SEC instructions. A no-operation affidavit is not an alternative to every report by default.

Keep the corporate books and decisions even if there is no customer activity. The officers should document whether subscriptions have been paid, whether expenses have been incurred and whether the company has opened accounts. An annual financial statement can contain balances without revenue. If the company was formed for a project that never began, decide whether to maintain it, amend its purpose or formally dissolve it; each choice creates a different evidence trail.

SEC pages and filing systems change. In 2026, check the live GIS and beneficial-ownership instructions for the entity rather than copying a pre-2026 form or treating a historical eFAST FAQ as the complete current portal map. Record the source and check date in the compliance calendar.

Use a no-revenue obligation ledger

The table is a management worksheet, not a determination of exemption. Complete the last column from the relevant agency's current rules or an adviser who has reviewed the issued records.

Record or duty Question despite zero sales Evidence or action
BIR tax types Which returns are registered or transaction-triggered? COR, tax calendar, filed return or formal update
SEC company reporting Which GIS, financial and ownership reports apply? Current SEC instructions and accepted filing
City permit Was it issued, and is renewal or retirement required? Permit, city response or retirement record
Workers and licenses Did hiring or a conditional activity actually start? Employer and sector agency status

Assign an owner, deadline and disposition: file, confirm non-applicability, correct registration or close formally. Note that an issued certificate and a later accepted filing are different evidence. The Philippine agency handoff guide is useful for identifying which office owns each status, rather than assuming one update reaches all.

Build a monthly close even if there are no customer invoices. Reconcile the bank account, capital received, founder advances, rent, software fees, payroll, interest and any intercompany charge. Decide with the tax preparer which entries belong in the period and which returns actually apply. A company that has no revenue but has costs or assets is not financially empty. The evidence file should show who reviewed the records and the date the review was completed.

For each issuer, note the event that changes the answer. A first employee creates a payroll and employer review; a new site creates a local permit and possibly a BIR branch question; a product launch may create a sector licensing review. A decision made in January should not be copied into July after the business model has changed. Retain the correspondence or current official instruction supporting a non-applicability conclusion.

Choose maintenance, amendment or formal closure

Maintain the entity when a real launch remains planned and its compliance cost is accepted. Update records when the name, address, tax type or activity has changed. Explore formal retirement or dissolution when the project is abandoned; the procedure differs for DTI name, SEC entity, BIR account and city permit, and the business should request the appropriate clearance or closure evidence at each office.

Stopping sales is not the same as completing closure. Keep a dated decision and correspondence with each issuer. If filings were missed, reconstruct the timeline before asking the office for a corrective route; do not backdate no-operation documents or invent a zero-sales history. Use qualified local accounting or legal advice when the tax types, liabilities or dissolution facts are disputed.

Before deciding to close, estimate the cost of maintaining the entity and compare it with the project timetable. Ask the accountant to inventory all returns already due and the officer to inventory SEC and city obligations. If a customer contract or asset remains, obtain advice on how it is transferred or terminated. Closure applications are not a substitute for resolving outstanding records and liabilities; archive the authority's accepted outcome for each register.

Frequently asked questions

Does a company file a tax return with no sales?

It may. The applicable return depends on its BIR registration, period and tax status; corporate income tax forms can be required without payment.

Does an Affidavit of Non-Operation replace SEC financial reporting?

Do not assume so. Check the current SEC category and filing instructions for the company and year.

Is the BIR annual PHP 500 registration fee still due?

No. BIR RMC 14-2024 ceased collecting it effective January 22, 2024; other applicable duties remain.

Can I leave a mayor's permit unused?

Ask the issuing city whether renewal, amendment or retirement is required for the issued permit; local rules and actual operation matter.

How do I prove there was no activity?

Keep contemporaneous bank, accounting, contract and board records, then follow any official affidavit or filing requirement that applies.
