Argentina-based LLC records

Forming a US LLC from Argentina: Documents, EIN and Compliance

Preserve the evidence from formation through the first reporting period.

Four evidence files matter when forming a US LLC from Argentina: the state registration, internal ownership and authority, the IRS application and assignment, and the transactions needed for reporting. They should describe the same company while serving different recipients. An accepted state certificate alone does not finish that handover.

For an Argentine resident, US formation must sit alongside local income, asset and foreign-exchange review. Confirm who earns the income, who supplies capital and how payments will move before treating the LLC as a route for retaining money abroad. The correct EIN method also follows the real responsible party and business location, rather than the address bought with a package.

Key takeaways

  • A single document folder is useful only when it distinguishes submitted forms from accepted results.
  • Argentine tax residence, foreign income and foreign assets require their own assessment; US entity classification does not settle them.
  • An owner’s capital transfer and a customer’s service payment are different transactions and should remain distinguishable.
  • BCRA statistical reporting has its own scope, including a distinction between individual external assets and liabilities.
  • Design the year-end evidence request at setup so both preparers can reconcile ownership and activity without reconstructing the year.

Define the Argentine records that the US file must support

Start with the owner’s Argentine tax position. ARCA’s income-tax guidance states the resident worldwide-income principle. Determine residence, the LLC’s local recognition, the relevant income categories and when amounts are recognized. Do not assume the answer depends only on whether the LLC sends money back to Argentina.

The ARCA list of assets within the personal-assets framework includes foreign interests and foreign bank deposits. Whether an owner must file or pay, and how an interest is valued, requires the applicable personal assessment. The LLC certificate cannot supply a year-end valuation, and the account balance is not automatically the value of the membership interest.

Give the Argentine adviser the draft agreement, owner and manager details, work locations and intended money flows. Ask what information must be retained from day one. Determine the reporting evidence before the first transfer. That prevents a later request for documents that the founder did not know to preserve, such as a capital authorization or the original currency amount of an expense.

Maintain a local issue register with the issue, adviser, evidence requested and status. A professional’s acceptance of the documents should be recorded separately from a government filing. This tool does not impose a uniform Argentine classification for all LLCs; it makes the unresolved individual questions visible before US formation fixes the proposed structure.

Are your formation and ownership records aligned?

Identify which document proves existence, authority and the actual member before the EIN handoff.

Create an authoritative formation and ownership file

Select the state against the actual US activities, if any. People, premises, inventory or regulated activity can require a state-specific assessment beyond the place of formation. Use a Wyoming LLC only as the concrete document example below. If a different state is appropriate, obtain its current form and do not carry over Wyoming fields or annual charges.

Record What it proves What it does not prove
Accepted Articles Existence under the filed name and state record Who supplied the investment or every ownership right
Operating agreement and member record Agreed ownership, management and economic terms State acceptance or IRS assignment
Investment and signer approvals Who authorized funding and who may act Bank approval or tax treatment
Agent and correspondence arrangements Where notices and mail are handled The founder’s real working address

The underlying American company registration process starts with a compliant state submission. Wyoming’s LLC form and instructions identify the filing and agent information. Agree the legal name, addresses and organizer authority, obtain the required agent consent, review the final record, pay and submit through the official route, then retrieve acceptance evidence.

Keep the signed operating agreement and dated ownership ledger with the accepted Articles. If a company in Argentina is the member, add its existence, authority and ownership-chain evidence. If a person owns the interest, record that directly. Do not infer membership from whose credit card paid the organizer.

Identity evidence, address evidence, tax identifiers, certified copies and translations should be supplied according to the recipient’s actual requirements. A passport requested by a service provider is not necessarily an attachment to the state filing. Ask before sending private records to a public registry, and before ordering notarization or legalization for an unspecified purpose.

Reconcile EIN inputs with the actual control arrangements

Identify the responsible individual from the real control facts and complete the application using the final company data. The IRS SS-4 instructions determine the eligible application routes and entries. Applicants whose actual circumstances do not meet online conditions should use an available international route instead of manufacturing a US location or identification number.

Use a short verification sheet for the company name, member count, classification, formation date, principal location, mailing address and business activity. The preparer should reconcile it against the accepted Articles and internal authority records. Confirm the purpose of any different address rather than assuming every document must contain the same address for every role.

Retain a signed application, transmission or dispatch record and response destination. IRS issuance is free; a service fee is for coordination. A delayed response does not justify filing several duplicate requests. Track the first submission and establish whether a number has been assigned before authorizing a new application.

The distinction between application and assignment matters in the EIN evidence for a remote LLC handover. Ask the eventual account provider what confirmation it accepts and whether it permits a pending application at any stage. A completed SS-4 is not an IRS assignment notice. Mark each status accurately in the document register.

Will the first reporting file be reconstructable?

Connect funding, member changes and bookkeeping evidence before the period closes.

Separate capital transfers from export and operating receipts

Record the legal purpose of money before it moves. Initial member capital, a member loan, an LLC reimbursement and a payment for services are different events. Preserve the sender, recipient, date, original currency, conversion evidence, net amount and related agreement. The accounting label should follow the real event rather than a bank transfer description selected for convenience.

The BCRA foreign-exchange framework requires transaction-specific review and documentation through authorized channels where applicable. It also addresses export receipts and access to the exchange market. Have the authorized institution assess the actual operation under current rules; do not assume that collecting through a US LLC removes obligations associated with work or receipts connected to Argentina.

Payment Evidence before movement Question to resolve
Founder’s LLC capital Member approval and traceable funds Correct investment and transfer treatment
Loan from an Argentine company Authority, loan agreement and relationship Applicable financing, tax and exchange requirements
LLC pays for work in Argentina Contract, invoice and place of work Who earns income and what receipt rules apply?
LLC distributes or reimburses Supporting ledger and authorization Correct tax category and payment evidence

This is an evidence map, not an instruction to route payments through a particular bank or instrument. If the institution says the route or purpose requires different documents, settle that question before the transfer. Do not disguise customer receipts as personal investment or an owner distribution to avoid the actual analysis.

When timing changes, keep the original contract and a clear amendment rather than rewriting the commercial history. An accountant in Argentina and an IRS preparer should be able to understand the same sequence of events from the record. That becomes difficult when the only surviving evidence is an unexplained account credit.

Keep the evidence through the reporting year Formation evidence and ownership establish the starting record. EIN assignment and transaction evidence build the reporting file. Year-end review reconciles both countries’ requirements. Formation + ownership: authoritative starting facts EIN: application evidence → assignment evidence Transactions: capital, loans, expenses and receipts Year-end: reconcile owners, balances and changes
Build the reporting evidence while events occur; do not rely on the final bank balance alone.

Build the US reporting file from the transaction ledger

The return path depends on the actual member count and federal classification. Single-member default treatment, partnership classification and a corporate election have different consequences. Obtain the intended scope before assuming that “LLC annual compliance” includes all necessary filings. A new member or tax election should trigger an immediate review of the period affected.

For a foreign-owned US disregarded entity with reportable transactions, the IRS Form 5472 instructions provide the specific reporting route with pro forma Form 1120. Owner funding and other related-party events must be reviewed; no customer revenue does not resolve the filing question. Ask the preparer to identify the deadline, extension and permitted submission procedure.

FinCEN’s BOI reporting notice exempts US-created companies under the current rule. That exemption does not supply an answer to federal tax information reporting or Argentine filings. Keep beneficial ownership and control evidence so providers and preparers can verify the arrangement when needed.

At year-end, reconcile the member ledger, owner-transaction account, bank statements, receipts, liabilities and classification history. Keep a record of changes as well as closing balances. A December balance cannot reveal that an owner joined halfway through the year or that a payment originally described as a loan was later forgiven. Supply those events explicitly.

Assign the Argentine and state calendar without mixing regimes

BCRA’s external-assets and liabilities survey guidance distinguishes the reporting populations: individuals are exempt from declaring external assets in that survey, while external liabilities can require review. Corporate owners have a different scope. Do not copy Brazil’s CBE thresholds into an Argentine checklist, and do not mistake a survey exemption for an ARCA tax exemption.

For Wyoming, use the accepted formation date to determine the annual-report due month . The state fee schedule lists a USD 100 formation fee and annual licence tax starting at USD 60, checked October 30, 2026. Provider service, address and tax preparation are separate and the annual tax can increase with relevant Wyoming assets.

Budget one-time government and professional work separately from agent and address renewals, tax setup, licences, document certification, accounts, monthly bookkeeping and annual returns. Obtain a current scope stating exclusions, renewal and invoicing taxes. Capital, bank balances and recoverable deposits are not professional fees. An old package quotation should not be assumed current.

Schedule review and documents before filing; state acceptance before final EIN handover; licence and tax screening alongside account preparation; and bookkeeping from the first transaction. Wyoming paper instructions allow up to 15 business days after receipt. IRS fax and mail references are about four business days and four weeks respectively, subject to conditions and delay. Accounts and licences have independent timelines; immigration remains separate if US work is intended.

Close the Argentina-to-US LLC handover with recoverable evidence

Complete the handover when the accepted entity record, ownership instructions, IRS assignment and transaction ledger tell a consistent story. Assign state, federal and Argentine work to named people and retain evidence of acceptance or submission appropriate to each obligation. Track a pending bank or licence decision separately rather than marking the whole operation complete.

Stop an affected payment or launch commitment if its purpose, exchange treatment or local tax result remains unsupported. Correct the source record, obtain the missing authorization or resolve the adviser’s question before proceeding. A usable file should let a replacement preparer recover the business history without asking the founder to recreate it from memory.

Frequently asked questions

Does receiving dollars abroad change my Argentine tax residence?

Do not infer residence from account currency or location. Obtain the assessment from the actual residence facts.

Does BCRA require every individual to report foreign assets in its survey?

Its current survey guidance exempts individuals’ external assets while distinguishing external liabilities. ARCA income and asset obligations remain separate.

Can I reuse an old exchange-control checklist?

Use the rules and transaction assessment current when the payment is made. Preserve the institution’s required documents and confirmed purpose.

What if I cannot find the original EIN response?

Determine the existing assignment and appropriate replacement evidence before applying again. A missing letter does not establish that no EIN was issued.
