DOCUMENTS AND FILING EVIDENCE

Forming a US LLC from the Netherlands: Documents, EIN and Compliance

Separate the formation record, IRS application and Dutch tax file before the first owner-funded transaction.

Forming a US LLC from the Netherlands requires a state filing packet, an authorized EIN application and an assigned compliance file. Start with the intended member and the documents proving who can act. Dutch tax treatment must be checked independently: a single-member LLC’s US disregarded status does not establish transparency in the Netherlands.

For a founder or corporate member based in the Netherlands, completion means more than receiving Articles of Organization. Preserve evidence of state acceptance and EIN assignment, document the first funding transaction, and obtain separate US and Dutch filing assessments. Banking, operating-state registration and licences each have their own completion test.

Key takeaways

  • Ownership and signing authority belong in separate records; the organizer need not be the member or manager.
  • Dutch legal-form comparison can produce a different tax result from the LLC’s US federal classification.
  • International EIN eligibility turns on actual business location and responsible-party facts, not an agent’s US address.
  • Initial owner funding can matter for foreign-owned disregarded entity reporting before customer revenue begins.
  • A handoff is usable when each remaining duty has a named owner and a specific piece of completion evidence.

Resolve the Dutch classification file before signing

A US LLC can have a Netherlands resident individual or a Dutch company as a member, subject to the chosen state’s rules and any regulated-business restrictions. The owner’s identity matters twice: it establishes who receives the membership interest and who must review the tax consequences. Most states permit foreign owners, but permission to own an LLC does not establish its tax treatment. IRS explanation of LLC ownership and classification .

For Dutch tax purposes, the official legal-form list places LLCs from all US states alongside a Dutch NV or BV, subject to statutory exceptions and material changes in the governing law. The December 2025 amendment leaves that US LLC entry unchanged. US disregarded status does not make the LLC transparent in the Netherlands. Check the legal-form comparison decree and list and its subsequent amendment .

The Dutch rules effective from 2025 first compare foreign legal forms with Dutch ones. The fixed and symmetrical methods are supplementary rules for non-comparable forms; the symmetrical method is not a general instruction to copy the IRS result for every foreign business. Belastingdienst foreign legal-form guidance .

Ask the Dutch adviser to record the LLC’s governing state law, ownership, management arrangements and intended US tax classification. A domestic single-member LLC ordinarily defaults to disregarded status for US federal income tax; a domestic multi-member LLC ordinarily defaults to partnership treatment, and an eligible LLC can elect corporate treatment using Form 8832. IRS federal classification rules . Keep the two countries’ conclusions in separate fields, with any mismatch identified before distributions or elections.

A company managed from the Netherlands can be Dutch tax resident: the Belastingdienst considers management, head-office and shareholder-meeting locations. Dutch residence can bring corporate income tax obligations at entity level. A Netherlands resident individual with a qualifying substantial interest may also face Box 2 tax on distributions or disposal gains; the ordinary threshold is 5%, including relevant interests held with a fiscal partner. Dutch corporate tax residence guidance ; Box 2 substantial-interest rules . A Dutch BV member needs its own corporate tax analysis rather than the individual’s Box 2 calculation.

The useful output is a short written position covering who reports the LLC, how initial funding and later payments are characterized, and who will prepare each return. An EIN or a US classification election is not that output. If the advisers cannot reconcile their assumptions, pause the ownership decision before signing the operating agreement.

Resolve the Dutch pre-filing dependency

Bring the proposed owner and management facts to identify what the Dutch tax review must settle before the documents are signed.

Build a packet that separates owners, signers and recipients

Use one controlled fact sheet for legal names, residential and business addresses, member percentages, manager authority and the intended activity. Add an index showing each recipient, document version and outstanding request. The table below is a preparation framework: it distinguishes state and IRS requirements from evidence that another recipient may request.

Record Who uses it What to establish
Member and management schedule Operating agreement and advisers Exact individual or corporate member; percentages; manager and reserved decisions.
Formation inputs Chosen state registry Name, agent, required addresses and organizer signature under that state’s form.
Identity and address evidence Agent, bank or other recipient if requested Valid ID and acceptable address proof; confirm the recipient’s copy and age rules.
Corporate-member annex, if a Dutch BV owns the LLC Authorized signers, advisers and KYC recipient Registration extract, constitutional documents, ownership chain and approval/signing authority.
EIN worksheet and authorization IRS applicant and authorized helper Entity facts, individual responsible party, classification and authority to submit.
Opening ledger and duty register Bookkeeper and US/Dutch tax preparers Owner payments, supporting invoices, filing scope and evidence owner.

For a corporate member, assemble the BV’s current KVK extract and articles, a board or shareholder approval where its governance requires one, and proof that the person signing can bind it. A board resolution should identify the investment, the person acting and the authority granted. Treat these as conditional governance or recipient evidence, not as a universal attachment bundle for every US state filing.

The organizer submits the formation document; the member owns the interest; the manager exercises the powers allocated by the operating agreement. Those labels may refer to different people. A bank signatory is separately authorized to operate an account. Record each role explicitly rather than letting a filing service’s contact details become the ownership record.

For the EIN, the responsible party normally must be the individual who ultimately owns or controls the entity, not the Dutch BV or formation agent. The SS-4 signer must be authorized; a third-party designee has limited authority to answer application questions and receive the EIN, ending when it is released. SS-4 responsible-party and authorization instructions .

Certification follows the recipient’s requirements , not the founder’s nationality. Ask whether originals, certified copies, an apostille or a translation are required for the particular document and purpose. Do not commission all four by default. Keep sensitive identity documents out of the public filing packet unless the registry actually requires them. Cross-check recipient-specific preparation for foreign owners when different recipients request evidence in different formats.

Submit the state filing and preserve acceptance evidence

First map where the LLC will actually operate: offices, people, inventory and other activities can affect registration, taxes and licences. Forming in one state may require foreign qualification in another operating state. The registered agent receives legal process and official notices; that role does not establish a principal business office or satisfy a bank’s address policy. SBA registration and operating-state guidance .

Wyoming is a worked filing example, not a recommendation for every Netherlands founder. After the operating footprint is reviewed, its official registration portal allows an eligible online filing; follow its exceptions, including the paper route for names beginning with “A.” The LLC filing fee is USD 100, with online card processing charged separately. The Wyoming Articles of Organization identify the required name, agent, addresses, organizer execution and registered-agent consent.

  1. Check name availability and the selected filing route; appoint an eligible agent and obtain consent.
  2. Enter the approved facts into the state form, review the public addresses and sign in the required capacity.
  3. Pay through the official channel, submit once and retain the transaction or submission reference.
  4. Follow a deficiency notice against the original packet; download the accepted document and verify the effective date and registry status.

A payment receipt is evidence of payment, not state acceptance . Match the accepted entity name and identifier to the operating agreement and member schedule before the EIN application. In US company formation requirements , state acceptance creates the entity record; tax registrations and third-party accounts remain separate workstreams.

The execution plan should use milestones rather than a promised launch date: approved facts, accepted state document, assigned EIN, applicable registrations and usable accounts. Paper processing, returned documents, IRS questions and bank review can each extend the plan. The Wyoming paper form currently states processing of up to 15 business days after receipt and no expedited service; that does not include EIN or banking. State filing instructions .

Keep government charges, agent/address renewals, professional preparation fees, tax-return work and actual taxes in separate budget lines. IRS issuance of an EIN is free; any assistance fee pays for preparation or coordination. Owner capital and a bank’s opening deposit belong in the funding records, not the service-cost total. IRS EIN application guidance .

Two evidence streams for the LLC handoff Named roles feed a US formation and EIN stream and a Dutch classification, funding and tax-scope stream. Both must reach the completed handoff. Named roles and ownership State filing packet Accepted formation record EIN evidence Dutch classification file Owner funding log Tax scope assigned Completed handoff, continuing duties
Formation and EIN evidence must meet an independently completed tax and funding file; neither stream replaces the other.

Route the EIN application by eligibility and authority

Form the LLC before applying. The IRS online tool requires a US or territory principal place of business and the responsible party’s SSN or ITIN, alongside its other eligibility conditions. A business principally run from the Netherlands cannot use the tool merely because it has a US registered agent. International applicants can use the appropriate phone, fax or mail route. Current IRS online eligibility rules .

Application checkpoint Evidence to resolve it Action
Online eligibility Actual principal place of business and responsible-party identifier Use the online tool only when all IRS conditions are met.
SS-4 identity Accepted legal name, addresses and member count Reconcile the worksheet with formation and ownership records.
Responsible party / line 7b Individual’s SSN/ITIN position “Foreign” or N/A is allowed only if the person lacks and is ineligible for an SSN/ITIN.
Tax purpose / line 9a US classification and reason for EIN For the applicable entity, enter “Foreign-owned U.S. disregarded entity-Form 5472.”

Review the current SS-4 instructions for signature and route-specific details. Use one application method per entity. From outside the US, an eligible international applicant may telephone 267-941-1099 or fax to 304-707-9471; mail uses the international EIN operation address in those instructions. An authorized caller must be able to answer the application questions. Check the live instructions before transmitting.

Before release, have the owner approve a clean worksheet and retain the signed authorization separately from working notes. Record which version was sent, by whom, on what date and through which channel. For a fax, preserve the transmission report; for mail, retain delivery evidence; for a phone application, preserve the annotated SS-4 and any follow-up requested by the IRS.

An application copy is not EIN assignment evidence. Close this task only after the number has been assigned and the official confirmation is retained or obtained. Compare the legal name and address with the entity file, and share the confirmation with the designated preparer. If an application is delayed, investigate its status before making another application that could create a duplicate record.

Resolve an EIN application obstacle

Use the accepted formation record, responsible-party facts and proposed SS-4 to identify the correct application route and any missing authority.

Start the transaction record with the first owner payment

A wholly foreign-owned US disregarded entity can have a Form 5472 obligation even without customers or revenue. Reportable transactions include formation-related amounts, contributions and distributions. Owner funding therefore belongs in the reporting review from the start. When required, Form 5472 accompanies a pro forma Form 1120, generally with a separate Form 5472 for each related party. IRS reportable-transaction instructions .

Build the opening ledger before money moves. For every founder payment, record the payer, recipient, date, currency, amount, purpose, supporting invoice or bank record, and the preparer’s treatment as contribution, loan, reimbursement or another transaction. If the founder pays a formation bill directly, flag it for review instead of losing it outside the company bank account.

Event to flag Evidence to retain Question for the preparer
Owner transfers opening funds Transfer record and agreed funding terms Capital or debt; related party and reporting period?
Owner pays a formation invoice Invoice, payer evidence and expense description How is the payment attributed and reported?
LLC repays or distributes money Approval, ledger entry and payment evidence Reimbursement, debt repayment or distribution in each country?

The foreign-owned disregarded entity follows the Form 1120 due-date framework, including a properly requested extension using Form 7004. Its Form 5472/pro forma 1120 uses the dedicated fax or mail procedure, not electronic filing. Failure to file as required can trigger an initial USD 25,000 penalty. Filing, extension and penalty instructions . Have the preparer enter the actual first deadline for the correct tax year; do not wait for a profitable year to ask.

This information return does not determine all income tax. US business activities and effectively connected income require a separate analysis of the owner’s US filing and payment exposure. IRS effectively connected income guidance . If members are added or corporate treatment is elected, replace the original filing assessment rather than continuing to reuse a single-member compliance plan.

Assign recurring duties across the US and the Netherlands

Name a person for each duty and require completion evidence. A formation provider’s annual reminder service does not establish that a tax return, tax payment, licence or Dutch filing is included. The working register below separates the responsible workstreams so one successful filing cannot hide another outstanding task.

Workstream Trigger or recurring check Evidence and accountable person
US state entity maintenance Agent coverage, annual report/tax and changes Registry status, accepted filing and payment record; entity administrator.
US federal tax Classification, related-party transactions, activity and withholding Written return scope, filed forms and delivery evidence; US preparer.
Operating-state and local duties People, premises, inventory, sales and regulated activity Qualification, tax-account or licence evidence where required; operations lead with advisers.
Dutch entity and owner tax Residence, classification, member identity and payment character Dutch filing assessment and submissions; Dutch adviser and owner.
Bank and payment access Separate institution review and ongoing requests Account approval and current mandate; authorized applicant.

For the Wyoming example, the annual report is due on the first day of the anniversary month. The licence tax is the greater of USD 60 or 0.0002 of assets located and employed in Wyoming, with online charges separate. Wyoming annual-report rules . Those figures do not include another operating state’s obligations or the LLC’s tax-preparation bill.

As verified on November 2, 2026, US-created entities are exempt from FinCEN BOI reporting under the current rule. That exemption does not remove IRS foreign-ownership reporting or a bank’s ownership checks. A Dutch entity registering itself to do business in the US is a different case from a newly created US LLC. FinCEN BOI rules .

If the LLC has a Netherlands establishment, KVK registration is required. KVK sets a separate documentary process, including foreign registration evidence, governing documents and relevant officer records. Its guidance also flags additional duties for qualifying formally foreign companies established outside the EEA and active only in the Netherlands. KVK foreign-company registration guidance . Ask whether those rules apply to the actual operations, and assign the answer before treating the US filing as the end of registration.

Keep a Dutch review line for VAT, payroll and the owner’s work and remuneration where relevant; an LLC certificate does not resolve those questions. Give both preparers the same ledger and describe who works where, who signs contracts and who controls decisions. A shared factual record helps expose conflicting treatment before returns are prepared.

Accept the LLC handoff only when the records agree

Accept formation delivery when the state’s accepted record is saved, the intended member is admitted under the governance documents and signing authority is clear. Accept EIN delivery separately when assignment evidence matches the entity. Keep account opening marked pending until the institution has approved it, even if all requested documents have been uploaded.

The compliance handoff is complete only when a named US preparer has assessed the first owner-funded transactions and assigned the first filing deadline, while a Dutch adviser has recorded classification, residence and the entity/owner filing positions. Retain the scope and exclusions in writing. If either adviser is relying only on the other country’s label, return that issue for resolution before further funding or distributions.

Turn the file into an accountable handoff

Bring the accepted records, EIN evidence and first payment log to define the outstanding formation and coordination tasks and the tax work that needs a separate engagement.

Frequently asked questions

Does a Dutch passport prove Netherlands tax residence?

No. Nationality and tax residence are different facts. Tell the advisers where the individual actually lives and works, and disclose any other relevant residence position before they analyze the ownership.

Is the Dutch BV’s EIN the LLC’s EIN?

No. Keep the member’s identifiers separate from the newly formed LLC’s assigned EIN. A corporate ownership chain also does not replace identification of the individual IRS responsible party.

Must all Dutch documents be translated into English?

No universal translation rule applies to every recipient. Obtain the registry’s, agent’s or institution’s exact requirements for the documents it requests; agree the format before paying for translation or certification.

What should the handoff say if the LLC will not trade immediately?

State that activity is deferred, identify any owner-funded transactions already made, and retain the assessed filing and annual maintenance duties. “No trading yet” should not be recorded as “no compliance work.”

What if the EIN confirmation contains an error?

Compare it with the submitted SS-4 and accepted state record, identify which record is wrong, and obtain the appropriate correction instructions from the IRS. Preserve the correspondence so the preparer can follow the correction without creating a second application.
