Forming a US Subsidiary of a Singapore Company: Structure and Filings

Connect ownership, state formation and the first intercompany transfer to the filings each finance team must own.

A Singapore company can own a US subsidiary, typically through a state-law corporation or LLC for an ordinary commercial business. The crucial distinction is the tax boundary: a corporation is a separate corporate taxpayer, while a wholly owned US LLC is generally disregarded unless it elects otherwise. IRS LLC guidance confirms that corporate and foreign entities can be members in most states; state and sector restrictions still matter.

Before filing, decide which entity will employ staff, sign customer contracts and receive funding. That decision determines the ownership documents and the US–Singapore accounting handoff. A state certificate establishes the US entity; it does not settle the parent’s tax treatment or complete banking and operating permissions.

Key takeaways

  • Choose the legal entity and federal tax treatment together; an LLC’s state-law identity does not determine its Singapore tax character.
  • Use the Singapore company’s exact identity as the shareholder or member, with investment and signing authority documented.
  • Record capital, loans, services and direct supplier payments separately from the first transfer.
  • Assign a tax preparer before the first year closes; a quiet launch can still produce related-party reporting.
  • Require evidence of foreign tax and payment character before assuming cash received in Singapore qualifies for exemption.

Choose what the US entity should separate

A subsidiary creates an ownership relationship: the Singapore company holds shares in a US corporation or membership interests in a US LLC. Registering the Singapore company itself to conduct business in a US state is a different route; the parent remains the contracting entity. Write the intended customer, employer and asset owner into the formation instruction before choosing a filing form.

For an ordinary commercial business, compare the two subsidiary routes below. The IRS explanation of LLC ownership and classification permits corporate and foreign members in most states and distinguishes state-law existence from federal tax treatment. Regulated businesses require a separate eligibility check.

Decision US corporation taxed as a C corporation Wholly owned US LLC, default treatment
Ownership record Issue shares to the Singapore company; maintain the stock ledger. Admit the Singapore company as the sole member; document its membership.
Federal income-tax boundary Plan for a separate corporate taxpayer and its return. Generally disregarded for income tax; assess the Singapore parent’s own US exposure.
Commercial reason to consider it A separate US corporate platform for staff, contracts and possible investment. Flexible state-law governance where advisers have accepted the cross-border tax outcome.
Question to settle before filing Where will profits accumulate, and how will cash return to the parent? Will Singapore and the United States characterise the entity and its payments consistently?

An LLC can elect corporate tax treatment using Form 8832. That creates a third configuration to evaluate, rather than a reason to assume every LLC is a pass-through in both countries. Do not select an entity solely because an online order form labels it simpler. For the wider comparison, consider Singapore and US entity treatment before subsidiary funding alongside the actual group ownership plan.

As an illustrative scheduling allowance, reserve 4–8 calendar weeks for a nonexpedited Delaware corporation submitted through the state’s Document Filing and Certificate Request Service, from complete, approved instructions to accepted formation, governance records, EIN receipt and filing-calendar handoff. This is an internal planning range, not an agency turnaround quote. Rejections or IRS correspondence can extend it; bank, licence and operating-state approvals require separate schedules.

Settle the subsidiary design

Bring the proposed owners, US activities and funding route to a structure discussion before authorising the filing.

Resolve the Singapore evidence before authorising funding

Start with the parent’s exact registered name and UEN , then match them across the ownership instruction, subscription or membership document and bank application. ACRA information products distinguish a Business Profile, which supplies basic entity and position-holder information, from registers, certificates and copies of filed documents. Obtain the product the recipient actually requests; a profile is not a substitute for an authorising resolution.

Ask the Singapore company secretary to check the constitution, reserved matters, investor agreements and borrowing covenants. Record the board or shareholder approvals actually required for this investment. The resolution should identify the intended US entity, authorised signers and funding authority clearly enough that the US organiser can act without guessing. These are preparation recommendations; a universal requirement for every parent to use an identical resolution is not being asserted.

  • Resolve the ownership chain to the people and entities behind the Singapore company; keep supporting records available for a recipient’s control checks.
  • Separate authority to form the subsidiary, authority to subscribe for shares or membership interests, and authority to operate its bank account.
  • Agree which officers will sign US contracts and which decisions remain with the Singapore board.
  • Ask the recipient whether certified copies, a current status certificate, translation or authentication are necessary before ordering them.

If a document shows an old name, officer or address, reconcile the discrepancy before sending the package to multiple institutions. Keep the source record and the explanation together. The parent’s secretary should also identify the investment’s effect on Singapore accounts, registers and existing filings; the US formation does not perform that work.

Put the operating state into the filing instruction

List where employees will work, inventory will sit, premises will be leased and services will be delivered. Then choose the formation state against that footprint. The place of incorporation does not by itself settle where the subsidiary must register or pay tax. The SBA registration guidance explains that activity in other states can require foreign qualification, separate filings and continuing obligations.

Delaware is a useful filing example, not a default recommendation for every Singapore group. Its Division of Corporations formation instructions require a Delaware registered agent with a physical street address and provide certificate submission through the Document Filing and Certificate Request Service or mail. A corporation uses a Certificate of Incorporation; an LLC uses a Certificate of Formation. Retrieve the current form for the selected entity rather than adapting the parent’s Singapore constitution.

  1. Confirm the name and appoint the registered agent in the formation state.
  2. Submit the chosen state certificate with its required information and current fee; retain the accepted filing.
  3. Complete internal organisation: corporate bylaws, director and officer actions and share issuance, or the LLC agreement and member/manager authority, as applicable.
  4. Check each actual operating state for qualification, tax accounts and local or industry permissions before the relevant activity starts.

The registered agent’s service address does not automatically become the operating office or a bank-accepted business address. Budget state filing and qualification charges, agent renewals, accounting, tax preparation, licences and any professional coordination separately. Capital committed to the subsidiary is an investment, not a formation fee. A tailored quote needs the state footprint and transaction model, not just the parent’s country.

For coordination of the state filing, registered-agent arrangements, EIN and initial compliance calendar, the US company registration service overview describes the general setup scope. Agency acceptance, tax positions and financial-institution decisions still have their own completion evidence.

The same funding record will later be read by two finance teams. Connecting the approval, transaction document and ledger entry now prevents them from reconstructing the transfer differently at year end.

A transaction bridge between the Singapore parent and US subsidiary Singapore approval supports capital, loan and service records. These feed the US ledger, which must reconcile with both the US filing review and Singapore tax evidence. Use a funding-to-filing reconciliation before the first transfer

Create the working sheet below before money moves. Give each transfer an identifier and retain its currency, date, payer, payee, exchange-rate basis and supporting approval. Funding-to-filing reconciliation means the Singapore entry and the US entry describe the same commercial event, even when their tax treatment differs. The sheet is an internal control, not an ACRA, IRS or IRAS form.

Proposed movement Evidence to settle first Close-out question
Equity funding Parent approval, subscription or contribution terms, ownership register and bank trail. Does the recorded ownership and investment balance match what the parent authorised?
Intercompany loan Signed principal, currency, interest, repayment and approval terms. Do both ledgers agree on principal, accrued interest and repayment dates?
Singapore services charged to the US company Service scope, beneficiary, charging basis, invoice and performance records. Can finance explain what the subsidiary received and how the price was set?
Parent pays a US supplier directly Supplier invoice, actual beneficiary and agreed recharge, loan or contribution treatment. Has the payment been captured even though no money entered the subsidiary’s bank account?
Cash returned to Singapore Document whether the payment is a dividend, loan repayment, service payment or another category. Has the tax reviewer approved that category before treasury releases the money?

For example, assume the parent pays a US incorporation supplier and later funds the subsidiary. This is an illustration, not a client case. Do not combine both amounts into an unexplained opening balance. Finance should identify who incurred the expense, whether the parent expects repayment and which approval supports the treatment. The result gives the tax preparer a transaction history rather than only a bank statement.

Under IRAS transfer-pricing guidance , related-party pricing must follow the arm’s-length principle. Apply the documentation thresholds and exemptions to the actual Singapore taxpayer and transaction; being small does not itself establish an acceptable price. A signed contract records the arrangement, but finance must also support the services, loan terms or other pricing used.

Appoint one Singapore owner and one US owner for this sheet. Require them to resolve differences before the first close, and keep a log of any later reclassification. This is particularly useful where a formation provider, treasury team and tax preparer each hold only part of the record.

Check the funding handoff

Review the proposed capital, loans and service charges with the people who will keep the books and prepare the returns.

Assign federal filings without confusing tax, BOI and banking

Apply for the subsidiary’s own EIN using its legal identity. The current Form SS-4 instructions require a natural-person responsible party for a nongovernment applicant. The Singapore parent’s UEN is not that person’s US taxpayer number. Where the person has no SSN or ITIN and is ineligible for one, the instructions permit “foreign” or N/A on line 7b. Do not appoint a nominee merely to fill the field.

Online EIN eligibility depends on the applicant’s actual US residence or business/office facts. Applicants outside those eligibility conditions must use an available international telephone, fax or mail route under SS-4. The IRS service is free. Its fax guidance is generally four business days; mail instructions say to apply at least four to five weeks ahead. Keep the assigned-number notice and avoid duplicate applications while one is pending.

For a US corporation at least 25% foreign owned, Form 5472 instructions require reporting when it has reportable related-party transactions, subject to stated exceptions. Attach the form to the applicable income-tax return. A wholly foreign-owned US disregarded entity instead files required Form 5472 with a pro forma Form 1120; formation contributions and distributions can be reportable even without sales.

Calendar the applicable Form 1120 due date, including a valid extension. The disregarded-entity route uses the dedicated fax or mailing procedure and cannot electronically file Form 5472 under the current instructions. Its extension uses Form 7004. Failure to file properly can trigger an initial USD 25,000 penalty. Ask the preparer to confirm related parties, transactions, delivery method and proof of timely filing; this information return does not resolve the foreign parent’s own US income-tax exposure.

FinCEN reporting follows a different test. FinCEN’s current BOI notice , checked October 26, 2026, states that US-created companies are exempt under the final rule effective August 14, 2026. Singapore ownership does not turn a US-created subsidiary into a foreign-law entity. Registering the Singapore parent itself in the United States requires a separate foreign-reporting-company analysis.

A BOI exemption does not remove IRS reporting or a bank’s ownership checks. For banking, prepare the entity and parent documents, ownership/control evidence, authorised signers, addresses and business-purpose explanation requested by the institution. Obtain its current checklist before assuming remote onboarding is available. Formation and an EIN do not guarantee account approval, payment-platform access, immigration permission or a licence.

Test cash returning to Singapore before choosing the tax boundary

A corporate subsidiary and a disregarded LLC can produce different tax pathways for the same commercial profit. Ask the US adviser to model the subsidiary’s or parent’s income-tax exposure, then separately analyse the proposed outbound payment. IRS Publication 515 describes US withholding on payments to foreign entities, including dividends. Do not put a reduced dividend rate into the business case without a verified basis for relief and the required recipient documentation.

At the Singapore end, IRAS guidance on foreign income allows qualifying Singapore tax-resident companies to claim exemption for specified foreign income, including foreign dividends. The conditions include foreign tax having been imposed, a foreign headline corporate rate of at least 15% when the income is received, and the Comptroller being satisfied that exemption is beneficial. Foreign dividend tax or underlying tax can be relevant to the subject-to-tax condition. Incorporation in Singapore alone does not establish entitlement.

Build the evidence file before the first dividend: identify the paying entity, the profits being distributed and acceptable proof of foreign tax. IRAS sets out supporting-document routes and a five-year retention requirement from the relevant Year of Assessment. A US LLC cash transfer should not be labelled an exempt foreign dividend without first resolving its Singapore characterisation. Exemption on the Singapore receipt also does not refund US withholding automatically.

Run two business-case versions with advisers: retaining earnings in the US business, and returning cash to Singapore. Include the intended payment category, timing and evidence needed for each. Where the result turns on an unresolved LLC classification or relief claim, settle that issue before paying to implement a structure. A cheaper filing cannot compensate for a tax outcome the group has not accepted.

Choose the structure both finance teams can maintain

For a Singapore group seeking a separate US corporate taxpayer and a conventional shareholding platform, begin the analysis with a C corporation. Choose a wholly owned LLC only after the US and Singapore advisers have accepted its classification and parent-level consequences. The decision should follow the operating and cash-flow model, with the selected state recorded explicitly.

Close the formation work when the accepted state certificate, ownership evidence and governance authorities agree; the EIN has been received; operating-state registrations and permissions have owners and any necessary approvals; and both finance teams have signed off on the opening transactions and filing calendar. Accepted formation and readiness to operate are separate milestones. Keep any unresolved bank or licence application visible rather than calling the entire expansion complete.

If the secretary cannot establish signing authority, the ledgers disagree about the first funding, or the tax reviewers cannot classify the intended return of cash, resolve that specific issue before the next transaction. The useful next instruction is a named person, a missing document and the decision it will unlock.

Prepare a reviewable formation instruction

Confirm the selected entity, state footprint, authorised owners and unresolved tax decisions before the filing team proceeds.

Frequently asked questions

Must the Singapore parent’s directors all become US directors?

Ownership and board appointments are different decisions. Specify the US governance model, who will accept each office and who can bind the subsidiary; have counsel check the selected state’s requirements rather than copying the parent’s board automatically.

Should the individual founder hold the US shares temporarily?

If the intended owner is the Singapore company, record that owner correctly from the outset. Temporary personal ownership introduces a later transfer, different tax facts and additional documentary work that should be reviewed before use.

Does a second US state require another subsidiary?

Sometimes the existing subsidiary can qualify to do business there. Compare qualification with a separate entity only after identifying the activity, liability and tax reasons for the additional structure.

Can the group send the same document bundle to every bank?

Keep one consistent source file, then tailor the submission to the institution’s current checklist. Certification, document age, signatory and address requirements can differ, and an earlier institution’s acceptance does not bind another.

What if the planned business changes after formation?

Review the new activity before launch. A change in employees, premises, inventory, ownership or intercompany payments may alter registrations, licensing, tax accounts and the compliance calendar even when the legal name stays the same.
