REGISTRATION BUDGET
Hong Kong Company Registration Cost: A Fee Breakdown
Separate statutory charges, professional scope and cash funding before approving the formation invoice.
Hong Kong company registration costs start with a government bill of HKD 3,895 for electronic incorporation of a standard private company limited by shares with a one-year Business Registration Certificate, where the related incorporation submission falls between 1 April 2026 and 31 March 2027. Professional services and conditional expenses come on top unless expressly included; HSJGlobal’s published filing-coordination service starts from USD 499.
Build the budget from the filing method, certificate term and accepted service scope. Keep HKD government obligations and USD service invoices identifiable, then check whether the same official fee has already been funded inside a supplier’s bill.
Key takeaways
- Paper submission adds HKD 175 to the same one-year-certificate government bill; the difference is the CR filing charge.
- A published service starting price identifies a support level. Written inclusions determine which extra invoices you still need.
- Subtract a supplier-funded statutory allocation only when the accepted invoice expressly covers it; unexplained inclusions leave the budget unresolved.
- Separate renewals, refundable deposits and business funding from registration spending so the initial invoice remains comparable and auditable.
The government bill depends on filing method and certificate term
For a standard Hong Kong private company limited by shares, the statutory bill has two components: the Companies Registry (CR) incorporation application fee and the Inland Revenue Department (IRD) Business Registration Certificate (BRC) fee and levy. They can be collected through the same application without becoming one interchangeable charge. The figures below were checked on 17 October 2026.
| Statutory item | Electronic application | Paper application |
|---|---|---|
| CR incorporation application, once | HKD 1,545 | HKD 1,720 |
| One-year BRC registration fee | HKD 2,200 | HKD 2,200 |
| One-year BRC levy | HKD 150 | HKD 150 |
| Government total with one-year BRC | HKD 3,895 | HKD 4,070 |
The CR fee schedule supplies the filing charges; the IRD fee and levy table supplies the certificate amounts for 1 April 2026–31 March 2027. Electronic filing therefore reduces this statutory bill by HKD 175. These totals exclude professional work, secretary and address services, third-party expenses and ongoing compliance.
For a local company applying through CR, the first BRC charge follows the date of the related incorporation submission; its validity starts on incorporation. Renewal charges instead follow the renewal certificate’s commencement date. The relevant charging date matters more than the year printed on an article. Recheck the IRD table if submission crosses a charging-period boundary.
A three-year BRC is an available election under the one-stop registration arrangements . At the same current charging period, its fee and levy total HKD 6,170, producing an electronic statutory bill of HKD 7,715 or a paper bill of HKD 7,890. This changes the certificate term and cash paid upfront; it does not prepay all corporate services for three years. Confirm the election before approving payment.
Confirm the statutory payment basis
Share the intended submission date, filing method and certificate term so the government lines can be checked before the service scope is priced.
What HSJGlobal’s USD starting prices cover
HSJGlobal’s public figures are service starting prices in USD, checked on 17 October 2026. They are not fixed HKD quotations or confirmed complete first-year budgets. The scope distinction is useful before requesting an itemised invoice:
| Public service level | Starting price | Scope and qualification |
|---|---|---|
| Filing coordination | From USD 499 | Straightforward filing with an existing eligible secretary and registered office. Government-fee inclusion must be specified. Banking, accounting, audit and tax excluded unless quoted. |
| First-year company support | From USD 899 | Standard private-company formation support. Secretary, registered office and initial Significant Controllers Register (SCR) support may be included; obtain written confirmation. |
| Expanded setup support | From USD 1,499 | Corporate shareholders, ownership layers or extra document coordination. Initial tax discussion and bank-application preparation depend on the agreed scope. |
Published terms do not establish every deliverable, service duration, renewal price or cancellation provision. Confirm government fees, third-party costs, service end dates and exclusions in writing for the selected level. Tax treatment and account approval remain decisions for the relevant authority or provider.
The underlying company formation process in Hong Kong combines the incorporation information, articles and business-registration notice. Once those tasks are identified, the invoice should distinguish their preparation from government payments and separately contracted local support. A formation label alone does not establish which supplier will perform each task.
Build a registration bill without counting charges twice
Use two currency columns and a statutory-fee reconciliation rather than adding every advertised number. This is an editorial budgeting method, not an HSJGlobal quotation. It works with your actual written scope whether the supplier collects government charges or you pay them separately.
- Choose the government baseline G: filing method, BRC term and applicable charging date determine the amount.
- Record A: the explicit HKD statutory amount the supplier undertakes to settle within its quoted invoice. Use zero only when the scope expressly excludes all government charges.
- Calculate the direct statutory allowance as G minus A. An unexplained inclusion is an unresolved line, not evidence that A equals G.
- Add each signed service invoice and separately quoted expense once, in its original currency. Remove an extra only when the signed scope identifies it as included.
For an electronic application with a one-year BRC in the current charging period, G is HKD 3,895. If a signed USD invoice excludes statutory charges, A is HKD 0: budget HKD 3,895 separately, alongside that USD invoice. If a different signed USD invoice expressly settles the entire statutory bill, A is HKD 3,895: the direct statutory allowance is HKD 0, alongside the full USD invoice. The two USD invoice amounts must come from their respective quotes; the advertised USD 499 start cannot supply either missing contractual amount.
| Budget field | What you enter | Evidence needed |
|---|---|---|
| HKD direct government allowance | G minus A | Current official rates and written allocation |
| Supplier invoices, by currency | Full payable amount once | Accepted scope, currency and payment schedule |
| Extra services and expenses | Only amounts outside the invoices above | Separate price or capped authorisation |
| Unpriced items | Description, responsible party and pricing deadline | Written clarification before budget approval |
Keep included fees traceable : identify the invoice line that funds each statutory component. If A exceeds G, or two suppliers both claim the same disbursement, ask for a corrected allocation before payment. A deduction is valid only where the invoice actually absorbs that expense. Retain the official payment receipt later to reconcile the estimate with the amount disbursed.
The distinction between the invoice currency and the obligation it settles is the key to keeping a government fee from entering the budget twice.
Price the extras that your ownership and documents trigger
Additional costs should follow an identifiable task, recipient requirement and quoted unit. A corporate shareholder can add ownership-chart and foreign-company document work; documents in another language can add translation. Neither condition justifies an unexplained flat surcharge. Ask which document, version and receiving institution require the work before authorising it.
- For secretary, address and SCR work, record the start date, end date, actual provider and whether initial registers, designated-representative arrangements and routine changes are within scope.
- For certification, translation, notarisation or courier delivery, obtain the required document count, charging unit, supplier and approval limit. Authorise only the work the recipient requires.
- For mail handling, extra owners or document revisions, ask what usage or event creates a further charge and whether a cap is available.
- For banking, accounting, audit, tax, licences or immigration work, list any separately requested engagement and its price; a formation invoice is not evidence that these services are funded.
Compare the quantity of work as well as its name. “Address service” could leave forwarding charges outside the subscription, while “bank support” needs a defined preparation task and endpoint. The review of charges omitted from a formation headline helps identify contractual omissions; the reconciliation here turns the confirmed inclusions into a payable budget.
If a proposed extra appears after acceptance, request its trigger and price in writing, compare it with the accepted exclusions and approve or decline the additional work explicitly. A revised scope is more useful than an informal assurance that everything is covered.
Define the extra work before it is billed
Identify corporate owners, foreign-language documents and local support already arranged so the proposal can assign the remaining tasks and charges.
Check currency, tax and payment conditions
Keep HKD and USD subtotals separate until a real payment or conversion basis is available. A currency label is part of the price: USD 899 cannot be read as HKD 899, and it cannot be added directly to HKD 3,895. No exchange rate is assumed in these calculations.
If you need one HKD cash forecast, use the actual bank or payment-provider rate available for the expected payment, retain its timestamp and add disclosed conversion or transfer fees. Label the result an estimate and preserve the original USD price. A later settlement rate may change the cash paid without changing the supplier’s USD invoice.
Hong Kong has no general value-added or sales tax, as the government tax-policy statement confirms. Do not add an assumed Hong Kong GST percentage to the registration bill. For cross-border services, verify the invoicing entity and the legal basis of any separately charged tax; this calculation does not determine another jurisdiction’s treatment.
Before transferring money, confirm the contracting entity, payment currency, amount due now, balance date and treatment of unused disbursements. Separate cancellation terms for professional work from any official refund entitlement. Written payment instructions should match the accepted invoice; retain that version when reconciling later charges.
Keep anniversary costs outside the incorporation invoice
The incorporation invoice and the first anniversary budget have different clocks. For a newly incorporated local private company, plan the first annual return, Form NAR1, around the first incorporation anniversary. Under the current private-company annual-return rules , delivery within 42 days after the anniversary attracts a statutory registration fee of HKD 105. The filing service, if purchased, is a separate charge; late statutory fees are higher.
For a company incorporated in October 2026 with a one-year BRC, a renewal commencing in October 2027 falls outside the IRD charging period used above. Do not describe HKD 2,350 as its confirmed renewal amount. Recheck the applicable table for that commencement date. A three-year certificate changes the BRC renewal calendar but does not remove annual-return or separately contracted service costs.
Maintain a future-cost schedule for secretary and address renewals, records and mail services, bookkeeping, financial statements, audit and tax work as applicable. Obtain the billing period and workload assumptions, such as transaction volume, before treating a professional fee as budgeted. Share subscriptions, operating cash, bank balances and refundable deposits belong in a separate funding schedule: cash required for the business is not automatically a consumed registration fee.
Approve the registration budget against the signed scope
Approve the registration budget when the government baseline matches the intended submission, the invoices assign every included statutory charge, and the original-currency subtotals contain each purchased service once. Any required unpriced task needs a written price or spending cap before you treat the budget as complete. An attractive starting price is sufficient to begin a scope discussion, not to approve an unidentified final bill.
After payment, match the supplier invoice, official receipt and issued certificate term against the accepted scope. Resolve duplicate disbursements, unexplained currency changes or missing services before marking the registration spend reconciled. Keep future renewal and operating funds on their own schedules so the first registration payment remains auditable.

Frequently asked questions
Can the incorporation application fee be refunded if the application fails?
The CR schedule allows an application for a refund of HKD 1,280 for an unsuccessful electronic application or HKD 1,425 for a paper application. These are specified components, not a promise to refund the whole registration bill or professional service fees. Check the separate contract terms.
Should I pay for overseas document certification before a recipient asks for it?
First confirm the receiving institution’s requirements and the accepted form of each document. Certification, translation, notarisation and legalisation are different services. Paying for one does not establish that another recipient will accept it.
Does a three-year BRC lock all government charges for three years?
It pays for that certificate term at the applicable charge. It does not prepay annual-return registration fees or professional services, and it does not establish the charge for a later renewal certificate.
Can bank preparation be priced as a guaranteed account?
Application preparation can be a defined paid task. The bank or payment provider makes the approval decision. Require the quote to identify its preparation deliverables and payment terms without treating approval as a purchased outcome.
What should happen to unused third-party expense allowances?
Ask the contract to distinguish fixed service charges from advances for actual expenses, then specify how unused balances and supporting receipts will be handled. Do not assume that a cancellation clause for professional work also governs those balances.
