PRIVATE COMPANY FORMATION

Hong Kong Company Registration: Requirements and Setup Costs

Match the people, documents and local appointments to the money needed before filing.

A standard Hong Kong private company limited by shares needs an agreed ownership structure, at least one individual director, a qualifying company secretary and a Hong Kong registered office. Non-residents can incorporate. For an electronic application with a one-year Business Registration Certificate, the current government subtotal is HKD 3,895; professional support and operating costs sit outside that subtotal.

Treat registration readiness and budget approval as one decision: identify who will supply each required role and document, then obtain a written scope for anything you are buying. The figures below apply to a new local private company, rather than a guarantee company, an overseas-company registration or a regulated business licence.

Key takeaways

  • A single owner can form a company, but a sole director needs a separate eligible secretary; resolve that appointment before preparing the filing.
  • The government amount depends on the filing channel and the applicable business-registration charging period, so date the budget rather than copying an old quote.
  • Share capital is funding committed to the company, whereas incorporation fees pay for registration; keep these amounts in different budget lines.
  • A usable handover includes the issued certificates and responsibility for company records and renewals, with banking or licensing tracked separately.

Which requirements must be settled before filing?

For a standard private company, settle the legal roles before purchasing a formation service. The Companies Registry (CR) confirms that non-residents may incorporate a local company and that at least one founder member is required. The incorporation form must identify the first directors, secretary and Hong Kong registered office; leaving these details blank can cause rejection.

Requirement What to establish Practical consequence
Founder member and shares Identify the subscriber and agree the initial share allocation. Resolve ownership before drafting; a trading name does not identify the legal owner.
Director Appoint at least one natural-person director; a non-resident can act. An overseas director does not remove the need for local secretarial and address arrangements.
Company secretary Use an individual ordinarily resident in Hong Kong, or a body corporate with a Hong Kong registered office or place of business. A sole director cannot also act as that company’s secretary.
Registered office Confirm an address situated in Hong Kong and the arrangement for using it. Check who receives official mail and passes it to the company.

The CR director and secretary guidance supports the appointment rules above. When a founder performs several roles, map each role separately rather than assuming that being an owner authorises every appointment. A sole director cannot be the same company’s secretary. Check the actual proposed appointment, not merely the service description on an invoice.

The underlying Hong Kong company formation requirements also involve choosing the company type and preparing its constitution. If an existing overseas company intends to establish a Hong Kong place of business, review that registration route first; creating a new subsidiary is a different decision. A charity or membership organisation may likewise require a different structure.

Resolve the missing local appointment

If the director, secretary or registered-office arrangement is still unsettled, identify that dependency before committing to a filing date.

What government setup fees apply now?

For a new private company limited by shares, electronic delivery currently produces a lower government subtotal than paper delivery. The following amounts were checked on October 17, 2026, using the CR incorporation application fees and IRD Business Registration Fee and Levy Table . The certificate choice here is one year, and the incorporation submission falls between April 1, 2026 and March 31, 2027.

Government payment Electronic filing Paper filing
CR incorporation application, paid on submission HKD 1,545 HKD 1,720
One-year business registration fee HKD 2,200 HKD 2,200
Business registration levy HKD 150 HKD 150
Government subtotal for this scenario HKD 3,895 HKD 4,070

These subtotals are arithmetic: 1,545 + 2,200 + 150, or 1,720 + 2,200 + 150. They exclude secretary and address services, professional work, document handling, banking, accounting, audit, tax work and licences. HKD 175 is the difference between these two government filing subtotals; it does not establish which channel will be cheaper after preparation and service charges.

For the first certificate obtained through CR, the Inland Revenue Department (IRD) bases the charge on the related incorporation submission date, while the certificate starts on incorporation. Renewal charges use the renewal certificate’s commencement date. Recheck the official table if the project crosses a charging-period boundary; an October estimate should not silently become a later fixed government price.

Turn the requirements into a budget release test

Use a four-part release test before authorising payment. It connects evidence you need with work you may already have covered, so a missing legal appointment does not disappear inside a low filing price. The test is an editorial planning method, not an additional Registry requirement.

Decision gate Evidence to hold Budget question
Ownership is agreed A consistent owner list, share allocation and authority for any corporate subscriber. Does the quote cover this ownership structure or only individual shareholders?
Local roles are assigned The named secretary and registered office, with agreed service responsibilities. Are these existing arrangements, or must you buy them and for what term?
Submission can be signed Aligned particulars for the application and articles, plus a workable signing arrangement. Will translation, certification or extra coordination be needed for this file?
Handover has an owner A named person receiving certificates, records, notices and renewal reminders. Which tasks end at incorporation and which continue afterwards?

Give the preparer a single source of agreed names, addresses, ownership and business activity. A formation document checklist tied to each participant helps distinguish the filing inputs from identity and ownership evidence requested during service-provider due diligence. Ask the recipient to specify any certification or translation requirement before paying for it; overseas origin alone is not a reason to order every possible authentication service.

For a company shareholder, establish who can approve and sign the investment and how its ownership will be explained. Do not budget a corporate subscriber as if it were merely another individual name. A longer document trail can change the coordination work even when the statutory incorporation charge is the same.

Share funding belongs in a separate part of the plan. Hong Kong’s mandatory no-par share regime retains the distinction between issued, paid and partly paid capital. The incorporation FAQ on paid-up capital states no minimum paid-up capital under the Companies Ordinance. Share capital is not a government registration fee. Decide the subscription and payment arrangements deliberately; regulatory capital, where applicable, needs a separate review.

Bring these commitments together before selecting a support level: government payments, purchased services and funds retained by the company have different destinations and different renewal consequences.

Separate registration spending from company funding Government fees and contracted services form registration spending. Share subscriptions and operating funds remain separate. Each stream must be assigned before approving the budget. Registration spending Company funding Government fees Choose channel and date Share subscriptions Agree paid and unpaid sums Contracted services Check term and exclusions Operating cash and balances Keep outside fee subtotal Approve budget Assign every payment and owner
Approve the spending and funding streams separately; the same cash item must not be counted in both.

Price professional support without double counting

HSJGlobal’s public service starts, checked October 17, 2026, are in USD. Filing coordination starts at USD 499 for straightforward applications with an existing eligible secretary and address. First-year company support starts at USD 899 and may include secretary, address and initial Significant Controllers Register (SCR) work. Expanded setup support starts at USD 1,499 for corporate shareholders, layered ownership or extra document coordination; tax discussion and bank preparation depend on the agreed scope.

The written quote must confirm government-fee treatment, exact inclusions, service periods and renewals. Banking, accounting, audit and tax work are excluded from filing coordination unless quoted. Expanded support does not guarantee a tax conclusion or account approval. Full delivery counts, renewal prices and cancellation or refund terms are not publicly specified; obtain them in writing. These are service starts, not complete first-year totals, and the original USD amounts have not been converted into fixed HKD prices.

Use a currency-separated calculation

Start with the government subtotal for your filing scenario. Add only quoted services and third-party expenses that are not already included. If the provider collects the statutory amount, identify it within the quote rather than adding it a second time. Keep a HKD column and a USD column until you choose a documented exchange rate and account for any payment-provider conversion charge.

  • Record one-time work: incorporation preparation and submission, plus any specifically required document handling.
  • Record term-based services: secretary, registered office, mail handling and any agreed records support, with start and end dates.
  • Record conditional extras: additional ownership layers, translations, certification, courier charges or activity-specific advice, only when actually required.
  • Record funds separately: share subscriptions, operating cash, bank balances and refundable deposits are cash needs rather than formation-service revenue.

For an electronic filing with existing local support, the known government component is HKD 3,895 and the applicable published service starting point is USD 499. That is a two-currency starting calculation, not an all-in quote. If you need new secretary and address arrangements, the USD 899 level is a different scope to investigate; do not assume its conditional inclusions are confirmed or add both service levels together.

Ask the contracting supplier to state the invoicing entity, any applicable tax treatment and third-party pass-through charges. Written inclusions and exclusions matter more than a package label when you compare proposals. Leave unpriced work visible in the budget as an unresolved purchase decision instead of assigning it a zero cost.

Reconcile the quote with the budget

Bring the proposed ownership, existing local support and itemised quote so the government payments and service commitments can be checked together.

Submit the application and verify incorporation

Once the roles, evidence and budget are settled, use the official company registration procedure to organise submission. The required set for a company limited by shares is Form NNC1, the articles of association and Notice to Business Registration Office IRBR1, with the correct fees. Company-name acceptance remains subject to CR processing; a search does not reserve approval.

  1. Confirm the proposed name and company type before the final document review.
  2. Prepare consistent particulars and articles; arrange the necessary signatures and director consents.
  3. Use a registered user’s e-Filing Services account at the Companies Registry e-Services Portal for electronic delivery, or arrange hard-copy delivery.
  4. Pay the correct amounts, retain the submission and payment records, and monitor the registered account and contact channel for queries.
  5. Resolve any requested correction, then download or collect the issued Certificate of Incorporation and Business Registration Certificate.

CR states that electronic certificates for private companies limited by shares are normally issued within one hour, while paper certificates for companies limited by shares normally take four working days. These are Registry processing expectations, not a clock running from your first enquiry. Budget time for document collection, due diligence, signatures and corrections separately; do not commit an operating launch solely against the certificate estimate.

Check the issued company name and incorporation date against the approved instruction. If information differs, clarify the correction route before distributing inconsistent company particulars. Keep the certificates accessible to the company, rather than relying on a screenshot from an intermediary. Incorporation evidence does not by itself establish banking, sector-licensing or permission-to-work outcomes.

Assign records and renewal costs at handover

Registration creates an ongoing company, so close the setup project with responsibilities rather than certificates alone. CR’s Significant Controllers Register overview explains the obligation to obtain and maintain beneficial-ownership information. Establish who maintains the SCR and other company records, how changes reach that person, and what the purchased support actually covers.

For a local private company, annual return guidance requires Form NAR1 within 42 days after the incorporation anniversary; the on-time registration fee is HKD 105. This is distinct from business-registration renewal and professional preparation charges. CR’s annual-return fee bands show the higher amounts for late delivery, so diarise a preparation date ahead of the deadline rather than treating the anniversary as the filing date.

Request the next renewal dates and the supplier’s renewal scope now. Secretary and address charges, bookkeeping, financial reporting, audit and tax work are separate planning lines unless the contract includes them. Do not project today’s first-year service start or business-registration charge across every future year. Retain the agreed terms with the company records so another director or finance lead can reconstruct the budget.

Approve a registration budget only when its owners are clear

Proceed with the standard private-company filing when the owners, director, eligible secretary and Hong Kong office are agreed; the application inputs align; and someone has accepted responsibility for the handover. Approve the government payment separately from the professional scope and company funding, using the relevant submission date and certificate choice.

Pause a fixed-price or fixed-date commitment if ownership authority is unclear, a required local appointment is missing, or a low quote leaves essential services unassigned. Resolve those items first. Your next useful instruction is a complete formation brief with a dated cost breakdown and named owners for records and renewals, rather than a request to file before those dependencies are settled.

Prepare a filing-ready instruction

Share the agreed owners, director, secretary, registered office and intended activity to establish which documents and service terms still need confirmation.

Frequently asked questions

Can a director own all the shares?

Ownership and directorship are different roles. A single founder member is permitted, and an individual can be both owner and director; the separate rules for a sole director and company secretary still apply.

Does a company-name search protect a trademark?

No. Company registration and trademark registration serve different purposes. Check the proposed brand separately rather than treating a name-search result as permission to use it commercially.

What if the application is unsuccessful?

CR distinguishes the registration fee from the non-refundable lodgement fee. Its incorporation FAQ sets out the refundable portions. A provider’s cancellation or refund terms are a separate contract question.

Are electronic certificates legally weaker than paper certificates?

No. The Companies Registry states that electronic and hard-copy certificates have the same legal effect. Keep the issued documents and reliable company access to them.

Should every third-party expense be prepaid?

Agree the specific requirement, responsible supplier and payment trigger first. A conditional document or courier charge should not be treated as mandatory merely because it appears on a generic list.
