Hong Kong Company Renewal Costs: What Changes in Year Two?

Reconcile what ends at incorporation with what becomes due as the company continues.

Year two replaces a one-time incorporation purchase with recurring corporate services and compliance work. At currently published rates, a one-year business-registration renewal within the 1 April 2026–31 March 2027 band is HKD 2,350; an on-time private-company annual return adds HKD 105. The HKD 2,455 combination is a defined government subtotal, not the company’s full annual cost.

Secretary, address, accounting, audit and tax work need separately scoped renewals. If your next certificate starts outside the published fee band, treat today’s rates as a planning reference and recheck the official demand before paying.

Key takeaways

  • Incorporation does not need to be purchased again simply because the anniversary arrives.
  • NAR1 and business registration create separate obligations and separate completion evidence.
  • An introductory first-year service price cannot establish the next annual renewal rate.
  • Accounts can create a later cash bill for activity already undertaken, so track the period being invoiced.

Reconcile the first bill with the second-year government bill

Consider a hypothetical private company incorporated electronically on 15 January 2026 with a one-year Business Registration Certificate. At that filing date, the official amounts were HKD 1,545 for incorporation and HKD 2,200 for business registration. Its first government commitment was therefore HKD 3,745. The IRD fee-and-levy table places a renewal starting on 15 January 2027 in the HKD 2,350 one-year band. An on-time first annual return adds HKD 105 under the private-company return rules .

Dated comparison for the same hypothetical company; these are government components only, not complete service or operating totals.

Government item At formation: January 2026 First anniversary: January 2027
Incorporation application HKD 1,545 No repeat incorporation application
One-year business registration HKD 2,200 HKD 2,350
On-time Form NAR1 No first-anniversary return yet HKD 105
Defined government subtotal HKD 3,745 HKD 2,455

The difference is HKD 2,455 minus HKD 3,745, or a reduction of HKD 1,290. Its components are minus HKD 1,545 for the non-recurring application, plus HKD 150 for the business-registration levy difference and plus HKD 105 for NAR1. A lower government bill does not prove that the full second-year bill will fall. Professional renewal prices, accounting workload and introductory discounts can move in the opposite direction.

The dates matter. The calculation is not a forecast of every company’s 2027 renewal. For an October 2026 incorporation, the October 2027 renewal falls beyond the period priced in the currently cited table. Use the official demand and the fee schedule applicable to that certificate when available. The baseline was verified on 29 October 2026; it is not a locked future tariff.

Check the first renewal trigger

Use your issued certificate and incorporation date to identify the bill that actually comes next.

Put each renewal on its own clock

A company does not renew its incorporation in the same way that it renews a time-limited certificate. The legal entity created by company formation in Hong Kong continues, subject to its ongoing obligations. The anniversary creates a company-return duty, whereas the business-registration certificate and commercial service contracts have their own periods.

For an ordinary local private company, NAR1 is due within 42 days after the incorporation anniversary. The filed information is a snapshot of company particulars. It does not renew an address contract, pay the IRD or file a Profits Tax Return. Assign the return preparation and the government payment separately, even if one provider performs both tasks.

Under the IRD renewal procedure , a demand note is normally issued around the middle of the month before the new certificate period starts. Retain the receipted demand as evidence of renewal. Do not treat an unreceived envelope as proof that nothing is due: check the certificate expiry, correspondence address and payment status while there is time to correct delivery problems.

Build a calendar with four anchors: incorporation anniversary, BRC commencement and expiry, secretary/address expiry, and accounting reference period. Add the actual dates printed on tax notices. A provider’s annual invoice can cover several anchors, but that does not merge the underlying legal deadlines. Review business-registration renewal evidence separately from the NAR1 filing receipt.

Four clocks behind a first anniversary The formation date anchors the anniversary; commercial service expiries, business-registration coverage and accounting dates must be tracked independently. Formation January 2026 Service expiries Follow the contract First anniversary January 2027 BRC renewal and NAR1 Different evidence Accounting period and tax notices Track their own dates
Use the dated company example to distinguish the legal anniversary from other payment triggers.

Replace introductory offers with a renewal scope

Read the first-year order against the renewal offer. A discounted address can become a normally priced annual service, and initial controller-register setup may be replaced by ongoing updates. Determine whether the proposed renewal covers actual appointment, record custody, designated-representative arrangements, mail handling, routine changes and annual-return preparation. Each should have a defined service period .

HSJGlobal’s public formation page currently lists filing coordination from USD 499, first-year company support from USD 899 and expanded setup support from USD 1,499. Those are formation support starting points in USD. They are not published second-year renewal tariffs . The page explicitly leaves annual renewal and third-party charges for separate confirmation, so reusing USD 899 as a recurring annual bill would be misleading.

Ask for one renewal schedule stating professional fees, official disbursements and conditional work. Keep government fees in HKD and preserve the original currency of each supplier price. Hong Kong has no general VAT or sales tax ; if the contractual supplier adds a tax line, establish what transaction and jurisdiction it relates to. Do not add a generic VAT percentage to this budget.

If switching providers, compare the cost of continuity rather than only the new headline. Identify what records must move, who receives pending official mail and which appointment or address changes must be completed. Agree the handover date before cancelling the old arrangement. Keep an authorised copy of the current registers and a list of open filings so that a pricing disagreement does not become a missed obligation.

Scope the recurring services

Confirm the secretary, address and records work you want to retain through the next period.

Allow for accounts that arrive after the first anniversary

The first substantial accounting bill may be presented around or after the first anniversary even though the work relates to earlier activity. That is a timing issue, not automatically an unexpected new annual tax. Ask which financial period the engagement covers, what records are missing and whether the invoice is for preparation, audit, tax compliance or all three.

An audit exemption should not be inferred from a small sales figure. The Registry’s accounts-and-audit guidance distinguishes simplified reporting from the statutory dormant-company exception. A dormant status requires the applicable legal procedure; the dormant-company FAQ explains the special resolution and effective date. A year without revenue does not, by itself, establish that status.

Prepare a records handover covering bank and payment statements, customer and supplier invoices, expenses, shareholder funding and balances carried forward. Add inventory or related-party records if they exist. Clean files allow the accountant to assess work; a transaction count without supporting evidence does not establish a reliable audit fee. Neither the Registry nor the formation service starting price fixes that professional charge.

For internal planning, separate four buckets: predictable corporate renewals, activity-driven professional work, business taxes supported by a real calculation, and operating cash. A renewal budget should identify unpaid work from the previous period. Otherwise an apparently cheap year two may simply defer an accounting bill again. Track amounts already accrued and deposits already paid to avoid budgeting the same engagement twice.

A quiet business should make an explicit keep-open, dormancy or exit decision. Do not stop paying or filing as a substitute for the chosen legal route. Obtain advice on the company’s exact status, pending liabilities and applicable exceptions before relying on a reduced-obligation plan.

Choose the year-two action before services expire

First, verify certificate coverage and the next statutory dates. Second, agree who remains responsible for the secretary, address, records and mail. Third, close the accounting handover and obtain a scoped professional quote for the financial period actually due. Only then can you compare the second-year cash requirement with the formation-year purchase on a consistent basis.

Proceed with renewal when the business still needs the company and the obligations are funded. Escalate before expiry if the owner wants to close the company, is relying on dormancy, has missing records or cannot identify who will handle a deadline. Preserve the calendar and receipts as the evidence that the renewal plan was carried out.

Resolve the year-two decision

Bring the renewal demand, service expiry and accounting status into one action plan.

Frequently asked questions

Does a three-year BRC need annual repurchase?

Check the coverage printed on the certificate. A valid three-year certificate changes the business-registration payment schedule; it does not remove other annual corporate duties.

Can the provider use a different renewal date from incorporation?

The service contract can have its own period. Ask for the exact start and expiry dates, and identify any gap between the contract and statutory obligations.

Is a second-year price rise always a government increase?

No. It may reflect a changed professional scope, an expired promotion or more work. Reconcile each changed line to its own reason.

What if last year’s accountant has not finished?

Identify the unfinished financial period, fees already committed and outstanding records before instructing another engagement. Keep responsibility and deliverables clear.
