How to Form a US LLC from Chile: Setup and Tax Checks

Connect each registration milestone to the records needed before money moves.

A US LLC can be formed from Chile, but the first tax-recording event can precede its first customer payment. Decide the owner and operating state, complete that state’s filing, then coordinate the EIN and the US and Chilean reporting position. The worked route below is for a directly owned single-member LLC; it does not cover a regulated activity or assume a corporate election.

Before paying setup expenses, appoint someone to record owner funding and related-party transactions. An LLC described as disregarded for US income tax can still have information-return obligations, and its US classification does not determine Chilean treatment.

Key takeaways

  • Formation expenses and owner funding may matter to reporting before sales begin.
  • Wyoming is a filing example; another operating state can change the registration plan.
  • The state fee is USD 100, while annual state charges and professional work need separate budget lines.
  • A signed SS-4 and IRS assignment evidence support the EIN milestone without guaranteeing banking.
  • Chilean foreign-investment reporting requires its own assessment even where the investment earns no income.

Check the tax work before the first owner transfer

The first transaction may occur before the first sale. Paying a formation invoice personally, contributing startup cash or withdrawing an advance can create records the tax preparer needs. For a US disregarded entity wholly owned by a foreign person, the Form 5472 instructions include certain formation-related amounts, contributions and distributions within the reportable-transaction rules. Low turnover is therefore an unreliable test for whether the LLC has reporting work.

Set the scope before ordering documents: this route concerns an ordinary US LLC owned directly by one individual in Chile, with no corporate tax election. A cofounder, corporate owner, regulated business, US workplace or intended stock financing changes the review. Under IRS default LLC classification rules , adding a member can change the default federal classification. Keep a dated record of the actual member count. Do not use a one-owner checklist after the ownership facts change.

A Chilean connection also requires more than a passport check. Establish domicile and tax residence, whether the founder is an individual or an existing enterprise, and who owns the contracts and intellectual property. SII’s explanation of Chilean residence and foreign income reflects the general worldwide-income position for persons domiciled or resident in Chile. Special rules can affect a foreign individual’s first years in Chile; obtain an individual assessment rather than applying one rule to everyone.

Check the first transaction

Identify the intended member and initial payments before the setup order creates a recordkeeping gap.

Form the LLC through a state-specific submission sequence

Forming a US LLC from Chile requires choosing a state, appointing its registered agent, submitting that state’s formation document and retaining acceptance evidence before completing the EIN and tax setup. The following sequence uses Wyoming as a worked filing route, not a recommendation that every Chile-based founder use it. If operations are in another state, review that state first and establish whether an additional qualification is needed.

  1. Fix the ownership and operating facts. Record the single member, management authority, business activity and any US staff, premises or inventory. Obtain tax input before electing a classification.
  2. Check the name and agent. Use the Wyoming Secretary of State’s business search, confirm the LLC name requirement and obtain a Wyoming registered agent’s consent and exact filing details.
  3. Prepare the Articles of Organization. Follow the current WyoBiz registration route or official paper form; reconcile the principal-office, mailing and agent fields, organizer and contact details with the approved instruction.
  4. Review and authorize submission. The organizer should verify the complete filing preview, accepted signatures and payment method. Pay the government fee and any separately disclosed online payment charge.
  5. Retain the accepted record. Save the filed Articles, state entity number and acknowledgement. Check the official record for acceptance; a card charge or submission receipt alone is not proof of formation.
  6. Complete the internal and federal records. Sign the operating agreement, record the initial funding, apply for the EIN by an eligible route, and assign the tax and annual-report calendar.

The Wyoming Articles and filing instructions state a USD 100 formation fee and link to WyoBiz for online filing. Paper payment instructions differ from online card payment. Read the current portal instructions before creating or using any filing account, and retain access under the company’s control if an agent submits for you. State acceptance is the entity-creation milestone. It is not an EIN, a licence or a banking decision.

If the filing is rejected, match the rejection reason to the exact name, address, signature or agent field and correct through the registry’s stated route. Do not order a second LLC to solve an ordinary correction. For changes after acceptance, determine whether an amendment or another update is required. The US company formation process starts with the state filing, while the Chilean owner’s tax and operating permissions remain separate workstreams.

Prepare the SS-4 and retain an auditable EIN record

Use the accepted legal name and formation date when preparing Form SS-4. Identify the real responsible party and distinguish the LLC’s mailing address from the location of the business. A paid organizer is not automatically the responsible party. Keep a signed copy, authorization for any designee, submission evidence and the IRS assignment notice in the same controlled folder.

The IRS SS-4 application instructions allow international phone, fax and mail routes subject to eligibility. Applicants with no legal residence, principal place of business, or principal office or agency in the US or its territories cannot use the online application. A registered-agent subscription alone should not be used to invent US operating facts. For line 7b, the instructions permit “foreign” or “N/A” when the responsible party has no SSN or ITIN and is ineligible to obtain one.

IRS guidance describes fax assignment generally within four business days and mailed assignment in approximately four weeks; it also recommends submitting a mailed SS-4 four to five weeks before the number is needed. These estimates start with the relevant IRS process, not with a service order placed in Chile. State review, document correction and banking have separate timing. Use only one EIN application method for the entity. If a response is delayed, investigate the existing application before creating a duplicate.

The formation documents and EIN request should agree on the legal identity without pretending every address serves the same function. The cross-border formation document preparation checklist helps separate identity, authority and company evidence. Store the Chilean source documents, any recipient-required translations and the corresponding English data sheet together so a later reviewer can reconcile names and dates.

Reconcile the owner ledger

Bring funding, invoices and planned withdrawals into one file for the US and Chilean preparers.

Build a transaction-to-filing ledger for both countries

A useful ledger links each event to its evidence and a filing question. The model below is an original planning tool derived from the IRS reporting instructions and SII foreign-operation guidance; it does not decide tax liability automatically. Start it when the formation cost is paid, not when bookkeeping software first imports bank receipts.

Event Keep this evidence US review Chile review
Founder pays setup invoice Invoice, payer, currency and date Owner funding or other related-party transaction Investment basis and local reporting treatment
Cash enters LLC account Transfer instruction and source-account statement Contribution, loan or payment classification Foreign investment and source of funds
LLC receives customer income Contract, delivery location and invoice Income source, activity and any withholding Recognition, entity treatment and foreign-income analysis
Funds return to the founder Authorization and distribution or repayment record Reportable transaction and owner consequences Character, timing and any foreign-tax relief evidence
Second member joins Admission agreement and effective date Classification change and return transition Ownership and foreign-operation record changes

For the one-owner disregarded route, assess Form 5472 with a pro forma Form 1120 where reportable transactions exist, even when no regular entity income-tax return would otherwise be required. The IRS instructions specify a dedicated fax or mailing route for foreign-owned US disregarded entities and do not permit electronic filing of their Form 5472. They also describe an initial USD 25,000 failure penalty. The preparer should document the return due date, any Form 7004 extension and proof of actual submission.

In Chile, SII’s foreign-investment reporting FAQ says foreign investments must be informed even where no income was generated or foreign tax charged. Apply that explanation with the current DJ 1929 instructions and the founder’s actual filing status. Do not turn an annual information-return obligation into a claim that every transfer is taxable income. Equally, leaving money abroad does not by itself establish an exemption from reporting.

Ask both advisers to use the same ownership dates , currencies and transaction descriptions. Keep a reconciliation showing which differences are currency conversion, accounting timing or legal classification. If the US adviser calls a payment a contribution and the Chilean file calls it revenue, the description needs resolution before either return is finalized. Transaction character is a decision input, not a label to choose after the bank transfer.

Budget the recurring work beyond the certificate

For the Wyoming example, the Secretary of State’s annual-report guidance sets the annual licence tax at the greater of USD 60 or 0.0002 times assets located and employed in Wyoming. The annual report is due on the first day of the anniversary month. Optional payment charges, the registered agent and professional work are separate. These figures were checked on October 28, 2026, and are not an all-in annual compliance quote.

Create separate budget lines for formation, agent renewal, mail handling, bookkeeping, US returns, Chilean advice, licences and taxes. Do not add capital or a bank’s initial balance to professional fees. An optional service quotation should state the state, member count, tax classification, filing scope, service period and exclusions. Since the IRS issues EINs without charge, any EIN-related service fee pays for assistance rather than an IRS product.

Monitor changes in sales channels, inventory storage and personnel. SBA guidance on registration and foreign qualification explains why activity in another state may add registration, reports and taxes. Sales-tax, payroll and local licensing questions still need the relevant authority’s rules. A Wyoming filing should not be used as evidence that a warehouse or employee elsewhere is outside compliance review.

FinCEN’s current BOI reporting position exempts US-created entities, including an ordinary Wyoming LLC with a Chilean owner. A Chilean-law company registering in the US is a different fact pattern. Keep the BOI assessment separate from IRS information reporting and bank KYC. For banking, obtain the selected provider’s actual ownership, address, country and activity requirements; the state and IRS records alone do not guarantee approval.

Use a go/no-go test before funding the Chile-owned LLC

Proceed when the single-member structure is deliberate, the state matches the operating facts, the accepted filing and governance records agree, and an eligible EIN route is ready. Before funding, assign responsibility for owner-transaction records, US information returns, the Wyoming anniversary deadline and the Chilean filing assessment. Keep banking approval as a separate completion check.

Stop if the proposed second member changes the classification, the principal-office address cannot be explained or the two-country tax treatment remains unresolved. A delayed EIN should trigger a status enquiry; a changed business model should trigger a revised compliance assessment. Neither should be hidden by describing the company as “fully set up” once the Articles have been accepted.

Set a controlled launch date

Confirm which records, filings and provider decisions must be complete before trading starts.

Frequently asked questions

Can I use a Chilean RUT as an SSN in the EIN application?

No. Use the identifier and entry rules in the SS-4 instructions. A foreign tax identifier should not be inserted into a field that asks for an SSN or ITIN.

Does a rejected state submission require another company name immediately?

Follow the stated rejection reason first. A name conflict, agent issue and missing signature require different corrections; a new filing can create unnecessary duplicate work.

Can the LLC reimburse an owner without keeping the original invoice?

Retain the original evidence, payer and reimbursement trail. The preparer needs the facts to classify the payment; a bank transfer description alone may be insufficient.

What should I retain if the company remains dormant?

Keep acceptance, governance, owner transactions and correspondence, and assess required returns and state maintenance. Dormancy is a business description, not a universal filing exemption.
