Remote state filing and IRS handoff

US LLC Registration from Latin America: Remote Formation Steps

An ordinary Wyoming LLC example, from prepared filing data to accepted records and a separate EIN application.

After choosing the formation state and arranging a qualifying registered agent, a founder in Latin America can handle an ordinary US LLC formation remotely. Wyoming offers an electronic route for new domestic LLCs and a paper alternative. The procedure below uses that state as a worked example, not a default recommendation. Actual US operations, ownership, principal business location and the founder’s tax residence must still be checked before filing.

Plan separate state and IRS milestones: Wyoming says a completed online filing makes the company active immediately; standard paper processing can take up to 15 business days after receipt. For eligible international EIN applicants, IRS guidance gives a general fax estimate of four business days or approximately four weeks by mail. These are agency processing measures, excluding preparation, delivery, corrections and banking; they are not a combined setup promise. See the Wyoming filing instructions and IRS application instructions .

Key takeaways

  • An LLC formed under Wyoming law is a domestic Wyoming entity even when its owner lives abroad; registering an existing foreign entity is a different filing.
  • Save the accepted Articles, state certificate and payment receipt as separate records so the next person can verify formation.
  • The ordinary Wyoming online filing costs USD 100 plus the published card-processing charge; agent and professional fees sit outside that amount.
  • Information entered into the state wizard becomes public, making a pre-submission review more useful than a later redaction request.
  • Assign the IRS application, owner transaction records and recurring compliance calendar before treating the remote handover as finished.

Choose the state before opening a filing session

Use this Wyoming procedure only after confirming that a new ordinary LLC fits the business. It does not cover a series LLC, DAO, close LLC, conversion or registration of an existing Latin American company. The state’s current setup instructions identify domestic LLCs as eligible for online formation and distinguish the paper routes for other transactions.

Start with the actual operating footprint : where people work, premises are used and business activities occur. A Wyoming formation does not resolve another state’s registration requirements. The SBA explains foreign qualification as a possible additional registration where an entity conducts business outside its formation state. Confirm the rules of any actual operating state before choosing a distant formation state for convenience.

State choice is part of US company formation : the selected state supplies the formation rules and filing record, while the location and nature of the business determine which additional checks belong in the plan. Document that decision before purchasing an agent or submitting Articles.

Keep three personal and business facts separate: citizenship, tax residence and the LLC’s principal business location. “Based in Latin America” does not identify one tax jurisdiction. Have advisers assess the owner’s actual country and US tax position rather than choose a tax treatment from a regional label.

Check the state and filing route

Bring the ownership plan and actual operating locations to a formation discussion before committing to the Wyoming example.

Prepare one consistent filing record

Prepare the state information offline before opening the wizard. The official ordinary LLC Articles request the company name, registered-agent name and physical Wyoming address, LLC mailing address, principal office address, organizer execution and contact information. The accompanying agent-consent form requires the agent’s signature. A drop box does not satisfy the registered-office requirement.

Agree with the agent on the exact legal name and registered-office spelling, including any suite. Enter truthful mailing and principal-office information; do not substitute an agent’s address merely to make a foreign business look US-based. If the electronic fields cannot represent the real address correctly, ask the Business Division which submission channel to use. Keep a reliable email address under appropriate company control because the form identifies it as a destination for notices and filing evidence.

Record membership, contribution amounts, management and signing authority in the internal organization file. The organizer who submits the formation document and the individual who controls the business for IRS purposes perform different functions. A written operating agreement can explain the members’ powers and financial arrangements; the SBA describes its governance purpose .

Resolve name availability before the timed session. The portal’s published notice says entities beginning with the letter “A” require paper manual review and gives examples including “A Red Wagon LLC” and “A.J. Construction LLC.” Do not infer a narrower exception from those examples; ask the office about an uncertain spelling. The portal also requires a name-availability search. This channel check matters because online completion and mailed review produce their evidence at different points.

Wyoming filing channels converge on state evidence Choose the state and agent, check the permitted name and filing channel, complete online filing or send paper documents, save accepted state evidence, then apply for an EIN and complete the compliance handover. State and agent selected Name and channel checked File online Pay by card Mail papers Await state Save state evidence Apply for the EIN Assign ongoing duties
The permitted filing channel changes the state submission; both routes must produce accepted state records before the EIN handoff.

Submit the Wyoming LLC through the correct channel

For an eligible online submission, start at WyoBiz’s new-business instructions and follow “Start Registration Now.” The public entry screen presents the entity selection and attestation before any account sign-in gate. Have the prepared information, agent agreement and payment method available before proceeding.

  1. Select “Limited Liability Company” in the entity-type field and use an additional designation only if the business intentionally qualifies for it. Review the public-record warning on the entry screen.
  2. Complete the required attestation before starting. The wizard entry page states that the session allows 30 minutes because of name-availability complexities.
  3. Enter the approved name and the prepared agent, address and contact data. Follow the current fields and statutory acknowledgments; inspect spelling and contact details before moving to execution and payment.
  4. Complete the organizer execution and required certifications through an authorized filer. For a paper submission, the official Articles are signed and dated by an organizer and accompanied by the agent’s signed consent. Keep the authority and consent in the company file.
  5. Pay the amount displayed and finish submission. Under the published schedule checked October 24, 2026, an ordinary LLC filing is USD 100, and online processing adds 2.4% of the filing fee, with a USD 1 minimum. That calculation gives USD 102.40 for this online state transaction.
  6. Download the filed copy, certificate and receipt after successful payment and completion. Check the public business record by company name or Filing ID before releasing the accepted legal name and formation date to the EIN preparer.

The 30-minute filing window is a session limit, not a promise that every unprepared application can be completed in that time. The portal warns that keyed information remains public and will not be redacted by the office. Do not add passports or personal tax identifiers to public formation fields simply because another institution may later request identity evidence.

For the paper route, complete the official Articles and agent consent, include a USD 100 check or money order payable to Wyoming Secretary of State, and mail to the address on the current form. The June 2026 instructions describe standard review within 15 business days of receipt and emailed filing evidence. International delivery is additional. The figures exclude agent services, professional work, currency conversion, banking and other registrations; no HSJGlobal service price is included.

Use the filing evidence to select the next action

Release the EIN application only after the state formation record is confirmed. A card charge, a courier delivery notice and an accepted formation record answer different questions. The following handoff matrix applies the state’s filing and correction instructions to common remote-submission checkpoints; it is an editorial control, not a state-issued checklist.

What you have What it establishes Who acts next Release or recovery action
Courier delivery only Paper packet reached its destination Filer Track standard review; wait for accepted filing evidence before the IRS handoff.
Card charge without downloadable records Payment activity, without a verified complete file Filer and state office Check the business search and contact the office with transaction details before paying again.
Filed Articles, certificate and matching state record Accepted state formation for the identified entity Authorized EIN applicant Use the accepted name and dates in the IRS application.
Accepted document containing an original error Formation record needs a correction assessment Company-authorized signer Determine whether a Statement of Correction fits; keep both the original and corrected evidence.
Correct state record but changed address later Company details have changed after formation Company record owner Review the state Update Form and separate IRS change instructions.

WyoBiz provides business searches and filed-document access by name or Filing ID. If a paper packet is returned incomplete, follow the office’s identified deficiency, reconcile the corrected packet and retain the correspondence. Do not interpret delivery or silence as acceptance.

For an originally inaccurate record , the LLC Statement of Correction requests the filed record and date, incorrect statement, reason and corrected statement. It requires an authorized signature and a USD 60 filing fee by mail; the form says email submission is not accepted. A later business change may require another filing instead, so confirm the correct form with the office. The state FAQ identifies an Update Form for specified address and contact changes.

Resolve a missing or inconsistent record

Identify the document, transaction reference and mismatch before deciding whether to wait, correct a filing or advance to the IRS.

Move the accepted LLC into the international EIN queue

Apply after state formation. The IRS EIN page instructs legal entities to form with the state first and provides EINs directly without a government application fee. An EIN identifies the entity’s federal tax account; it does not certify a bank account or decide the owner’s complete tax position.

For a business with no US legal residence, principal place of business, principal office or agency, the SS-4 instructions exclude the online application. A Wyoming registered agent alone does not establish that the business meets those online criteria. Use the international route that matches the actual facts rather than changing an address to obtain online access.

Build Form SS-4 from the accepted legal record. Check line 1 for the legal name; lines 4–5 for correspondence and physical addresses; lines 8a–8c for LLC status, member count and US organization; and line 9a for the appropriate tax classification. Enter foreign addresses with the required city, province or state, postal code and full country name. Answer the business-start date, activity, employee and prior-EIN questions consistently with the facts.

Identify the individual responsible party on lines 7a–7b. This is the person exercising the relevant ultimate ownership or control, not an agent inserted for convenience. The instructions permit “foreign” or “N/A” on line 7b only where that individual lacks and is ineligible to obtain an SSN or ITIN. A blank field or invented number is not the alternative.

For a single-member LLC accepting disregarded status, apply the special SS-4 instructions if requesting the EIN for Form 5472; do not mechanically select “corporation” merely because the entity was formed in the US. A domestic LLC with two or more members normally follows the partnership default unless it elects corporate treatment. The SS-4 classification box does not itself make a tax election.

Eligible international applicants can call 267-941-1099, Monday–Friday, 6 a.m.–11 p.m. Eastern time. Prepare SS-4 first and use an authorized caller. If the IRS representative requests the signed application after the call, send it within 24 hours to the destination the representative supplies. Alternatively, fax from outside the US to 304-707-9471 or mail to IRS, Attn: EIN International Operation, Cincinnati, OH 45999.

Sign as required and include any valid third-party-designee authorization. Follow the current IRS instructions for the selected method; do not submit duplicate applications through several channels. Retain the signed application, transmission evidence and IRS assignment confirmation. The IRS now describes its fax response as a cover sheet bearing the EIN rather than an annotated Form SS-4, so keep that response with the application.

Set up the compliance handover before trading

Assign a person to maintain the agent relationship, official email, accounting records and deadlines. Wyoming’s annual-report guidance bases the due date on the first day of the formation anniversary month. For an LLC, the annual licence tax is the greater of USD 60 or USD 0.0002 per dollar of assets located and employed in Wyoming. Keep that recurring state obligation separate from the initial filing payment and any agent renewal.

Record formation-year transactions from the beginning. For a wholly foreign-owned US disregarded LLC, contributions and distributions can be reportable transactions under the Form 5472 instructions , including transactions connected with formation. Arrange a review of the Form 5472 and pro forma Form 1120 obligations rather than wait for customer revenue. Other tax classifications and ownership arrangements require their own analysis.

As checked October 24, 2026, US-created entities are exempt from FinCEN BOI reporting under the current FinCEN rule . That does not remove IRS foreign-owner information reporting. Include a separate screen for any applicable BE-13 establishment or exemption-claim requirement under the BEA reporting rules ; a small formation should not be assumed to settle that question automatically.

Give the chosen bank or payment institution the actual ownership, residence and business facts, and obtain its current country eligibility and document requirements. Compare the requested evidence with the account-verification stage after remote filing ; state documents and an EIN do not replace the institution’s own decision. If an account is necessary to launch, resolve that dependency before scheduling customer collections.

Finally, allocate review of operating-state registration, activity-specific licences, sales or payroll tax accounts and the owner-country treatment. These checks follow the real business footprint. Obtain country-specific advice about local reporting, LLC classification and any relevant transfer restrictions; this Wyoming process supplies no regional tax or foreign-exchange clearance.

Hand off the LLC in the right order

Close the state task by reconciling the filed Articles, certificate, receipt and business record. Next, release the accepted company data to the authorized EIN applicant and record which IRS channel was used. Then give the person responsible for accounts and compliance a list of completed items, unresolved applications and the evidence supporting each status.

Advance only the task whose prerequisites are satisfied. If the state record is missing, resolve that evidence first; if the EIN is pending, track the existing application; if account eligibility or an operating-state requirement is unresolved, keep that item open. This sequence lets a founder remain abroad while keeping a clear record of what has actually been completed and who owns the remaining work.

Assign the next formation handoff

Use the accepted state records and open-item list to plan who handles the EIN, account application and recurring compliance.

Frequently asked questions

Does a third-party EIN designee become the ongoing tax representative?

No. The SS-4 designee authority ends when the newly assigned EIN is released to that person. Ongoing tax representation requires an appropriate separate arrangement and authorization.

Can a Latin American company own the LLC instead of an individual?

That changes the ownership facts behind this individual-owner example. Identify the ownership chain and natural-person responsible party, and obtain advice on the parent’s and LLC’s reporting before using a single-owner tax workflow.

What if the legal name contains punctuation the IRS system does not accept?

Follow the IRS name-entry rules for the particular character and retain a reconciliation to the state legal name. Do not create a second state entity or request a second EIN merely to work around punctuation.

Should I order an apostille before submitting the Articles?

First identify the recipient and the exact document specification. Do not purchase authentication simply because the founder is abroad; the state filing procedure and a foreign recipient’s evidence requirements are separate questions.

Does changing the Wyoming address automatically update the IRS?

Treat the records as separate. Review the state’s applicable update filing and IRS Form 8822-B instructions, and keep evidence of each required change rather than assume one submission updates both agencies.
