Mexico-based LLC setup
How to Form a US LLC from Mexico: Setup and Tax Checks
Connect the state formation steps with a tax position that works on both sides of the border.
A founder living in Mexico can generally form and own a US LLC, subject to the chosen state and business restrictions. The steps are to settle ownership and state scope, prepare the agent and company records, obtain state acceptance, request the EIN through an eligible route, and complete the tax and operating checks. Use the real locations and people throughout.
The critical tax question is how the US LLC and its income are treated in Mexico as well as the US. Mexican foreign-transparent-entity rules can matter before money is distributed. Have the Mexican adviser review the actual agreement and US classification before relying on a “no US tax” or “tax only when withdrawn” sales claim.
Key takeaways
- State formation and US tax classification are separate decisions; record the intended member count and elections before the EIN application.
- Mexican income recognition may require analysis even while earnings remain in the LLC.
- An accepted filing proves the LLC exists; it does not prove a bank account or regulated activity has been approved.
- Related-party funding and reimbursements should be reviewed before calling the first year inactive.
- A two-country working paper should reconcile the same business facts, income records and ownership dates.
Test the Mexican tax assumptions before forming the LLC
An LLC is not a nationality-based tax exemption. Mexico’s Income Tax Law, including Articles 1, 4-A and 4-B addresses resident income and foreign transparent entities. Classification, participation and the ownership chain matter; Article 4-B can apply without a distribution. A Mexican professional should determine the provisions that apply to your agreement, tax residence and business facts.
Request three conclusions in writing: who is the taxpayer, when income is recognized, and which records and disclosures support the position. Provide the draft operating agreement, member details, proposed US election if any, places of work and expected revenue. Do not ask the adviser to assess a generic “LLC package” without the rights and activities that determine the result.
A US single-member LLC generally has default disregarded treatment unless a corporate election applies, as explained in the IRS single-member LLC guidance . That is a US rule. US disregarded status does not itself decide the Mexican tax result. If classification or tax timing differs, advisers must assess the consequences before you commit to the arrangement.
Treat treaty relief as a separate question. The official US–Mexico treaty documents identify the instruments to examine, but an Italian-style, Brazilian-style or generic foreign-owner answer cannot be imported. Ask who claims a particular benefit, on which income, and on what residence and eligibility evidence. A Mexican passport alone is not that analysis.
Is the Mexican treatment still an assumption?
Connect the proposed agreement and US classification with the questions your Mexican adviser must answer.
Freeze the setup facts in a two-country working paper
Prepare a working paper before submitting any form. Its purpose is to prevent the state registry, IRS and Mexican preparer from receiving incompatible versions of the business. Put uncertain items in a question column rather than inventing an answer to complete an online screen.
| Fact to settle | US use | Mexican review question |
|---|---|---|
| Legal member and percentages | Governance, classification and reporting | Who holds the interest and recognizes income? |
| Actual work and management locations | State scope, tax facts and account evidence | Does management or activity create Mexican consequences? |
| Contribution or member loan | Books and related-party transaction review | How is the investment and subsequent return recorded? |
| Classification and election date | Federal return path and EIN consistency | How does Mexico recognize the arrangement? |
| Income and expense evidence | Tax and accounting support | What information must remain available locally? |
For an individual member, collect legal identity, current residence, contact details and the Mexican tax information the advisers require. Keep RFC and US identifiers distinct. For a company member, document the Mexican entity’s authority, ownership and investment approval. A person’s ability to communicate with an organizer does not establish authority to invest corporate money.
Build the state document packet from the selected jurisdiction’s instructions. Keep private KYC, member records and tax papers separate from public filings. The cross-border document recipient checklist helps allocate evidence by purpose; the Mexico-specific working paper adds the tax questions that a generic formation list cannot answer.
Ask the named recipient about certified copies, translation or legalization before purchasing them. An account provider may require evidence that the state registry does not, and an accountant may need the underlying agreement rather than a certified certificate alone. Preserve original-language records together with any approved translation.
Complete the state formation using a defined example
Use the real operating footprint to select the state. Wyoming is a worked filing example here, not a default recommendation for every Mexican owner. If you will have US premises, employees or inventory, assess that location before relying on a remote-only state budget. A separate qualification or tax registration may be needed even when the LLC was created elsewhere.
The state foundation of United States company formation requires a compliant entity submission. For Wyoming, follow the state Articles instructions and official WyoBiz route. Review the exact entity name, registered agent, addresses and organizer authority against the working paper.
- Choose an available LLC name and confirm its permitted ending.
- Appoint the registered agent and obtain the required consent.
- Complete the mailing and principal-office information accurately.
- Authorize the organizer and review the final submission before payment.
- Submit through the chosen official method and retain the reference.
- Verify acceptance and download the state-filed evidence.
Next, execute the operating agreement and record members, capital, management and signing rights. A filing service’s organizer is not thereby your business partner. An accepted document with an incorrect name or other material error needs the applicable state correction, not an edited PDF used only for the bank.
Wyoming’s current fee schedule lists USD 100 to file LLC Articles and annual licence tax starting at USD 60. These government figures were checked October 30, 2026. Add any payment-channel fees, agent, professional preparation, address, tax work and other jurisdictions separately. They are not a total operating budget.
Obtain the EIN with a classification-consistent application
Choose the IRS application route after checking the actual principal business location and responsible party. The SS-4 instructions provide international methods when online conditions are not met. A US agent address or a borrowed taxpayer number is not a legitimate shortcut. Use one authorized application channel and retain the submitted form and transmission evidence.
Reconcile legal name, member count, classification, formation date, activity and addresses before execution. Ask why each tax-classification field has been completed that way. If the ownership changed after the original instructions, resolve the change rather than using a superseded member count because a preparer already filled the form.
An EIN is free from the IRS. Paid coordination can assist with preparation and follow-up but cannot guarantee issuance timing. International fax processing is generally about four business days and mail about four weeks, subject to completeness and delays. Keep the state-processing interval and account review separate from those reference periods.
Mark the stage complete when the IRS has assigned the number to the correct entity and you have retained appropriate confirmation. A signed SS-4 is evidence of an application, not assignment. If the assignment notice has been lost or the response is delayed, establish what happened to the existing request before initiating another.
Has the LLC already received owner funding?
Reconcile the first transactions and reporting instructions before the period closes.
Connect tax returns to the first owner transaction
Open the books before the first customer payment. Record formation expenses paid by the owner, contributions, member loans, reimbursements and distributions with their supporting approvals. No sales is not the same as no reportable transactions. A cash transfer is not automatically revenue, and a payment labelled “loan” still needs documentation and review.
The Form 5472 instructions govern reporting for a foreign-owned US disregarded entity with reportable transactions, including the pro forma Form 1120 attachment. Have the preparer confirm the period, deadline, extension and submission method. Do not assume that the LLC’s income-tax classification removes its separate information-reporting work.
| Event | Evidence to capture | Review triggered |
|---|---|---|
| Owner pays an LLC expense | Invoice, payer, date, currency and purpose | Owner/LLC transaction and expense treatment |
| Member contributes funds | Approval, sending and receiving records | Capital reporting and investment basis |
| LLC pays the member | Agreement, purpose and authorization | Loan, reimbursement or distribution treatment |
| A second member joins | Effective transfer or subscription documents | Classification and return-path change |
For Mexican review, preserve the LLC’s underlying income and expense records, not merely the net amount withdrawn. Ask the preparer what currency conversion and reconciliation are required. An internal accounting conversion is not automatically the tax conversion required in the relevant return. Keep a record of the method chosen by the responsible preparer.
FinCEN’s current BOI rule exempts US-created entities. That does not replace the IRS or Mexican analysis. Keep ownership evidence even when no domestic BOI report is required. Banks and other providers can continue to request it under their own applicable verification requirements.
Budget and schedule the remaining operating work
A realistic launch plan begins with structure review and documents, moves through state filing and EIN, and then completes any required licences, tax registrations and account steps. Start monthly bookkeeping as soon as transactions occur. If a founder plans to work physically in America, immigration and work authorization require a separate assessment. Neither an EIN nor a membership interest grants permission to work.
The largest schedule uncertainty may be bank KYC, a missing ownership document or an unresolved tax position. For a Wyoming paper filing, the state instructions allow up to 15 business days after receipt; online processing follows the current official workflow. Combine those facts with the chosen IRS route only as component planning. Do not quote one guaranteed total when account or licence approval is still unknown.
Build the budget with government registration, agent and address, professional work, tax setup, licences, certification, bank charges, monthly accounting and annual compliance on separate lines. Ask for current service terms, renewal dates, exclusions and invoicing taxes. There is no single verified service total for an unspecified state and tax profile. Capital and an opening deposit are company funds rather than setup fees.
Set the state renewal date from the actual accepted record. Wyoming’s annual-report system uses the first day of the formation anniversary month. Add the applicable federal and Mexican deadlines with named preparers. An annual agent subscription alone does not mean the annual tax returns are included.
Authorize the Mexico-based LLC launch against both tax positions
Proceed when the LLC’s member, classification, state scope and Mexican treatment are documented and consistent. Keep state acceptance, IRS assignment, account approval and any licence approval as separate evidence. A clean working paper lets each adviser see what the other has assumed without treating one country’s answer as a substitute for the other’s.
Pause the affected commitment if you cannot explain when Mexico recognizes income, if a member transaction lacks evidence or if the intended receipt provider will not accept the business. Correct the underlying facts or structure before promising customer receipts. Use the completed formation record to support an operational plan whose remaining approvals are explicit.
Ready to file or activate the LLC?
Bring the working paper, accepted documents and outstanding approvals into a scoped review.
Frequently asked questions
Does Mexican nationality prove Mexican tax residence?
No. Establish the owner’s actual tax residence and any US status before selecting return or treaty positions.
Can I wait for a distribution before asking about Mexican tax?
That is unsafe. Applicable transparent-entity provisions can concern income before distribution; obtain advice before relying on withdrawal timing.
Will a Mexican RFC work in the IRS EIN field?
No. Keep Mexican and US tax identifiers in their proper roles and follow the instructions for the specific application.
What if a second owner joins soon after formation?
Document the effective date and have both preparers assess classification, reporting and ownership consequences before continuing with the old setup assumptions.
