How to Form a US LLC from Poland: Setup and Tax Checks

A filing route that connects the state record, IRS application and the Polish tax position before the first transaction.

A US LLC can be formed while you live in Poland, but funding it before deciding who reports its income can create an avoidable tax problem. The state accepts the entity; the IRS determines its federal classification; Poland applies its own rules. Start by documenting your tax residence and the proposed LLC’s legal and tax characteristics, then use those facts to prepare the state filing and EIN application.

The route below uses Wyoming only as a filing example after the operating-state check. It is aimed at a founder preparing an LLC, rather than choosing among company types. A state certificate, an EIN and an approved bank account are separate milestones; none establishes a Polish tax exemption.

Key takeaways

  • Determine residence from your personal and economic ties and presence in Poland; a Polish passport alone does not decide the tax result.
  • Agree the member count and any US corporate tax election before signing documents. A later change can reopen both countries’ reporting analysis.
  • Keep the state’s accepted filing, the IRS notice and the operating agreement together; each proves a different part of the setup.
  • Owner contributions and distributions can matter for Form 5472 even when the LLC has no customers or profit.
  • Set up Polish income records and any applicable foreign-unit register before relying on an annual return preparer to reconstruct them.

Settle the Polish tax position before money moves

Resolve the Polish tax position on the proposed facts before the first contribution, owner loan or customer invoice. A founder resident in Poland generally falls within Polish taxation of worldwide income, subject to applicable treaty rules. The domestic residence tests are a centre of personal or economic interests in Poland, or presence exceeding 183 days in the tax year. Where two countries claim residence, the relevant treaty analysis follows; nationality is not a substitute for that work. Polish Ministry of Finance residence guidance confirms these tests.

Prepare a short written instruction for your Polish adviser, attaching the intended state law, member list, draft operating agreement and any US election plan. Do not treat “disregarded by the IRS” as a Polish tax classification. The worksheet below identifies the conclusions you need, rather than assuming every Poland-based founder has the same result.

Question to settle Evidence to supply Decision to record
Where is the individual resident? Home, family and business ties; day count; any second residence claim. Polish resident or nonresident analysis, with treaty tie-breaker work if necessary.
How does Poland characterize this LLC? Formation law, legal personality analysis, ownership rights, US default status and elections. Member-level income treatment or entity-level treatment, with the reason and effective date.
Where is the business actually managed? Who approves contracts, controls accounts and directs work; where those people act. Whether Polish management or a Polish taxable presence needs further registration and tax analysis.
Which foreign-unit records apply? Classification conclusion, direct and indirect control, related owners, income categories, assets and actual foreign tax. Separate conclusions on a foreign-unit register, CFC income records and any PIT-CFC return.

Separate member income from a corporate or CFC result

Polish PIT Act Article 5a(26) and (28) distinguishes a non-corporate partnership from specified companies, including certain foreign entities treated as legal persons and taxed on worldwide income abroad. If your LLC falls within the Polish non-corporate category, Article 8 allocates relevant revenues and costs to members according to profit rights; Article 5b(2) addresses business income earned through such a partnership. Retaining cash in the LLC therefore cannot be assumed to defer the member’s Polish reporting. PIT Act classification and member-income provisions supplies the legal tests; applying them requires the LLC’s actual characteristics.

If the entity falls within Polish CIT scope, its seat or management in Poland can bring worldwide income within Polish corporate taxation. A US registered agent does not resolve where management occurs. The Ministry’s CIT scope and residence rules also explain when a foreign company without legal personality is treated as a corporate taxpayer. Ask the adviser to assess the founder’s work in Poland separately from a proposed US address.

CFC analysis has stages. First decide whether the arrangement is a “foreign unit” under Article 30f(2); a transparent partnership conclusion must be tested against that definition rather than automatically labelled a CFC. Then assess the applicable control, income, tax and other statutory categories. Article 30f(15) can require a register for specified controlled foreign units before the full income-tax test is met; qualifying CFCs have separate records under paragraph 15a. Article 30f(21) also calls for a separate check where a foreign permanent establishment is involved. These are distinct questions under the PIT Act foreign-unit provisions .

Where a PIT-CFC return is required, use the official PIT-CFC form applicable to the unit’s year. Have the adviser set its deadline and any payment obligation under Article 45(1aa), independently of the ordinary personal return. An online individual interpretation concerning another LLC is not a ruling for every founder; unresolved characterization should be addressed on your own complete facts before trading.

Check the facts behind the LLC

Bring your residence facts, ownership plan and proposed business activity so the filing scope can be checked before submission. Polish tax characterization needs a Polish tax adviser.

Turn the state decision into a consistent filing packet

Choose the formation state after mapping US premises, staff, inventory and planned activity. An operating footprint in another state may require foreign qualification there, another registered agent, and additional reports or taxes. “Foreign” in that state-registration context means formed outside that state, including in another US state. The SBA registration guidance distinguishes formation from qualification; a low formation fee does not remove operating-state obligations.

For a founder with no identified US operating-state requirement, Wyoming can be examined as an example, not a universal recommendation. Its official online registration page lists an LLC filing fee of USD 100 and a 2.4% card-processing fee, minimum USD 1. That makes the listed state filing plus percentage charge USD 102.40 for this USD 100 online filing, before agent or professional costs, as checked November 2, 2026. Wyoming registration fees and conditions also requires names beginning with “A” to be filed on paper for manual review.

Create one controlled fact sheet for the organizer, IRS applicant and bank. Use consistent English spellings for names, a traceable residential address in Poland, member percentages, the actual principal office and the business description. Collect identity and address evidence securely for recipients that request it; the state’s Articles form is not a general passport-upload requirement. The overseas formation document-to-recipient checklist helps distinguish government filings from provider identity checks.

The state filing sits within the broader US company registration process , but addresses must still match their roles. An agent’s Wyoming street address is for the registered office; a mail service is not automatically the principal office or an address accepted by a bank. Obtain the agent’s consent and confirm exactly which address uses the contract permits.

Submit the LLC and verify state acceptance

Form the Wyoming LLC through the Secretary of State’s Business E-Filing route if eligible, or use the paper Articles route when required. The organizer submits formation information; membership and internal authority should also be recorded in an operating agreement. Use the ordinary LLC option unless a separate legal review supports an optional close-LLC election.

Filing field Check before entry Retain as evidence
Legal name and LLC designation Search state records; ensure the legal suffix and spelling match the intended contracts. Chosen name, search result and final accepted spelling.
Registered agent and physical office Verify Wyoming physical address, suite information and consent; a drop box is unacceptable. Consent, appointment details and renewal contact.
Mailing address and principal office Enter their real, distinct functions; do not copy the agent address without a valid basis. Address instructions supplied by the founder.
Organizer, contact and email certification Identify the signer and monitored email; complete the required electronic-service certification. Submitted form, signature or electronic authorization, and filing correspondence.
Close-LLC election if selected Check the additional legal requirements instead of treating the checkbox as routine. Legal decision and any required supplement.

These are the fields and consent requirements in the Wyoming LLC Articles of Organization . The contact email receives important notices and filing evidence, so responsibility for monitoring it should survive any change of service provider.

  1. Open the state’s official registration route and select the domestic LLC formation filing; complete any access and filer-contact prompts shown by the portal.
  2. Enter the approved fact sheet, review the statutory acknowledgments and compare the final submission screen against the agent’s consent and addresses.
  3. Authorize the submission and pay through the permitted method. For paper filing, sign the Articles and provide the agent consent and payment specified in the form instructions.
  4. Save the submission and payment evidence, then confirm state acceptance. If the office requests a correction, resolve the stated defect and track the existing filing rather than creating an unexplained duplicate.
  5. Download the filed formation documents and check the entity record, filing identifier, effective date, name and status. A charge receipt alone is not proof that the LLC exists.

Allow a separate processing allowance for each agency. The paper Articles instructions describe up to 15 business days after state receipt, not a complete Poland-to-operation timeline. The June 2026 Wyoming expedited-filing guide excludes online-capable documents, including initial formations and annual reports, from that expedited service. Agent onboarding, corrections, IRS work, tax registrations and bank review remain separate; do not schedule an invoice date from the state’s processing estimate.

Two evidence files meet before trading Founder facts feed a Polish tax position and a US formation and EIN file. Both support recording the first money movements and completing invoice checks. Founder facts + proposed LLC Residence, classification, management and CFC checks State filing packet Polish reporting position Accepted filing + IRS EIN Record first money movements Invoice tax and licence checks
The two files serve different authorities. Reconcile them before the first transaction, then complete the checks needed for the actual activity.

Hand the accepted LLC to the IRS for an EIN

Once formation is accepted, prepare the EIN application using the final legal name and actual facts. The IRS issues an EIN without a government application fee. The US default is generally disregarded status for a domestic single-member LLC and partnership status for a domestic LLC with multiple members; a valid corporate election changes that analysis. IRS LLC classification guidance concerns federal treatment, not Polish classification.

The EIN handoff should include the accepted formation, legal and mailing addresses, member count, responsible party, business purpose, start date and tax-year information. Identify the real responsible party rather than substituting an agent or nominee. A preparer may assist under an appropriate authorization; assistance does not transfer the owner’s responsibility for correct facts.

The current SS-4 instructions bar online application where the applicant has no US or US-territory legal residence, principal place of business, principal office or agency. A Poland-based founder in that position should use the applicable international telephone route or fax/mail instructions. Review the completed SS-4 before transmission and use one application method per entity. “Foreign” or “N/A” on line 7b is permitted only where the responsible party lacks, and is ineligible for, an SSN or ITIN.

Match line 9a to the actual purpose and classification. For a foreign-owned disregarded entity obtaining its EIN for Form 5472, the instructions specify the corresponding foreign-owned-DE description; a corporate election requires different entries. Retain the signed application, authorization and transmission record, then the IRS assignment evidence. If the response is delayed, trace the original request before reapplying. Correct a name or address discrepancy before passing the file to the bank or return preparer.

Resolve the EIN handoff

Check the accepted state record, responsible-party details and application route before authorizing an EIN submission. Tax elections should already have been reviewed.

Map the first payments to both countries’ records

Build the transaction ledger before paying an expense personally or transferring startup money. No sales does not mean no foreign-owner reporting. A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 attached to a pro forma Form 1120. Contributions, distributions and formation-related transactions can be relevant. The IRS Form 5472 instructions support this information-reporting obligation, which is separate from whether income tax is payable.

First event Record at the time Reporting question
Founder pays an LLC setup expense Supplier invoice, payer, date, currency, amount and whether repayment is intended. Ask the US preparer how the formation-related owner transaction is reported; do not omit it because it bypassed the LLC account.
Founder transfers startup money Transfer evidence and signed contribution or loan documentation; identify the related party. Distinguish capital from debt and flag reportable owner transactions. Confirm the Polish treatment separately.
An unrelated customer pays Contracting entity, work location, service or goods supplied, invoice and gross receipt before fees. Assess source, business activity and income recognition. An unrelated sale is not itself an owner transaction for Form 5472.
LLC sends money to the founder Purpose, approval, amount and link to a loan, expense or profit record. Do not label every transfer a dividend. Reconcile US reporting and the previously agreed Polish characterization.

Use the ledger as a reconciliation tool, not a tax-rate calculator. Preserve original-currency amounts and enough dated evidence for the adviser to apply Polish translation and income-recognition rules. If Polish treatment allocates ongoing business income to the member, the accounting must capture that result even when no cash reaches the founder. If the structure is treated as corporate, payments, distributions and any CFC exposure need their own analysis under the Polish provisions above.

For a foreign-owned DE, Form 5472 follows the pro forma Form 1120 due date, including a valid extension. A separate Form 5472 is generally needed for each related party with reportable transactions; an extension request on Form 7004 must be timely. The IRS instructions prescribe a dedicated fax or mailing route and do not permit these DE filings electronically; keep delivery evidence. Failure to file correctly or keep required records can bring an initial USD 25,000 penalty, with further penalties possible. Assign a preparer and calendar date for the actual year rather than waiting for a bank balance or profit.

Separately test any US trade or business, effectively connected income and withholding obligations against what the business actually does. IRS effectively connected income guidance makes activity relevant to that analysis. US customers, a Wyoming certificate or a bank account alone cannot establish a zero-tax conclusion. Treaty relief needs a supported residence, taxpayer and income analysis; it is not an exemption purchased through LLC formation.

Complete operating checks and assign recurring filings

Before issuing invoices, confirm which entity contracts with the customer, which account receives payment, where the work or delivery occurs and whether activity requires tax registrations or licences. Review US sales/use tax, payroll and state income or franchise obligations in the relevant states. Ask the Polish adviser to determine VAT, business-registration and social-insurance consequences of the actual work performed in Poland; US incorporation does not decide those separate questions.

A bank or payment provider makes its own acceptance decision. Prepare ownership and control records, identity and residential-address evidence, the state formation, EIN evidence, operating agreement, business explanation and source-of-funds support as requested. Confirm the provider’s country, activity and address rules before relying on an account. A mailing address, introduction or completed application is not account approval, and approval is not a legal opinion on tax compliance.

Wyoming’s annual report is generally due on the first day of the formation-anniversary month. Its annual licence tax is the greater of USD 60 or 0.0002 of assets located and employed in Wyoming; online convenience charges are separate. These are Wyoming obligations, not the LLC’s entire annual cost. The Wyoming business FAQs explain the calculation. Keep agent renewals, tax preparation, any other-state filings and Polish reporting in the same responsibility calendar, with separate owners for each.

Under the current FinCEN beneficial ownership rule , entities created under US law are exempt from BOI reporting. That does not remove bank ownership checks or IRS Form 5472 obligations. Keep the exemption distinct from the rules for a foreign-law entity registered to do business in the US, and review changes in ownership, classification or operations when they occur.

Budget the state fee separately from agent/address charges, professional formation assistance, tax preparation, licences and taxes. Capital and a bank’s required deposit are funding, not service fees. Any HSJGlobal engagement should identify its state-filing and EIN-coordination deliverables, exclusions and renewals in writing; Polish tax advice and government or bank decisions must have identified, separate responsibility.

Release the LLC against documented tax ownership

Release the LLC for its intended transactions when the state acceptance is evidenced, the EIN file is consistent, and a named adviser has documented who reports the income and which Polish foreign-unit obligations apply. Pair that tax position with the first-event ledger and a calendar covering the LLC’s actual first year, including formation expenses.

Pause the first transfer or invoice if classification remains unresolved, an address disguises the real operating location, or no one owns a required filing. Resolve that specific gap with the relevant US or Polish adviser, then update the records before proceeding. An ownership or tax-election change should trigger a fresh review rather than inheriting the original setup conclusions.

Prepare the submission and first-year handoff

Bring the agreed structure, state choice and adviser’s tax instructions. Define the formation work, EIN coordination and records each participant will deliver.

Frequently asked questions

Must my Polish passport be filed with Wyoming?

The standard Articles fields do not themselves create a general passport attachment requirement. An agent, formation provider or bank may separately request identity evidence under its own onboarding process; ask which recipient needs each document.

Can I add a second member after formation?

Possible changes need legal documentation and a tax review before the effective date. Moving from one member to multiple members can change the US default classification and the information needed for Polish income allocation and reporting.

Does an EIN make the LLC a US tax resident for every purpose?

No. An EIN identifies a taxpayer account. It does not itself establish treaty residence, resolve Polish characterization or prove eligibility for a particular treaty benefit.

Can I use another founder’s Polish individual interpretation?

It can help identify questions, but it does not give you that applicant’s protection. Compare the complete facts and current law with your adviser; obtain advice on whether your own interpretation request is appropriate.

What should I do if the state and IRS spell the name differently?

Preserve both records, identify which record is wrong and use the relevant authority’s correction process. Do not silently change documents for a bank or submit a fresh EIN request merely to conceal the mismatch.
