How to Form a US LLC from Taiwan: Setup and Tax Checks
Separate the filing sequence from the US and Taiwan tests that govern the money flows.
For a Taiwan resident forming a US LLC, the TWD 1 million overseas-income inclusion threshold is not a promise of tax-free business receipts. Form the entity through the selected state, obtain its EIN through an eligible IRS route, and test the actual income and owner transactions in both jurisdictions. A US disregarded entity can still have federal information returns and a different Taiwan tax analysis.
The working route below is a directly owned single-member LLC, illustrated with Wyoming. Multiple members, a Taiwan corporate investor, an election or regulated operations require additional analysis before the filing and funding instructions are released.
Key takeaways
- Taiwan overseas-income inclusion is tested separately from the eventual basic-tax payment calculation.
- Single-member LLC treatment is a federal starting point, not a two-country tax conclusion.
- A Wyoming filing, EIN assignment and banking approval require different completion evidence.
- Owner funding and expenses need records even before customer sales.
- CFC applicability and home-country income character must be tested from the actual ownership and entity facts.
Confirm the owner and the actual US business scope
An individual in Taiwan can often own an ordinary US LLC, subject to the selected state and the activity. Start by deciding whether there will be one member or several, whether the investor is the individual or a Taiwan company, and whether the business will have US personnel, premises or stock. The detailed route here uses a directly owned single-member LLC without a corporate tax election. A different ownership or election requires a revised return assessment.
The IRS LLC guidance notes that most states permit foreign members and describes the default federal treatment: a one-member domestic LLC is usually disregarded and a multi-member domestic LLC is usually a partnership unless an eligible election changes the result. Disregarded does not mean unreported. State-law existence, federal income-tax classification and information reporting are different questions. A regulated activity may also restrict which entity or owners are permitted.
Select the state from the operating facts. If a physical US operation is planned, assess that state before choosing a separate formation jurisdiction. SBA registration guidance explains foreign qualification for activity outside the formation state. Taiwan ownership does not itself create the same issue as operating in another US state, so write those two meanings of foreign separately in the instruction.
Identify where the owner actually performs services, how goods are fulfilled and who signs contracts. These facts support the later income-source and operating-tax review; a US customer or payment account alone does not answer it. If a financing plan needs stock rather than membership interests, reassess whether an LLC is the appropriate legal starting point.
Check the intended LLC facts
Confirm the member, actual operating locations and any election before preparing the state form.
Submit the LLC and build its EIN record in order
To form a US LLC from Taiwan, select the state and member structure, obtain registered-agent consent, file the correct state document and retain acceptance evidence, then complete governance, EIN and tax arrangements. The sequence below uses Wyoming to make the submission task concrete. Another state requires its own form, fee and review of any additional operating-state obligations.
- Approve the filing instruction. Record the exact member, manager or member-managed arrangement, name, addresses by purpose, business activity and authorized organizer.
- Check the name and agent in Wyoming’s official resources. Confirm the agent’s in-state details and consent before inserting them in the Articles.
- Prepare and review the current Articles of Organization. Use WyoBiz or the official paper route, checking principal-office, mailing, organizer, contact and signature fields against the instruction.
- Authorize payment and submit. Retain the filing preview or signed document, payment confirmation and submission record; follow the state’s notice if a correction is requested.
- Verify acceptance. Save the accepted Articles and entity identifier and reconcile the public record with the approved legal name. A submission receipt alone does not establish formation.
- Execute governance and request the EIN. Complete the operating agreement and funding record, then use the IRS method supported by the real applicant facts and retain the assignment evidence.
The Wyoming Articles instructions show a USD 100 government formation fee, excluding any online payment charge or professional work. The state’s acceptance marks legal formation. The US company formation requirements still leave federal registration, tax analysis, licences and banking as separate work, with different completion evidence.
Under the IRS SS-4 instructions , an applicant without the specified US residence, principal business location or office cannot use the online EIN tool. Eligible international applicants use the available phone, fax or mail route. The IRS does not charge an EIN application fee, and it permits “foreign” or “N/A” for a responsible party with no SSN or ITIN who is ineligible to obtain one. Use the real controlling person and one application method; retain the signed request and IRS assignment record.
Run two Taiwan overseas-income gates instead of assuming zero tax
Taiwan tax residence and the income’s actual character should be established before applying an overseas-income threshold. The Ministry of Finance’s individual basic-tax guidance says a resident household’s annual overseas income reaching TWD 1 million is generally included in full in basic income. The threshold concerns income, not the gross amount deposited into an LLC bank account. It is also a household aggregation test rather than a per-company allowance.
| Gate | Question | Consequence | What it does not prove |
|---|---|---|---|
| Overseas-income inclusion | Does the resident household’s relevant overseas income reach TWD 1 million? | If yes, include the relevant amount in full under the applicable rules | That TWD 1 million is a tax-free deduction |
| Basic-income calculation | What is total basic income after all applicable components? | Current guidance uses a TWD 7.5 million deduction and a 20% basic-tax calculation on the excess | That foreign income alone determines the final liability |
| Comparison and relief | How does basic tax compare with regular income tax and permitted foreign-tax credits? | Determine any additional payable amount using the applicable rules | That reaching the inclusion gate automatically creates a payment |
| Classification and CFC | Does the actual entity and ownership fall within the relevant rules? | Review income character, timing and any applicable attribution | That leaving cash in the LLC eliminates a Taiwan tax event |
The same official guidance explains that basic tax is compared with the regular income-tax amount and eligible foreign-tax relief before any additional payment is determined. Inclusion threshold and final tax liability are different tests. Do not describe TWD 7.5 million as a universal exemption for business receipts, or calculate a tax bill merely by applying 20% to money received from US customers. The figures reflect the guidance checked October 28, 2026; confirm the applicable filing year before preparing a return.
For example, a hypothetical household with TWD 1.2 million of relevant overseas income has crossed the inclusion gate; it has not, from that fact alone, established additional basic tax. Other basic-income components, the applicable deduction, ordinary tax and eligible relief still matter. A loan repayment or capital return also cannot be classified simply from its bank-transfer label. This illustration explains the sequence and is not a worked liability calculation.
Taiwan’s official individual CFC guidance requires an ownership and entity-specific review where applicable. Do not assume every US LLC is a CFC or assume US disregarded treatment automatically controls Taiwan classification. Give the Taiwan adviser the chosen state law, agreement, control chart and planned transactions so the actual tests and any exceptions can be assessed.
Keep a US transaction file that supports the foreign-owner return assessment
US information reporting can apply even when an owner expects little or no US income tax. The Form 5472 instructions describe a US disregarded entity wholly owned by a foreign person, its reportable related-party transactions and the pro forma Form 1120 attachment. The reportable-transaction rules include certain amounts connected with formation, contributions and distributions. Ask the preparer to review the first payment, not merely the first profitable month.
Build an event file with transaction date, payer, recipient, amount, currency, commercial purpose and supporting contract or authorization. Separate capital contributions, loans, reimbursements and owner withdrawals. Reconcile founder-paid formation invoices with the company ledger; a company bank statement may omit transactions paid directly by the member. Owner-paid expenses still need an accounting explanation and the relevant reporting assessment.
The IRS instructions prescribe special fax or mail procedures for foreign-owned disregarded entities and do not allow their Form 5472 to be electronically filed. They describe an initial USD 25,000 failure penalty and an extension route using Form 7004. Have the preparer record the actual return due date, extension decision, signed filing and transmission or mailing evidence. An agent’s annual-renewal confirmation does not prove this work was done.
If a second owner is admitted or a corporate election is made, reassess the return position from its effective date. IRS S corporation rules exclude nonresident-alien shareholders, so an S election cannot be assumed available to a Taiwan-based foreign owner. The remote Asian founder document and EIN pathway supports preparation, but the member count, elections and transactions determine the federal filing analysis.
Connect the transaction records
Identify the evidence the US and Taiwan preparers need for funding, expenses and withdrawals.
Use one control calendar with separate US and Taiwan decisions
For the Wyoming example, the state’s annual-report guidance sets the annual licence tax at the greater of USD 60 or 0.0002 times assets located and employed in Wyoming. The report is due on the first day of the formation-anniversary month. Agent renewal, address service, federal return preparation and any other-state charges are separate. The USD figures were checked October 28, 2026 and should not be described as a complete annual budget.
Create calendar entries for the state report, agent continuity, federal return assessment and Taiwan filing review. Each entry needs an accountable person, a source rule, required records and proof of completion. A reminder without an assigned owner is not a functioning compliance process. Keep the calendar in the company’s control so a service-provider change does not remove access to its obligations.
FinCEN’s current BOI rule exempts companies created under US law; certain foreign-law entities registered to do business in the US remain in scope. A Taiwan-owned Wyoming LLC therefore belongs to a different category from a Taiwan company registering directly. Neither the BOI exemption nor a state acceptance removes IRS reporting, bank ownership review or Taiwan tax analysis.
For operating readiness, check the actual sales channel, products, worker locations and inventory arrangements with the relevant state and local authorities and selected financial provider. A registered-agent address is not automatically a principal workplace or a bank-acceptable physical address. Bank approval and platform access remain provider decisions. New US staff, another state’s warehouse, a new member or a changed product category should reopen the relevant review before implementation.
Budget formation and maintenance separately from investment capital, taxes and optional professional services. The written scope should specify owner count, state count, tax classification and which returns are covered. Keep the home-country assessment visible even if a formation provider’s package focuses entirely on US documents; the party preparing Taiwan returns needs the same transaction evidence.
Pause the Taiwan LLC launch when a tax assumption is carrying the plan
Proceed when the ownership and operating-state choice are deliberate, the accepted state record and EIN evidence agree, and the US and Taiwan filing responsibilities are assigned. Before funding, confirm how contributions, owner expenses and intended distributions will be recorded in both countries. Use the two Taiwan gates to organize the questions rather than to advertise a tax-free limit.
Escalate a proposed election, second member, unclear income source or untested CFC assumption before committing to the cash-flow plan. A low-revenue LLC can still create reporting work. The correct next step is the missing classification or transaction analysis, not another certificate or a second EIN request.
Resolve the remaining tax assumption
Settle the classification or reporting gap before the launch plan depends on it.
Frequently asked questions
Is the TWD 1 million test applied to every bank deposit?
No. Determine what constitutes overseas income for the relevant resident household. Capital, loans, revenue and distributions need classification before the threshold is applied.
Can I assume my own LLC profit appears in Taiwan’s prefilled tax data?
Do not rely on prefilled information as a complete foreign-income record. Retain the underlying accounts and have the preparer identify the required self-reported items.
Does keeping funds inside the LLC settle the Taiwan CFC question?
No. Applicability depends on the relevant entity, control and other statutory conditions. Have the adviser determine whether attribution rules or exceptions affect the actual structure.
Should I request another EIN when the original application is slow?
Investigate the existing request and follow IRS instructions before applying again. Duplicate requests can create an identity problem rather than resolve a processing delay.
