How to Form a US LLC from Turkey: Setup and Tax Checks
Connect the US formation record to the tax treatment of the owner and the business managed from Turkey.
A US LLC formation certificate does not settle the tax position of a founder working in Turkey. You can generally own a US LLC from Turkey, but you need a suitable state, a registered agent, an EIN application route and a written US–Turkey tax analysis. Establish who owns the LLC, where the owner is tax resident and where the business is actually managed before choosing its tax classification or treating receipts as tax free.
Key takeaways
- Start the Turkish review with residence and management facts; nationality and a US mailing address do not answer either question.
- A one-member LLC’s US default treatment does not establish how Turkey classifies the same entity or its income.
- For an eligible Wyoming online filing, the USD 100 filing fee plus the stated 2.4% processing charge is USD 102.40; this excludes the agent and tax work.
- Keep every owner contribution and withdrawal in a transaction register from formation, including periods with no customer revenue.
- Assign separate completion evidence to the state filing, EIN, tax calendar and banking review before promising a launch date.
Resolve the Turkish tax facts before filing
Prepare two Turkish tax files: one for the owner and one for the activity conducted through the LLC. A US filing does not move work performed in Turkey out of the Turkish tax system. An invoice issued by a foreign entity and payment into a foreign account are facts to analyse, not proof of an exemption.
Under Income Tax Law Articles 3–5 , individuals resident in Turkey are generally taxed on worldwide income. Domestic residence includes domicile in Turkey or continuous presence exceeding six months in a calendar year, with statutory exceptions for specified temporary stays. Record domicile, travel dates and the reason for any temporary presence; do not replace this analysis with a citizenship test.
| Fact to establish | Record to prepare | Question the Turkish adviser must resolve |
|---|---|---|
| Owner’s residence | Domicile evidence and a dated travel history | Resident, nonresident or a treaty residence issue? |
| Place of management | Who negotiates, signs, directs staff and controls funds | Could the LLC itself have a Turkish business centre or taxable presence? |
| Entity treatment | State articles, operating agreement and US tax election history | Does Turkey attribute income to the owner currently, or treat the LLC separately? |
| Income character | Customer contracts, work locations, royalty rights and payment flows | Which Turkish income category, source and reporting period apply? |
For entities within corporate tax, GİB’s corporate residence explanation treats a legal or business centre in Turkey as a basis for full liability; the business centre is where transactions are actually concentrated and managed. A foreign incorporation address therefore does not end the inquiry. Whether your particular LLC falls within that regime requires a Turkish classification assessment.
Check the 2026 newcomer exception separately
Turkey’s new foreign-income exemption in Article 20/D can exempt qualifying foreign income for twenty years for individuals becoming resident from January 1, 2026, generally requiring no Turkish domicile or tax liability in the preceding three calendar years, subject to specified exceptions. It is not a general exemption for existing residents with US LLCs. The implementing Communiqué No. 333 requires an exemption certificate application, generally by the residence year-end, with a later deadline for those becoming resident in the final two months. Confirm eligibility and the income’s source before using it.
Ask for a short written answer that identifies the taxpayer, taxable event, income category, filing duty and supporting authority. If the answer depends on whether the LLC is transparent, leave that issue open until the operating agreement and intended election have been reviewed. This is the point to change the plan without having to unwind contracts or capital transfers.
Test the Turkey side of the structure
Bring your residence history, intended owner and management arrangement so the formation plan can be scoped around the unresolved questions.
Match ownership to a US tax route
Choose the US tax route from the actual ownership record. The IRS LLC classification rules ordinarily treat a domestic single-member LLC as disregarded for income tax and a domestic LLC with two or more members as a partnership. An eligible LLC can elect corporate treatment with Form 8832. These are federal tax classifications; the LLC remains a state-law entity.
| Proposed arrangement | US starting point | Decision before funds move |
|---|---|---|
| One individual owner | Default disregarded entity | Identify the owner’s income-tax position and foreign-owner information reporting. |
| Two or more genuine owners | Default partnership | Have the preparer map the partnership return and any foreign-partner withholding duties. |
| Corporate tax election | Corporation treatment if validly elected | Model company-level tax, distributions and Turkish recognition before filing the election. |
| A Turkish company owns the LLC | Owner is a legal entity, not its shareholder | Add the parent’s accounts, authority and related-party transactions to both-country review. |
Do not add a nominal second member merely to obtain a preferred form or bank response. Ownership percentages, voting powers, capital commitments and the people entitled to distributions should agree across the operating agreement, account application and tax records. An organizer signs a formation filing; that signature alone is not your ownership ledger.
Treaty protection requires a separate analysis. The US–Turkey income tax treaty addresses residence, permanent establishments, business profits, independent services and relief from double taxation in different articles. Article 4 specifically conditions pass-through residence on the income being taxed as a resident’s income, in the entity’s or its members’ hands. Check the relevant article, actual activity and eligibility conditions before claiming relief.
For a transparent entity, IRS treaty rules for flow-through income examine who derives each income item under the relevant country’s law. Turkish classification of the LLC is therefore a practical input to a treaty claim, not a conclusion supplied by the US default. Ask the advisers to agree who claims relief and whether the same taxpayer recognises the same income in both countries.
File the LLC with a state-specific record
Use the state where your business facts justify forming. If you expect a US office, staff, stock or regular in-person activity, investigate that state’s registration and tax requirements before picking a distant formation state. The following Wyoming route is a concrete filing example for comparison, not a conclusion that Wyoming is right for every Turkey-based founder.
The state acceptance document is the entity-creation milestone in US company formation . It must be followed by the tax and operating registrations triggered by your activities. Keep this distinction in your project checklist so a paid filing receipt is not mistaken for permission to trade in every jurisdiction.
- Confirm the name and filing channel. Search the Wyoming business register, include a permitted LLC designator and check the state’s online filing instructions . The portal currently directs names beginning with “A” to paper filing for manual review; do not assume every proposed name is eligible online.
- Appoint the registered agent. Obtain consent and the required Wyoming physical office details. The Articles of Organization and agent-consent form separate this address from the LLC’s mailing and principal-office addresses. An agent receives legal notices; its office does not automatically establish your real business location.
- Complete the formation record. Enter the name, agent, mailing address, principal office and contact information consistently. Check whether an optional special LLC form is intended rather than selecting it casually. Identify the organizer and review the certification and signature requirements for the chosen channel.
- Review, sign and pay. Retain the exact submitted data, signed authority and payment confirmation. Use the state’s payment methods; if submitting on paper, follow the current form’s mailing and payment instructions instead of sending card details with the filing.
- Verify acceptance. Check the business record and preserve the accepted articles and filing evidence. If the filing is incomplete or rejected, correct the stated defect and follow the state’s resubmission instruction; do not open a second entity merely because the first application needs clarification.
Then execute an operating agreement and capital record that reflect the approved ownership plan. For a single owner, preserve the separation between personal spending and company transactions. For multiple owners, resolve management authority, admission of members and distribution decisions before anyone signs a customer contract on the LLC’s behalf.
Set a budget and a defensible launch window
Budget the government filing, continuing agent service and tax work separately. The figures below were checked on November 5, 2026 and describe a Wyoming domestic LLC. They are not a nationwide price or a professional-service package; income taxes, licence charges and other-state registrations depend on the eventual activity.
| Item and period | USD basis | What is outside this figure |
|---|---|---|
| Wyoming formation; once | 100 state filing fee | Agent, advice, tax preparation and other jurisdictions |
| Online payment; per eligible filing | 2.4% of filing fee, minimum 1; 2.40 on a 100 filing | Card issuer currency conversion or separate charges |
| Annual report/licence tax; recurring | Greater of 60 or 0.0002 × assets located and employed in Wyoming | Online convenience fee and other taxes |
| EIN; IRS application | 0 government fee | Any separately agreed assistance or communication cost |
| Agent, accounts and professional work | Written quotes for the actual scope | No assumed package price or assumed tax-inclusive total |
The Wyoming filing fee and processing charge produce USD 102.40 for an eligible USD 100 online formation. The annual licence-tax schedule means a minimum USD 60 recurring charge, rather than a zero-maintenance entity. Confirm whether quoted services are one-off or annual, which returns they cover, and whether applicable invoicing taxes are included. Capital you contribute to the LLC remains separate from these charges.
For a planning baseline, reserve several weeks after document approval for a straightforward state filing followed by the international EIN route, with banking outside any fixed completion promise. This is an editorial planning allowance, not an agency service standard. A name requiring paper review, missing authority documents or a tax-classification question can extend it.
Wyoming’s paper instructions allow up to fifteen business days from receipt and state that expedited filing is unavailable. The IRS currently describes fax EIN processing as generally four business days and mail processing as approximately four weeks. Preparation, delivery and corrections sit outside those agency windows; an account provider makes its own decision.
Check the filing and compliance scope
Compare the selected state, agent renewal, EIN assistance and both-country tax work before accepting a quote or choosing a launch date.
Obtain the EIN and prepare account access
Prepare Form SS-4 after the entity details are settled, then use the application method for the LLC’s real circumstances. Under the current SS-4 instructions , an applicant with no US legal residence, principal business location, principal office or agency cannot use the online EIN application. International applicants have a telephone route; fax and mail are also available under the instructions. A registered-agent address alone is not a reason to invent a US operating office.
- Match the legal name and formation date to the state record; distinguish the mailing address from the physical business location.
- Identify the individual responsible party. Follow the specific line 7b instruction if that foreign individual lacks and is ineligible for an SSN or ITIN; do not insert another person’s number to pass an online screen.
- Check the LLC member count, formation jurisdiction, entity-type entry and reason for applying. Use the foreign-owned disregarded-entity instructions when that is the actual filing purpose.
- Obtain an authorized signature and any third-party designation. Save one submitted application, its transmission evidence and the IRS assignment confirmation; avoid duplicate applications while one is pending.
The document trail for an overseas formation should preserve the same names, authority and addresses across the state, IRS and provider records. If a discrepancy appears, identify the originating record and correction procedure before submitting another application with a different version.
Build a separate account-review folder with the accepted formation document, EIN evidence, operating agreement, ownership chain, identification, address evidence and a clear description of the business and funding. Treat this as preparation for a provider’s review, not a statutory guarantee of remote access. Ask the chosen provider whether it serves owners resident in Turkey and accepts the intended activity before relying on the account.
Record the approved account user, signing powers and secure access arrangements. A pending application is not an account approval. Neither LLC ownership nor an EIN gives a founder permission to live or work physically in the United States; check any proposed travel or work activity under the relevant immigration rules.
Turn owner movements into a reporting calendar
Begin the reporting controls with owner transactions, not the first sale. A wholly foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 attached to a pro forma Form 1120. Formation funding can be reportable even before the LLC earns revenue. The IRS Form 5472 instructions include contributions and distributions and prescribe the filing method for these entities.
| Movement or obligation | Control record | Action and completion evidence |
|---|---|---|
| Owner funds the LLC or pays formation costs | Date, amount, payer, recipient and whether capital, loan or reimbursement | Reconcile to bank evidence and have the preparer classify related-party reporting. |
| LLC transfers money to its owner | Purpose, authorization and corresponding ledger entry | Separate distributions, reimbursements, compensation and loans before Turkish reporting. |
| 5472/pro forma 1120 filing, if required | Applicable Form 1120 due date, including valid extensions | Use the prescribed foreign-owned-DE submission route; retain filing proof. |
| Wyoming annual report | First day of the formation anniversary month | Review Wyoming asset basis, submit the report and preserve payment and acceptance evidence. |
A required Form 5472 filing carries a USD 25,000 initial failure-to-file penalty; substantial incompleteness can count as failure. A foreign-owned disregarded entity uses the dedicated fax or mailing procedure in the instructions rather than ordinary electronic filing. Form 7004 must be submitted by the regular return deadline to request an extension. Appoint a preparer and obtain the exact first-year deadline in writing.
On the Turkish side, reconcile the accounting treatment before assuming that leaving money in the US account defers tax. Income Tax Law Article 123 permits qualifying foreign personal income taxes to be credited within limits and with evidence requirements. A US information-reporting penalty or a formation fee is not proof of a creditable income tax. Where the newcomer exemption applies, Article 20/D separately disallows a Turkish credit for foreign taxes on the exempt income.
As of November 5, 2026, FinCEN’s current BOI rule exempts entities created under US law, including a newly formed US LLC, from BOI reporting. This does not cancel IRS reporting or account-provider ownership checks. A Turkish-law company registering to operate in the US presents a different BOI question from creating a US-law LLC.
Reopen the review if you add a member, elect corporate taxation, hire staff, move inventory into a US state or begin delivering work physically in another location. If a filing is missed, reconstruct the transaction record and ask the preparer about the applicable correction or late-filing route promptly; dissolving the state entity does not itself resolve an outstanding tax filing.
Release the LLC for business only with matched records
Release the LLC for its intended activity when the ownership agreement, accepted state filing, EIN record and account authorities tell the same story, and the US and Turkish advisers have assigned the applicable filings. Keep the Turkish treatment memo beside the first-year transaction register so distributions are evaluated against the plan actually approved.
If residence, entity classification or the place of management is still disputed, limit the next action to resolving that point. A completed state filing can coexist with an unfinished tax position. Choose the structure you can explain and maintain from Turkey, with a named person responsible for each deadline and a recorded reason for every owner payment.
Assemble a reviewable LLC launch file
Bring the matched records and unresolved tax questions to the final setup review so responsibilities and remaining approvals can be assigned.
Frequently asked questions
Must my passport name match every record exactly?
Use a consistent legal identity and document any transliteration or name variation. Ask each recipient which supporting record it accepts before changing a filed document solely to match a trading name.
Is an apostille required for every document sent from Turkey?
Do not assume a universal requirement. The Wyoming filing described above is not a general apostille checklist; an ownership chain, bank or other recipient may require specific certification or translation. Obtain that recipient’s requirement first.
Can I claim the twenty-year exemption just by opening a US LLC?
No. Article 20/D is tied to qualifying individuals becoming resident in Turkey under its conditions, a certificate process and foreign-source income. Forming an LLC does not establish any of those facts.
What if I plan to move out of Turkey after formation?
Give the advisers your expected departure date and the work and management arrangements after departure. Reassess residence and income timing for the affected periods instead of assuming a flight date ends all Turkish duties.
Does closing the LLC remove the need for a final review?
No. Include the closing transfers, final state obligations, tax filings and account closure in a coordinated plan. Preserve the documents that show which liabilities and reporting periods have been resolved.
