ARKANSAS LLC FORMATION

How to Form an LLC in Arkansas

Choose the right record for entity identity, company authority and annual franchise-tax compliance.

To form an LLC in Arkansas, file Certificate of Organization LL-01 with the Secretary of State, arrange an Arkansas registered agent and complete the accompanying franchise-tax contact details. The current formation charge is US$45 online or US$50 on paper. Keep company authority, federal tax registration and operating approvals in their own records; the accepted certificate does not accomplish those tasks.

Key takeaways

  • Use the domestic certificate for a new Arkansas company; an existing foreign entity follows a different registration assessment.
  • LL-01 identifies a member or manager for franchise-tax purposes; that entry does not replace company governance.
  • Plan the first franchise-tax obligation for May 1 following formation and verify the applicable year’s form.
  • A filing receipt, tax contact and paid annual return each prove different things.

Clarify your Arkansas filing record

Bring your proposed owners, company route and contact arrangements to a focused formation-scope discussion.

Form an LLC in Arkansas with the correct packet

To form an LLC in Arkansas, first decide whether you are creating a new Arkansas company. A nonresident owner can be behind a domestic filing; “foreign” describes an entity organized elsewhere. An existing overseas or out-of-state LLC needs a foreign-registration assessment instead of another domestic certificate. The Secretary of State’s entity definitions explain that distinction.

  1. Confirm an available legal name with the required LLC designation and any professional-entity restrictions.
  2. Arrange an Arkansas registered agent, settle the principal-office details and identify a member or manager for franchise-tax purposes.
  3. Complete Certificate of Organization LL-01 and its franchise-tax contact information; have the organizer sign and submit the correct payment.
  4. Retain the accepted record, establish company governance, obtain the appropriate tax accounts and confirm operating permissions.

As verified on October 20, 2026, the Arkansas domestic LLC fee schedule lists US$45 for online formation and US$50 for paper filing. The accompanying franchise-tax registration has no filing fee. These are state charges, excluding registered-agent services, professional work, permits, income taxes and operating funds.

Budget for the next recurring obligation separately. At current amounts, US$45 online formation plus US$150 for a timely annual franchise-tax return paid by paper equals US$195 across those two events. The franchise-tax payment page adds a US$5 processing charge for online franchise-tax payment, making that combination US$200. These examples are not an all-in setup quotation; reconfirm next year’s amounts before payment.

Decide what the certificate can actually accomplish

The printed certificate asks for the legal name, principal physical office, agent’s name and physical address, and at least one officer identified as a member or manager for franchise-tax purposes. It also contains the organizer’s dated signature and printed name. Use the current LL-01 certificate and attached contact page rather than an older “articles” checklist.

The legal boundary matters: a certificate statement is not a statement of authority . Section 4-38-201(c) expressly separates them. The operating agreement governs internal relations and company affairs, while a separate authority statement can address powers to bind the company. See Arkansas LLC provisions on records and authority .

Which Arkansas LLC record can accomplish the task?
Question to resolve Appropriate record What it accomplishes Do not infer
What company is being created? Certificate of Organization Registers the entity’s identifying facts Every signer may bind it
Who owns and controls it? Operating agreement and company decisions Documents internal arrangements The tax contact owns the company
Must authority be stated publicly? Separate authority statement, where appropriate Addresses a specified person or position’s powers An extra certificate clause substitutes for it
Where should annual notices go? Franchise-tax contact information Identifies the notice recipient The annual tax has been paid
Has the recurring duty been completed? Annual franchise-tax report and payment Reports current information and discharges that cycle’s payment A name or merger amendment is filed
Have public facts changed? Applicable amendment or change filing Updates the relevant state record An internal resolution updates every agency

For an overseas founder, turn this into a drafting check: put the agreed ownership, contributions, voting, management and signing arrangements into company records. Then compare each public entry with that agreement. A service provider preparing the form should receive instructions about the intended member or manager, rather than choose the role from a convenient contact name.

Arkansas LLC records have different legal jobs The certificate establishes entity identity. Company records and any separate authority statement concern control and authority. Tax contact details route notices, while the annual franchise return reports information and payment. Changed public facts require the appropriate filing. Certificate Creates entity identity Company records Ownership + control Tax contact Routes annual notices Authority statement Separate, if needed Annual franchise return Report + payment New name, agent or office? Use the applicable change filing.
Read across the jobs, rather than treating one accepted document as authority for everything. A separate authority statement is conditional, not a routine formation requirement.

Make the franchise-tax instruction usable

The contact page attached to LL-01 requests the Arkansas company name, contact person, postal address, telephone, email, federal tax ID, signature and title. Its purpose is to route the annual reporting form. It expressly acknowledges that franchise taxes are due by May 1 in the year following formation. See the formation packet’s tax-contact instruction . For formation during 2026, plan around May 1, 2027 under that rule, then use the applicable 2027 form when issued.

Assign a monitored tax contact before filing. Ask who will receive notices, who prepares the return and who authorizes payment. If the federal tax ID is still pending, confirm with Business and Commercial Services how to complete that entry; do not invent a number or treat this field as an EIN application.

The current 2026 annual LLC franchise-tax report requires the tax contact, registered agent, principal office, management selection, current member/manager information, federal tax ID and business activity, with a member, manager or listed tax preparer signing. It carries a US$150 timely payment. Nonreceipt of a notice does not remove the due date, and its instructions do not allow an extension.

Arkansas law provides that satisfying the Corporate Franchise Tax Act also satisfies the LLC annual-report requirement under §4-38-212(f). The annual-report provision is the reason to treat reporting and payment together. Keep the submitted return and payment confirmation, not merely the contact page.

The Secretary of State’s franchise-tax guidance warns that unpaid franchise taxes can cause penalties, interest and revocation, and continue accruing even after revocation until dissolution, withdrawal or merger. Putting the business on hold does not close its state record. A delayed launch therefore needs a compliance owner as much as an active business does.

Connect the contact page to annual compliance

Confirm who receives Arkansas tax notices, prepares the return and authorizes payment before those jobs become urgent.

Deliver an acceptable certificate and retain evidence

The agent can be an individual or an entity serving in Arkansas, either commercial or noncommercial under the Model Registered Agents Act. The filing must identify the appropriate agent; noncommercial arrangements require the relevant address information. Appointment affirms that the agent has consented. The registered-agent statute, §§4-20-102–105 supports obtaining consent before naming anyone. LL-01 has organizer signature lines, not a separate agent-acceptance signature block.

The SOS guidance on the registered-agent location requires an Arkansas street address where the agent is located, excluding a post-office box or mail drop. An owner abroad cannot satisfy that arrangement simply by entering an overseas address. Agree how legal notices will reach the company and who will respond when the regular contact is away.

Submit through the ONLINE link beside LL-01 on the official LLC forms page and pay by credit card, or complete the PDF, attach payment and mail or deliver it to Business and Commercial Services. Use that page’s current delivery instructions. Before sending, reconcile the spelling, addresses, member/manager title, organizer’s authority and tax contact; these are practical checks against an incomplete or inconsistent packet.

Under §§4-38-201(d), 207 and 210, formation requires an effective certificate and at least one person having become a member or manager. The ordinary record takes effect at filing; statutory delayed-effectiveness options exist. Retain the returned copy acknowledging its filing date and time. See Arkansas formation and filing-effect provisions . A payment receipt alone does not establish that all formation conditions were met; allow for review and any correction instead of promising a completion date.

Activate the appropriate federal and state tax accounts

Use the accepted legal name when preparing Form SS-4. The IRS online route has US-location and taxpayer-identifier conditions; an agent’s address does not by itself settle those eligibility facts. Applicants outside the qualifying US-location conditions use an available international telephone, fax or mail route. The current SS-4 instructions explain each method and the signature or designee authorization required.

Identify the individual with ultimate ownership or effective control as the IRS responsible party. If that person has no SSN or ITIN and is ineligible for one, the instructions allow “foreign” or “N/A” on line 7b. This is a conditional rule, not permission to omit a number merely for convenience. Retain the assignment evidence and make the EIN available to the person maintaining the Arkansas tax record.

An LLC’s legal form does not settle its federal tax classification. The IRS guidance on LLC tax treatment describes the usual single-member disregarded-entity and multi-member partnership defaults, subject to elections; employment and certain excise taxes have separate treatment. Have the intended ownership and payment flows assessed before choosing a tax position.

A wholly foreign-owned US disregarded entity with reportable related-party transactions generally needs Form 5472 attached to a pro forma Form 1120. IRS Form 5472 instructions include formation-related payments, contributions and distributions among potentially reportable transactions. Keeping a ledger from the first funding payment helps a tax adviser test the obligation even before customer revenue begins. Arkansas franchise-tax payment does not replace this federal analysis.

Test permission for the planned Arkansas activity

The formation certificate and its tax-contact page do not issue sales-tax permits. Arkansas DFA’s Sales and Use Tax office administers those permits; assess the actual taxable activity and use its tax-account route when registration is required. Employment, income-tax and other accounts need their own applicability review. Do not assume the Secretary of State has opened them from LL-01.

Local permission also has its own evidence. For example, the City of Little Rock business application asks for the business location, detailed activity and operating facts, and links the description to zoning approval. Its home-business questions address residence, traffic and employees reporting to the home. Those are Little Rock requirements, not a statewide substitute for checking the actual municipality or county.

Before committing to premises or accepting regulated work, identify the authority for the activity: a professional board, premises authority, product regulator or other issuing body as applicable. Record the permission, approved location, named license holder and any renewal condition. An accepted LLC certificate answers the entity question; the issuer’s approval answers the relevant operating question.

HSJGlobal’s US company formation and nonresident setup support can help coordinate the filing scope and the remaining handoffs. Formation, tax identifiers, banking reviews and operating approvals each have their own decision maker and evidence.

Put later changes in the correct record

Use the record with the right legal effect when something changes. The current franchise report instructions specifically say that name and merger amendments require separate filings; a notation on that return is insufficient. Agent entries have a statutory exception under §4-38-212(e), while the SOS also provides dedicated agent, principal-office and tax-contact change routes. Check the applicable route on the current LLC amendment and change forms list and retain the accepted update.

To form an LLC in Arkansas with a workable result, close each distinct question: Is the certificate effective? Are control and signing decisions documented? Is the tax contact reachable? Who will file and pay next year? Which permissions remain for the proposed activity? Keep those answers with the underlying records. If the project stops, complete the appropriate formal closure and final tax work rather than abandon the notices.

Frequently asked questions

Does the tax contact need to be the registered agent?

They perform different functions. The contact receives franchise-tax notices, while the agent receives legal process. Choose each deliberately and confirm any provider’s agreed scope.

Do I submit a passport with the standard LL-01 certificate?

The published standard form does not request a passport attachment. A service provider, bank or other authority may request identification in its own review; that is a separate requirement.

Should I reserve the LLC name before filing?

A reservation is a separate optional filing route. It does not create the company; if you are ready to form, assess name availability as part of the certificate submission.

Can I use the 2026 franchise report for a company formed in late 2026?

That report identifies the year ending December 31, 2025. Follow the formation packet’s following-year rule and obtain the report for the appropriate reporting cycle.

Does the operating agreement itself open tax accounts?

No. It records internal arrangements. IRS and Arkansas tax registrations require the applicable applications and agency confirmations.
