Colorado LLC formation

How to Form an LLC in Colorado

Prepare the public filing correctly, then maintain the information and approvals the business actually needs.

To form an LLC in Colorado, prepare a distinguishable name, accurate public filing details and a consenting qualified Colorado registered agent, then submit Articles of Organization online and pay the USD $50 state fee. Confirm when the Articles become effective, document the ownership arrangements, and arrange the federal tax and activity-specific registrations that apply.

The key preparation task is deciding what belongs in each public field. An overseas principal office and a Colorado registered-agent address serve different purposes. Review those entries and the management selection before payment, then retain the accepted filing and calendar the entity’s Periodic Report.

Key takeaways

  • The public preview includes office, agent, organizer and filer details; written name and address consent belongs in your records.
  • Individual agents face current Colorado ID or alternative residency-verification requirements.
  • A new LLC needs another eligible agent first if it intends to appoint itself later.
  • Keep the operating agreement separate from optional public attachments.
  • Use the entity’s displayed report month and assess tax and local operating duties independently.

Clarify the Colorado filing entries

Review the intended owners, office addresses and agent arrangement before preparing the public document.

Build the public filing preview for your Colorado LLC

Start with the information that will appear in the filed document. Colorado’s Articles of Organization instructions require a distinguishable LLC name containing an approved designation, such as “LLC”. Enter the chosen name first; the system advances when it is available. A name that cannot proceed needs attention before the remaining entries matter.

Use this worksheet as a preparation aid, then follow the live form. It separates addresses by their purpose so that an overseas principal office does not accidentally become the Colorado agent address.

Colorado filing preview: complete each address field for the function it actually serves.
Form entry Prepare this input Check before release
Principal office street Physical street address; foreign addresses include country and applicable province A post office box cannot replace the street address.
Principal office mailing Delivery address, if different A mailing address supplements the physical office.
Registered agent Agent name and physical Colorado street address Use the agent’s actual approved details.
Agent mailing address Colorado delivery address, if different Keep this separate from overseas company mail.
Person forming the LLC True name and mailing address; identify additional organizers where applicable Being the organizer does not itself establish ownership.
Individual causing delivery At least one individual’s name and mailing address Identify the actual responsible filer.

The Secretary of State’s preparation checklist warns that filing information, including attachments and filer details, is public. It also requires written consent to list another person’s name or use their address; keep that consent in your own records rather than including it with the filing. Public does not mean optional. Supply required information accurately and review unnecessary additions carefully.

Validate the agent before affirming consent

The consent checkbox needs an eligible, willing registered agent behind it. Under the current Colorado registered-agent requirements , an individual must be at least 18, have a primary residence or usual place of business in Colorado, and hold a current Colorado driver’s license or ID card or complete the state’s alternative residency verification. An overseas mailing address alone cannot satisfy this role.

An entity agent must be in good standing and have a usual place of business in Colorado. An entity formed outside Colorado must also be authorized to transact business there. Obtain the agent’s agreement before entering the appointment; this is affirmative consent , not an assumption created by paying a provider.

A new LLC cannot simply name itself as its own entity agent on its initial registration. The state describes a two-step process: appoint an eligible individual or another entity first, then, after registration and good standing, file a change if the LLC will serve itself. For an individual, follow the official ID or alternative-verification prompts; resolve that input before planning to submit. The agent receives legal process and relays it to the company, so agree how urgent papers will reach the decision-maker.

Keep ownership terms outside optional public attachments

The public form asks whether management is vested in members or managers and requires an affirmation that there is at least one member. The person forming the LLC may be different from its eventual owners. The official LLC checklist explains these entries; do not treat the organizer line as a complete ownership schedule.

Prepare a written operating agreement to document contributions, ownership, management decisions, distributions, transfers and departure arrangements. Colorado’s LLC Act, section 7-80-108 gives operating agreements an important role in governing internal affairs, subject to statutory limits; statutory rules apply where the agreement does not provide otherwise. Align the agreement with the management selection in the Articles.

Use the attachment boundary deliberately. A required attachment for additional organizers is different from voluntarily attaching the entire operating agreement. Keep the internal agreement and supporting consent records in the company’s files unless a specific requirement calls for delivery elsewhere. The following diagram is a disclosure aid, not a claim that every item submitted through an official portal has the same public status.

Review what the filing will disclose

Bring the proposed public fields and agent appointment to a discussion before the online payment step.

Submit the preview and confirm the effective event

Once the entries and consent are settled, complete the online formation transaction. The Secretary of State’s online filing service offers “File a Form” and then “Limited liability company (LLC)”. The Articles instructions describe the review screen and confirm that pressing Submit alone does not file the document: payment must follow.

  1. Complete the name and field entries, including the management and member affirmations.
  2. Add only required or deliberately permitted material; inspect the complete preview for spelling, addresses and attachments.
  3. Select immediate effect or enter a supported delayed effective date, complete payment, and retain the resulting receipt and filed Articles.

The government fee checked on October 20, 2026 is USD $50 for online LLC Articles of Organization. The official fee schedule lists no paper option for this transaction. A simple state-filing subtotal covering formation and one timely annual Periodic Report is $50 + $25 = $75. This excludes optional name reservation, agent or professional charges, taxes, local licenses and operating funds; it is not an all-in launch price or an HSJGlobal quote.

Colorado forms the LLC when its Articles become effective. Ordinarily that is the filing event; a delayed date may be up to 90 days later. Under sections 7-80-207 and 7-90-304 , a delayed date without a time takes effect at 11:59 p.m. on that date, subject to the statutory filing-time rule. Do not use a payment-screen estimate as a guaranteed launch date.

Save the assigned Colorado record ID, the final document and its effective date. The state ID is not the federal Employer Identification Number (EIN). For context on what follows registration, see what public registration changes for a new company .

Maintain the same public fields through the Periodic Report

Calendar the Periodic Report using the entity’s actual Summary page, where Colorado displays its report month. The Periodic Report FAQ permits filing in that month, the two preceding months and the two following months without penalty. For a displayed October report month, that is August through December; the last penalty-free day is December 31. Use the displayed month rather than an assumed tax-year deadline.

File annually even when the information is unchanged. Review the principal office and agent details, correct the entries that need updating, pay, and retain the receipt. The current state fee schedule charges USD $25 per Periodic Report and lists a separate $50 late-filing penalty. Failure to report can lead to delinquent status; reminders are a courtesy and do not transfer responsibility.

A move or agent replacement may need attention before the report window. Colorado provides Statements of Change for principal-office and registered-agent information, each currently $10. Use the appropriate filing for a changed fact instead of leaving an obsolete service address until next year. An annual review is also an address review. Agree who monitors the record and who can arrange an update when a provider relationship ends.

Open tax and operating work from the business facts

Formation supplies the company identity; the owners, business location and activities determine the next registrations. Keep a separate list for federal tax, Colorado tax accounts and permission to operate at each location. A Colorado address in the Articles does not resolve those questions.

Choose the EIN channel that fits the principal business location

Form the LLC before applying for an EIN. The IRS online EIN tool is free and requires, among other conditions, a principal place of business in the United States or its territories and the responsible party’s SSN or ITIN. A registered-agent address does not by itself establish that the business meets those conditions.

If the principal place of business is outside the United States, the IRS international applicant instructions offer phone, fax or mail routes, with Form SS-4 used for fax or mail. Identify the real responsible party and follow the current instructions. An EIN identifies the taxpayer; it does not approve a bank account or determine the owner’s tax treatment.

Match tax accounts and permissions to the actual activity

The IRS LLC classification guidance distinguishes default treatment for a single-member domestic LLC from a domestic LLC with at least two members, and permits eligible classification elections. “Disregarded” does not mean that every filing obligation disappears. A wholly foreign-owned U.S. disregarded entity with reportable related-party transactions can have Form 5472 and pro forma Form 1120 obligations under the IRS Form 5472 instructions . Obtain advice on the owners’ facts and planned funding before assuming no returns are due.

The Colorado Department of Revenue’s new-business guide directs an in-state business with a physical Colorado location and taxable sales to a sales-tax license, and identifies wage withholding and other accounts as applicable. Home-rule cities can impose additional requirements; state tax registration does not settle municipal licensing.

For example, Boulder’s business-license guidance requires businesses physically located in the city to be licensed and approved before operating, including service businesses that do not sell taxable property. That is a Boulder rule, not a statewide general license. Confirm the actual city or county, premises use and any activity or professional approvals before opening.

Decide whether your Colorado filing preview is ready

To form an LLC in Colorado, release the public filing only when the name, addresses, agent eligibility, consent and management selection are settled. If an overseas founder has a valid principal-office address but no eligible Colorado agent, the unresolved item is the agent appointment. If the form is ready but the ownership terms remain disputed, settle the governance agreement before relying on the entity to carry out the venture.

After successful filing, record the effective event and displayed report month, then work through the actual tax and operating requirements. Bring the proposed owners, office arrangements and activity to a discussion of US company registration and LLC formation support . Define the requested work around those facts so that formation, recurring filings and operational permissions have clear deliverables.

Plan the work after acceptance

Identify who will handle the report month, tax accounts and local requirements for the planned activity.

Frequently asked questions

Can the filed information be in another language?

The Secretary of State’s Articles instructions require information included in this document to be in English. Prepare names, addresses and permitted attachments for that requirement.

Must I upload every owner’s passport?

The ordinary Articles checklist does not list passports as a universal attachment. Complete required public entries and official agent-verification prompts; do not add identity documents to an optional public attachment without a specific requirement.

Does paying for a name reservation form the LLC?

No. Reservation is a separate name transaction. The LLC is formed when its Articles of Organization become effective.

Can a formation provider be the responsible party for my EIN?

Do not substitute a nominee for the person actually in control. Follow the IRS responsible-party rules and any authorization requirements for a third-party designee.

What if I decide not to use the LLC?

Review the appropriate dissolution filing rather than simply abandoning the record. The Colorado report FAQ explains that an entity ending business may consider dissolution and need not file a Periodic Report first.
