Kansas entity formation

How to Form an LLC in Kansas

Connect the initial Articles of Organization to the disclosures, deadlines and operating decisions that follow.

To form an LLC in Kansas, choose the appropriate Kansas entity route, arrange an eligible resident agent and Kansas registered office, and file Articles of Organization with the Secretary of State. For an ordinary domestic LLC, the current filing fee is USD $85 online or $90 on paper, verified October 22, 2026. Then organize ownership records, obtain an EIN when needed, and complete the tax and operating permissions that apply.

Plan the first biennial Information Report at formation. A new for-profit LLC formed in 2026 normally files its first report by April 15, 2028. The initial Articles and later report request different information, so the short formation form should not be treated as the whole compliance file.

Key takeaways

  • Form DL creates an ordinary Kansas LLC; an existing non-Kansas entity uses a different registration route.
  • The resident agent needs a Kansas physical registered office where the agent may regularly be present.
  • A domestic LLC’s Information Report identifies members owning at least 5% of its capital, with their addresses.
  • The first report follows the next matching odd or even year; 2026 formation points to April 15, 2028.
  • The state formation fee, recurring report fee, agent services, operating permits and tax obligations are separate budget items.

How to form an LLC in Kansas: plan the two public filings

The practical starting point is a pair of public records: the Articles that establish the entity and the Information Report that later updates its details. Build both into the setup plan. Kansas’s registration page separates a domestic General LLC from professional, public benefit and series-related filings. This guide follows the ordinary domestic route.

What Kansas asks for at formation and afterward
Filing Core public information Planning consequence
Articles of Organization, Form DL LLC name; resident agent; Kansas registered office; authorized signature. Prepare the legal name and agent arrangement before submitting.
Information Report, Form ILC State business ID; legal name; principal physical office; reporting year; domestic members with at least 5% of capital and their addresses; signature. Maintain a separate ownership and principal-office record from day one.

A founder living overseas and an LLC formed outside Kansas are different concepts. If you are creating a new Kansas subsidiary, the domestic formation route may fit. If an existing company formed in another state or country will itself conduct business in Kansas, review the foreign application route instead. Kansas currently directs non-Kansas entities to a paper foreign application. Do not create a second entity merely to obtain a registration for the first one.

For help coordinating the structure, EIN and agent arrangements, HSJGlobal’s US company registration services address the wider setup project. The Kansas filing choice should still match the entity that will own assets, sign contracts and receive revenue.

Build a usable name and resident-agent arrangement

Settle the LLC’s legal name and the arrangement for receiving legal documents together. The current Form DL instructions permit suffixes including LLC, L.L.C., LC, Limited Liability Company and Limited Company. Use the official name-availability route linked from the state registration page before committing to branding. A similar existing name can require the registered business’s formal consent; a founder’s own explanation of the similarity does not replace that document.

Kansas calls the recipient of legal process a resident agent . The form allows an individual, a business registered in Kansas or the LLC itself, with a qualifying registered office. If you name an existing business as agent, enter its legal name exactly as recorded. Agree on who will monitor deliveries and forward urgent papers before using the address.

The registered office must be in Kansas, with a physical address where the agent may regularly be present. A post office box is unacceptable. An overseas founder should arrange a suitable Kansas agent rather than substitute a foreign home address or a mailbox that cannot perform the role. Ask separately whether an agent’s service covers ordinary business mail; legal-process handling and general correspondence are different needs.

Treat filed details as public. Check every address with the person responsible for it and avoid inserting personal identification or payment information into the Articles themselves. The state supplies a separate card-payment cover page for paper submissions.

Submit Form DL and retain the formation evidence

Use the General LLC route on the state’s registration page or complete the paper Form DL. The paper form has four substantive numbered entries. It does not request the full internal ownership agreement. Complete the following checks before paying:

  1. Enter the full LLC name, including its permitted formation suffix. Keep DBA or trade names out of this legal-name field.
  2. Name the resident agent using the correct individual or registered business name.
  3. Enter the agent’s complete Kansas registered-office address and confirm that it is usable for legal deliveries.
  4. Have an authorized person sign the declaration. Confirm the filing and payment instructions for the chosen channel.

The Secretary of State’s Form DL says online processing happens within minutes and the certified Articles can be printed from the website. Treat that as the office’s description of the online route, subject to a complete acceptable filing and working portal. A name issue, incorrect agent entry or rejected payment still needs resolution. It is not a promise that a business can begin every activity within minutes.

For paper filing, use the current mailing address printed on the form and include the required payment. The instructions say a certified copy is mailed after processing; they do not give a fixed paper turnaround. Allow separately for postal delivery, agency handling and any correction. Do not submit the same formation online and by mail.

Retain the accepted certified Articles, payment evidence and state business ID in a controlled company folder. A payment receipt alone is not the formation evidence. Compare the accepted name and agent details with the information you intend to use in contracts and tax applications. Address a filing error before reproducing it across other systems.

Put the first Information Report on the calendar

Set a specific first-report date as soon as the formation year is known. The Kansas Information Reports guidance uses a biennial odd/even cycle: an even-year formation reports in succeeding even years, and an odd-year formation reports in succeeding odd years. For-profit businesses are due by April 15 of the applicable year. This is a recurring entity filing, separate from income-tax returns.

Formation year First Information Report due Following scheduled year
2026, including an October formation April 15, 2028 2030
2027 April 15, 2029 2031

The current LLC Information Report instructions require a principal physical office, which cannot be a post office box. That is a different field from the resident agent’s registered office. For domestic LLCs, each member owning 5% or more of the capital must be named with an address where the member may regularly be located. Maintain the ownership ledger and contact information so the report can be prepared accurately.

Use the Secretary of State’s business ID on the report, rather than the IRS EIN. Put a review reminder ahead of the due date and assign the work to a named person even if the company is inactive commercially. The state describes a three-month delinquency interval after the deadline, with restrictions on filings; after that interval, failure to report leads to forfeiture and a reinstatement requirement. Use April 15 as the working deadline. A later recovery route adds risk and administration.

Build a Kansas filing budget with two separate dates

At the current rates, formation and the first report total USD $175 using online filings or $200 using paper filings. These are two state filing events at different dates, not a single startup charge. All figures below were verified October 22, 2026 for an ordinary domestic LLC.

Government filing fees and direct IRS EIN cost
Item Online route Paper route When it arises
Articles of Organization USD $85 USD $90 One-time formation filing.
LLC Information Report USD $90 USD $110 Each required biennial report.
EIN obtained directly from IRS USD $0 USD $0 When an EIN is required or otherwise needed.

For a new 2026 LLC, the recomputable illustration is $85 formation now + $90 for the first online report in 2028 = $175 at today’s fee schedule. The corresponding paper calculation is $90 + $110 = $200. Recheck the report fee when that later filing becomes due. The Articles fee schedule and Information Report fee schedule are the controlling payment references for these examples.

These figures are government filing charges and the direct IRS fee. They do not include a paid resident agent, adviser, courier, optional filings, city or industry permits, taxes, insurance, premises or business capital. The forms do not present these government charges as VAT-inclusive professional-service prices. Obtain a written scope and tax treatment for any separately purchased services; no single statewide total captures every business’s operating costs.

Turn the LLC into an operating business

An accepted filing should trigger an operational handover. Record the members, capital contributions, management authority, signing powers and agreed distributions in the company’s internal documents. A written operating agreement is useful for that purpose, especially where several owners have different roles. Keep contribution records and approvals alongside it so the company’s actual decisions can be reconstructed.

Apply for an Employer Identification Number after formation when needed for the company’s tax, employment or banking arrangements. The IRS EIN application guidance confirms that obtaining an EIN directly from the IRS is free. Its online tool requires a domestic organization, a principal place of business in the United States or its territories, and the responsible party’s SSN or ITIN. A Kansas agent address does not by itself establish online eligibility.

For applicants who cannot use the online tool, the Form SS-4 instructions explain fax, mail and qualifying international telephone routes. They describe fax issuance generally within four business days and advise mailing the form at least four to five weeks before the EIN is needed. These are IRS timing statements, distinct from Kansas formation processing. Follow the current route-specific instructions and avoid duplicate EIN applications.

Next, map the activity and location to the remaining authorities. The Kansas Department of Revenue’s business-tax registration page provides the state tax registration routes; select accounts according to the sales, employment and other taxable activities involved. Check city or county requirements for the actual operating address, and the relevant regulator for a licensed profession, food activity or other controlled business. Entity registration does not replace these decisions.

The practical distinction between the LLC and its permissions is developed in whether an LLC needs a separate business license . Keep a short approval register showing the authority, holder, covered address or activity, evidence and renewal date for each applicable permission.

Resolve overseas-owner issues before money moves

An overseas ownership arrangement needs its own tax and access review, even when the state formation entries are straightforward. Identify the actual owner, the individual who controls the business for EIN purposes, the location of management and the proposed movement of funds. Avoid choosing a nominal responsible party just to make a portal accept an application.

For Form SS-4, the IRS permits “foreign” or N/A in the responsible-party identifier field where the individual has no SSN or ITIN and is ineligible to obtain one. Follow that condition rather than treating the absence of a US identifier as an automatic bar to every EIN route. Bank or payment-provider onboarding remains a separate review, with requirements set by the institution.

A wholly foreign-owned US disregarded entity with reportable transactions may need Form 5472 attached to a pro forma Form 1120. The IRS Form 5472 instructions govern that obligation; contributions and dealings with owners deserve review before assuming that no revenue means no filings. Have a tax adviser identify the applicable returns and maintain records from the first funding transaction.

As of October 22, 2026, FinCEN’s current BOI guidance exempts US-created companies from federal beneficial ownership reporting under the final rule effective August 14, 2026. A Kansas-created LLC falls within that domestic category even with overseas owners. This does not cancel Kansas’s member disclosures or IRS reporting. A company formed under foreign-country law and registered in Kansas needs a separate FinCEN analysis.

If the project involves real property, read the Attorney General notice included in Form DL: specified foreign principals and covered property can trigger a separate registration. Resolve that issue before acquisition. Also assess any permission needed to work physically in the United States; an entity filing does not settle immigration status.

Make the first commitment only when the file is ready

Before signing a lease, accepting a material order or moving owner funds, use a short handover record. To form an LLC in Kansas with a workable foundation, the legal filing and the operational plan need to agree on which company is acting and who can bind it.

  • Match the accepted Articles to the intended contracting entity and confirm that the resident-agent arrangement is active.
  • Retain owner and manager approvals, contribution evidence and the current internal agreement.
  • Record the EIN outcome or the application route, and assign tax and foreign-owner reporting responsibilities.
  • Confirm applicable location and activity permissions, then enter the first Information Report date in the compliance calendar.

If one of those items is unresolved, make it a named action with a responsible person and a completion condition. This keeps the next commercial step tied to evidence instead of an assumption that the short Kansas formation form completed the entire setup.

Frequently asked questions

Does Form DL replace a DBA filing?

No. Its legal-name field specifically excludes DBA, fictitious, assumed and trade names. If the business will use a different public-facing name, check the rules relevant to that use rather than inserting both names in the LLC-name field.

Can I send the paper form after filing online?

The state’s instructions tell online filers not to complete and mail the paper form. Keep the online outcome and resolve any rejection through the appropriate channel before submitting another formation.

Does a series of an LLC use the ordinary online report route?

The current Form ILC instructions say a series of an LLC must submit the form and cannot file its Information Report online. A series project therefore needs its own filing plan; the ordinary LLC examples here should not be extended to it automatically.

Can changing the agent wait until the next Information Report?

Kansas lists maintaining current resident-agent and registered-office details as a separate ongoing requirement. Use the state’s change procedure when the arrangement changes instead of assuming the next biennial report will update it.

Should I order a certificate before a bank asks for one?

Ask the institution which evidence it requires and how recent it must be. Retain the accepted Articles first, then obtain any additional status or certification document against the institution’s actual checklist.
