Virginia LLC formation
How to Form an LLC in Virginia
Build the company through the SCC, with clear authority, the correct effective time and a first-year compliance owner.
To form an LLC in Virginia, choose the correct entity route and name, appoint an eligible registered agent, and submit Articles of Organization with the US$100 government filing fee to the State Corporation Commission (SCC). Confirm when the certificate of organization becomes effective, then complete the separate governance, tax and operating-permission steps that apply to the business.
Key takeaways
- A new Virginia LLC uses the domestic formation route; an existing LLC formed elsewhere needs a foreign-registration assessment.
- An overseas principal office can be used, but the registered agent needs the required Virginia qualification and office.
- Organizer, registered agent, business signer and IRS responsible party are distinct roles.
- The certificate’s effective moment controls formation; Virginia caps delayed effectiveness after issuance.
- Plan for the US$50 annual SCC registration fee in the organization month, separately from taxes and permits.
Set the Virginia filing scope
Clarify the entity route, agent eligibility and people authorized to submit your articles.
Choose the correct Virginia route and legal name
Use domestic Articles of Organization for a new Virginia general LLC. A founder living overseas does not turn that new Virginia entity into an out-of-state LLC. An LLC already formed elsewhere instead needs an assessment of foreign registration; the SCC identifies Form LLC1052 for that route. Professional services can require a professional LLC route, so establish the activity before choosing the form. See the SCC LLC filing guidance .
Choose a distinguishable legal name containing an accepted LLC designation. Use the SCC’s name-availability function before committing to branding, then use the same spelling throughout the filing. The Virginia formation and naming provisions also allow the principal office to be outside Virginia. This matters to an overseas executive team: the principal office and the registered agent’s Virginia office serve different purposes.
As checked on October 20, 2026, the SCC filing schedule lists US$100 to form a general Virginia LLC. Reserving a name is optional: US$10 for 120 days. Filing without that reservation avoids the extra reservation charge; it does not remove the formation fee.
Assign people before assigning portal access
Separate the power to file from the power to run the business. Virginia permits an organizer who never becomes a member, while management follows the company’s governance arrangements. The table is a practical allocation tool, grounded in the organizer provisions , management provisions and IRS responsible-party rules . It does not create authority merely by naming someone.
| Role to assign | Virginia boundary | Evidence to keep | Decision before filing |
|---|---|---|---|
| Organizer | Signs and delivers the articles; need not become an owner. | Approved filing instructions and signed articles. | Who is authorized to submit this specific filing? |
| Registered agent | Must satisfy a statutory qualification and maintain the appropriate Virginia office. | Agent confirmation, exact legal name, qualification and forwarding contact. | Can this person or eligible entity actually serve? |
| Members or managers | Members manage by default unless the articles or a written operating agreement provides for managers. | Ownership record, operating agreement and signing approvals. | Who will approve contracts and control company assets? |
| IRS responsible party | The person who controls the entity and its assets; a nominee is not eligible to apply as responsible party. | SS-4 information and authority for any permitted representative. | Who supplies the real controlling-person information? |
| Annual-fee owner | An internal assignment to monitor the SCC assessment and payment. | Calendar entry, backup contact and payment confirmation. | Who acts if the overseas founder misses an agent email? |
For an individual agent, Virginia residency alone is insufficient. Section 13.1-1015 permits qualifying members or managers, specified people connected to entity owners or managers, Virginia State Bar members, and a defined officer route. It also permits eligible business entities authorized in Virginia. Review the exact category in the registered-agent statute ; a friend with a Virginia mailing address may not qualify. The LLC cannot serve as its own agent.
Arrange a qualified Virginia registered agent before submitting. Confirm that the agent agrees to serve, the listed business office is correct, and notices will reach someone who can act. The statutory role concerns service and forwarding of legal documents; it does not automatically give the agent ownership, contract authority or responsibility for every filing.
The SCC office-address guidance requires the Virginia registered office’s complete address and locality, meaning its county or independent city. Ordinarily use a physical business office, not a post-office box. A narrow paper-filing exception exists for locations in towns or cities below 2,000 population without an associated street address. Do not substitute the nearest postal city for the actual locality.
How to form an LLC in Virginia in CIS
Prepare the required facts before opening the Clerk’s Information System (CIS). The articles requirements cover the legal name, registered office and Virginia locality, agent name and qualification, and principal-office address. One or more organizers sign and deliver the articles. The principal office should describe the actual executive office, rather than assuming the agent’s service address is the business headquarters.
- Select formation of a new Virginia general LLC and enter the approved name and office details.
- Identify the agent using the correct legal name and qualifying capacity. Reconcile the locality and address before checkout.
- Review the generated articles, organizer information and any intended effective-date provision; approve only information the team can support.
- Submit the filing and required government payment, then retain the exact submitted version and track the SCC response.
Use the SCC’s current filing instructions when deciding whether to upload custom articles. The SCC says an attachment can add five business days for review; this is an agency guidance estimate, not a promised completion date. Uploaded articles must match the portal entries. Keep operating agreements and financial records out of the formation upload. Restricted name wording or incomplete data can also require review.
If a rejection arrives, reconcile the specific notice against the saved submission. Correct the stated issue rather than creating another entity because an acceptance email has not arrived. Retaining the submitted text also makes discrepancies in names, addresses or effective dates easier to resolve.
Check the certificate before the next filing
Align the intended start date, SCC evidence and authority to act before moving to tax and operating registrations.
Read Virginia’s certificate clock before acting for the LLC
Payment alone does not establish the LLC. Under Virginia’s certificate-effectiveness rule , existence normally begins when the SCC issues the certificate of organization. If the articles specify delayed effectiveness, the certificate takes effect at the earlier of that specified moment or 11:59 p.m. on the fifteenth day after issuance. A specified delayed date without a time means 12:01 a.m.; the statute uses Eastern Time.
For an illustration, suppose the SCC issues a certificate on October 20 and the articles specify November 10. The statutory cutoff is November 4 at 11:59 p.m. Eastern Time, earlier than the requested November 10 date. This is calendar-day arithmetic under the statute, not a processing estimate. Check the actual certificate and filed provision instead of carrying the requested date into contracts unexamined.
Preserve the certificate, filed articles, acceptance correspondence and payment receipt together. The certificate is the statutory evidence of formation; the receipt documents payment. Establish which effective moment applies before representing that the LLC exists or submitting a dependent tax application. If issuance remains pending, identify who monitors the filing and any correction request.
Move from formation to authority, EIN and operating permissions
Create private authority records for the members, manager appointments and authorized signers. Virginia vests management in members unless the articles or a written operating agreement provides for managers. Managers need not be Virginia residents unless the company’s documents require it. An operating agreement is not invariably required to be written, but a written record is practical for an overseas team. The Virginia governance provisions explain these defaults; tailor voting and signing arrangements to the ownership structure.
After legal formation, use the IRS EIN application routes to obtain the federal Employer Identification Number when needed. The IRS charges no application fee. If the principal place of business is outside the United States, its international route permits phone, fax or mail applications using Form SS-4. Do not assume that having a Virginia registered agent makes the company eligible for the online route. Identify the actual responsible party, and keep the IRS confirmation with the formation records.
Foreign ownership needs a separate tax-filing review. A foreign-owned US disregarded entity with reportable related-party transactions can need Form 5472 attached to a pro forma Form 1120. The IRS Form 5472 instructions define the scope. Absence of ordinary trading revenue does not by itself settle information-return duties. Arrange advice before owner funding or other related-party transactions become difficult to reconstruct.
For the planned activity and address, Virginia’s business-starting guidance distinguishes entity registration from sales-tax, withholding or income-tax accounts and from sector, city/county and zoning requirements. Ask the locality and relevant regulator about the actual premises, workforce, products and services. Formation and an EIN do not authorize every activity.
Our guide to federal, Virginia and local permission layers helps organize that separate operating review without treating the SCC filing as a universal license.
Calendar the anniversary-month payment and change duties
Assign the first annual payment when the formation file closes. The SCC annual-registration guidance lists an annual LLC registration fee of US$50, due by the last day of the organization month each year after formation. For a new LLC organized in October 2026, the first ordinary payment is due October 31, 2027. This is an SCC registration payment, separate from any tax return or local license renewal.
The SCC assesses the fee and sends notice two months before the due date; it does not accept payment before assessment. An LLC late payment attracts a US$25 penalty, and continued nonpayment can lead to cancellation on the last day of the third month after the due date. Monitor the account as well as forwarded mail, and retain the payment confirmation.
For a simple government-only planning example, US$100 formation plus the first US$50 annual registration equals US$150 across those two events. Adding the optional US$10 reservation makes US$160. These are separate statutory charges checked October 20, 2026, not a service quotation or one checkout total. They exclude optional filings, professional and agent charges, business taxes, operating funds and local or sector approvals.
Keep the registered agent, registered office and principal-office details current. The SCC change-filing schedule lists agent/registered-office changes and principal-office updates without an SCC filing fee. A provider may separately charge for its work. Changes in ownership, activity or premises also warrant review of the company’s authority records and operating requirements.
For beneficial ownership information (BOI), FinCEN’s current rule notice states that US companies are exempt, with its final rule effective August 14, 2026. A newly created Virginia LLC falls within the US-created entity category even when its owners live abroad. Do not apply the separate foreign-country-entity reporting route merely because a founder is foreign. Recheck the official rule before acting on an older checklist.
Make the Virginia formation decision with a named owner
To form an LLC in Virginia, first confirm the correct entity route and an eligible agent; then submit accurate articles, verify the certificate’s effective moment and document who controls the company. Assign a named person to the first annual payment. Resolve the separate tax and operating-permission questions for the intended launch rather than leaving them hidden inside a filing-service label.
For the entity component, review HSJGlobal’s US company registration and LLC formation services . Bring the proposed ownership, principal office, agent arrangement, activity and intended start date to the discussion. The useful outcome is a defined filing scope, clear authority and an assigned next action for every unresolved requirement.
Turn the formation file into assigned actions
Discuss the remaining entity, tax and permission questions with the business facts and responsible people identified.
Frequently asked questions
Does the SCC keep the LLC’s ownership list?
The SCC LLC FAQs say it does not keep a record of LLC members or managers. Maintain the company’s own ownership and appointment records, and provide them when a competent authority or commercial counterparty requires them.
Can I use a different trading name later?
The SCC guidance on fictitious names says to register the LLC before establishing a fictitious name for it. Review the separate fictitious-name filing rather than adding a DBA to the legal name in the articles.
Does the agent’s address qualify the business for a bank account?
Agent appointment establishes a channel for legal notices. It does not decide a bank’s eligibility or address checks. Ask the chosen institution which entity, ownership, identity, operating-address and authority documents it requires.
Should a commercial launch date be the filing date?
Choose it after checking legal effectiveness and any tax, premises or activity prerequisites. Preparation, SCC review and operational readiness can have different dates; an intended commercial date does not change the certificate-effectiveness statute.
