Arizona corporation filing workflow
How to Set Up a Corporation in Arizona
Move from an agreed filing packet to approved records and a practical handover.
To set up a corporation in Arizona, work through six stages: confirm the filing route, prepare Articles of Incorporation and supporting documents, submit to the Arizona Corporation Commission (ACC), resolve its review, complete publication and internal organization, then hand over the corporate and tax records. Keep the submission receipt separate from the approved filing and the permissions needed to operate.
This sequence covers a new, ordinary for-profit Arizona corporation. An overseas owner does not turn that new entity into a foreign corporation; an existing entity formed elsewhere needs a different route. Assign a person to every unfinished task before you pay or submit.
Key takeaways
- Create one master record for the name, Arizona addresses, people and authorized shares before completing forms.
- Confirm the statutory agent has accepted; naming an agent alone does not complete that appointment.
- Use the approval or rejection letter to decide the next action, and retain every submitted version.
- For a corporation, the publication branch follows the county of its known place of business.
- Close formation with internal records, the EIN, operating approvals and an assigned annual-report deadline.
Open the right Arizona corporation case
Start by deciding whether you are creating a new legal entity or bringing an existing corporation into Arizona. The ACC treats an entity formed outside Arizona as foreign. If you intend to use that existing company, assess the Application for Authority route before opening a domestic incorporation case. Foreign ownership and foreign formation are different facts.
For a new corporation, record the proposed legal name and corporate identifier, intended Arizona activity, incorporators, initial directors, share authorization, known place of business and statutory agent. The ACC’s business formation guide gives the current name-check route: Arizona Business Center, then File, Name and Check Name Availability. A reservation is optional; do not mistake availability for an approved corporation.
As checked October 23, 2026, the official corporation fee schedule lists USD 60 for regular processing of for-profit Articles of Incorporation. This is a government filing charge, not an all-in setup price or tax payment. Optional faster examination, newspaper publication, professional assistance and operating permissions have separate cost implications. Confirm the selected service and total at submission.
Assemble one consistent filing packet
Prepare the packet from one approved data sheet, rather than allowing each signer to type a different version. Arizona’s articles statute requires the corporate name, authorized shares, initial business character, initial directors, statutory agent, known place of business where different, incorporators and signatures. The Certificate of Disclosure accompanies the articles; its execution date must be no more than 30 days before delivery to the ACC.
- Entity details: reconcile spelling, punctuation and corporate suffix across the articles, disclosure and agent appointment. Decide the share terms before entering a number; authorization is not evidence that shares have been issued.
- Arizona presence: use a street address for the known place of business and the statutory agent. They may coincide. Record the known-place county independently, because it later controls the corporation publication branch.
- Signers and attachments: collect all incorporator signatures and the disclosure responses. Add the applicable disclosure, director or share attachments when the answers or space requirements trigger them. Do not leave a checked attachment box unsupported.
The ACC’s corporation instructions explain these fields and attachments. Read the disclosure questions against the actual people involved; a “yes” response can require supporting information. Do not replace the prescribed disclosure with a generic owner declaration.
Obtain statutory agent acceptance before treating the packet as complete. Under the current ACC filing guidance , an online agent can accept through the agent’s ABC dashboard; a paper filing requires the acceptance form. Match the appointed individual or entity exactly. If you hired an agency, the staff contact and the appointed legal entity may be different names.
Submit through Arizona Business Center
Use Arizona Business Center (ABC) for the current online route and select the corporation filing. The portal name has replaced eCorp in current ACC guidance, although older PDF instructions may still show the former address. For paper submission, obtain the current corporation forms and instructions and include the cover sheet, required documents and payment. The ACC also identifies mail and fax alternatives.
Before authorizing payment, compare the final application against your master record and preview every attachment. Check that the agent’s acceptance has actually been completed, not merely requested. Ask the submitter to deliver a copy of exactly what was sent, the payment record, submission reference and correspondence destination.
A receipt records submission; it does not prove that the ACC accepted a compliant filing.
Track preparation, delivery, examination and correction as separate stages. Consult current ACC processing information when choosing a service; faster examination does not guarantee approval. While review is pending, you can prepare bylaws, draft the organizational agenda, gather EIN information and identify operating permits. Keep those drafts separate from signed actions and issued approvals.
Act on the examiner’s outcome
When the ACC responds, place the case into one of two working states. Approval means you should save the approval letter and filed documents, verify the corporate name and recorded details, and carry forward any publication instructions. Rejection means the letter’s deficiencies and resubmission instructions become the task list; do not simply send the unchanged packet again.
For each defect, record the examiner’s wording, corrected field, affected attachment, signer and response deadline. A corrected agent name may also require corrected acceptance. A revised disclosure may need fresh signatures and a valid execution date. Keep the original submission and corrected version together so nobody later relies on the superseded copy.
The legal effective date deserves its own check. Under A.R.S. § 10-203 , absent delayed effectiveness, corporate existence begins on delivery of the articles and disclosure for filing; filing is conclusive proof of the formation conditions, subject to the statute’s exception. A noncompliant filing can be refused and existence terminated. Read that rule with the ACC outcome rather than substituting a payment date or approval-email date.
If an error is discovered after filing, distinguish a non-substantive correction from a substantive amendment. Use the appropriate corporation route and confirm it with the ACC when uncertain; replacing a local copy cannot change the filed public record.
Close the corporation publication branch
Read the approval letter before ordering publication. Section 10-203(D) requires publication of the articles or ACC entry into the prescribed database within 60 days after approval. Treat this as a calendar-day compliance deadline, distinct from the examiner’s processing estimate.
For corporations, the database statute uses the known place of business county and a county-population threshold of more than 800,000. The statutory-agent county test belongs to LLCs. A corporation with different addresses must not borrow the LLC shortcut merely because its agent has an address in a qualifying county.
Follow the approval instructions for the applicable branch. For newspaper publication, retain the newspaper’s affidavit and check that the published document matches the approved articles. Filing that affidavit with the ACC is optional; retain it internally if you do not file it. For the ACC database branch, retain the approval details and evidence of the posting. If instructions or addresses conflict, resolve them with the ACC before marking the task complete.
Organize the corporation and obtain its EIN
After incorporation, the board completes organization by appointing officers, adopting bylaws and dealing with other business at its organizational meeting under A.R.S. § 10-205 . Preserve the resulting minutes and internal records. Arrange the necessary share approvals, issuance records and banking authority with suitable professional help; the number authorized in the articles is not a substitute for an ownership record.
Then obtain the corporation’s Employer Identification Number (EIN). The IRS EIN application page says to form the state entity first. Its online route requires a U.S. or U.S.-territory principal place of business and the responsible party’s SSN or ITIN, among its conditions. An overseas founder should assess those conditions rather than assuming that an Arizona agent address makes online filing available.
Where online filing is unavailable, use the appropriate Form SS-4 route. The IRS SS-4 instructions distinguish fax and mail applications from the telephone route for international applicants. The responsible party is generally an individual with ultimate ownership or control. If that person has no SSN or ITIN and is ineligible to obtain one, the instructions permit “foreign” or N/A on line 7b; lack of a number alone does not establish that exception.
Use the corporate legal name, including its suffix, consistently and retain the EIN assignment notice. Federal tax elections are separate decisions. After approval, internal organization and the EIN application can proceed in parallel with the applicable publication task. Prepare tax and permit applications alongside them; do not delay a statutory publication deadline while waiting for a bank appointment.
Handover: prove each step is complete
Close the case through step-to-proof handover , with an owner and due date for anything outstanding. This makes the process usable by the founder, filing contractor and accountant without requiring them to reconstruct email threads.
| Stage | Input to check | Output to deliver | Completion proof |
|---|---|---|---|
| Preflight | New entity or existing foreign entity; agreed legal details | Correct case and consistent data sheet | Recorded route decision and founder approval |
| Packet | Articles, disclosure, acceptance and triggered attachments | Complete signed filing set | Final copies and agent acceptance confirmation |
| Submission / review | Packet, payment and examiner correspondence | Approved filing or a controlled correction task | Receipt plus approval and filed documents; rejection remains open |
| Publication | Approval instructions and known-place county | Applicable publication branch completed | Newspaper affidavit or retained ACC posting evidence |
| Organization / tax | Filed details and responsible-party information | Internal records and EIN | Minutes, bylaws, share records and IRS notice |
| Operating handover | Activities, actual premises, staff and products | Permit actions and recurring compliance calendar | Authority approvals or documented pending tasks; assigned annual due date |
Formation does not authorize every activity. The ACC’s business guide separates Arizona Department of Revenue tax registration, city or county licensing and other operating permissions. Check transaction privilege tax applicability, zoning or premises approvals, and any sector, product or professional licensing relevant to the actual business. Complete required approvals before the regulated operation begins.
Record the annual-report due date shown on the corporation’s ACC record, as the ACC annual-report guidance directs, and assign responsibility for filing each year; do not invent a common statewide anniversary. For wider operating-permit planning, use the US guide to federal, state and local business permissions . HSJGlobal’s US company registration services page explains the broader setup scope. To set up a corporation in Arizona responsibly, finish with a usable record set and explicit owners for every remaining approval.
Questions at the filing desk
Should bylaws be uploaded with the articles?
No. The ACC says bylaws are internal corporate records and are not accepted for filing. Keep the adopted copy with the organizational records.
Can a name reservation be skipped?
Yes. A reservation is optional. A proposed name must still meet the applicable requirements when the incorporation filing is examined.
Is a website domain proof of a corporate name right?
No. The ACC treats domain registration separately from entity and trade-name matters. Resolve any conflicting name rights before committing to branding.
What if the corporation changes its agent after setup?
Use the corporation’s applicable change filing and obtain the replacement agent’s acceptance. Update the internal contact and notice-handling records as part of the same task.
