Partnership structure and operating responsibilities

Limited Liability Partnership in Singapore: Setup and Management

Match the liability boundary to a clear agreement, a complete registration and named owners for continuing work.

A limited liability partnership in Singapore is a separate legal entity with at least two partners and at least one manager ordinarily resident in Singapore. Setup runs through ACRA’s Bizfile system. Management then requires a partnership decision framework, current records, annual solvency declarations and partnership tax reporting.

The structure can suit a business whose owners will work together as partners. Its protection has limits: a partner remains personally liable for their own wrongful acts, and income tax is generally assessed on each partner’s share of LLP income. Decide who will handle both the ACRA and tax work before submitting the registration.

Key takeaways

  • Separate the partners’ ownership and commercial decisions from the resident manager’s filing responsibilities.
  • An LLP protects against liability arising solely from being a partner; it does not erase responsibility for your own wrongs.
  • Prepare the partner agreement and management handover alongside the Bizfile inputs.
  • Track the annual declaration by both calendar year and the maximum interval since the previous filing.
  • Tax transparency still requires partnership reporting and the partners’ own tax treatment.

What the LLP protects, and where the protection ends

An LLP can enter contracts and hold property in its own name. Its partners can participate in the business without adopting the general-partner role found in a limited partnership. However, limited liability is not immunity for your own conduct . ACRA distinguishes business debts from liability arising from a partner’s own wrongful actions in its business structure comparison .

A general partnership has no separate legal personality and exposes all partners to unlimited liability. A limited partnership (LP) also lacks separate legal personality: it separates general partners with unlimited liability from limited partners, whose protection is subject to management restrictions. Compare those roles before choosing either partnership form.

A company has shareholders and directors, whereas an LLP has partners and managers. If the intended ownership model depends on issuing shares, compare the underlying Singapore company registration requirements before choosing the partnership route. That comparison should address how ownership, control and future investment will work, rather than choosing the cheapest filing.

For a practical liability review, list who signs client engagements, who performs the work and whether anyone is asked to give a personal undertaking. Treat that undertaking as a separate document to examine. If you are considering passive investors, the management restrictions attached to limited partner status help explain why an LP comparison requires more than comparing names.

Appoint partners and a resident manager for different jobs

The partners own the LLP interest and agree the commercial relationship. ACRA permits individual and corporate partners, including local or foreign companies and other LLPs, and does not impose a maximum partner count. Individual partners must be at least 18. Record the actual partner for each interest; a corporate partner’s representative is not automatically the partner personally.

Every LLP must have a manager who is a natural person, at least 18 and ordinarily resident in Singapore. The person must satisfy the applicable fitness and bankruptcy restrictions. The manager’s particulars and consent must be lodged with ACRA. These LLP manager requirements apply even where all the partners are overseas. A corporate partner cannot itself satisfy the natural-person manager requirement.

The same eligible individual may be both partner and manager, but appointing a manager does not itself give that person a partner’s economic interest. Write down who can approve expenditure, sign contracts and instruct the filing provider. A filing appointment and internal commercial authority should be checked separately, especially where a manager has no ownership stake.

Confirm the filing route early: qualifying Singpass users may file; foreigners without Singpass need a corporate service provider (CSP). Overseas founders should check the foreigner route and pass restrictions before agreeing to work in Singapore. Partner status and an LLP registration do not supply permission to relocate and work.

Check the people behind the proposed LLP

Bring the partner list, proposed manager and intended working arrangements so the role and residency requirements can be checked together.

Agree how decisions, work and exits will be handled

Use the partnership agreement to turn a shared business idea into rules the partners can actually administer. As a planning recommendation, settle it before committing significant money or client obligations. Registration inputs describe the entity to ACRA; they do not by themselves resolve a disagreement about workloads, profit sharing or an exit payment.

  • Separate capital contributions, partner loans, drawings and profit allocations. State when contributions are due and who maintains each partner’s account.
  • Set approval thresholds for borrowing, hiring, major purchases and new business lines. Identify decisions requiring all partners rather than leaving a blanket signing authority.
  • Allocate responsibility for client work, quality checks, complaints and insurance reviews. The own-wrong liability boundary makes the identity of the person performing and supervising work relevant.
  • Specify how a new partner is admitted and what happens on retirement, incapacity, death or a dispute. Include valuation, payment timing and access to business records.
  • Name the people who prepare records, confirm solvency information, handle controller enquiries and supply the tax allocation.

Test the agreement against two foreseeable events: one partner wants to withdraw cash before a tax filing, and another leaves while work remains unfinished. The agreement should identify a decision-maker and a source of numbers for each event. This is an editorial planning test, not a claim that those events have happened to a client.

Complete the Bizfile registration and retain the result

First choose and reserve the name for the LLP entity type. Adding an entity suffix does not make an otherwise identical name distinctive; ACRA’s business naming rules explain the checks. Prepare a short activity description alongside the proposed name so everyone is registering the same intended business.

Prepare the approved name reference, activities, LLP email, office address, position-holder identities and addresses, manager consent and controller information. Review names and identification numbers against the original documents. Resolve a mismatch before filing, rather than creating several inconsistent versions of the partner list.

  1. Open “Register new business entity” in Bizfile and retrieve the approved name details.
  2. Enter the LLP information, add partners and managers, and complete the controller or exemption information.
  3. Review, submit and complete endorsements where required. Other position holders have 60 days to endorse; that endorsement step is not required when a CSP files.
  4. Pay after the payment notification, then check the Bizfile inbox for the registration outcome.

ACRA lists an S$100 LLP registration fee . Name application and any professional services are separate; this is not an all-in setup quotation. Most registrations are approved soon after payment, but complex applications may take up to 15 working days and referral cases 14–60 days. Preparation and endorsement time sit outside that processing period. See the official LLP registration workflow .

Completion evidence is the successful registration notice, Unique Entity Number (UEN) and downloadable Business Profile. Save the outcome with the submitted information and payment record. A receipt alone does not establish approval. Then assign the government-account access and filing responsibilities needed to use the new entity.

Two reporting routes after LLP registration A registered LLP assigns an ACRA route to its manager and a partnership tax route to its precedent partner. Form P reporting feeds the partners’ own tax returns. Registered LLP Resident manager Precedent partner ACRA declaration and information updates Partnership Form P Partners’ own tax returns
Registration leads to separate ACRA and tax work. One person may hold more than one role, but each responsibility still needs an owner.

Build a management handover that survives a partner change

Use the matrix below as an editorial management tool. Fill the owner column with an actual name, agree a backup and keep the evidence in a shared location accessible to authorised people. The purpose is to expose an unassigned job before it becomes a missed filing or a disagreement over money.

Workstream Assign the owner Completion evidence Hold or escalation point
Business authority Partners identify the authorised signers and approval limits. Agreed authority schedule, consistent with the partnership agreement. Pause a commitment if its value or purpose exceeds the signer’s mandate.
ACRA annual declaration Manager or appointed CSP files; the finance owner supplies debt information. Submission outcome and retained support for the solvency response. Escalate unclear ability to pay debts before selecting a declaration answer.
Partner and office changes A named coordinator tells the manager or filing provider when a change takes effect. Updated Bizfile record and acknowledgement, matched to the effective date. Do not wait for the next annual declaration to correct the public record.
Controller information Assign the person who obtains confirmations and maintains both filing stages. Private register entry, annual notices and Central RORC submission record. A private register update alone does not close the central filing task.
Partnership tax allocation Precedent partner works with the accounts preparer and each partner. Reconciled allocation, capital contribution information and Form P acknowledgement. Resolve a changed profit ratio or unexplained drawing before finalising the figures.

Maintain accounting records that explain transactions and support the LLP’s profit and loss account and balance sheet, as reflected in ACRA’s ongoing LLP requirements . For working control, reconcile bank movements, expenses, partner funding and drawings regularly. A current ledger supports both a solvency assessment and a reliable tax allocation, although the two filings answer different questions.

ACRA’s post-registration LLP checklist also covers Corppass, licences and permits, bank-account preparation and tax duties. Give each relevant item a separate owner. An ACRA approval does not substitute for a required activity licence, a bank’s onboarding decision or a GST review.

Find the gaps in the LLP handover

Use your draft responsibility matrix to identify missing owners, incomplete records and the filing work that needs a separate scope.

Apply both annual declaration timing tests

The first declaration is due within 15 months of registration. Subsequently, the LLP must file once in every calendar year , with no more than 15 months between declarations. These are concurrent conditions under ACRA’s annual declaration deadline rules . Do not use the interval rule as permission to skip a calendar year.

For example, after a declaration in October, a diary set only 15 months ahead would point to January of the year after next. That misses the intervening calendar-year requirement. Use an annual reminder, then check the latest allowable date and the dates shown in Bizfile. This is a planning example illustrating the two tests.

The manager or CSP uses the LLP annual declaration service in Bizfile, checks the entity information, states whether the LLP can pay its debts, reviews and pays. The filing fee is S$30 per declaration, separate from professional support. Retain the successful filing outcome and download the resulting Business Profile; ACRA’s free copy is available for 60 days. The annual declaration filing instructions show the current screens and payment sequence.

Prepare the debt information before the filing session. If the figures are uncertain, resolve them with the accounts preparer and partners. If the deadline cannot be met, check the extension route promptly. Late filing can attract penalties; filing late does not make an unsupported solvency statement acceptable.

Separate partnership tax reporting from the solvency declaration

An LLP’s separate legal personality does not make it a separate income-tax payer. IRAS treats the LLP as a partnership for income-tax purposes: each partner is assessed on their share of its income. Individual and corporate partners follow their respective tax treatment. A cash distribution is therefore not the sole event to consider when organising the tax allocation.

IRAS also restricts the relevant trade-loss and capital-allowance deductions a partner can offset against other income by reference to contributed capital. The IRAS treatment of LLP income and deductions explains this boundary. Keep capital, loans, retained profits and withdrawals distinguishable in the records; a bank balance alone cannot establish each partner’s contributed-capital position.

The precedent partner handles the partnership income tax return, Form P. This tax role should be identified expressly rather than assumed to belong to every resident manager. IRAS requires filing where the partnership carried on business in the preceding year, even without a filing notification, or where IRAS has required a return.

The current filing window is 1 February to 18 April. For the forthcoming Year of Assessment 2027, electronic filing of Form P and the Partnership Allocation Template, where applicable, is compulsory. The template applies when there are more than ten partners. Prepare the allocation and supporting accounts before entering myTax Portal, then retain the acknowledgement. Individual partners must report their shares in their own returns; the LLP’s Form P does not complete that task. See IRAS responsibilities of precedent partners .

Keep the office, partner count and controller records under review

An LLP needs a Singapore registered office open and accessible to the public during normal business hours on each business day. It may differ from the trading premises. These are the requirements in ACRA’s LLP registration guidance, not an assumption based on company office rules. Check that someone receives and escalates notices there; a listed address is of little practical use if legal correspondence never reaches the responsible person.

Changes to the office, partners, managers and relevant particulars generally require a Bizfile update within 14 days. Unless exempt, the Register of Registrable Controllers (RORC) must be established on registration. Obtain annual controller confirmations, update the private register within seven days after confirmation of changed details, and file Central RORC changes within two business days after updating the private register. The LLP information and register rules distinguish these deadlines.

Review the partner count whenever someone exits. ACRA warns that a person who knowingly continues as partner while the LLP trades with fewer than two partners beyond two years can become personally liable for obligations incurred in that period. Treat the minimum-partner liability exception as a reason to resolve an exit promptly, rather than planning to operate indefinitely with one partner.

For every departure, close the handover at three levels: commercial authority and money, ACRA records and roles, and the tax allocation. Check each level separately. Removing a name from a working contact list does not prove the required records and filings have been updated.

Choose the LLP when the partners can sustain the management work

An LLP is a practical candidate when the owners want a continuing partnership relationship, understand the own-wrong liability boundary and accept partner-level income-tax reporting. Before filing, settle the agreement, verify the resident manager and assign the ACRA and tax work in the handover matrix.

Prioritise unresolved roles and unreliable financial records before expanding the business. Revisit the entity choice if the intended investment requires shares, the partners cannot agree commercial authority or no eligible manager is available. The useful decision is whether the proposed LLP can be operated consistently after registration, with evidence that each responsibility has been completed.

Turn the LLP decision into an agreed scope

Share the proposed structure and responsibility matrix to discuss registration support and the ongoing work that should be documented separately.

Frequently asked questions

Does choosing an LLP name reserve the right entity type?

The registration must use the entity type selected in the approved name application. Confirm that the reservation is for an LLP before preparing the registration, particularly if you were also considering a company or LP.

Should the agreement identify someone to cover the manager’s absence?

Yes, as a practical continuity measure. Identify who can access records and coordinate urgent filings, while ensuring that any formal appointment and Bizfile authority are properly arranged. A backup contact alone is not proof of a statutory appointment.

Can the LLP’s registered office be different from its workshop?

Yes. The registered office receives official communications and must meet the LLP access requirements. Separately check whether the workshop is authorised for its intended activity and holds any required approvals.

What if the LLP receives a Form P notice before it has started trading?

Do not disregard it because turnover is zero. IRAS requires a return where it has issued a filing notification even if the partnership did not conduct business in the preceding year. Check the notice and complete the required response.

Does appointing an accounts preparer transfer the precedent partner’s filing role?

A service engagement can allocate preparation and submission work, but identify the precedent partner separately. Agree who supplies and approves the allocation, who submits, and who checks the acknowledgement and any subsequent IRAS query.
