LLC in Virginia: Formation and Requirements
Check the filing inputs, agent eligibility and evidence needed to form and maintain the company.
To create an LLC in Virginia, confirm the domestic formation route, choose an acceptable name, appoint an eligible registered agent with a Virginia office, and submit Articles of Organization to the State Corporation Commission with the US$100 filing fee. Then complete the member agreement, applicable tax and operating requirements, and a calendar for the US$50 annual registration fee. Overseas ownership requires additional planning around IRS access, banking and work permission.
Key takeaways
- The entity’s formation law determines domestic formation or foreign qualification; owners’ nationality does not decide the route.
- Agent eligibility and the registered office must both pass Virginia’s requirements.
- The principal office can be outside Virginia; it serves a different purpose from the local registered office.
- The US$100 filing fee and US$50 annual registration fee exclude professional support, tax and operating-permission costs.
- Preserve acceptance and payment evidence, and assign each continuing obligation to a named person.
Virginia LLC formation starts with the entity route
A new general LLC formed under Virginia law uses domestic Articles of Organization, even when its owners live abroad. An existing LLC created elsewhere needs a qualification assessment before conducting Virginia business. Formation jurisdiction decides the filing route. The SCC foreign-entity guidance identifies Form LLC1052 and notes that certain limited activities fall outside the transacting-business requirement.
| Your facts | Route to assess | Evidence to settle first |
|---|---|---|
| No LLC exists; founders want a new Virginia general LLC. | Domestic formation, LLC1011. | Approved name, agent arrangement and principal office. |
| An LLC already exists under another state's or country's law. | Foreign qualification if its Virginia activities require it. | Existing formation record and a description of Virginia operations. |
| The business provides a regulated professional service. | Check professional-LLC and professional-regulator rules. | Exact services, license holders and permitted ownership structure. |
For example, two owners living in France who create a new Virginia LLC start with the domestic route. A Delaware LLC opening a Virginia operation has a different question. Do not create another entity merely because an application uses the word foreign. Keep the proposed legal entity and its planned activities in one short instruction sheet.
Put the proposed agent and address through an acceptance test
Accept an agent arrangement only when both the agent's legal capacity and the Virginia office meet the rules. Paying for an address does not establish either condition. Virginia Code § 13.1-1015 requires continuous maintenance of an eligible registered agent and registered office.
| Proposed agent | Eligibility to verify | Evidence to request |
|---|---|---|
| Individual under the usual relationship or Bar route. | Virginia residence plus a listed member, manager, upstream-entity role or Virginia State Bar membership. | Exact statutory capacity and matching Virginia business-office address. |
| Separate business entity. | Eligible corporation, LLC or registered LLP authorized in Virginia; the LLC cannot appoint itself. | Entity identity, authorization and required office service arrangements. |
| Special designated-officer pathway in § 13.1-1015 A2c. | Virginia-resident employee other than a member or manager, designated in writing; separate initial-filing review needed. | Written designation, required office availability and resolution of the initial-articles capacity. |
The initial-articles provisions in § 13.1-1011 list the relationship/Bar and entity routes. If proposing the special officer pathway in the continuing-agent statute, resolve its compatibility with the initial filing before release. Detailed upstream-role and entity-service conditions also need review. The table is a screening aid, not a substitute for those provisions.
Separate the two address roles . The principal office identifies the executive office; the registered office is the agent's Virginia business office. Under the articles-of-organization statute , the principal office need not be in Virginia. An overseas executive address therefore does not remove the local registered-office requirement.
Before release, ask who receives legal papers, how they reach the company, and who covers an absence or provider change. Retain the provider's confirmation and forwarding contact. A mailbox product that offers only mail handling should remain unresolved until the required agent and business-office functions are demonstrated.
Prepare the articles, pay the filing fee and retain acceptance
Prepare the domestic LLC packet around the fields the SCC actually needs, then distinguish payment from acceptance. The SCC LLC instructions describe the name, principal office, agent identity, qualification and registered-office inputs. The legal name must meet availability rules and include an accepted LLC designation.
- Confirm the proposed legal name and use identical spelling, punctuation and suffix throughout the filing.
- Record the principal-office address and the agent's exact name, capacity, Virginia office address and city or county.
- Identify the organizer who will submit the approved information and confirm the company's instructions before payment.
- File through the Clerk's Information System (CIS), or use the current LLC1011 document route, and preserve the submitted articles and acceptance evidence.
The SCC domestic LLC fee schedule lists US$100 for a new general LLC. An optional name reservation costs US$10 for 120 days; it is a separate preliminary transaction. Thus the stated government formation charge is US$100 without reservation, or US$110 when that optional reservation is used, before any other elected services.
Agent service, legal drafting, certified copies, banking assistance and applicable permits have separate scopes and costs. Obtain a written quote for any professional support. Neither the US$100 filing amount nor the optional US$110 combination is an all-in business-opening budget.
CIS can generate the articles from entered information. If using prepared articles, make the attachment match the portal entries. The SCC specifically says not to attach operating agreements or financial records. Keep the receipt, acceptance message and certificate of organization together; review the effective record before representing that formation is complete. No fixed processing promise is assumed here.
Resolve the member agreement before money and authority become disputed
Use a written operating agreement to make the owners' arrangement usable, although Virginia does not universally require a written agreement as a formation condition. Virginia Code § 13.1-1023 says the initial operating agreement must be agreed to by all members and generally need not be written unless the articles or a written operating agreement specifically requires otherwise.
Prepare the actual member names, contributions, ownership interests, distribution approach, management arrangements and approval rules. Then settle who can open accounts, sign contracts, admit another member, approve borrowing or authorize an exit. These are recommended drafting inputs, rather than additional mandatory fields for the standard SCC filing.
A two-owner LLC should decide what happens when a spending decision is tied, when one owner stops contributing, or when the owners disagree about selling. A single owner should still document contributions and the authority delegated to another person. The useful result is a signed, current internal record that the company's people can follow. Uploading articles alone does not answer these commercial questions.
Match EIN access and founder participation to the actual facts
Complete state formation before applying for an EIN, then choose the IRS route the applicant can use. The IRS EIN tool requires a domestic organization, a U.S. principal place of business and the responsible party's SSN or ITIN, among its eligibility conditions. Obtain an EIN when required or needed for the company's tax and banking arrangements; do not assume portal access from the state filing alone.
An overseas team may need another application method. The Form SS-4 instructions allow the line 7b entry foreign or N/A only when the responsible party lacks and is ineligible to obtain an SSN or ITIN. Fax, mail and the qualifying international telephone route have their own conditions. Use the person who actually controls the entity, and retain authorization for an applicant acting on its behalf.
This is why neither a universal SSN requirement nor a universal no-SSN promise is reliable. Agree the IRS route before committing to a bank-opening date. Ask the intended bank for its current company, controller, identity, address and signing requirements, including whether any participant must attend. Registry acceptance does not settle a bank's decision.
Ownership and U.S. work permission also require separate decisions. The Department of State visitor-visa guidance distinguishes permitted business visits from employment. A founder planning to work in the United States should confirm the appropriate immigration position before beginning that work.
Attach operating permissions to the location and activity
An accepted formation filing does not authorize every business activity. The SCC guidance for new businesses directs founders to local and industry authorities and confirms that the SCC does not issue business licenses. Determine the operating city or county and the exact services before treating the company as ready to open.
- Ask the locality which business-license, premises and zoning checks apply to the proposed location and activity.
- Identify the sector regulator when the work involves a licensed profession or regulated business.
- Have a tax adviser identify the federal and Virginia tax accounts, returns and payment duties triggered by the ownership and operations.
- Before hiring, add the applicable payroll, employer and worker obligations to the operating checklist.
Keep the outcome for each item: approved document, account confirmation, regulator response or a supported conclusion that the requirement does not apply. Record who made that determination and what business facts it assumes.
For coordinated assistance, the HSJGlobal US company registration service page explains the broader setup scope. The separate Virginia LLC filing walkthrough is useful when the remaining task is the state submission. Give each adviser a defined deliverable and keep unresolved permissions visible after the entity is formed.
Keep the Virginia annual fee tied to a deadline and evidence
Calendar the US$50 annual registration fee as a payment obligation, rather than a corporate annual-report filing. The SCC maintenance guidance places the ordinary LLC payment after the formation year, due by the last day of the formation month. Late payment adds US$25; nonpayment can automatically cancel a domestic LLC's existence at the end of the third month after its due date.
| Trigger | Action or deadline | Completion evidence |
|---|---|---|
| Formation accepted. | Record November as the anniversary month and assign a payment owner. | Certificate and company calendar entry. |
| First ordinary annual cycle. | US$50 due November 30, 2027; verify the actual SCC assessment. | Payment confirmation and updated account balance. |
| Every later annual cycle. | Repeat by the assessed anniversary-month deadline. | Receipt filed by year and next reminder set. |
| Agent or office details change. | Arrange the appropriate update promptly while maintaining continuity. | Accepted change record and tested forwarding contact. |
Use an internal reminder before the deadline; do not use the cancellation date as a planned extension. Separately track tax returns, license renewals and employer tasks by the schedules applicable to the business. The agent is an important communication channel, but the company should still have someone checking completion.
Current federal ownership reporting is a separate eligibility question. As checked November 2, 2026, FinCEN confirms that U.S.-created companies are exempt from BOI reporting ; its final rule took effect August 14, 2026. Overseas ownership does not remove that exemption for a Virginia-created LLC. A company formed under foreign-country law needs its own review; another U.S. state's LLC remains U.S.-created even when Virginia calls it foreign.
Release the filing when the unresolved items have owners
Release the domestic filing when the route, name, agent qualification, office details and organizer instructions are settled. Keep a second list for agreement drafting, EIN access, banking, permissions and continuing duties, with a named person responsible for each result.
If the entity already exists elsewhere or the service is professionally regulated, resolve that route first. If the state packet is complete but a bank or local permit is pending, keep the launch date conditional on that separate decision. The useful handover is an accepted company record plus a clear account of what still needs completion.
Frequently asked questions
Can the organizer also own or manage the LLC?
The roles can be held by the same person, but identify each role separately in the company instructions. Submitting the articles does not by itself document the ownership bargain or all authority to operate.
What if the SCC rejects the articles?
Review the SCC notice for the reason and correction instructions, then reconcile the submitted entries and documents before resubmitting. Preserve the rejected version and the corrected filing so the company can explain what changed.
Can the LLC trade under a different brand?
A different trading name raises a separate fictitious-name filing question. The SCC LLC guidance says to register the LLC first, then establish the fictitious name; keep contracts and tax records clear about the legal entity behind the brand.
What should I send a bank after formation?
Begin with the bank’s current checklist. Prepare the accepted company record, available tax-identity evidence, authority documents and requested owner or controller information. Ask how it handles overseas participants before relying on a remote-opening plan.
Does Virginia qualification close obligations where the LLC was formed?
Do not assume that it does. Review the existing entity’s home-jurisdiction maintenance and tax position alongside the Virginia duties, and document who will keep both records current.
