Corporate parent preparation
Philippines Subsidiary Registration: Parent Documents and Local Setup
Connect the parent’s investment approval to the Philippine company’s shares, signatories and operating records.
A parent company’s incorporation certificate does not establish its Philippine subsidiary. The subsidiary needs its own domestic stock corporation registration, with the parent’s authority to invest and a human representative authorized to sign. A corporate parent cannot use the One Person Corporation route; first settle the additional shareholder structure, permitted foreign ownership and local officers before executing documents abroad.
Treat the project as a multiweek preparation and approval exercise, beginning with settled ownership and usable parent records and ending with separate SEC, BIR and local permit evidence. No verified nationwide end-to-end processing range covers that journey. Foreign execution, application-specific SEC instructions and premises review must be scheduled separately; an advertised electronic incorporation time cannot set your opening date.
Key takeaways
- Match the parent’s exact legal identity and authorized representative across its approval, subscription details and the Philippine application before authentication.
- A corporate shareholder and its individual representative perform different roles; the representative does not automatically own the parent’s subscribed shares.
- Local officer qualifications attach to the individual: the corporate secretary must be a Philippine citizen and resident, and the treasurer must be resident.
- Check Regular with ZERO eligibility for the actual domestic stock application; a corporate incorporator should not assume the simplified OneSEC conditions fit.
- Keep incorporation, tax registration and permission to operate at the selected premises as separate completion tests.
Set the shareholder structure before ordering documents
A Philippine subsidiary is incorporated under Philippine law even when a foreign group controls it. A branch instead concerns the foreign corporation’s own Philippine licence to do business. Choose the domestic stock category for the new subsidiary, rather than selecting “foreign corporation” merely because its parent is overseas. The SEC company-type selection distinguishes these applications.
Under sections 10 and 116 of the Revised Corporation Code , a corporation may be an incorporator, but an OPC’s sole stockholder must be a natural person, trust or estate. A corporate parent cannot be the sole stockholder of a new OPC. An ordinary corporation uses two to fifteen incorporators. Agree a lawful additional shareholder arrangement and the necessary individual director shareholdings; do not treat another person’s name as a paperwork convenience.
Confirm the exact revenue-generating activity before approving the cap table. Foreign ownership limits, nationality conditions and special capital rules can change the permissible structure. The Code’s absence of a general minimum capital requirement does not displace those rules. Do not assume that a small subscription amount entered into the portal establishes foreign-investment eligibility.
The subsidiary’s articles, rather than the parent’s overseas charter, define the Philippine entity’s name, purpose, principal office and shares. These belong to the underlying Philippine company registration workstream; the parent authority file supplies the evidence for one corporate investor’s participation.
Check the proposed shareholder arrangement
Use the intended activity, parent jurisdiction and cap table to identify the correct domestic filing before preparing overseas signatures.
Build a parent file that proves the right authority
SEC Memorandum Circular No. 16, series of 2019, requires a copy of an authority document—such as a board resolution, directors’ certificate, secretary’s certificate or equivalent—authorizing the foreign corporate incorporator to invest and naming its designated signatory. The document must carry the applicable Philippine consular authentication or apostille. The original SEC incorporator guidelines are available in a PCNC-hosted copy; the SEC circular index corroborates the title and date. Confirm the current application’s attachment instructions before execution.
Use an internal document register to distinguish the specific investment authority from supporting identity records. Collect the parent’s registration record, constitutional documents and current registry particulars so that its exact name, jurisdiction and authorized decision-maker can be checked. This is a preparation file, not a claim that every item is a mandatory SEC upload for every subsidiary. Parent audited accounts and a good-standing certificate should not be imported automatically from a branch application.
| File or decision | What must agree | Action before execution | Hold point |
|---|---|---|---|
| Parent investment authority | Parent identity, Philippine investment and named signatory | Approve the investment through the parent’s competent corporate body; state who can sign for it. | A general management appointment does not clearly authorize this investment. |
| Parent registry and constitutional records | Legal name, registration particulars and authority to approve | Reconcile suffixes and translated names; confirm which supporting records SEC actually requests. | Registry identity differs from the investor shown in the draft articles. |
| Subscription schedule and articles | Shares, class, subscribed amount and amount paid | Check arithmetic against the agreed cap table; keep authorized, subscribed and paid capital distinct. | The parent approved one investment but the application records another. |
| Representative identity and credentials | Human signatory’s name, identification and represented corporation | Prepare matching ID and applicable eSECURE credentials; specify representative capacity. | A filer’s account is being mistaken for the parent’s signing authority. |
| Foreign execution and translation | Original, certification chain and readable corresponding text | Confirm country-specific authentication and any required translation format before ordering services. | Apostille covers the wrong document or an untranslated attachment cannot be evaluated. |
Keep the final draft articles beside the parent approval when reviewing the file. If the proposed subsidiary name changes during SEC review, determine whether the authority still identifies the investment adequately before reusing it. An apostille authenticates a document’s origin; it does not expand an officer’s authority or correct an inconsistent investment approval.
Resolve foreign execution and local appointments together
The DFA Apostille explanation distinguishes an apostille issued for cross-border public documents from Philippine authentication for domestic use. For an overseas parent authority document, establish whether the Apostille Convention applies between the issuing country and the Philippines; otherwise obtain the applicable Philippine consular authentication instructions. A private corporate resolution may first need the certification or notarization required in its country of execution. Do not send a foreign document to the Philippine DFA expecting it to issue the originating country’s apostille.
For non-English records, agree the translation language, certification and attachment format with the receiving SEC office or application processor. Keep the original, complete translation and authentication pages connected. No universal translation-vendor or notarization rule for every parent jurisdiction was verified here; settling that format before execution avoids paying twice.
For local appointments, sections 22 and 24 of the Code require a director to hold shares, the president to be a director, the treasurer to be resident, and the corporate secretary to be both a Philippine citizen and resident. The president cannot concurrently be secretary or treasurer under the ordinary rule. The corporate parent’s representative signs in a representative capacity; that alone does not give the person a director’s qualifying share.
Prepare one roster distinguishing incorporator, subscriber, director, officer, authorized filer and ultimate beneficial owner. Record the real ownership chain through the corporate parent; do not stop at its registered name where the application seeks beneficial ownership. The cross-checks between parent authority, individual appointments and local company data should be completed before the authentication stage.
Use the SEC route for the actual corporate incorporator
Start from eSPARC’s domestic stock corporation options and check the conditions attached to the selected processing route. Regular processing expressly accommodates corporate incorporators. The SEC learning portal’s current route description states that domestic stock applications, except lending and financing companies, move through ZERO from April 7, 2025, including Regular with ZERO. That is different from assuming that every subsidiary qualifies for OneSEC’s simplified terms.
The public SEC pages retain inconsistent instructions: the general selection page still describes paper submission, while the learning route describes electronic authentication. Use the instructions displayed for the actual application and obtain SEC clarification if the supporting foreign authority document cannot be accommodated. Do not discard originals or assume that electronic authentication removes every foreign supporting-document requirement.
- Create and credential the required individual eSECURE accounts. Identify the parent’s authorized human signatory and the corporate officers who must authenticate; the corporate shareholder is not a substitute for those individual credentials.
- Encode the proposed name, purposes, Philippine office, incorporators, directors, officers and share subscriptions. Enter the corporate parent as the investor and record its representative in the correct capacity. Preserve the application reference and contact details.
- Review generated articles, bylaws and required declarations against the parent approval and cap table. Supply the requested corporate-authority attachments and applicable foreign-investment information; correct discrepancies before authentication.
- Complete the eSAP authentication requested for the selected ZERO route. Monitor each required signatory’s completion. A preparer’s successful login does not prove that every necessary person authenticated the documents.
- Pay the assessed registration fees through the payment channel specified in the application, including eSPAYSEC where offered. Retain the Payment Assessment Form and payment confirmation, then follow the application status through issuance.
- Download the issued certificate and approved registration documents. Where SEC raises a compliance notice, correct the identified data or attachment in the existing application as instructed, complete any required reauthentication and retain the resolved notice.
The SEC certificate is the incorporation milestone. An application reference, successful payment or an uploaded parent resolution is not a substitute. Keep the issued certificate, approved articles and bylaws, authority evidence, payment record and final signatory record together so the local team receives the version actually registered.
Resolve the foreign-document execution gap
Identify the parent authority, signing country and application instructions before ordering an apostille or asking officers to authenticate.
Budget by assessed documents and dependent stages
The SEC application guidance makes the Payment Assessment Form the basis for registration payment after the application qualifies. Obtain that assessment for the subsidiary’s own capital and document scope. Do not use a foreign branch’s inward-remittance fee as a domestic incorporation quote. Paid-in equity remains company capital, separate from registration expenses.
The BIR business-registration guide identifies PHP 30 loose documentary stamp tax for the registration certificate. That amount is not the subsidiary’s total government cost and does not settle any separate tax on share issuance. Keep SEC assessments, BIR-related charges, city assessments, translation, foreign notarization or apostille, courier expenses and professional fees as separate budget lines. No HSJGlobal package price or VAT-inclusive project total is quoted here.
For scheduling, run the parent-document and premises checks in parallel once the structure is settled. SEC filing must wait for consistent data and usable authority; the local tax and permit teams then need the incorporated entity’s records. Plan authentication appointments, signatory availability and possible re-execution explicitly. This is more useful than applying a published processing time to weeks spent assembling an incomplete file.
Quezon City’s new-business permit guidance estimates one to three days for its covered local process, but also provides for additional documents and zoning review. The estimate is stated as days, not identified there as business days, and excludes your foreign-document and SEC preparation. It is a city example, not a nationwide end-to-end subsidiary timetable.
Hand over the registered company to the tax and permit teams
BIR registration belongs to the new subsidiary, using its SEC incorporation record and articles. The BIR’s registration instructions provide for Philippine Business Hub, ORUS and RDO routes; check the actual available route and avoid obtaining a duplicate TIN if one has already been assigned. For the manual corporation route, prepare Form 1903 and the corporate records. A representative needs the subsidiary’s board resolution or secretary’s certificate and identification; the parent’s incorporation authority does not automatically authorize later tax transactions for the subsidiary.
Receive and check the BIR Certificate of Registration, registered tax details and the applicable invoice arrangement. Complete books-of-accounts registration through the applicable BIR procedure. Do not treat a TIN alone as proof that invoicing and books arrangements are ready. The BIR guide defines registration timing by the first sale or relevant thirty-calendar-day trigger, whichever comes first; do not postpone tax setup indefinitely while waiting for the premises process.
For the premises, ask the chosen city or municipality how its business-permit process handles barangay clearance, zoning, fire and activity-specific clearances. In the Quezon City example, the application runs through QC E-Services/BOSS and requires SEC evidence, ownership or lease evidence and applicable representative records. A leased address must be documented for business use. The broader premises approvals and local licensing requirements matter because company formation does not decide whether that address can host the proposed activity.
Give the local team a handover register with the registered company name, SEC number, TIN status, approved address, activity, document location and named owner of each pending task. Close a task only against the issued record or confirmed applicable registration, not an email saying the application was submitted. Relevant sector permission remains a separate condition before conducting a regulated activity.
Release the subsidiary file only when the records agree
Proceed when the parent’s investment decision, signatory authority, Philippine subscriptions and officer roster describe the same arrangement. If any of those differ, fix the source decision or the application before relying on the incorporation record. Prioritize SEC clarification where a foreign authority attachment, translation or electronic-authentication instruction remains unresolved.
For operational handover, require the issued SEC record, BIR registration and invoice/books arrangements, and the permit evidence applicable to the selected premises and activity. Keep a named local owner for anything outstanding. That gives the parent a usable subsidiary file and a clear list of conditions still preventing the planned business from starting.
Turn the registered records into a local handover
Bring the parent authority, approved company documents and outstanding tax or premises tasks into one reviewable subsidiary file.
Frequently asked questions
Can the parent’s regional finance manager sign without a specific title on the board?
A job title alone does not establish investment authority. Confirm that the parent’s competent decision-maker has authorized that person to sign for this investment, then align the representative identity and application credentials.
Does a shareholder representative automatically become the local president?
No. Representative authority and corporate office are different capacities. The subsidiary must appoint qualified individuals and make the relevant officer and director records consistent with its registered structure.
Should the overseas authority be translated before or after authentication?
Confirm the receiving office’s required package before commissioning either service. Translation and authentication can cover different signatures or records, so an assumed order may produce a package the processor cannot accept.
What if the parent changes its representative while the application is pending?
Replace or update the authority and application records as instructed by SEC. Check whether generated documents need revision and whether the replacement person must complete credentialing and authentication before processing can continue.
Can the group keep only an email copy of the registered file?
Keep controlled copies of the issued electronic records and preserve original foreign documents where applicable. Give local officers reliable access to the final registered version and distinguish it from superseded drafts.
