PT PMA vs KPPA: Trading Company or Representative Presence?
Assign the sale, inventory and customer obligations before selecting your Indonesian presence.
A foreign investor planning an Indonesian trading operation should evaluate a PT PMA, subject to the chosen activities being permitted and licensed. A Kantor Perwakilan Perusahaan Asing (KPPA) suits a restricted representative mandate. It cannot execute the parent company’s commercial sales locally: Article 270 of Ministerial Regulation 5/2025 prohibits Indonesian-source income and specified commercial transactions. Start by identifying what your Indonesian staff will actually do.
Key takeaways
- Routing invoices overseas does not settle whether local staff are carrying out prohibited KPPA activities.
- Identify the seller, stock owner and party responsible for delivery before comparing structures.
- A PT PMA must match its actual trading activities to ownership eligibility, licensing and investment commitments.
- Plan a change in operating model before the representative team starts handling commercial transactions.
Test the Indonesian team's role in a sale
Begin with a proposed order, rather than an organisation chart. Trace who offers the goods, agrees the price, accepts the order, owns stock, issues the invoice, receives payment and answers a delivery or warranty claim. Then mark every action that would be performed by the Indonesian team. This is an operating-model review, not a test of what job titles or email signatures say.
Two arrangements that look similar from headquarters can require different decisions. A team coordinating internal information and preparing a future subsidiary is different from one committing the parent to customer orders. Equally, an Indonesian company that buys and resells goods has a different role from an office passing information within the group. Calling both teams “business development” conceals the distinction that matters.
Use a draft quotation, purchase order, distribution agreement and staff authority schedule as evidence. The location of the invoice alone does not establish that a KPPA mandate is lawful. Treat local negotiation or acceptance of commercial terms as a reason to examine the transaction against Article 270 before activity begins. Do not assume that an offshore signature repairs an Indonesian sales function.
Check the proposed sales role
Bring one intended customer transaction and the Indonesian team’s authority limits to the structure discussion.
Where a KPPA must stop
A KPPA can supervise, liaise, coordinate and handle the interests of its foreign parent or affiliates, including preparing a PMA company’s establishment and development. The current KPPA provisions also prohibit its involvement in managing an Indonesian company, subsidiary or branch. These boundaries make a general representative office unsuitable as the group’s local trading operator.
Write a positive mandate and a prohibited-actions list together. The positive mandate might allocate internal reporting and establishment preparation; the prohibition should prevent staff from drifting into customer commitments or operating the future subsidiary. Parent-funded office spending does not itself create permission to sell. Review incentives and approval rights as well as formal powers: a team managed as a sales operation needs more scrutiny than its representative-office label suggests.
The same provisions require an office building in a provincial capital, an Indonesian-resident office head and restrictions on the head holding other specified positions. A foreign head or foreign workers also trigger Indonesian-worker requirements under the applicable rules. The KPPA NIB, its Business Identification Number, lasts while the KPPA operates; do not build your plan around a generic three-year licence assumption.
Do not use “representative office” as an interchangeable category. KP3A is a separate trade-representation route : Articles 271–272 require a NIB and SIUP3A and include a statement that the office does not conduct trading and sales transactions. Construction and other sector-specific representative offices have their own regimes. A permitted activity under one category cannot simply be imported into a KPPA mandate.
What a PT PMA trading business must prove
A PT PMA is an Indonesian limited liability company with foreign investment, rather than the foreign parent’s general representative office. Article 5 of the Investment Law generally requires foreign investment to use an Indonesian-law PT domiciled in Indonesia unless legislation provides otherwise. The company can be the trading counterparty when its ownership and operating permissions support the actual business; the label “PT PMA” is not a universal trading licence.
Describe each revenue activity precisely: wholesale resale, retail, importing for resale, agency work and paid services should not be treated as one undifferentiated activity. Match the applicable five-digit Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) classification to foreign-investment eligibility and the current Online Single Submission (OSS) requirements. Avoid assuming that permission for one product or channel covers another. Where you propose importing or regulated products, add customs and product approvals to the review before committing to delivery.
Under PP 28/2025, Articles 130–133 , licensing depends on risk: low-risk business uses a NIB; higher categories require the relevant Standard Certificate or licence, with verification where required. A company’s establishment approval and its permission to start commercial operations are separate checks. For the underlying legal entity and registration documents, company registration requirements in Indonesia provide the broader foundation; activity-specific operating approvals remain part of this trading decision.
Check the financial commitment separately from incorporation fees. Under Article 26’s investment and capital rules , the general minimum issued/paid capital is IDR 2.5 billion per PT unless another rule applies. The general investment threshold exceeds IDR 10 billion excluding land and buildings per five-digit KBLI and project location; wholesale has a special calculation by the first four KBLI digits. Capital and investment are different tests, not amounts automatically added as registration charges. Article 27 also restricts moving paid capital from the company account for at least twelve months, with exceptions for assets, buildings and operating needs; plan the use of funds accordingly.
Allocate each operating responsibility before choosing
Choose a PT PMA trading route when the Indonesian operation must carry commercial sales and performance obligations and the proposed activities qualify for foreign investment. Choose KPPA only where the real work remains within general representation. The worksheet applies Article 270’s operating restrictions to a proposed transaction; it is a planning tool, not a substitute for the relevant activity approvals.
| Planned responsibility | KPPA assessment | PT PMA assessment | Evidence to inspect |
|---|---|---|---|
| Offers and accepts customer sales | Exclude commercial transaction execution. | Allocate to the company only within its permitted activities. | Quotation, order acceptance and signing authority. |
| Owns resale inventory and delivers goods | Do not assign the local trading role. | Check trading scope, facilities and product requirements. | Stock ownership, delivery terms and approvals. |
| Invoices and collects sales proceeds | Do not use KPPA for Indonesian-source sales income. | Align company, contract, invoice and payment records. | Seller identity and invoice/payment trail. |
| Coordinates the parent’s internal interests | Keep work within Article 270’s representative scope. | Use company personnel where part of its own business. | Job description and approval limits. |
| Adds paid support or installation | Reassess before assigning a commercial service. | Check the service activity separately from goods trading. | Service scope, fee and required permissions. |
Complete the last column using actual draft documents. If one row contradicts the chosen structure, resolve that row before filing. An offshore seller with an independent Indonesian distributor requires its own contractual allocation; the existence of a distributor does not give KPPA personnel authority to execute the parent’s sales. A business selling goods and separately charging for technical work should not conceal the service activity inside a goods invoice.
The revealing disagreement is often between sales and finance: one assumes the Indonesian team can close orders while the other assumes offshore invoicing preserves representative status. Document the authority to commit the seller and test the conduct, not just the payment destination. If the commercial model cannot remain inside KPPA boundaries, change the structure or assigned functions before launch.
Resolve the mixed operating model
Compare the proposed seller, local staff authority and permitted activities before combining representation with customer commitments.
Prepare the handover and continuing obligations
When representation will give way to local trading, plan a new operating platform. Article 270 permits preparation for a PMA company, but it does not turn a KPPA NIB into the new company’s trading permission. Treat separating incorporation from the representative office handover as distinct workstreams, so customer launch dates do not outrun the company’s legal and licensing position.
- Establish the intended company and confirm its relevant activity permissions before allocating commercial performance to it.
- Review each office lease, employment arrangement, supplier agreement and customer document for the correct party and any necessary consent or replacement.
- Separate funds and records: reconcile parent-funded representative expenditure, company capital and subsequent trading receipts.
- Decide whether the KPPA still has a permitted purpose; complete any required closure and tax steps rather than assuming company formation closes it.
Keep reporting visible during any overlap. Article 286 provides quarterly Investment Activity Reports (LKPM) for medium and large businesses; PMA businesses are classified as large under Article 26. Articles 294–295 require KPPA reporting through OSS every six months. Allocate responsibility for each company or office and retain submission evidence; avoid allowing the same team to assume that the other registration covers it.
A non-revenue mandate is not a tax exemption. The Directorate General of Taxes describes employment withholding obligations that include representative units and identifies foreign-company representatives among Article 23 withholding agents . Review payroll, vendor payments and the office’s tax registration and filing position. Its foreign trade-office tax guidance also addresses offshore exports and treaty differences; do not automatically apply that regime to every KPPA or treat it as permission to trade.
For a PT PMA, add company accounts, applicable tax filings, licence conditions and governance records to the operating calendar. For either route, check staffing, foreign-worker and immigration requirements where relevant. A bank’s account approval does not replace activity permission, and neither company registration nor a representative-office NIB by itself resolves all employment or tax obligations.
Choose PT PMA or KPPA against a written operating mandate
Adopt a PT PMA route if the Indonesian operation must be the trading business and you can substantiate its activity eligibility, investment commitments and operational permissions. Adopt KPPA only if a written mandate, staff authority and actual conduct all support restricted representation. If trade promotion or a regulated sector is the real task, identify the correct representative category before treating these two choices as exhaustive.
Your immediate output should be an agreed operating mandate with the seller, inventory owner, contracting authority, invoice issuer and service provider named. Attach the evidence identified in the worksheet and give every unresolved permission an owner. Stop commercial launch where a responsibility remains assigned to an office that cannot perform it; resolve the activity model before trying to accelerate registration.
Turn the mandate into a launch plan
Use the agreed responsibilities and outstanding permissions to define the next registration, licensing or handover work.
Frequently asked questions
Does “market research” automatically make a KPPA suitable?
No. Describe the actual work and staff authority. A broad label can conceal product promotion, customer negotiations or other functions that require a different office category or a trading company. Test the conduct against the applicable rules.
Can the KPPA head also run the new PT PMA?
Article 270 prohibits the KPPA head from concurrently serving as a company director and from heading another KPPA. Check proposed appointments before approving a shared management structure.
Is a local partner always required for a PT PMA trading company?
Do not infer the ownership requirement from “trading company.” Confirm the exact activity’s foreign-investment conditions before agreeing the shareholding. A KPPA is not a substitute for an ownership structure that the intended business cannot use.
Does parent funding become PT PMA paid capital automatically?
No. Reconcile representative-office funding separately from the new company’s capital records. Document any proposed transfer or reimbursement through the appropriate legal and accounting process rather than relabelling historic office expenses.
Can the representative office remain after the company starts trading?
Assess whether a distinct, permitted representative mandate remains. Keep the office’s functions, head, records and obligations separate; the new company’s existence does not remove Article 270’s restrictions.
