ARGENTINA FOUNDER DECISIONS
Registering a US Company from Argentina: A Founder's Checklist
Authorise the next action with evidence for ownership, funding and each separate approval.
Your founder’s checklist should begin with an approved ownership and funding record, before a US filing is authorised. An individual living in Argentina and an Argentine company investing in a US subsidiary do not have the same exchange-control or reporting position. State acceptance establishes the US entity; it does not establish permission to transfer capital, an approved bank account or readiness to trade.
Release each action against named evidence and a responsible person. Hold the filing if the intended owner, equity split or signing authority remains unsettled; hold the transfer if its Argentina-side treatment is unresolved. The state example below illustrates execution after those choices, rather than prescribing a state for every founder.
Key takeaways
- Name the legal owner and ultimate controllers before authorising anyone to submit the formation documents.
- Choose a state-law entity and its federal tax treatment separately; a US LLC label does not decide Argentine taxation.
- Confirm the funding transaction with the exchange intermediary using the actual remitter, recipient and purpose.
- Map staff, premises, inventory and activity to operating states before treating the formation state as sufficient.
- Close formation, EIN, account access and operating permissions with separate evidence, so one acceptance cannot conceal another open item.
Build a release record before paying the filing fee
Use a short decision log with one accountable founder, the evidence location and a release date for each action. An unresolved item stays open even when another provider has finished its work. A verbal instruction such as ‘open the American company’ is insufficient if nobody has settled who will own it or where its money will originate.
| Action to authorise | Release evidence | Hold when |
|---|---|---|
| Reserve the structure | Owner, percentages, governance and investor requirements approved | Personal ownership and parent-company ownership are still competing proposals |
| Submit the state filing | Entity, state, agent and final fields approved by an authorised person | The business footprint or signatory is unconfirmed |
| Send capital or a loan | Funding terms and transaction-specific Argentina review recorded | The transfer relies on someone else’s currency-access eligibility |
| Apply for the EIN | Accepted entity record and responsible-party details reconciled | The application describes a different owner or legal name |
| Activate money collection | Provider approval and permitted payment activity confirmed | Only the application or an account invitation exists |
| Start the planned activity | Required registrations, permits and personnel permissions cleared | Formation is being used as evidence of permission to operate |
These are editorial approval controls, not six government certificates. Record ‘not applicable’ only with a reason, such as no US employees or no regulated activity in the current launch plan. Keep the assumptions beside the approval, because a later hire or warehouse can reopen a previously closed item.
Resolve the ownership instruction first
Bring the proposed owner, equity split and intended US activity together before authorising a filing.
Choose who owns the venture before choosing its label
Start with the person or company subscribing for the interest. If you invest personally, the subscription, funding trail and resulting ownership record should identify you. If an existing Argentine business invests, use its legal identity and obtain approval under its governing documents and applicable corporate rules. Founder control of that business is not a substitute for documented authority to commit its funds.
| Ownership choice | Argentina-side consequence to examine | Decision to record |
|---|---|---|
| Individual founder | Personal income and foreign-asset position; individual exchange-access rules | Who subscribes, where the funds are held and whether a cofounder must join |
| Existing Argentine company | Corporate income/accounting treatment; corporate exchange-access conditions; related-party dealings | Who approves the investment, signs and records capital or debt |
| Several owners or a mixed group | Different residence, reporting and funding positions for each subscriber | Percentages, voting, future dilution and each owner’s contribution |
The distinction has substance. ARCA treats companies constituted in Argentina as residents, while an individual’s status follows the relevant residence conditions; nationality alone is an incomplete test. Article 1 of the income-tax law generally brings residents’ domestic and foreign income into scope, subject to its rules and limits on foreign-tax credits. Check ARCA’s residence categories and the current income-tax text before approving an ownership recommendation.
Set the equity outcome and the tax assumptions
Write down the initial contributions, ownership percentages, voting arrangements, manager or director appointments and who can approve new interests. If prospective investors require corporate shares or an employee equity plan, settle their requirements before issuing equity. Moving an already funded business into a different ownership chain can create an additional transaction requiring its own review.
An LLC is a state-law form. For federal income tax, a domestic single-member LLC normally defaults to disregarded status and a domestic multi-member LLC to partnership status, unless an appropriate election changes that treatment. A corporation and an LLC electing corporate taxation need different planning assumptions; neither choice settles Argentine classification. The IRS explanation of LLC classification is the starting point for that separate decision.
For a parent-owned LLC, foreign parent control and reporting responsibilities help distinguish the legal member, human controller and information-reporting handoff. Keep that ownership analysis separate from the registered agent’s appointment.
Test whether a new US subsidiary is the right action
An Argentine company already undertaking US activity should also compare forming a subsidiary with registering the existing foreign-law entity where required. Qualification concerns that existing legal person; it does not create a new subsidiary. Obtain advice on liability, tax and state requirements before selecting this route. FinCEN also distinguishes US-created entities from foreign-law entities registered in the United States, so the choice changes the reporting review.
Clear Argentina funding, income and foreign-asset questions
Approve the intended cash movement separately from the investment structure. Specify the remitter, source account, currency, recipient, amount and whether the payment is equity, a loan or an expense. Send that description and supporting documents to the authorised exchange intermediary before promising a funding date.
As checked on November 1, 2026, the BCRA overview distinguishes resident individuals’ access for foreign currency notes or deposits from other forms of external assets. It also states that legal persons require prior BCRA conformity for the external-asset purposes described. The consolidated rules separate individuals and other residents in sections 3.8–3.10. Permission to acquire dollars is not a blanket permission for every outbound investment. Match the proposed transaction to the current BCRA exchange rules , rather than applying the treatment for a personal deposit to a corporate equity contribution.
The intermediary must verify that the operation is genuine and correctly categorised; the exchange ticket has sworn-declaration status. Request the applicable conditions and any required approval in writing. Do not describe capital as a service payment to make a transfer fit a different category. The BCRA’s operating requirements also make export receipts a separate issue: invoicing or receiving money through a US company does not itself establish an exception for Argentina-side activity.
Give the Argentine accountant the whole ownership chain
For personal ownership, add the US interest and any personally held foreign account to the asset inventory. ARCA lists foreign equity interests and foreign bank deposits among assets to examine for Bienes Personales. Actual liability depends on the applicable rules, valuation, thresholds and circumstances; ARCA’s asset categories do not support an automatic exemption for a US LLC.
For corporate ownership, record the US investment in the Argentine company’s accounting and income-tax analysis. Do not copy the individual founder’s personal asset treatment into that company’s ledger. Show related-party funding, service charges, intellectual-property arrangements and expected distributions to the accountant before contracts are signed.
Ask specifically whether foreign-income attribution can arise before a distribution. Article 130 includes rules involving an entity’s tax personality and, separately, controlled foreign entities subject to further conditions. A US disregarded classification is not a complete Argentine conclusion. Obtain the local analysis of income timing and control for the chosen chain, and check whether BCRA external-assets reporting applies using its 2026 reporting manual . Keep that review independent of the transfer approval.
The two approval streams now meet: a consistent owner-and-authority record permits a filing instruction, while the funding review controls the planned transfer. After formation, each receiving institution still needs its own completion evidence.
Approve the filing packet and a state-specific route
Choose the formation state after mapping the actual business. Record where people work, stock is stored, premises are occupied and services are delivered. Review foreign qualification and state tax or licence exposure in those locations. A Wyoming or Delaware registration does not remove another state’s requirements; the SBA registration guidance links registration to structure and location. A registered agent receives legal and official documents in the state; its address is not proof of your operating premises or bank-acceptable business address.
The foundational United States company registration record should identify the chosen entity, state, filing document and accepted legal name. For a corporate owner, reconcile that record with the parent’s approval and ownership chart. For an individual, reconcile it with the subscription and identity record; neither exercise requires sending a passport to a state merely because a bank later requests one.
Use Wyoming only as a worked filing example
For a standard new Wyoming LLC, the official WyoBiz instructions list a USD 100 state filing fee plus a 2.4% online card-processing charge, minimum USD 1, checked November 1, 2026. That gives a USD 102.40 filing-and-processing subtotal for this example. It excludes agent and address services, professional fees, annual obligations, tax work, permits, translation and capital; it is not a tax-inclusive service quote. The Wyoming registration instructions also require paper filing for names beginning with ‘A’, so online submission is not universal.
- Check the name using the state’s search tool, then select the correct entity and filing route in WyoBiz. Confirm any portal access and payment requirements before authorising the submitter.
- Approve the Articles of Organization fields: legal name, registered agent and Wyoming registered office, mailing and principal-office addresses, organiser and contact details. Obtain the agent’s consent and review the declarations against the official LLC form and instructions .
- Have the authorised organiser execute the filing, pay using the permitted method and save the submitted version and receipt. For paper filing, follow the form’s current signature, payment and delivery instructions.
- Monitor the submission for acceptance or a correction request. Resolve the stated defect before resubmitting; a payment receipt alone is not the accepted entity record.
- Retrieve and save the accepted document, filing identifier, effective date and state record. Check names and addresses immediately and record the state’s continuing-obligation handoff.
Check the packet against its recipient
Match the chosen state route, signing authority and requested evidence before submission or certification costs accumulate.
Hand over EIN, banking and operating decisions separately
After state acceptance, assign a person to each remaining record. The IRS instructs applicants creating a legal entity to form it first. An EIN is free when obtained directly from the IRS. Where the principal place of business is outside the United States, the IRS international applicant instructions provide phone, fax or mail routes; eligibility for an online application cannot be assumed from having a US registered agent.
For Form SS-4, reconcile the exact entity name, address, formation details, ownership and responsible party. The responsible party is not automatically the paid organiser or registered agent. Use the current SS-4 instructions for the responsible-party identifier, including the limited circumstances permitting ‘foreign’ or ‘N/A’. Save the EIN confirmation separately from the state certificate and give both to the accountant.
Make the US tax handoff explicit: entity classification, financial year, funding ledger, contracts, related-party transactions and an owner for filing deadlines. Foreign-owned US disregarded entities with reportable transactions can require Form 5472 with a pro forma Form 1120; qualifying foreign-owned corporations also face information-reporting rules. The IRS Form 5472 instructions require a separate assessment even when trading has not begun. State income or franchise taxes, sales and use tax, payroll and local obligations need their own activity-based review.
Under the FinCEN rule checked for this draft, US-created companies are exempt from BOI reporting; certain foreign-law entities registered in the United States remain a different category. Record the basis using FinCEN’s current BOI guidance . That exemption does not remove IRS information reporting or a bank’s ownership checks.
Before commissioning translations, notarisation or an apostille, ask the actual recipient which document and certification it accepts. A state formation filing, a foreign-entity qualification and a bank’s corporate-owner review can require different evidence. Make certification a response to an identified requirement, rather than an assumed prerequisite for every Argentine founder.
For banking and payment services, first confirm that the institution considers the residence, entity, ownership chain and business model eligible. Prepare the documents it actually requests: identity and residence evidence, formation and EIN records, control information, business activity and source of funds. Corporate ownership can add parent and signatory evidence. An account application is not account approval. Close this item only when the provider confirms access and the intended transactions are permitted.
Separately check operating permissions for the planned business, location and personnel. Industry licensing, local registrations and immigration or work authorisation are not issued by the formation agent. Use the SBA launch requirements to allocate those checks, then verify any triggered rule with the responsible authority before activity begins. A foreign founder’s ability to own the company does not establish permission to work in the United States.
Keep rejected or changed steps on hold
Plan by dependencies rather than a single launch promise. The state’s processing clock excludes Argentina-side funding approval, corrections, EIN handling, bank diligence and licences. Any internal target date should remain conditional on those open items; no end-to-end official delivery time covers every founder’s situation.
- If the owner changes before filing, replace the approved instruction and reconcile every downstream form. If it changes after formation, review the transfer, tax and provider consequences before changing records.
- If the exchange intermediary requests more evidence, hold that transfer and answer the stated categorisation or source-of-funds question. Do not change the description without changing the underlying transaction.
- If the bank declines the application, identify whether the problem is eligibility, documents, ownership or activity. Forming another entity without diagnosing the reason can reproduce the same obstacle.
- If US staffing, inventory or premises change, reopen the state and operating review. A previously accurate remote-business assumption may no longer describe the company.
Keep a dated record of who identified the defect, what evidence will resolve it and which commitments depend on it. Inform cofounders of a changed launch dependency before they sign a customer contract or promise a payment date.
Release formation when the Argentina ownership record is coherent
Authorise the US filing when the owner, equity, authority, entity and state are settled and the planned funding path has been examined. If capital transfer approval remains outstanding, make that hold explicit and decide whether an unfunded entity serves a real business purpose before incurring continuing obligations.
Release trading only against the remaining evidence: the accepted entity record, appropriate tax handoff, usable payment arrangements and any required permissions. Escalate an unresolved Argentina classification, corporate approval or exchange-control question to the relevant adviser or intermediary. One completed workstream must not be used to sign off another. The useful checklist is the one that shows precisely what may happen now and what still needs a decision.
Turn the open items into an accountable launch plan
Bring the approved decisions and remaining holds so each registration, funding and operating action has a clear owner.
Frequently asked questions
Can a cofounder sign the filing while I remain in Argentina?
The filing route may allow an authorised organiser to submit. Record the authority and approved final fields first; do not assume that permission to submit also permits the organiser to subscribe for equity, move funds or operate the bank account.
Must every Argentine parent document be apostilled?
Ask each recipient for its requirement before ordering certification. A corporate-owner diligence request is different from a domestic formation filing, and a document accepted by one institution may not satisfy another.
Can I use my personal funding eligibility for my Argentine company’s investment?
Do not treat the two as interchangeable. The legal remitter, owner of the funds, recipient and investment terms must match the transaction reviewed by the exchange intermediary. A change of remitter can require a fresh review.
Does leaving the US company inactive remove the need for a tax handoff?
No. Funding, owner-paid expenses or related-party transactions can matter before sales begin. Give the accountant the formation date and complete transaction record so inactivity is assessed against the relevant obligations.
Does registration let me visit the US and work for the company?
Company formation and permission to enter or work are separate decisions. If the launch requires your physical work in the United States, obtain the applicable immigration assessment before scheduling that activity.
