Registering a US Company from Japan: A Founder's Checklist
Approve formation, funding and trading against separate evidence gates.
A founder in Japan can register an ordinary US company when the selected state and activity permit the proposed owners and roles. The useful readiness test is whether identity, authority, entity choice, US footprint and Japan-side funding checks are settled before filing. A checklist should expose a reason to pause, not turn unresolved facts into an apparent approval.
The company can be legally formed before it is ready to receive funding or trade. Use separate release points for those decisions, especially when a Japanese parent, outside investor, US employee or financial provider adds another approval.
Key takeaways
- A release gate needs supporting evidence and an accountable decision-maker.
- LLC membership and corporate shares should be matched to the actual financing plan.
- Japanese asset and outbound-investment reviews should happen before the funding instruction is released.
- Accepted state records and an EIN are distinct milestones with different correction routes.
- Operating permissions and banking approval need a second readiness test after legal formation.
Check five release gates before ordering registration
A Japan-based founder is ready to instruct an ordinary US formation when the owner, entity, operating state, funding authority and compliance owner are established. Any unresolved material item should remain visible in the project file. This checklist is designed to decide whether to proceed, pause or change the scope; checking boxes without evidence does not create legal eligibility.
| Gate | Evidence to retain | Decision owner | Pause when |
|---|---|---|---|
| Owner and authority | Individual identity or parent-company authorization | Founder or parent board | The signer cannot bind the intended owner |
| Entity and financing | Written LLC or corporation rationale; investment terms | Owners with legal/tax input | Investors require a different instrument |
| US footprint | Locations of staff, premises, stock and signers | Operations lead | A proposed state has not been assessed |
| Japan funding review | Tax status, investment and remittance questions resolved | Japan adviser and handling bank | Funds are ready but the reporting route is unknown |
| Continuing duties | Named preparers, calendar and service scope | Company decision-maker | No one owns an applicable filing after formation |
The IRS explanation of LLC ownership and classification permits foreign ownership in most ordinary LLC cases but notes state differences and certain excluded business types. That does not establish eligibility for a regulated financial, insurance or professional activity. Determine the permitted activity before selecting the entity. A filing service should receive an accurate business description rather than a vague “consulting” label used to avoid a licensing question.
Separate tax residence from nationality, and company ownership from immigration permission. A founder in Japan may be a Japanese national, a foreign resident or an officer of a Japanese company. These facts can change home-country treatment and authority evidence. US registration itself does not provide permission to work in the United States; obtain a separate immigration assessment if the plan includes relocation or work there.
Identify the gate that is still open
Put the owner, proposed entity and operating locations beside the missing evidence.
Write an entity-and-state brief the filing provider can follow
The brief should name the owners, the intended ownership instruments, the management model and the reason for the chosen state. An LLC may fit a closely held operation, while a C corporation merits direct comparison when the plan requires shares or a stock-based financing round. Record actual investor requirements rather than assuming the preferred route from online formation advertising.
For an LLC, a single member normally produces disregarded treatment for US federal income tax and multiple members normally produce partnership treatment, unless an eligible election changes that result. For a corporation, plan corporate governance and its separate return position. The IRS S corporation eligibility rules exclude nonresident-alien shareholders. An S election is not a substitute for checking the owners. Foreign corporate ownership also needs a separate eligibility analysis, not an automatic election.
Begin the state decision with the physical and commercial footprint. If there is one actual US operating state, compare formation there with the additional qualification and maintenance that an out-of-state formation may create. SBA guidance on state registration explains the formation-versus-qualification distinction. A US entity is domestic in its formation state even where every owner is abroad.
Delaware can be considered where corporate governance and investor requirements justify it. The Delaware formation instructions identify the registered-agent, certificate and submission requirements. Wyoming can be considered for an ordinary LLC without assuming it erases obligations elsewhere. The domestic LLC and additional-state distinction is useful when the brief uses “foreign” ambiguously: specify whether it means overseas ownership, another-state qualification or a foreign-law entity.
Complete the Japan funding and disclosure checks
Before the first subscription or member contribution, identify the payer, legal investor, instrument, amount, currency and destination account. A personal remittance should not be described as a Japanese parent’s investment unless the authority and accounting support that description. Keep the instruction, bank confirmation and underlying subscription or contribution record together. The records should explain the transaction to a later adviser without relying on a founder’s recollection.
Japan’s tax scope depends on the owner’s category. NTA’s individual taxpayer guidance distinguishes residents other than non-permanent residents, non-permanent residents and nonresidents. Do not equate a US bank receipt with foreign-source income automatically; place of work, entity treatment and the payment’s character need analysis. Ask the Japanese adviser to address the planned cash flows and the actual residence facts.
For residents other than non-permanent residents, NTA’s foreign-assets reporting guidance states that foreign property exceeding JPY 50 million in aggregate value on December 31 generally triggers a statement due by June 30 of the following year. This is an aggregate foreign-assets test , not a minimum capital requirement for a US company. The reporting threshold is not a tax-free allowance. Ask how the particular interest and other foreign assets are valued and located for the rule.
Outbound investment and payment procedures are a further review, separate from income tax and the foreign-assets statement. The Bank of Japan’s outward-investment forms distinguish categories of investment and related filings. Have the handling bank and adviser determine whether any prior notification, post-transaction report or exemption applies to the actual investor, sector, amount and transaction. Do not submit a generic form simply because the company is American, and do not remit first on the assumption that a small business is automatically outside every rule.
Submit, verify and organize the company in stages
The accepted state filing is the first legal-formation milestone. It should be followed by the correct ownership and governance actions, the eligible EIN application and the separate operating checks. The following release sequence makes each milestone verifiable without combining them into a single “registration complete” status.
- Confirm the name and agent against the selected state’s official requirements. Obtain the agent’s exact details and consent before inserting them into the draft.
- Review the entity-specific certificate. Confirm addresses, organizer or incorporator, ownership-related instructions and, for a corporation, the approved charter and share structure.
- Authorize payment and submit through the official portal or permitted paper route. Retain the order, payment and signature records and check for any rejection or request for correction.
- Obtain the accepted filing and entity identifier. Reconcile the legal name and state record with the approved brief before presenting the certificate to other recipients.
- Complete organizational actions. Execute the LLC agreement or corporate bylaws, initial resolutions, officer appointments and supported ownership records appropriate to the entity.
- Apply for the EIN by an eligible method. Retain the signed request, any designee authorization and IRS assignment evidence, then finalize the filing calendar and provider applications.
The general United States company registration process supplies the state-formation foundation; the Japan funding review and recipient-specific evidence remain separate tasks. For Wyoming, the official Articles show a USD 100 government filing fee. For Delaware, the appropriate certificate and current fee depend on the entity and document. Do not apply one state’s form, charge or processing promise to another jurisdiction.
The IRS SS-4 instructions explain the distinction between online and international EIN routes and do not charge a government fee. Overseas applicants without the specified US presence cannot use the online process merely by purchasing an agent address. Fax and mail estimates describe IRS processing only. A delayed application calls for a status enquiry before another application method, while a rejected certificate calls for the state’s own correction route.
Verify the submission handoff
Confirm the accepted record and organizational actions match the instruction approved in Japan.
Test whether the registered company can actually operate
A formation certificate and EIN do not show that the business has the right financial-provider approval, sector licence, tax accounts or employment arrangements. Build a second release test based on the activity: what will be sold, where people will work, where stock will be held and which party will receive and pay money. The operations lead should identify the authority or provider making each separate decision.
For banking, obtain the selected provider’s current list for the entity, owner residence, industry and account purpose. Prepare identity, address, ownership, authority and business evidence in the required format, but keep approval and timing outside the formation promise. If a provider will not accept the actual operating address or business activity, revise the provider or business plan; an inaccurate declaration is not a document fix.
Foreign-owner federal reporting is a separate acceptance item. Under IRS Form 5472 instructions , a foreign-owned disregarded entity with reportable related-party transactions generally uses Form 5472 with a pro forma Form 1120. A qualifying 25%-foreign-owned corporation may also have reporting duties when the transaction tests apply. Member count, elections and actual transactions determine which return assessment belongs in the scope. Assign a preparer before the first filing deadline. An agent renewal is not evidence that federal tax work is covered.
For Delaware corporations, the official annual-report and franchise-tax instructions generally require the domestic report and franchise tax by March 1. LLC maintenance differs; state and entity must appear together in the calendar. List government charges, agent renewals, accounting, returns, taxes and working capital separately in the budget. A one-time setup quotation should state what continues and what expires.
Under FinCEN’s current BOI rule , companies created under US law are exempt from that reporting regime; certain foreign-law companies registered to do business in the US remain reportable. This does not remove IRS, bank or Japanese disclosure requirements. Keep the entity’s BOI category and supporting rule in the release file so future staff do not use an outdated domestic-company checklist.
Reopen the operating review before a new hire, warehouse location, owner or regulated product is added. Ask which records and permissions change, who must approve the change and when any report is due. The goal is a continuing decision process: a company validly formed for one plan should not be treated as pre-cleared for every later expansion.
Release the Japan-to-US registration only when the gaps are owned
Approve formation after the five gates have supporting evidence and the entity-and-state brief is signed off. Release funding only after the payer, investment instrument and Japan-side reporting questions are settled. Release trading only after the required operational permissions and provider decisions are documented. The three releases may occur on different dates.
Escalate a missing parent authorization, unclear Japanese classification, unsupported asset valuation or incompatible financing instrument before proceeding. An open issue can remain on the register only when a responsible person and a resolution point are defined; a material eligibility problem cannot be converted into a minor follow-up simply to meet a launch date.
Assign the unresolved launch decisions
Set responsibility for any tax, investment, banking or permission issue that still affects release.
Frequently asked questions
Is the JPY 50 million asset threshold a US formation requirement?
No. It concerns a particular Japanese foreign-assets reporting test and qualifying taxpayer category, assessed against aggregate foreign property. It is unrelated to US minimum formation capital.
Can I treat an EIN coordinator as the owner of the IRS account?
The company should retain its assignment evidence and clear authority records. A designee’s permission has a defined scope; it should not replace the real responsible party or company record control.
Must every founder personally travel to the state registry?
Use the chosen state’s permitted submission methods and signer requirements. A remote state filing does not establish whether a bank or another recipient requires personal attendance.
When does the checklist need to be reopened?
Reassess material changes such as a new owner, investor instrument, US workplace, stock location or regulated activity before implementing them. Keep the earlier release record and the reasons for the change.
