Nigeria-based founders
Registering a US Company from Nigeria: A Founder's Checklist
Decide ownership, management and trading readiness before treating a state certificate as a finished business.
Three decisions should precede a US company filing from Nigeria: the legal owner, the location of real management, and the business activity the entity must support. Nigerian-based founders can generally pursue an ordinary US LLC or corporation, subject to state and sector rules. A usable setup also needs authority to act, a workable tax position in both countries, and separate account and licensing checks.
Key takeaways
- Choose personal ownership or a Nigerian corporate parent before anyone signs: they create different authority and tax questions.
- Nigeria’s 2026 management and residence rules can matter even when the company’s certificate comes from a US state.
- LLC status, federal tax classification and S corporation eligibility are separate decisions; citizenship alone does not settle them.
- Request the receiving bank’s requirements before buying an address service or moving formation funds.
- A Delaware LLC’s 2026 annual tax is USD 400; keep that recurring state obligation separate from filing fees and tax preparation.
Define what the US company must do
Start with a business reason that survives scrutiny. A customer requiring a US contracting entity, an investor requiring stock, and a founder seeking a payment account are different projects. A company certificate may address the first request while leaving the other two unresolved. Ask the customer, investor or institution what exact evidence they need before choosing a filing route.
Write a one-page formation mandate
- State the transaction: who will sell, who will buy, where work is performed, and where goods or people will be located.
- Name the intended owner and decision-maker: you personally, several founders, or an existing Nigerian company.
- Define the acceptance evidence: a filed certificate, issued shares, an EIN notice, an approved account, or a licence. Give each recipient its own requirement.
- Record the reason to postpone: unresolved cofounder percentages, an investor’s unconfirmed entity preference, or a platform that has not confirmed its current acceptance criteria.
Use the mandate as a spending control. If the business only needs to invoice an overseas customer, first establish why the existing contracting arrangement is insufficient. If the purpose is stock investment, confirm the intended financing structure with counsel before ordering an LLC. These are planning tests, not additional government forms.
The state filing is the entity-creation part of US company registration ; changing the contracting party, moving intellectual property or hiring people needs its own documented handoff. Keep those tasks visible instead of assuming they happen automatically when the state accepts a certificate.
Choose the owner and legal structure together
For an ordinary commercial venture, compare an LLC with a stock corporation against the actual ownership and financing plan. The IRS LLC guidance confirms that most states permit foreign members. It also separates a domestic LLC’s default federal treatment: one member is generally disregarded for income tax, while two or more members generally produce partnership treatment unless a corporate election is made.
| Ownership route | When it merits consideration | Question to resolve before filing |
|---|---|---|
| Individual-owned LLC | An owner-managed venture without an immediate stock-investment requirement. | Who bears US and Nigerian income and information-reporting duties under the chosen classification? |
| LLC owned by a Nigerian company | An existing group wants the US entity within its corporate ownership chain. | Who authorizes the investment, and what does the Nigerian parent’s tax review require? |
| US stock corporation | The financing plan calls for share ownership and corporate governance. | What share design, board authority and investor terms must exist before subscriptions are accepted? |
| Register the existing Nigerian entity to operate in a US state | The commercial objective is for the same foreign entity to transact there. | Does this expose the existing business directly, and what foreign-registration and BOI rules apply? |
The last route does not create a new US subsidiary. A state-created subsidiary and registration of an existing foreign entity have different legal identities. The SBA business-launch guidance explains that corporations can raise funds through stock; a stock corporation also brings its own governance and tax administration. Investor preference is a fact to obtain from the investor, not a reason to recommend Delaware to every founder.
Do not select “S corporation” as a shortcut for a foreign founder. The IRS shareholder restrictions exclude nonresident alien shareholders and generally exclude corporate shareholders. A Nigerian passport does not establish US tax residence, and living in Nigeria does not by itself answer every shareholder-eligibility question.
Before authorizing submission, write down the owner, percentages and signing powers . For a corporate owner, obtain its incorporation records, current ownership chain and documented investment authority. For cofounders, settle who can bind the venture and how ownership will be recorded. These records support governance and institutional checks; they are not all filed with the state.
Make the ownership decision reviewable
Bring the formation mandate and proposed owner chart so the entity choice can be checked against the business you intend to run.
Test the Nigerian tax and management footprint
Use the enacted Nigeria Tax Act, 2025 , effective January 1, 2026, rather than a pre-reform offshore-company assumption. Section 202 includes companies with central or effective management or control in Nigeria within “Nigerian company.” Section 12 charges a Nigerian resident individual’s income, gains and profits wherever arising, whether or not brought into Nigeria. Residence has several statutory tests; a passport or day count alone is insufficient. Exemptions, relief and classification still need individual analysis.
A US state certificate does not settle Nigerian tax residence. If key decisions remain in Lagos, ask how the chosen entity will be treated locally before assuming that retaining dollars abroad changes its tax position. Do not assume Nigeria follows the IRS treatment of an LLC. The review should identify the taxpayer and the character of payments, rather than simply compare headline tax rates.
Prepare a management-and-money brief
- Show where the people making strategic decisions actually work, who approves contracts and budgets, and where those decisions are evidenced.
- Separate company receipts from founder compensation, distributions, expense reimbursements and loan repayments. Ask the adviser how each will be treated.
- If a Nigerian company will own the US venture, flag section 6(2)’s controlled-foreign-company profit provision for specific review; do not assume undistributed profit is outside the parent’s assessment.
- Identify the intended funding account, sender, recipient and purpose. Ask the remitting institution what evidence and permitted route it requires for this transaction before transferring money.
Under section 3 of the Nigeria Tax Administration Act, 2025 , the Nigeria Revenue Service administers company taxes; the relevant State or FCT authority generally handles resident-individual income tax, subject to statutory exceptions. Put the appropriate authority and existing Tax ID on the adviser’s brief. The US EIN does not replace Nigerian registration or filing analysis.
The two-country review and the US filing can be organized as parallel workstreams once ownership is settled. They converge before the founder starts using the new entity for trading or moving money through it.
Submit the chosen state filing and record acceptance
Choose the state from the operating facts and financing requirements. A US employee, premises or other activity outside the formation state can create additional registration and tax work. The SBA’s foreign-qualification explanation distinguishes the formation state from other states where the business is active. Evaluate each relevant state rather than treating an agent’s address as proof of where the business operates.
A Delaware submission example, not a default state recommendation
Delaware’s official formation sequence provides a useful concrete model. Its registered agent must have a physical Delaware street address. Name reservation is optional. For an LLC, the relevant filing is a Certificate of Formation; a corporation uses a Certificate of Incorporation. Other states use their own forms, submission systems and fees.
- Check the proposed name against the chosen state’s register and naming rules. Keep a backup name; do not confuse a name search with accepted formation.
- Engage the registered agent and confirm the exact legal name and registered-office details to enter. Decide separately where operational and business mail will go.
- Complete the correct official certificate. Confirm entity name, agent and office, effective-date instructions, and the authorized signer; for a corporation, review the share provisions with the proposed capitalization.
- Calculate the applicable filing fee from the current state schedule. Add only the optional services actually selected, and preserve the approved payment instruction.
- Submit the signed document through the state’s permitted route and retain the submission reference. In Delaware, use the Document Filing and Certificate Request service or mail; a My eCorp account may prepopulate submitter information.
- Reconcile the accepted document, effective date, entity number and invoice. Correct a rejection against the state’s stated reason; retain the replacement submission reference and final accepted version.
The Delaware submission-service notice expressly distinguishes electronic document submission from direct online filing or document retrieval. The system does not calculate fees; charges are applied when the order is processed, with an invoice returned on completion. Do not promise an instant certificate download. Confirm the return-delivery arrangements for the order and archive the received filing securely.
State acceptance is a precise milestone: the chosen entity exists under the filing’s effective terms. It does not establish who has been admitted as an LLC member, prove that corporate shares were issued, or authorize an account user. Complete the internal formation actions and ownership records for the chosen entity, then compare their names and dates with the state document before sending the package onward.
Assemble the authority, EIN and account handoff
Give the next institution a coherent company, not a folder of unrelated PDFs. Maintain a master record of the entity’s legal name, state number, address purposes, owners, controlling people and authorized signers. A corporate parent adds an ownership chain and decision records; foreign-parent control and reporting responsibilities deserve review before a founder signs as though personally owning the subsidiary.
Prepare evidence of authority to act : the applicable operating agreement or bylaws, formation actions, ownership or stock register, and resolutions or delegations supporting the proposed signer. If the person completing a state submission differs from the bank signatory, make the transition explicit. A filing service’s role is not a substitute for the company’s internal authority.
Route the EIN request from the actual facts
Apply to the IRS after state formation using one method per entity. Direct IRS EIN issuance has no government fee. Under the current Form SS-4 instructions , an applicant with no US legal residence, principal place of business, or principal office or agency cannot use the online EIN application; eligible international applicants have a telephone route, and fax or mail routes also exist. An agent’s address should not be used to misstate those facts.
Complete SS-4 using the legal name, actual addresses, responsible party, member count, classification, start date and activity. Enter “foreign” or N/A on line 7b only where the responsible party lacks an SSN or ITIN and is ineligible for one. Follow the signature and designee instructions; retain the request and assignment notice.
Treat a mismatch as a correction task before applications multiply. Compare the source record with the filed certificate, internal records and EIN notice; determine which record is wrong and use that issuer’s correction process. Do not create a second EIN application merely because the first request is slow or an institution wants a different document.
Resolve the authority and EIN handoff
Check that company records identify the intended signer and that the EIN request follows the actual operating facts.
Assign a first-year budget and filing calendar
Budget by payee, recurring obligation and trigger. A quoted formation service charge does not establish the cost of operating the company. Ask for written scope covering the selected state and entity, owner complexity, renewal dates, taxes charged on the service, and excluded tax work. Capital contributions and an account’s funding balance are company money, not professional fees.
| Budget or calendar item | Verified boundary on November 5, 2026 | Founder’s control |
|---|---|---|
| State formation and recurring compliance | The initial fee depends on state, entity, filing particulars and selected service. | Obtain the current official amount and separately identify agent, address, copy and expedited charges. |
| Delaware domestic LLC annual tax | USD 400 for tax years beginning January 1, 2026; normally due June 1 after year-end, without proration. | A formation on November 5, 2026 creates a 2026 tax-year obligation ordinarily due June 1, 2027. |
| EIN and federal reporting | IRS EIN issuance is free; professional help and return preparation are separate charges. | Obtain an annual filing scope before the first owner-to-company payment; retain transaction records. |
| Banking, remittance and local operations | No universal account-opening price, acceptance rule or combined approval timetable is established here. | Confirm institution fees, currency conversion, local advice and licences from the actual parties. |
The Delaware LLC amount follows the current LLC annual-tax statute and the 2026-effective amending session law . Do not carry an old USD 300 annual-tax figure into a 2026 LLC budget. A stock corporation has a separate franchise-tax and annual-report system; do not apply the LLC amount or deadline to it.
Assign a US tax preparer before money starts moving. The IRS Form 5472 instructions cover reportable related-party transactions for a 25%-foreign-owned US corporation and a foreign-owned US disregarded entity. The latter generally files Form 5472 with a pro forma Form 1120 when required; contributions and distributions can be reportable even without customer revenue. A failure-to-file penalty starts at USD 25,000. Keep a transaction ledger from formation, including founder-paid expenses, and have the preparer determine the correct treatment.
Create calendar entries only after identifying the taxpayer, year-end and required return. Record the deadline, preparer, founder information cutoff, extension decision and proof of submission. Form 5472 follows the applicable return due date, including extensions; foreign-owned disregarded entities have special submission instructions. An extension request and evidence of acceptance belong in the same records folder as the return.
For timing, the SS-4 instructions describe fax issuance generally within four business days and mailed issuance in approximately four weeks; those are IRS estimates, not the whole launch. State queues, corrections, returned documents, ownership verification and account approval add separate dependencies. Use a dated launch plan with an “awaiting issuer” status for each open item instead of promising a combined completion date.
Check the account and operational gates before invoicing
An account is a separate institutional decision. Ask the actual provider whether it currently accepts the business model, owners’ countries of residence, corporate ownership chain, proposed signers and intended transactions. Ask which physical or business address it accepts, how identity is verified, and whether travel or additional evidence may be needed. Buying a US mailing address first can leave you paying for a service the institution cannot use.
For Nigerian-origin funding, have the sending institution review the sender, recipient, purpose and supporting records before remittance. Keep the transfer evidence and identify whether the company records the money as capital, a loan or another transaction. That classification must agree with the ownership and accounting records; there is no universal promise of remote banking or unrestricted funding based solely on incorporation.
| Gate | Evidence to obtain | Who resolves a failure |
|---|---|---|
| Account and payment acceptance | The provider’s current requirements, approval and authorized-user record. | Founder and institution; repair an identity, address or ownership discrepancy at its source. |
| US activity permissions | State, local and sector checks for the actual activity and places involved. | The relevant registration, tax or licensing authority; reassess before employees, inventory or premises change. |
| Company and owner reporting | A scoped US filing calendar and Nigerian taxpayer/residence analysis. | The appointed advisers and responsible founder; escalate an unclassified payment before recording it as tax-free. |
The SBA licensing and tax-registration sections make activity and location central to the remaining checks. Company registration does not replace sector permission, state tax registration or local licences. If the founder intends to work physically in the United States, resolve the applicable immigration permission separately before travel or work commitments.
FinCEN’s August 2026 final-rule notice confirms that US-created companies are exempt from BOI reporting, effective August 14, 2026. Certain foreign-law entities registered in the US remain within the reporting-company framework unless exempt. BOI exemption is not a bank approval and does not remove IRS reporting or requests to identify owners and controlling people.
Release the Nigeria-to-US formation only when owners can act
Approve the handoff when the owner chart matches the internal company records, the state has accepted the chosen filing, and the responsible person can demonstrate authority. Then verify that the EIN, account permissions, activity checks and two-country reporting responsibilities have named owners and retained evidence. An open task should have a responsible person and a dependency, not a tick based on a payment receipt.
Use the formation mandate as the final acceptance test: can the new entity perform the specific transaction it was created for, with its intended signer and money route? An unresolved management or ownership issue comes before launch. If the company exists but one operational gate remains open, describe that status precisely and complete the missing approval before relying on it.
Turn the checklist into an accountable handoff
Bring the proposed ownership, management locations and unresolved approval items for a scoped formation review.
Frequently asked questions
Does a Nigerian company have to own my US venture?
Not necessarily. Personal ownership, cofounder ownership and corporate ownership serve different commercial aims. Decide from the funding, governance and tax analysis; do not add a parent merely because the founder already has a Nigerian business.
Should I order certified copies and apostilles with every filing?
Ask the intended recipient which document, certification and authentication it actually requires. A standard state filing package and an institution’s evidence requirements are different scopes. Avoid paying for a document that has no identified use.
What if a cofounder changes before filing is accepted?
Stop the handoff and reconcile the ownership agreement, signer authority and submitted particulars. Ask the filing authority or authorized submitter how to amend or replace a pending submission; do not circulate inconsistent versions as final records.
Can one address be used for every purpose?
Only if it truthfully meets each use and the relevant recipient accepts it. Label registered-office, mail, physical-business and founder-residential addresses separately in the master record, even where some are the same.
What should I retain if I decide not to launch?
Keep the accepted state documents, transaction records and advice on winding down. Ask about formal dissolution, outstanding state obligations and final tax filings; abandoning an inbox or leaving an account unused does not resolve those tasks.
