NETHERLANDS TO UNITED STATES
Registering a US Company from the Netherlands: A Founder's Checklist
Decide who owns the company, where it operates and what evidence releases each registration stage.
A Dutch founder can register a US company, but a customer’s request for a US entity is only the start of the decision. Approve the owner, legal form, actual operating footprint and Dutch tax treatment before releasing the filing. A personally owned new company, a subsidiary of a Dutch business and US registration of an existing Dutch entity require different instructions.
Use a checklist with evidence, a responsible person and a stop condition for each unresolved point. State acceptance establishes the entity; it does not settle Dutch residence, operating permissions or access to banking.
Key takeaways
- Owner identity drives the approval route: an existing Dutch business needs its own authority, funding and intercompany review.
- The Dutch legal-form comparison is independent of an LLC’s US federal tax default; review the actual form before modelling distributions.
- Management in the Netherlands and activity in US states can create separate reviews that a registered-agent address does not resolve.
- A filing instruction should be released only when its evidence agrees; missing facts need a named reviewer and a hold condition.
- Budget for recurring obligations and keep formation, operating clearance and banking as separate completion records.
Write the founder mandate before choosing a form
Begin with a one-page mandate that another person could use to check the filing. Record the commercial reason for a US entity, the proposed legal owner, the people making decisions, the locations of work and assets, and the first activity the company must perform. A customer preference for a US supplier, a planned employee and an investor requirement are different reasons; each needs different evidence.
Treat the following as an approval register, rather than a collection of ticked boxes. Give every unresolved item a named person and a due date. A founder can coordinate the register, but should not substitute a formation provider’s confirmation for the Dutch adviser’s tax conclusion or a bank’s account decision.
| Approval gate | Evidence to keep | Responsible person | Release or stop |
|---|---|---|---|
| Commercial purpose | Customer requirement, financing term or operating plan | Founder | Release when the entity solves a documented need; pause if the reason is only an assumed tax saving. |
| Owner and authority | Ownership chart and written approval of who subscribes for the interests or shares | Founder; existing company’s authorised decision-maker if involved | Stop when the person paying, the proposed owner and the instructions disagree. |
| Tax and operating route | US and Dutch treatment notes plus location map | US tax adviser and Dutch adviser, coordinated by founder | Release when material mismatches and registration triggers have an assigned treatment. |
| Funding and maintenance | First-year budget, recurring calendar and person receiving notices | Founder or finance lead | Stop if the company can be formed but cannot be maintained. |
The register is a planning device, not a new legal filing. Mark an item “not applicable” only with a reason. For example, no US employee today does not settle the treatment of a hire planned next month. Record the assumptions that would reopen an approval.
Approve the owner and the entity together
Choose between a personally owned company, a subsidiary of an existing Dutch business and registration of an existing entity before anyone submits a state form. The organiser who files the document is not automatically the owner. The ownership decision belongs in the governing records and capitalisation instructions, even where the public formation document does not list every owner.
| Proposed route | What the decision must establish | Evidence before authorising filing |
|---|---|---|
| Individual owns a new US LLC | Member rights, management powers, contributions and the consequences of different US and Dutch classifications | Member schedule, draft operating agreement and cross-border treatment note. |
| Individual owns a new US corporation | Initial shares, directors, voting rights and whether the expected funding arrangements fit | Capitalisation plan, incorporation instructions and planned corporate approvals. |
| Dutch BV or another existing business owns a new US entity | Corporate authority, source of funds, ownership chain and transactions between the businesses | Parent approval, current register evidence, ownership chart and proposed intercompany terms. |
| Existing Dutch entity registers in a US state | Whether this is foreign qualification of that same entity rather than creation of a subsidiary | Existing constitutional documents and a review of the selected state’s foreign-entity requirements. |
An LLC offers member-based governance; a corporation uses shares and corporate governance. A prospective investor’s request for a corporation should be confirmed against its actual terms before choosing the state or share structure. Neither label establishes the Dutch outcome. Existing Dutch business assets, intellectual property, contracts or staff should not be moved to a new personal company merely by changing the invoice name; identify what is being transferred and obtain the required advice and approvals first.
For US federal income tax, a domestic single-member LLC is generally disregarded unless it elects corporate treatment; a domestic LLC with two or more members generally defaults to partnership treatment. These are IRS classification rules , not Dutch tax conclusions. A nonresident alien shareholder cannot qualify for an S corporation election . Living in the Netherlands alone does not determine someone’s US tax residency, so establish the proposed owners’ actual status.
The broader cross-border structure checks for European founders can help organise entity and state questions, while the Dutch classification and residence approvals below need their own country-specific analysis.
Settle the ownership instruction
Bring the proposed owner, commercial purpose and planned activities together before authorising a formation filing.
Test the Dutch outcome against the actual US legal form
A US tax label does not answer whether the Netherlands treats the company as transparent. Since 2025, the Dutch starting point is comparison of the foreign legal form with Dutch forms. The official comparison decree and legal-form list list US corporations and LLCs, for all states, as comparable to an NV or BV. The list creates a presumption; the decree addresses rebuttal and material changes in the governing foreign law. Approve the actual state-law form and its legal characteristics, rather than treating “LLC” as a promise of personal pass-through taxation in both countries.
The Belastingdienst explanation of foreign legal forms provides additional methods for a genuinely non-comparable form: Dutch residence brings the fixed method and corporate income tax liability; outside Dutch residence, the symmetrical method follows the relevant foreign tax treatment. Those methods are not a shortcut around the prior comparability analysis. A standard US LLC should not simply be assigned the non-comparable route because its US federal classification is disregarded.
Ask the Dutch adviser to complete a short treatment note with four separate entries: the precise legal form and governing state law ; its Dutch comparator and the basis for it; the company’s residence analysis; and the owner’s treatment of the investment and payments. Attach the constitutional documents and proposed management arrangements. If the adviser needs a change to governance or ownership, make it before the instructions become final.
Then ask both advisers to trace the same proposed transactions: the initial contribution, a payment for the founder’s work, retained earnings, a distribution and an eventual sale. Identify who is recognised as earning the income in each system, when it is recognised, and where relief or withholding needs review. Do not approve an LLC on the assumption that US transparency also applies in the Netherlands. Different entity classifications can affect the availability and timing of relief; a treaty reference alone is not an approval.
A Dutch BV owning the US entity needs its own corporate tax and intercompany review. An individual owner needs a personal tax review. Neither can reuse the other’s conclusion. Where the proposed legal form, residence or cash-flow treatment remains uncertain, the register stays on hold even if a state portal would accept the application.
Locate management and the first year of work
Map where decisions and activities will actually occur before choosing a formation state. A Dutch address for the founder, a US registered agent and US customers describe different facts. The Belastingdienst considers the location of management, the head office and shareholder meetings when assessing where a company is established for corporate income tax . Incorporation in a US state does not settle that assessment. Record who negotiates and approves contracts, where managers work, and where records are maintained; review dual-residence and treaty questions when the facts require it.
| Trigger in the operating plan | Review to commission | Responsible person and evidence |
|---|---|---|
| US office, employee or inventory | Operating-state foreign qualification, tax accounts, payroll and local permissions; analyse each requirement separately | Founder supplies locations and start dates; relevant state advisers record the conclusions. |
| Online sales or US customers without premises | State tax nexus and federal tax analysis based on the business model; sales alone do not establish every registration test | Tax adviser reviews sales channels, transaction flows and fulfilment facts. |
| Company has an establishment in the Netherlands | Dutch Business Register registration and related Dutch obligations | Dutch adviser and authorised director assess establishment facts and KVK evidence. |
| US company is active only in the Netherlands | Additional formally foreign company requirements | Dutch adviser checks the non-EEA and activity conditions before approval. |
The SBA registration guidance distinguishes formation from registration in other states where the business operates. Review that footprint first; an inexpensive formation state can add a second registered agent and another annual obligation if the company must qualify elsewhere. For a business without a settled US footprint, state choice remains a decision to document, not a default recommendation.
On the Dutch side, KVK requires foreign companies with a Dutch establishment to register . KVK also describes extra requirements where a company is incorporated outside the EEA and is only active in the Netherlands, including additional records and annual financial statements. If that trigger fits, obtain the Dutch registration plan rather than assuming US incorporation removes Dutch administration. US federal business-income exposure likewise follows the underlying US trade or business and income facts ; remote ownership does not establish a universal tax exemption.
Resolve the location conflicts
Use the management map, Dutch establishment facts and planned US activities to identify the reviews still blocking registration.
Release the filing only when the evidence agrees
Once the owners approve the entity, governance and state, freeze a single instruction sheet with the legal name, owner, agent, addresses, authorised signer and tax contact. The basic US company registration process culminates in a state accepting the formation document; the following milestones show what must be evidenced beyond that acceptance. Keep each record under the same company name.
- Submit the selected state filing. Use the Secretary of State or equivalent official portal and the correct domestic formation document. An existing Dutch company qualifying to do business needs the foreign-entity route instead. For a concrete example after state selection, Wyoming’s Business Center instructions require a name search and list online filing conditions. Names beginning with “A” require paper review. Its LLC Articles of Organization identify the agent, addresses and organiser, with registered-agent consent. Review the preview, sign as authorised, pay the applicable fee and retain the submission reference.
- Verify state acceptance. The founder or filing contact checks the official record and downloads the accepted document and receipt. A payment confirmation is not the approval record. Resolve a rejection or information request against the original instruction sheet before resubmitting; change ownership or tax assumptions only with renewed approval. Complete the operating agreement or corporate governance and ownership records as applicable.
- Obtain the EIN through the eligible route. The tax contact prepares Form SS-4 using the accepted legal name, addresses and responsible party. International applicants who lack the US residence or business/office connections required for online eligibility must use the applicable telephone, fax or mail route. Do not invent a US principal office to obtain online access. The SS-4 instructions govern the route and responsible-party details. Retain the assignment evidence; avoid duplicate applications while awaiting a response.
- Close the operating conditions separately. The assigned advisers confirm triggered foreign qualifications, tax registrations, payroll and licences before the relevant activity begins. Record a filing acceptance, effective account or licence where required; a note that a requirement is inapplicable must identify the reviewed facts. Company formation does not grant immigration or work permission.
- Test the payment route. Request the bank or payment provider’s current eligibility and evidence list for the exact owners, business and countries. Supply formation, EIN, ownership, identity, address and business evidence as requested. Their approval and any further questions remain separate from government registration; the founder should have a workable funding plan until access is confirmed.
Use three status fields in the register: “entity formed”, “operating requirements cleared” and “banking available”. One accepted filing does not release every planned activity. When a provider requests a different address, owner description or business narrative, resolve the underlying discrepancy and update the other records where necessary. Do not submit inconsistent versions to different recipients.
Budget for the company after the filing receipt
Approve a first-year budget and a recurring-year budget separately. For the Wyoming LLC example only, the state filing fee is USD 100; online card processing adds 2.4%, producing USD 102.40 for that filing payment. The official fee instructions were checked on November 2, 2026. This is not a company setup quotation and does not include an agent, address, professional work or tax.
| Budget line | Amount or approval requirement | Boundary |
|---|---|---|
| Wyoming LLC formation payment | USD 100 government filing fee; USD 102.40 with stated online processing charge | One formation filing only; paper filing and extras must use their applicable instructions. |
| Wyoming annual report/licence tax | Greater of USD 60 or 0.0002 of Wyoming assets under the official annual-report rule | Recurring state obligation; online charges separate. |
| EIN | No IRS application fee | Preparation assistance, fax or delivery costs are separate. |
| Agent, address and professional work | Obtain scoped first-year and renewal quotes | Specify who prepares accounts, Dutch returns, US returns and information forms. |
| Operating-state and business obligations | Add only after the footprint review | Qualification, licences, payroll, sales taxes and other taxes are not included in the formation payment. |
Wyoming’s annual-report guidance generally places the deadline on the first day of the anniversary month. Put that date, the agent renewal and all adviser-confirmed filing dates into the calendar when the company is formed. Keep tax payments separate from tax preparation charges and capital contributions separate from expenses. A bank opening deposit is company funding, not a government registration fee.
Set the tax engagement before moving money. A foreign-owned US disregarded entity with reportable related-party transactions can need Form 5472 with a pro forma Form 1120; qualifying foreign-owned corporations also have information-reporting rules. Formation funding or owner transactions can matter even without customer revenue. Have the preparer determine the forms, deadlines and extension route under the Form 5472 instructions . A dormant trading plan is not a reason to omit that assessment. Under the current FinCEN BOI rule , US-created entities are exempt from BOI reporting; an existing Dutch entity registered in a US state requires a separate foreign reporting company assessment. Neither outcome removes bank identification or IRS requirements.
There is no reliable Netherlands-to-operational-company deadline before these gates are resolved. Wyoming’s paper LLC form states processing can take up to 15 business days after receipt and offers no expedited filing. IRS SS-4 processing guidance generally indicates four business days for fax; mail guidance says to apply four to five weeks before the EIN is needed. These are agency-specific planning indications, not an end-to-end commitment. Dutch advice, corrections, licences and third-party onboarding can control the launch date. Tie a customer start date to the last required clearance, not to the day the organiser submits the state form.
Authorise US registration from a signed decision record
Give the filing contact an approved instruction only after the proposed owner, actual legal form, Dutch treatment and operating footprint agree. Where those conclusions support formation, proceed with the selected state route and retain the acceptance evidence. Where an existing Dutch business is the owner or the entity seeking US registration, commission the corresponding corporate or foreign-qualification analysis before using the personal-founder path.
Make the founder’s final approval specific: authorise formation now, identify any activity still awaiting clearance, name the person responsible and record the evidence that will release it. Reopen the decision when ownership, management location, staffing, inventory or the funding plan changes. A checklist is useful when it controls the next instruction—and remains attached to the company’s actual facts.
Turn the decisions into filing instructions
Bring the completed approval register, ownership chart and unresolved conditions to a registration planning discussion.
Frequently asked questions
Can I use my Dutch home address in every US application?
Use each recipient’s actual address rules. A residential, mailing, principal-business and registered-agent address serve different purposes. Confirm the permitted entry for each field and keep the records consistent with the real arrangements.
Does a US customer mean I must incorporate in the United States?
Ask what the customer actually requires and compare it with your existing ability to contract. A preference for a US supplier does not, by itself, resolve the entity, tax or operating-state decision.
Should a cofounder be added after registration?
An expected ownership change belongs in the pre-filing review. Adding a member or shareholder can change governance, US classification or reporting and the Dutch analysis; obtain revised instructions rather than treating it as an administrative name change.
Must I obtain apostilles for all Dutch documents?
Check the receiving authority or institution’s instructions before ordering certification, translation or legalisation. A state formation filing, a foreign-qualification application and a bank review can require different evidence.
What if the business plan changes before the EIN arrives?
Identify whether the accepted entity details, responsible party, addresses or intended tax treatment have changed. Ask the filing and tax contacts which records require correction; do not solve an unresolved application by applying for another EIN.
