Singapore Business Registration: Eligibility, Structure and Submission

Choose the legal operator, establish the filing authority and verify the registration result.

Singapore business registration requires a structure decision and an eligibility decision before a Bizfile submission. Identify who will own and operate the business, choose the appropriate legal form, confirm the applicant and required local roles, and then prepare the information for that specific form. A login or reserved name does not settle those decisions.

ACRA registration is generally required for regular profit-making activity unless an exemption applies. The route differs for a sole proprietorship, partnership, LLP, LP or company. For an overseas founder, check the CSP and pass conditions early; a registered entity does not automatically confer work permission, banking access or an industry licence.

Key takeaways

  • Online and home-based activity can require registration; the name exemption is narrow.
  • Legal personality and liability differ materially across the local structures.
  • The eligible filer and local appointment depend on the selected legal form.
  • Use the structure’s own information and endorsement process in Bizfile.
  • Approval, records handover and permission to start a particular activity are separate outcomes.

Determine whether and what you must register

ACRA generally requires registration where an activity for profit is carried on regularly, unless an exemption applies. Online selling and a home-based business are not automatically exempt. The authority’s business-registration eligibility guidance also explains the narrow exemption for operating only under an individual’s full NRIC name or the full names of all partners.

Determine the intended legal operator before choosing a portal form. Ask who will sign contracts, own stock or intellectual property, employ workers and receive revenue. A brand name is not necessarily the contracting party, and reserving it does not create a legal entity. If several people will own the business, record that fact before one person registers as sole owner.

Distinguish a new local business from a foreign enterprise establishing a presence. A local subsidiary, foreign-company branch and representative office have different legal and activity boundaries. The local structures compared below should not be used as interchangeable labels for those foreign-presence routes.

Prepare a short activity description, owner list and proposed location. Then identify any regulated activity, premises approval or work-permission issue that could make the intended model unusable. Registration is one legal step, not a universal licence to operate. A home address or selected business classification does not settle permission for every activity.

The main local choices differ in who owns the business, whether it has separate legal personality and who bears its debts. ACRA’s business-structure comparison sets out those distinctions. Use them before comparing small differences in registration charges.

Structure Legal and liability boundary Ownership or management fit
Sole proprietorship No separate legal entity; owner has unlimited liability One owner deliberately accepts the exposure
General partnership No separate legal entity; partners have unlimited liability Partners accept shared business exposure
Limited partnership (LP) No separate legal entity; general and limited partners have different exposure At least one general and one limited partner; review management restrictions
Limited liability partnership (LLP) Separate legal entity; own wrongful acts still create personal exposure Partner-based ownership and management
Company limited by shares Separate legal entity; shareholder liability is generally limited Shares, directors and a corporate governance framework

A general partnership is not converted into an LP simply by calling one owner a “silent partner”. An LLP is not a private company with different initials. The registration type, governing rules and records must support the intended relationship. If future investment depends on issuing shares, examine a company rather than assuming a partnership can issue equivalent equity.

For the share-based route, registering a company in Singapore creates an entity distinct from shareholders and directors. Keep that distinction in contracts and funding records. Limited shareholder liability does not remove a director’s own duties or every exposure under guarantees and personal conduct.

For a working-partner model, choosing between an LLP and a company should include governance and eventual ownership changes. The cheapest form today can be costly to replace if contracts, licences, staff or investor rights must later move to another legal entity.

Which structure supports the intended owners?

Test liability, share funding and management needs before reserving a name for the wrong entity type.

Check the applicant, local role and filing authority

Registration eligibility and the right to submit are separate checks. An individual applicant’s age, residency or pass conditions matter, while each eService specifies who may file in the proposed business role. A Singpass login is an authentication tool; it is not evidence that every appointment or filing is permitted.

ACRA’s general foreigner guidance directs foreigners to engage a Corporate Service Provider (CSP) for name reservation and registration, and to check pass conditions where relevant. The detailed structure guides also set out proposed-role requirements for personal filing. Confirm the applicable route for the actual applicant rather than using access credentials as a shortcut around eligibility.

Local appointments depend on the form. Where sole-proprietorship or partnership owners are all overseas, the structure-specific filing guide requires a locally resident authorised representative. An LLP needs the applicable partner and resident-manager arrangements. A company needs an eligible resident director, with secretary appointment and other corporate requirements assessed separately.

Identify the person or provider making the name reservation and registration. For eligible direct applications, the name reserver must hold the role specified by the relevant guide. The LLP registration process , for example, identifies a proposed partner or manager. A friend cannot assume filing authority merely because they can access Bizfile.

If the founder will work in Singapore, resolve the required permission as its own task. Holding ownership, being recorded in an entity role and performing local work are distinct facts. Do not rely on a local representative or director arrangement to grant the overseas founder a work right.

Choose the legal model before the filing route The decision starts with whether the business needs share-based ownership, partner-based separate personality or acceptance of personal exposure. The chosen model then determines roles and registration information. Need share-based ownership and corporate governance? Yes Assess company No Assess owner roles Separate personality: consider LLP Personal exposure: SP / LP / GP Confirm roles, evidence and submission
SP means sole proprietorship; GP means general partnership. Check each form’s full conditions.

Prepare the information for the selected structure

Reserve the business name for the same entity type you will register. Keep its approved reference and the final activity instruction together. A later change of structure is not merely a spelling correction: it can affect who owns assets, signs contracts and accepts liability.

For a sole proprietorship or partnership, prepare the commencement date, business email and address, owner or partner particulars, applicable representative and any relevant nominee or trustee information. The business registration information list should be followed for that structure. Company capital and a company constitution are not interchangeable substitutes for these inputs.

For an LLP, prepare partner and manager particulars, registered office, contact information and the relevant controller assessment. Keep a partnership governance arrangement alongside the registration data so the owners understand decision-making and exit. The LLP filing sequence includes controller information before final review and payment.

For a local company, prepare officers, shareholders, share classes and allocations, capital, financial year end, constitution and the relevant nominee/controller information. Use the local-company Bizfile procedure rather than adapting a sole-proprietor checklist. The required local director and corporate records are part of the chosen form.

Across all routes, reconcile legal names, identifiers and addresses before submission. Ask each owner or officer to approve the information concerning them. Keep the authority for a corporate participant separate from its incorporation evidence: proof that a company exists does not prove a particular individual may instruct this registration.

Submit, pay and follow the actual registration outcome

  1. Open the relevant Register new business entity service in Bizfile using the eligible filing route.
  2. Retrieve or enter the approved name reference and confirm the intended entity type.
  3. Enter the structure-specific business, owner and officer information, with the required supporting decisions or documents.
  4. Review declarations and obtain endorsements where the selected route requires them.
  5. Pay the applicable charge and save the transaction and receipt details.
  6. Monitor the Bizfile inbox, respond to queries and retain the approved registration outcome and UEN.

An acknowledgement is not the same as approval. A payment receipt proves payment, while the final notice establishes the registration result. Keep the official outcome with the approved instruction and compare the resulting particulars. If there is a mismatch, use the proper correction process instead of altering the internal source record to match the error.

The current sole-proprietorship/partnership and company guides say most registrations are approved soon after payment, complex cases can take up to 15 working days, and referred matters take 14–60 days. These conditional figures do not include preparing foreign records, obtaining signatures or completing later bank and licensing work.

Budget the government transaction accurately. One-year sole-proprietorship or partnership setup is S$15 for the name plus S$100 registration, S$115 combined; the three-year registration option has separate eligibility conditions. The LLP fee schedule and LP fee schedule each list S$15 for the name and S$100 for registration. A company’s name and registration charges total S$315 under the company fee schedule . Checked November 4, 2026.

These are specified ACRA setup charges, not complete operating budgets or HSJGlobal quotations. Professional work, premises, licences and ongoing compliance depend on the chosen form and activity. Do not apply a private-company service package to an LLP or partnership without a separately defined scope.

Is the filing route ready for submission?

Match the applicant, chosen structure, approved name and information set before payment.

Separate registration completion from operating readiness

After approval, download the available official records and establish who will maintain them. For companies, ACRA’s post-registration guide identifies appointments, registers and relevant licences. Other forms have their own continuing requirements, including renewal or declaration obligations; do not copy a company Annual Return calendar onto every registered business.

Set up bookkeeping and the applicable tax workflow for the actual legal operator. A partnership’s reporting and the partners’ tax treatment differ from a company’s corporate obligations. If GST, hiring or cross-border goods are relevant, assign those assessments independently. The UEN identifies the entity; it does not prove that each separate registration or approval is complete.

Check the premises and activity against the relevant licensing authority before launch. Arrange the bank account under the correct legal name and ownership record. If the business changes structure later, review contracts, staff, assets, tax, licences and account arrangements instead of assuming they migrate with the trading name.

Calendar the continuing obligation from the entity’s actual record, with its responsible owner and submission channel. Track a registration expiry separately from an annual filing or declaration deadline. A renewal reminder cannot substitute for a different statutory return, and a provider engagement should state which of those tasks it covers.

Maintain a short registration-to-operation handover : official entity outcome, records custodian, licence owner, tax contact, banking contact and first continuing deadline. An unassigned item is a practical launch gap even when the registration portal shows success.

Register the structure that can carry the intended business

Select the legal operator from liability, ownership, management and investment needs; confirm applicant and local-role eligibility; then submit through the structure’s actual Bizfile route. Reserve a name only after that choice is sufficiently settled. The result should be an official record that matches the owners’ agreed business model.

Hold the filing where the intended owners cannot be represented accurately, local-role eligibility is unresolved or the business depends on an unconfirmed permission. A low filing charge cannot compensate for the wrong liability structure. Close the registration task with the official outcome, then complete the operating approvals and responsibilities that the activity requires.

Frequently asked questions

Can a business name be reserved before choosing the structure?

The name reservation records an entity type, so settle the intended form first. Do not assume that a name reference for one structure can simply be used to register another.

Is an LLP a company with a different name?

No. An LLP has partners and managers under its own framework. A company has shareholders, directors and corporate governance requirements. Their filing and continuing obligations differ.

Does a local contact automatically qualify as the required representative?

No. Check the structure-specific eligibility and appoint the person properly. Being available to receive email or owning a Singpass account is not the same as satisfying the legal role.

Can the business start every activity once the UEN arrives?

No. Check the proposed activity, premises and people against relevant licensing, employment, tax and banking requirements. The UEN is registration evidence, not proof of every operating approval.
