US Company Setup for Founders in Ireland: Entity and State Choices

Match the legal owner, financing destination and real operating footprint before committing to a US structure.

For an Ireland-based founder, choosing a US entity starts with identifying who will own it: you personally, several founders, or an existing Irish company. Test that ownership against the investment plan and Irish tax treatment before choosing a state. A corporation may fit a specified share-financing plan; an LLC needs a separate Irish classification review. Neither choice is complete until the actual US operating footprint has been checked.

Prepare one written brief covering ownership, decision-making, staff, premises and the expected flow of profits. Use it to compare a new subsidiary with continuing through the Irish business. A low filing fee cannot resolve an ownership mismatch, Irish management exposure or another state’s registration requirements.

Key takeaways

  • Record the legal shareholder or member, not just the founder’s location; personal ownership and Irish-company ownership create different reporting questions.
  • Obtain an Irish classification analysis using the proposed governing documents; the US default tax treatment is only one side of the decision.
  • Investor requirements can justify a particular corporation and state, but ask which company must issue the shares before building a subsidiary.
  • Recurring state charges differ: a Delaware LLC owes USD 300 annually, while Wyoming’s annual licence tax has a USD 60 minimum; neither is a complete operating budget.
  • Revisit the structure before hiring, moving management, adding an owner or transferring intellectual property, rather than waiting for the first tax return.

Write the ownership brief before selecting an entity

Start with the commercial reason for a US company. A customer may require a US contracting party, a distributor may need a local counterparty, or an investor may specify an issuer. Ask for that requirement in writing. A preference for paying in dollars or displaying a US mailing address does not, by itself, establish that a new legal person is needed.

Resolve the owner before you sign the state filing. If an Irish limited company already owns the product and customer contracts, personally owning a new US business creates a separate ownership chain. Decide which company will earn revenue, employ people, hold intellectual property and receive investment. Do not describe the US company as a subsidiary unless another company will actually own it.

  • Name every proposed legal owner and percentage, including the Irish company’s exact registered name where applicable. Separately record the individuals who ultimately control the owners.
  • Identify the intended investment destination: shares in a US parent, shares in a US operating subsidiary, or continued ownership of the Irish company. Specify any investor requirement for a state or corporate form.
  • Map contracts, intellectual property and funding. Mark what already belongs to the Irish business and what would require a documented transfer, licence, loan or service arrangement.
  • List who will make strategic decisions and where they will actually make them. Add the first planned US hire, office or inventory location, even if it is only a proposal.

The output is a decision brief, not an incorporation pack. For example, “Irish parent owns the US sales company; product development remains in Ireland; investor subscribes into the Irish parent” is a materially different instruction from “founders subscribe directly into a US parent.” Treat unresolved ownership as a reason to pause the filing, not as an address field to complete later.

Settle the ownership instruction first

Bring the proposed owners, investment destination and existing Irish business structure so the formation brief starts with the right legal person.

Clear the Irish classification and management tests

An LLC’s US tax classification does not establish its Irish treatment. Revenue’s April 2026 foreign-entity classification manual uses a two-stage analysis: establish the entity’s legal characteristics under foreign law, then assess them under the relevant Irish tax provision. No single feature decides the result. The constitutional documents and applicable state law matter.

The same manual explains section 1009A : a foreign body corporate substantially similar to an Irish partnership is taxed, with its members, in the manner of a partnership and its partners. Separate legal personality therefore does not finish the analysis. Equally, the provision is not a blanket declaration that US LLCs are transparent in Ireland.

Ask the Irish adviser for a written conclusion tied to the actual LLC agreement, ownership and intended transactions. It should address entitlement to profits, ownership of assets, responsibility for debts and the relevant Irish charging or relief provision. US disregarded status alone is not an adequate instruction for the Irish return. If the two countries identify different taxpayers or different income, require a specific relief analysis before funding the structure.

Management follows the decisions

Revenue states that a foreign-incorporated company centrally managed and controlled in Ireland is Irish tax resident. Its company residence guidance looks at the highest level of control, including policy, investment decisions, major contracts, head-office location and directors’ residence. A US agent or mailbox does not move those decisions. Record the real decision-making arrangements; appointing a nominal director does not establish where control is exercised.

Classification and residence are different questions. A corporate structure run from Ireland needs its residence position assessed even if all customers are American. Ask how the proposed board will actually approve budgets, financing and contracts, and whether the people with that authority will be working in Ireland.

Treaty relief needs a claimant and a provision

The Ireland–US income tax convention contains residence, permanent-establishment, limitation-on-benefits and double-tax-relief provisions. It is not a general exemption for Ireland-based founders. Article 4 provides a competent-authority process for dual-resident persons other than individuals; do not assume incorporation automatically resolves dual residence. Identify the claimant, income, applicable article and relief conditions before putting a reduced tax assumption into the business plan.

Keep these findings alongside the ownership brief: one conclusion on Irish classification, one on actual management, and one on any relief being relied upon. The entity comparison becomes useful only when those conclusions can be applied to the same proposed business.

Three decisions that must agree before filing The actual owner feeds the entity decision. Irish classification and management review and the US operating map must both support that decision before a formation state is selected. Actual owner Individual, founders or Irish company Commercial route Issuer, subsidiary or existing business Ireland review Classification and real management US operating map People, premises and activity Select entity and formation state Resolve conflicts before filing
Use the same ownership and business facts in both countries; an unresolved result on either side sends the choice back for review.

Use four routes to test the commercial plan

Choose the route that meets the stated business requirement with obligations the owner can sustain. The comparisons below are planning tests, not recommendations based solely on Irish residence. A change in who receives investment can change the answer even when the product and customers stay the same.

Route to test When it belongs on the shortlist Consequence to resolve before choosing
Continue through the Irish business No investor or counterparty requires a new US legal person. Keep the Irish company as the contracting party; assess US registration and tax exposure from its actual activities. A US registration does not create a separate subsidiary.
Founder-owned US LLC The founder will personally own the venture and does not need corporate share financing. Test Irish classification and personal tax treatment; do not put an Irish company’s assets or revenue into the founder’s company without documenting the arrangement.
Irish-company-owned US LLC The Irish company should remain the owner of a distinct US operation. For a default single-member LLC, analyse the Irish corporate owner’s US position; identify intercompany funding, services and reporting before transactions begin.
US corporation owned by founders or an Irish parent The financing or governance plan calls for a share issuer or corporate subsidiary. Decide which entity issues the investment shares; model corporate profit tax, distributions and Irish treatment rather than assuming cash can pass to owners tax-free.

For US federal income tax, a domestic single-member LLC is normally disregarded unless it elects corporate treatment; a domestic LLC with at least two members normally defaults to partnership treatment. The IRS LLC classification rules explain the Form 8832 election. Those are federal tax classifications, not changes to the underlying state-law entity. A second member can therefore alter the federal analysis without turning the LLC into a corporation.

Where the owner is an Irish company, default disregarded treatment means analysing US income-tax exposure at that corporate owner. The IRS Form 1120-F instructions generally require a foreign corporation engaged in a US trade or business to file even where treaty relief exempts the income, subject to the stated exceptions. They also address protective returns where limited activities or treaty protection are relied upon. Have the adviser assess that return and any treaty disclosure; forming an LLC does not settle the parent’s filing position.

A C corporation is a separate federal taxpayer, and distributions can produce shareholder-level taxation as well as company-level taxation, as the IRS corporation guidance explains. If an investor requires preferred shares or an employee equity plan, obtain counsel’s proposed capital structure and cost before choosing. An LLC electing corporate taxation does not, by that election alone, become the share corporation an investor requested.

An S election is not a default alternative for an overseas founder. The IRS S corporation eligibility rules exclude nonresident alien shareholders and corporate shareholders, among other restrictions. “Living in Ireland” does not establish someone’s US tax status: record US citizenship or residence separately before assessing eligibility.

For an existing Irish business, ask the investor whether investment must enter the US operating subsidiary or a future US parent. A later parent-company reorganisation can require a separate tax, shareholder-consent and intellectual-property review. Do not choose an interim entity on the assumption that a future conversion or ownership transfer will be costless.

Make the operating map choose the state shortlist

Start the state analysis with where the company will operate. The SBA registration guidance distinguishes formation from foreign qualification in other states where business activities occur. A company formed in Delaware or Wyoming can still need registration elsewhere, with continuing obligations in more than one state. Here “foreign” can mean formed in another US state, not just outside America.

Complete the following operating map for the next twelve months. It is an issue-spotting worksheet: an activity flags a state-specific enquiry, not an automatic legal conclusion that every registration or tax is due. Use the actual entity and business model when asking the state registry, tax authority or local licensing office.

Operational fact State or location to record Question to resolve
US employee, founder work or regular sales representative Where the person actually works; authority to sign contracts. Does the activity require foreign qualification, employer accounts or a federal trade-or-business review?
Office, leased space or stored inventory Each premises and fulfilment location, including third-party warehouses. Which entity registrations, tax accounts and local permissions arise from those facts?
Remote customers or online sales Customer states, transaction type and sales volumes. Which sales-tax or other tax thresholds apply separately from company-law registration?
No planned US staff or premises Document where work, control and delivery actually occur. Is a separate US company commercially necessary, and what later activity will trigger a fresh review?

If one state will contain the real office and team, compare forming there with forming elsewhere and qualifying there. Price both complete routes. If an investor has a documented requirement for a Delaware corporation, Delaware belongs on the shortlist for that reason; add the operating-state registration work rather than treating the investor’s preference as an exemption.

For an LLC without a fixed US operating base or investor state requirement, Delaware and Wyoming can be comparison examples. Neither is a universal winner. Weight recurring charges, governing-law advice and expected operations before the initial fee. Formation state and operating state answer different questions; the cheapest formation location may add a second compliance calendar.

The registered agent receives official and legal papers in its state. It is not proof that the business operates there or that Irish management moved. Separate agent, mailing, principal-office and bank-address requirements in the brief. A bank must assess its own evidence; an agent’s address cannot promise acceptance.

The broader European structure planning before a US filing can help organise the US questions, but Irish classification and residence still require the Irish analysis above. For federal exposure, the IRS effectively connected income guidance makes actual business activities relevant; neither state selection nor foreign ownership alone establishes a zero-tax result.

Resolve the state footprint before filing

Bring the planned working locations, premises and customer activity so registration, tax and licence questions can be assigned to the relevant states.

Budget the recurring structure, not just the filing

Compare an annual maintenance commitment before comparing a formation invoice. The amounts below were checked on November 2, 2026 and are narrow government-charge benchmarks in USD. They are not provider quotes, comprehensive tax estimates or a promise that either state is appropriate.

State and entity Verified government benchmark What the number leaves out
Wyoming LLC Initial filing USD 100; annual licence tax is the greater of USD 60 or 0.0002 × assets located and employed in Wyoming. Online processing charges, agent, professional work, other-state obligations and activity-based taxes.
Delaware LLC USD 300 annual state tax; no annual report requirement. Formation fee, agent, professional work, other-state obligations and other taxes.
Delaware corporation A separate franchise-tax and annual-report regime; do not apply the LLC’s USD 300 figure. Obtain a calculation for the proposed shares and assets, plus the applicable report and formation charges.

The Wyoming registration instructions , Wyoming annual-report FAQ and Delaware tax FAQ support these limited comparisons. Wyoming reports are generally due on the first day of the anniversary month. Assign the deadline when the entity is formed; inactivity is not a maintenance plan.

Add accounting, Irish and US tax preparation, registered agents in the necessary states, permits, payroll, sales-tax administration and intercompany documentation where applicable. Ask separately for government fees, professional fees, taxes and optional services. Capital contributions and a bank’s opening deposit are funding needs, not incorporation charges. Record any sales tax on professional invoices separately rather than assuming it is included.

Foreign ownership adds a reporting question even before sales. A foreign-owned US disregarded entity can need Form 5472 with a pro forma Form 1120 for reportable related-party transactions, including relevant formation funding or distributions. A 25% foreign-owned corporation can also have Form 5472 obligations for reportable related-party transactions. Use the IRS Form 5472 instructions to assign the correct filer and records before money moves.

Under the current FinCEN BOI rules , US-created entities are exempt from BOI reporting. An Irish-law entity registered to do business in the US requires a separate foreign-reporting-company assessment. Neither point removes IRS reporting or bank ownership checks. The route with fewer state forms is not necessarily the route with fewer cross-border obligations.

Build timing around separate milestones: agreed structure, accepted state filing, issued EIN, any foreign qualification, tax and licence registrations, and bank approval. IRS EIN issuance is free; an applicant with a foreign principal place of business must use the applicable international route in the SS-4 instructions . State processing or paid acceleration of one document does not set the total launch date. Allow for tax review and third-party questions without inventing a universal turnaround.

Reopen the choice when the underlying facts change

Treat the selected route as a conclusion tied to recorded facts. Recheck it before a material change takes effect. These are review triggers, not claims that every change requires a new entity or immediate restructuring.

New fact Why the initial choice may fail Action before committing
Investor wants shares in a US parent An Irish-parent-owned sales subsidiary may be the wrong investment destination. Obtain the proposed investment diagram and review ownership, assets and reorganisation consequences together.
A second LLC member joins The federal default classification can change, and profit rights may differ. Review the revised agreement and both countries’ treatment before admission or funding.
First US employee, office or warehouse The original “no operating base” state analysis no longer reflects the business. Recheck qualification, tax accounts, payroll and licences for the new location.
Strategic decisions move to Ireland The assumed management location may no longer support the residence analysis. Reassess actual authority and decision evidence with the Irish tax adviser.
Irish-owned product or contracts move to the US entity The choice now includes a transfer or related-party arrangement, not just incorporation. Have advisers assess ownership, valuation, tax and contractual consent before moving the asset.

If a mismatch is found after filing, stop adding transactions that depend on the untested assumption. Preserve existing records, commission a coordinated Irish–US review and compare amendment, election, qualification or restructuring options. Do not dissolve or transfer the business reflexively: the remedy can create its own obligations.

Once the structure is settled, translate the decision into US company formation requirements : the selected state-law entity, legal owner, governing arrangements and filing instructions must agree. Acceptance of the formation document proves that stage; tax registration, permission to operate and a usable bank account each need their own evidence.

Approve the US structure only when its owner and state agree

Escalate the decision before filing if the investment issuer is unsettled, Irish classification is unsupported, or strategic control and the assumed tax residence conflict. Adding a nominal US address does not repair those gaps. Obtain a shared written instruction that the founder, Irish adviser and US adviser can each recognise as the same proposed business.

A workable choice names the owner, explains why that entity meets the commercial requirement, identifies the formation and operating states, and assigns the recurring obligations. Keep the assumptions and reversal triggers with it. When a planned hire, investor or asset transfer changes those facts, update the decision before signing the next commitment.

Turn the agreed choice into filing instructions

With the ownership and tax questions resolved, assemble the entity, state and responsibility decisions into a consistent setup brief.

Frequently asked questions

Does being based in Ireland prove that I am a nonresident alien for US tax?

No. Establish US citizenship and tax-residence status separately. Location alone does not answer that question, and a US person may have additional reporting obligations that this non-US-owner planning comparison does not resolve.

Can the Irish company be the owner even if I organise the filing?

The organiser and the owner are different roles. Name the intended Irish company in the ownership and governing records rather than assuming that paying for the filing makes it the owner. Resolve authority to invest and sign before submission.

Should I move existing intellectual property into the new company immediately?

Make that a separate transaction decision. Identify the current legal owner, proposed rights, value, payment and required consents before execution. Forming an entity does not transfer a product, licence or customer contract to it.

What if an investor only says “we prefer Delaware”?

Ask whether the requirement concerns the share issuer, the operating subsidiary, the governing law or a future financing condition. A preference is too vague to justify a costly ownership reorganisation or an extra state registration.

Can I keep the company after deciding not to launch?

Assess the recurring filings, tax and formal exit requirements before leaving it dormant. Request a closure plan for the chosen entity and every state where it is registered, including outstanding returns and account closures.
