FRANCE TO U.S. LLC

US LLC Formation from France: Registration and Banking Preparation

Move from a consistent filing packet to verifiable banking evidence, with France-side tax questions assigned early.

For a founder working from France, a workable registration-to-banking sequence starts with the operating facts: who owns the LLC, where work happens, and what the business will do in the United States. Settle the France-side tax review, prepare the chosen state filing, obtain usable EIN evidence, and assemble the financial provider’s ownership, address and business records. Each recipient checks a different part of the file.

A state-approved LLC is an important milestone, but it does not establish bank eligibility or settle French tax treatment. Before paying for formation or an address service, identify the intended account provider and confirm that its current eligibility rules fit the business. The Wyoming filing example below illustrates execution; it is not a state recommendation for every founder in France.

Key takeaways

  • Separate the state filing packet from the private owner-verification packet; this reduces unnecessary disclosure and prevents missing evidence at the banking stage.
  • Use an address register with a purpose for each address. A registered agent’s office, an IRS mailing address and a bank’s operating address serve different checks.
  • Have a French adviser review the LLC before the first owner transfer; an IRS classification does not supply a French tax conclusion.
  • Close each stage with a retained document, not an application screenshot or a service provider’s “completed” message.
  • Build the transaction ledger from formation onward so owner funding, reimbursements and account opening remain traceable for reporting.

Route each document to the right recipient

Formation approval and banking approval are separate release points. The useful preparation question is therefore not simply which documents you have. It is which recipient needs each item, what it proves, and which later decision depends on it. Use the following handoff map as a working index rather than sending the same folder everywhere.

Recipient Prepare for that recipient Evidence that closes the handoff
State filing office Proposed LLC name; registered agent appointment; mailing and principal-office details; authorized organizer information. Use the selected state’s current form. Accepted filing and state-issued evidence, with the legal name and filing date checked.
IRS SS-4 data, responsible-party details, member count and agreed tax classification; a correspondence route that someone monitors. Assigned EIN and retained IRS evidence matching the LLC, with application records kept separately.
Account provider Accepted formation record; EIN evidence; owner and control-person identification; actual addresses; business description and funding explanation. Written account decision and any outstanding activation conditions recorded.
French tax adviser Draft operating agreement; ownership chart; activity and management locations; expected payments to and from the owner; proposed account authority. Written advice or a recorded list of unresolved tax and declaration questions before transactions begin.

This map combines the Wyoming formation form , IRS EIN instructions and Mercury’s document requirements . The French review column is a preparation recommendation, not a government-issued filing list. An individual owner and a French-company owner will need different ownership evidence; disclose the actual chain rather than simplifying it to fit an application.

Create one master identity sheet showing the exact LLC name, owner names, ownership percentages and contact details. Record each address’s purpose beside it. Reuse verified facts, while following each recipient’s own field instructions. Keep passports and private address evidence outside the public filing folder unless the filing office expressly requires them.

HSJGlobal’s U.S. company formation service page sets out the general formation service scope. For this handoff, request a written deliverables list identifying who submits the state filing, who handles IRS correspondence, and who supplies the final documents. Banking preparation should be described as assistance with evidence, with the provider retaining the account decision.

Check the filing inputs before paying

Bring your ownership details, operating locations and intended account provider so the formation packet can be scoped around the actual business.

Clear the France-side questions before filing

Living in France is a starting fact, not a complete tax profile. Give your adviser your tax residence, citizenships, any existing French business, the person who will sign contracts, and where services will actually be performed. A French citizen living elsewhere and a French tax resident managing the business from home should not be treated as the same file.

The French tax authority directs residents receiving foreign-source income to examine the relevant tax treaty to determine taxation, declarations and double-tax relief. Its guidance explains the role of Form 2047 when foreign income must be declared. That does not establish that every receipt from a U.S. LLC has the same French classification. Read the French guidance on foreign-source income with the adviser who will prepare the return.

Ask for answers to three specific questions: how France will characterize this LLC and its payments; whether the planned work and management in France create French business, payroll or social-security obligations; and what evidence is needed for any treaty position. Do not translate “disregarded entity” into a French tax result. If the adviser needs the operating agreement before answering, settle its terms before submission rather than commissioning a generic agreement afterwards.

Account authority needs a separate check. The French foreign-account declaration guidance covers relevant accounts opened, held, used or closed abroad and identifies Form 3916/3916-bis. Give the adviser the proposed account holder, beneficial ownership and signing powers. Ask whether an LLC account or a personal authority triggers a declaration in your circumstances; do not assume that calling it a business account resolves the question.

Evidence releases from France-side review to a usable account Four vertically arranged release points. Operating facts lead to the accepted state record, IRS EIN evidence, and a provider decision. Each release requires its own evidence. 1 Operating facts agreed France review, ownership, real addresses 2 State record accepted Filed LLC document and filing receipt 3 EIN evidence retained IRS-issued record matched to LLC 4 Account decision received Approval conditions and access checked
Use retained evidence to release the next stage. An accepted state filing cannot substitute for an IRS record or a financial provider’s decision.

Complete and verify the state registration

Choose the filing state using the real operating footprint. Record any U.S. premises, staff, inventory and regulated activities, then obtain state-specific advice on qualification, tax and licensing before treating the formation as operational clearance. The workflow here assumes a new ordinary Wyoming LLC after that choice has been made. Other states use their own forms, fees and acceptance rules.

The Wyoming registration instructions list an LLC filing fee of USD 100 and an online card-processing charge of 2.4%, with a USD 1 minimum. On that published basis, the filing and card charge total USD 102.40. This is a state-portal calculation checked November 2, 2026, not a complete formation budget. Keep registered agent service, address service, professional work, annual obligations, tax and banking costs on separate lines; confirm the checkout amount before payment.

  1. Search the proposed name through the official portal and review the state naming requirements. Wyoming currently routes names beginning with “A” to paper filing for manual review, so check that exception before planning an entirely online submission. Check the current online-filing conditions .
  2. Confirm the registered agent’s appointment and address. The Articles of Organization and agent-consent form distinguish the agent’s physical Wyoming address from the LLC’s mailing and principal-office addresses. Prepare the organizer’s signature and the required contact email; do not substitute an agent address for another field without checking its purpose.
  3. Review every field against the agreed identity sheet before signing. Confirm that the organizer is authorized, then submit through the official state route and pay only after the final review. Keep a local copy of what was submitted and the payment record.
  4. Retrieve the accepted filing, certificate and receipt. Wyoming’s company-creation guidance says these are downloadable after online payment. For paper submissions, monitor the contact email and retain the returned records. Inspect the documents themselves before marking the stage closed.

The same state guidance says filed information is public. Treat the public submission as a deliberate disclosure: enter required facts accurately, and avoid appending a passport, private financial statement or other unrelated attachment. If a form is incomplete or a name is rejected, use the agency’s stated correction process. Preserve the notice and corrected submission together so a later reviewer can understand the filing history.

After acceptance, compare the legal name, filing identifier, date and addresses with the master sheet. A receipt alone proves payment, not that every intended detail was accepted. Add the signed operating agreement and an internal ownership record to the private company folder, with clear authority for the person applying for the account. The separate document checklist for overseas U.S. founders can support that folder review without replacing the chosen state’s instructions.

Prepare the EIN handoff and retain the IRS result

U.S. federal classification should be agreed before completing SS-4. The IRS LLC guidance generally treats a domestic single-member LLC as disregarded for income-tax purposes and a domestic LLC with two or more members as a partnership, unless it elects corporate treatment. These are U.S. federal rules. They neither resolve French classification nor establish that the owner owes no tax.

Use the current SS-4 instructions to choose the application route. An applicant with no U.S. legal residence, principal place of business, or principal office or agency cannot use the online EIN application. The instructions provide international telephone, fax and mail routes. IRS EIN issuance is free; assistance fees pay for preparation or coordination. For line 7b, “foreign” or N/A applies only where the responsible party has no SSN or ITIN and is ineligible to obtain one.

Retain the signed application, submission evidence and correspondence in date order. Assign one person to monitor the response and reconcile it with the state record. Keep a pending-application label on that folder until the EIN is assigned; avoid describing a fax transmission receipt as an IRS approval. If the response is missing or inconsistent, investigate through the IRS route before making another application.

For banking, the important distinction is a returned IRS document . Mercury’s published document list identifies CP575, 147c and an IRS-returned SS-4, and also describes an IRS online-confirmation screenshot. A self-completed SS-4 is a different item. Ask the intended provider which evidence it accepts at the time of application; another provider may use different requirements.

Resolve an EIN evidence gap

If the state record is accepted but the IRS evidence is pending or inconsistent, assemble the existing records and correspondence before deciding what to correct.

Prepare banking evidence around the actual business

Screen provider eligibility before buying documents or an address. As one provider-specific example, Mercury’s eligibility guidance accepts applications from eligible U.S.-formed businesses with international founders. It requires existing or planned U.S. operations and a real U.S. or international principal business address; its listed exclusions include registered agent addresses, P.O. boxes and UPS Store addresses. A residential address can qualify under its rules. This is not an approval promise or a rule shared by every bank.

Explain the U.S. business purpose with concrete, consistent facts: products or services, customer locations, expected payment routes and the reason for a U.S. account. Prepare existing contracts, invoices or a business website where available. For a pre-revenue business, label forecasts and plans as prospective. Do not create customer transactions or describe a mail service as an operating office to make the application appear more established.

Mercury also asks for source-of-funds information, current owner residential addresses, individuals with at least 25% direct or indirect ownership, and a person with operating control. See its ownership and application requirements . If a French company owns the LLC, prepare a chart tracing ownership to natural persons and supporting records for the chain. Reconcile percentages and control authority before anyone starts the application.

Keep identification scans legible and current. Name differences caused by accents, multiple surnames or a changed family name should be explained with genuine supporting records rather than silently edited. Ask the provider whether it needs an English translation, certification or a particular type of address proof. There is no reason to commission every possible certification before knowing the recipient’s requirement. Mercury is a fintech company; its documents page identifies its banking partners. Evaluate the actual account terms and services alongside onboarding requirements.

Repair evidence gaps before resubmitting

A request for more information is useful only when it changes the next submission. Save the exact request, identify the fact under review, and answer it with the smallest coherent evidence set. The table below is an editorial preparation aid based on the published document and eligibility requirements above. These are possible gaps, not claims about actual client rejections or undisclosed provider scoring.

Gap in the file Why the handoff stalls Repair and release evidence
Formation receipt supplied without accepted record The reviewer cannot verify the company from a payment receipt alone. Retrieve the accepted state-filed document. Compare its name and filing details with the application before uploading.
EIN application supplied as EIN confirmation An application records a request; it may not establish the assigned number. Obtain the IRS evidence the provider currently accepts. Keep submission proof in a separate pending folder.
Mailing address presented as operating address The stated business location does not match the evidence or the provider’s address policy. State where operations actually occur. Supply requested proof and explain distinct mailing, agent and residential addresses.
Owner funding has no supporting trail The amount, sender or business purpose cannot be reconciled with the narrative. Retain the sending-account record, transfer confirmation and a dated contribution or loan record consistent with the accounting advice.

Maintain a correction log with the question, person responsible, document supplied and response date. A name correction on one record may require checking several other records, but it should never be “fixed” by altering an issued certificate or identification image. Obtain an authentic correction or provide a truthful explanation. If eligibility itself is the problem, ask whether the business facts fit a different provider; repeatedly uploading the same evidence will not change those facts.

Use realistic planning milestones instead of promising an account-opening date. State acceptance, EIN assignment, document retrieval and the provider’s review have separate dependencies. Book supplier payments only against an account that has actually been approved and activated for the required functions. Keep an alternative funding plan while a review remains open, particularly where a contract has a fixed payment deadline.

Connect the first transaction to the compliance file

Start the ledger with the first owner-funded payment , including a formation expense paid personally. Record the payer, recipient, currency, date, business purpose and whether the item is a contribution, loan, expense or reimbursement for the preparer to confirm. Keep original EUR records alongside USD records and document the exchange-rate method used by the accountant. An empty business bank account does not mean that no relevant company transactions occurred.

For a foreign-owned U.S. disregarded entity, the IRS Form 5472 instructions require attention to reportable related-party transactions, including relevant formation, contribution and distribution transactions. Where filing is required, Form 5472 accompanies a pro forma Form 1120. The instructions describe a USD 25,000 failure-to-file penalty and separate filing procedures for these entities. Assign responsibility for the filing assessment, due date and records now; this information return is distinct from determining income tax, withholding or state obligations.

FinCEN’s current BOI notice , checked November 2, 2026, states that U.S. companies are exempt under the final rule issued August 11 and effective August 14, 2026. A U.S.-created LLC owned from France should not be confused with an entity created under French law that registers in a U.S. state. The exemption does not remove bank ownership checks or IRS reporting.

Create a calendar with an owner and evidence folder for each obligation. Wyoming’s maintenance instructions set the annual report deadline at the first day of the formation-anniversary month. Add the preparer’s federal, state and French filing dates after the applicable classification and activities are reviewed. Recheck the calendar when ownership, operating location, staff or account authority changes; those are practical triggers for a fresh compliance review.

Release the LLC file to banking when the evidence agrees

Proceed when the accepted state record, ownership documents, EIN evidence and application narrative describe the same business, and the intended provider’s eligibility rules fit the real operating facts. Keep the France-side advice and reporting responsibilities alongside the file so that account opening does not become the point at which tax questions are first discovered.

Pause the handoff if an address has no defensible purpose, the ownership chain is incomplete, the IRS evidence is unresolved, or the French review could change the structure. Resolve that specific issue before submitting. The useful finished package is a consistent set of authentic records with a named person responsible for each next action.

Prepare the registration-to-bank handoff

Use the accepted filing, IRS evidence and unresolved provider questions to define the remaining document work and professional reviews.

Frequently asked questions

Does a French passport need an apostille for every application?

Follow the recipient’s specific request. A state formation filing and a financial provider’s identity check are different processes. Confirm the accepted identification, translation and certification format before paying for additional formalities.

Can I use a French home address in the banking application?

Some providers accept an international residential address as the principal business address when it is the real location and meets their requirements. Mercury’s published rules allow that category. Confirm the provider’s evidence requirements and distinguish the company address from each owner’s residential address.

Should a planned U.S. customer be described as an existing customer?

No. Present signed contracts, active relationships and forecasts in their correct categories. A truthful pre-revenue explanation is more useful than a claim that conflicts with invoices, the website or the funding history.

What if an agent files the LLC but will not deliver the records?

Request the accepted filing, certificate, receipt and agreed company documents against the written scope. Record what is missing. Verify the state record through the official channel and establish a correspondence route you control before proceeding with dependent applications.

Does an approved account complete the LLC’s setup?

It closes only the provider’s account decision and activation conditions. Keep the assigned tax, annual-report, licensing and French declaration work on the calendar. Confirm that the account supports the payment functions the business actually needs before relying on it.
