US LLC Formation from Ireland: Registration and Banking Preparation
Build the company record around the business, ownership and evidence an account provider will actually assess.
An Ireland-based founder can generally form a U.S. LLC, but a usable banking route requires more than a state certificate. Check the proposed provider against your actual residence, ownership, industry and U.S. business connection before paying for formation. Irish tax classification and management from Ireland can also change whether the LLC is suitable. The practical starting point is a truthful business-and-ownership profile that both your Irish adviser and the account provider can assess.
Key takeaways
- A U.S. customer connection can matter more to account eligibility than buying a U.S. mailing address; test the real commercial purpose first.
- Irish tax analysis must examine the LLC’s legal rights and actual management; the IRS classification does not settle either question.
- Keep the registered office, Irish working address and each owner’s residence distinct so the application describes the business accurately.
- The organizer, member, IRS responsible party and account controller can have different roles; record who actually owns and controls the LLC.
- Preserve evidence from the first contribution onward, because reporting work can begin before the first customer sale.
Check whether a U.S. account fits the actual business
Start with the transaction you need to make: collect U.S. customer payments, pay an American supplier, fund a U.S. team, or receive investment. Record the counterparties, countries, currencies and expected monthly activity. If the only objective is holding dollars, ask whether an account for the existing Irish business would solve the problem before adding a second entity and another compliance calendar.
Mercury provides one concrete policy example, rather than a universal banking standard. Its international-founder eligibility rules require a U.S.-registered business, existing or planned U.S. operations, and an acceptable principal business address. U.S. citizenship or residence is not required to apply. Ireland does not appear on its current prohibited-country list as checked on November 2, 2026; restrictions also concern where the business operates or does business. Every owner and relevant country exposure still needs review.
For a founder working entirely from Ireland, the commercial connection must be real . Mercury may seek additional U.S.-operations evidence where there is no U.S. workplace, U.S.-resident beneficial owner or owner with U.S. identification. Its operations-verification policy includes genuine customer or supplier contracts, sales records and certain investment or employment documents. Evidence must fit account activity; verification can continue after approval.
| Your actual position | Prepare before applying | Decision |
|---|---|---|
| Existing U.S. customer or supplier | An authentic contract or invoice, the counterparty’s location and the expected payment path. | Explain how the proposed LLC participates; do not re-label an Irish company’s contract as its own. |
| A planned U.S. launch with no transactions | A candid plan and whatever genuine supporting agreements already exist. | Ask what evidence the provider can accept at this stage; a plan is not a guaranteed substitute for a requested document. |
| No existing or intended U.S. activity | The real commercial explanation for wanting the account. | Reconsider this provider route before forming solely for access; never manufacture a customer or office. |
Mercury is a fintech company, with banking services supplied by partner banks, as its operations policy explains. Check the current account agreement and receiving-account details before relying on the product for a particular payment. A different bank or payment provider may impose different residence, travel, address, industry or transaction requirements.
Test the account purpose before filing
Bring the intended payment flows, owner residences and genuine U.S. connections so the registration plan can be assessed against the account route.
Resolve the Irish tax questions before signing the LLC agreement
An LLC is a state-law entity; U.S. federal tax treatment is a separate layer. A domestic single-member LLC is normally disregarded for federal income tax, while a domestic multi-member LLC normally has partnership treatment unless a corporate election applies. These IRS classification rules do not dictate Ireland’s result.
Revenue’s April 2026 foreign-entity classification manual uses an entity-specific comparison under the relevant Irish tax provision. The analysis considers the foreign legal framework and constitutional documents, then the overall characteristics against an Irish company or partnership. Section 1009A addresses qualifying foreign bodies corporate substantially similar to an Irish partnership; it does not make every U.S. LLC transparent. Do not budget on Irish tax transparency merely because the IRS disregards the LLC. Profit rights, asset ownership and liability provisions belong in the review, not just the entity’s name.
Management creates a second question. Revenue’s company-residency rules , published October 16, 2026, state that a foreign-incorporated company centrally managed and controlled in Ireland is Irish tax resident. The assessment looks at high-level decisions, including policy, investments and major contracts. If the LLC is treated as a company, assess that residence question using the real facts. A U.S. registered agent does not relocate decisions made at your Irish desk.
| Question that can reverse the plan | Material for the Irish adviser | Hold point |
|---|---|---|
| Who is taxed on the LLC’s profits? | The chosen state law, draft operating agreement, member identities and profit entitlements. | Get the classification conclusion before relying on a withdrawal or retained-profit strategy. |
| Where will the business be managed? | Who negotiates and approves major contracts, controls investment and sets policy, and where those people work. | Resolve residence and Irish business-registration or tax consequences before launch. |
| What is the founder’s personal tax position? | Residence, ordinary residence, domicile, existing business income and intended drawings. | Identify the taxpayer and income character before calculating the expected net return. |
| Will both countries relieve the same tax? | The proposed U.S. classification and a worked profit/distribution example. | Have advisers test taxpayer, income and timing differences; do not assume an automatic foreign-tax credit. |
Revenue confirms that an individual resident and domiciled in Ireland is generally taxed on worldwide income, subject to treaty relief. Other residence and domicile combinations require their own analysis: see Revenue’s personal tax-residence guidance . Leaving receipts in a U.S. account is therefore no standalone Irish tax exemption. Ask the adviser to state whether tax arises to the founder, the LLC, or both at different points; the answer determines the records needed for each transfer.
Keep that opinion attached to the final agreement. If ownership, profit rights or management arrangements change, send the changed facts back for review. A conclusion based on a different agreement should not silently become the basis for the operating business.
Use three addresses without inventing a U.S. office
An Irish home can be a real working address even when the LLC is registered in America. The important task is assigning each address to the correct field. Mercury’s address requirements distinguish a physical U.S. legal address from the place where the team works; its physical-business-address policy can accept verifiable international or residential premises. It excludes registered-agent and virtual-address services from that working-address role.
| Address or identity field | What belongs there | Evidence and consistency check |
|---|---|---|
| State registered office | The appointed agent’s qualifying in-state service address. | Agent consent and state filing; this is not proof that the founder works there. |
| Provider’s company legal address | The U.S. physical address meeting that provider’s legal-address policy. | Check the formation record and provider instructions together; do not assume a purchased mailbox qualifies. |
| Day-to-day business location | The actual Irish home or office used to run the business, if accepted by the provider. | A signed lease or other permitted document showing the owner or company and full address; use the same spelling and unit details. |
| Beneficial owner’s residence | Where that individual actually lives. | Current residential evidence for that person; a company address does not replace it. |
Mercury lists documents such as a signed lease, or a utility or non-Mercury financial statement from the last 90 days, among possible physical-address evidence. Follow the requested document’s own date and name requirements. A registered-agent address is not an Irish operating-address substitute . Conversely, do not change a truthful Irish working address to a U.S. mailing service simply to make the fields look alike.
Make a small reconciliation sheet before submitting: field name, address used, supporting document and reason. Where two records differ, determine whether they describe different legitimate roles or contain an error. Correct the error at its source and retain the updated document. A short explanation can resolve a real distinction; editing a statement to invent an address cannot.
The Irish tax and address decisions now connect to two separate evidence tracks: the legal entity record and proof that the proposed account describes an actual business. Neither track can stand in for the other.
Turn the state filing into a usable ownership record
Choose the formation state after mapping actual U.S. activity. Staff, premises or other operations in a different state may require foreign qualification and separate tax or licence work; selling into a state can also create tax questions distinct from registration. The SBA’s business-launch guidance explains the formation and qualification distinction. The underlying U.S. company formation requirements concern creating the entity; a banking application adds its own evidence and approval process.
Wyoming is a bounded filing example for a founder who has assessed the operating footprint and selected that state, not a default recommendation for Ireland. Its LLC Articles of Organization and instructions identify the required fields and a USD 100 filing fee, verified November 2, 2026. Professional work, registered agent, address services, payment charges, other-state filings, tax returns and taxes are separate costs.
- Check the name and use a permitted LLC designation. Arrange a qualifying Wyoming registered agent and obtain the agent’s consent; the agent needs a physical Wyoming address.
- Complete the legal name, registered-agent details, mailing and principal-office addresses, organizer and contact fields. Understand any optional close-LLC choice before selecting it. Review the public filing separately from private ownership records.
- Sign in the proper organizer capacity and submit through the state’s supported channel. The Wyoming filing portal instructions govern online eligibility and card charges; names beginning with “A” require the paper route under those instructions. Paper filings use the signed form and prescribed check or money order.
- Keep the payment receipt and submission reference, then confirm acceptance in the state record and retain the filed evidence. A rejected or incomplete filing requires correcting the identified issue; a receipt alone is not an accepted LLC.
For the paper route, the state instructions allow up to 15 business days after receipt and state that expedited filing is unavailable. That period excludes delivery, preparation, EIN work and account review. Do not offer customers a bank-ready launch date based on the state processing window.
Then make the ownership usable. Adopt an operating agreement reflecting the actual member, percentages, management authority, contributions and signing powers. If an Irish company is the member, identify that company accurately and keep its authorization and ownership chain. The organizer who signs the state form is not automatically the member. State acceptance does not prove the bank has verified ownership. Use a dated member schedule and account authority matching the agreement.
Mercury’s ownership policy asks for individuals with direct or indirect ownership of at least 25%, plus a person with significant operational responsibility. Trace corporate ownership to people: a person owning 60% of a company that owns 50% of the LLC has a 30% indirect interest. Keep every tier in the calculation and identify control separately. The registered agent or filing service should not become a substitute owner on the application.
Resolve the filing-to-ownership mismatch
Have the selected state, final member schedule and address roles checked together before using them across the EIN and account applications.
Obtain the EIN through the international route
Apply for the EIN after the state has formed the LLC, using the accepted legal name and actual ownership. The IRS issues EINs without a government application fee. Paid assistance covers preparation or coordination, not a fee charged by the IRS. The current Form SS-4 instructions distinguish the online service from the international telephone, fax and mail routes; a principal business outside the United States cannot simply assume online eligibility.
On Form SS-4, identify the responsible party who actually controls the entity and its funds. A nominee who only assists with formation is not the responsible party. Complete the LLC/member and entity-type questions using the real member count and intended federal treatment. Line 7b permits “foreign” or “N/A” only where the responsible party lacks, and is ineligible to obtain, an SSN or ITIN under the instructions; being based in Ireland alone does not establish that condition.
Choose one eligible international route, retain the signed application and any authorization, and use the destination or telephone instructions currently published by the IRS. Assign one person to monitor the response and correspondence address. If a response is delayed, follow up with the original application details rather than creating conflicting applications for the same entity. State formation time and IRS response time are different planning dependencies; neither includes the provider’s review.
For account preparation, save IRS-issued EIN evidence , not merely the form you sent. Mercury’s document requirements identify CP575, 147C or an IRS-returned SS-4 among accepted evidence; its list also describes state-filed formation records and identification for owners at the relevant threshold and a control person. International applicants can provide passports. Match the LLC name, EIN and ownership details before uploading and use the provider’s current secure document channel.
Create a correction queue for any discrepancy: the wrong legal name belongs with the issuing authority, an outdated owner schedule belongs in the company records, and a misunderstood field belongs with the provider. An explanation should identify the specific mismatch and attach genuine corrected evidence. Avoid circulating passports and tax documents to several unverified intermediaries in an attempt to accelerate review.
Make the first transfer traceable and assign the filings
Treat the first contribution as an accounting event with a known sender, recipient and purpose. Before moving money from Ireland, determine whether it is member capital, a documented loan, reimbursement or payment for a real transaction. Have the adviser confirm the treatment where the Irish business or a corporate member is involved. The transfer description, agreement and ledger should describe the same event; an account becoming active does not settle its tax character.
| Before the money moves | Record to retain | Who resolves a gap |
|---|---|---|
| An owner funds the LLC | Sender’s identity, source of funds, contribution or loan authorization, amount, currency and conversion record. | The member and accountant agree the ledger entry before an unexplained deposit appears. |
| The LLC invoices a U.S. customer | The LLC’s genuine contract or assignment, invoice, supplied service or goods and receiving-account details. | The commercial owner confirms that the LLC actually owns the receivable. |
| The LLC pays the founder or Irish business | The basis for payment and supporting agreement, invoice or distribution authorization. | Irish and U.S. advisers review the payer, recipient and tax treatment; a casual bank memo is insufficient. |
| The provider asks for further evidence | The request, deadline and authentic documents linking the business explanation to payment activity. | A named account administrator responds and records any restrictions before further commitments. |
For a foreign-owned U.S. disregarded entity, reportable related-party transactions can trigger Form 5472 with a pro forma Form 1120 even without customer revenue. Contributions, distributions and formation-related transactions can matter. The IRS Form 5472 instructions describe the required records, separate related-party reporting where applicable, filing and extension rules, and the dedicated filing procedure for these entities. The initial failure-to-file penalty is USD 25,000. Appoint a preparer before funding to establish the tax year, filing deadline and any timely Form 7004 extension; do not wait for an income-tax bill as the signal to act.
The precise U.S. income-tax result also needs the operating facts. An LLC and an Irish address do not establish a universal zero-tax outcome: IRS effectively connected income guidance concerns the underlying U.S. trade or business and income. Ask the adviser to assess federal returns or withholding, state income or franchise taxes, sales tax, payroll and applicable licences for the actual activities. An EIN is an identifier, not evidence that those obligations are complete.
Set the recurring state task separately. A Wyoming LLC’s annual report is generally due on the first day of its formation-anniversary month; the state annual-report guidance describes the licence tax as the greater of USD 60 or 0.0002 of assets located and employed in Wyoming. Keep agent renewal, address service, professional filing costs and any other-state obligations outside that government-tax amount. Reserve funds for compliance even if the account application remains pending.
FinCEN’s current beneficial-ownership reporting rules exempt U.S.-created entities from BOI reporting as checked November 2, 2026. That exemption does not cancel IRS reporting or account-provider ownership verification. Record the applicable rule and let a named person monitor changes instead of treating “no BOI filing” as “no compliance.”
A useful handover contains the accepted formation evidence, signed agreement, ownership calculation, IRS notice, address reconciliation, Irish tax analysis and a calendar with an owner for each filing. The cross-border formation evidence checklist can support that document handover; the Ireland-specific classification and management conclusions still require their own review.
Release the LLC for payments only against named evidence
Clear the Irish classification and management issues first, then establish the entity and its actual ownership, and complete the EIN and provider evidence. Before promising collection through the LLC, obtain the provider’s approval and confirm any remaining conditions or restrictions. Before the first transfer, identify its commercial and accounting basis and assign the filings it may trigger.
If the provider cannot support the actual Irish working arrangement or the business has no qualifying U.S. connection, reconsider the account route without inventing new facts. If the Irish analysis changes the expected tax result, reconsider the LLC before adding contracts and money. The useful endpoint is an accurately documented business with an accepted payment route and accountable compliance owners, not an unused certificate beside an unresolved application.
Prepare the launch handover
Bring the accepted filing, ownership records, EIN evidence and open adviser or provider questions to agree what remains before payments begin.
Frequently asked questions
Does an Irish passport alone establish account eligibility?
No. Citizenship, current residence, the business’s locations, ownership and activity are different facts. A passport proves identity; the chosen provider still assesses the full application and its current country restrictions.
Should I add another member just to make banking easier?
A real additional member changes governance, ownership disclosure and potentially U.S. and Irish tax treatment. Use the ownership the business actually needs and review the consequences before changing it for an account application.
Can I send an existing Irish company’s invoice as LLC evidence?
Explain whose transaction the invoice records. If the LLC has not become party to the contract or acquired the receivable, do not present the invoice as its sale. Ask the provider which evidence supports the true relationship.
Will a dormant LLC avoid all ongoing costs?
Do not assume so. State obligations and agent renewals can continue, and owner funding or formation transactions can require tax-information reporting. Have the assigned preparer assess the actual activity, including payments made before sales.
What happens if approval arrives before the business launches?
Check any outstanding document deadlines and ongoing eligibility conditions, and notify the provider if the planned business changes. Approval does not authorize an unsupported activity or replace the tax and licence checks for the launch.
