US Subsidiaries of Hong Kong Companies: Formation and Ownership Records

Connect the parent’s identity and authority to the subsidiary’s actual ownership entry and funding trail.

When a Hong Kong company funds a new US subsidiary, the ownership file must show who acquired the shares or LLC interest—not merely who submitted the formation application. A Hong Kong corporate parent can generally own a US business entity, subject to the chosen state, entity and business restrictions. Formation establishes the US entity; signed ownership and governance records connect that entity to its parent.

For an ordinary, unregulated business, prepare the parent’s identity and signing authority before filing, then complete the subsidiary’s ownership entry and funding records. A state acceptance, an EIN and a bank approval answer separate questions. An unresolved mismatch between the intended corporate owner and the recorded owner needs correction before the group relies on the structure.

Key takeaways

  • A Hong Kong registry report helps verify the parent, but its underlying filing dates matter when checking later ownership changes.
  • A director who signs for the parent does not become the subsidiary’s owner merely by signing; record the representative capacity expressly.
  • A US corporation needs a share-issuance trail; an LLC needs an admission and membership trail consistent with its governing documents.
  • The parent’s BRN, any legacy company number and the US entity’s identifiers belong in separate, labelled fields.
  • Formation funding can create tax-reporting work even before trading begins, so give the tax preparer transaction evidence from inception.

Build a parent-to-subsidiary ownership reconciliation

For a US subsidiary owned by a Hong Kong company, assemble evidence of the parent’s identity, its authorization to invest, the US entity’s creation, the parent’s actual ownership acquisition and the funding transaction. Use the following reconciliation as a working handover sheet. It separates documents that identify a party from documents that establish what that party acquired; recipient-specific certification requests sit alongside it.

A practical reconciliation tool, not a universal statutory filing list.
Evidence position Hong Kong parent file US subsidiary file Agreement to check
Legal identity Incorporation certificate; current registry information; BRN and legacy-number mapping if relevant. Accepted formation document and state entity number. Two distinct legal entities, each with its own exact name and identifier.
Authority Articles and the approval or delegation authorizing the investment and signatory. Subscription, member admission or other acquisition instrument signed in the correct capacity. The authorized party and the named acquirer are consistent.
Direct ownership Parent’s investment record and approved interest to be acquired. Stock ledger and issuance records, or LLC agreement and membership/admission records. Class, quantity or interest, rights and effective date match the approved transaction.
People and control Current parent ownership evidence and control information, including its SCR where applicable. Individual identification and control information requested for EIN or financial-institution review. Corporate owner, authorized signer and controlling individuals are separately identified.
Value transferred Payment instruction, remittance evidence and investment or loan entry. Receipt, equity or debt documents and matching accounting entry. Amount, currency, purpose, payer and recipient reconcile.

Assign each row a named custodian, an evidence date and one result: verified, awaiting evidence or disputed. Keep the document reference beside the result. A blank owner percentage is not “pending administration” if contracts already describe the business as wholly owned. Determine whether the acquisition is actually complete before issuing that description.

The formation organizer, the authorized signer and the corporate owner can be three different parties. Their names should appear in the places that reflect their actual roles. This distinction also makes it easier to explain a service provider’s name on a filing without implying that the provider owns the company.

Resolve the Hong Kong identity record before signing

Start with the parent’s exact registered name and a current Companies Registry search. The Registry’s electronic-search guidance explains that a Company Particulars Report summarizes company information, including directors and shareholder information for local companies with share capital. For a private company, shareholder information comes from filed incorporation, annual-return and allotment records, as applicable. Review the underlying document dates rather than treating the report as proof of every subsequent transaction.

Ask the company secretary to reconcile the latest filed material with the current register of members and any intervening allotment or transfer documents. Obtain the parent’s articles and the investment approval or delegation needed under its own governance arrangements. A person’s appearance as a director in search results does not, by itself, settle the authority required for this particular subscription, borrowing or guarantee.

Pay particular attention to BRN-to-legacy-number reconciliation . Since 27 December 2023, the Companies Registry has used the Business Registration Number as the Unique Business Identifier for the relevant companies. The BRN is the first eight digits of the Business Registration Certificate number. Older incorporation papers may carry a different company number. The Registry’s UBI implementation leaflet describes the CR No./BRN mapping search and an Information Sheet or Letter of Confirmation that can evidence the identifier change. Special arrangements exist for older entities without a BRN; use the actual registry record.

Preserve both the source document and the explanation connecting the identifiers. Do not overwrite the old number on a historical certificate or use the full Business Registration Certificate number indiscriminately in every “registration number” field. Ask the recipient which identifier that field expects, and record the answer in the handover sheet.

Check the parent’s signing file

Have the registered name, identifier evidence and proposed signatory reviewed before the US acquisition documents are prepared.

Form the US entity, then complete its owner entry

Select the entity and formation state using the actual operating plan. A Hong Kong owner does not make every US entity a foreign-law company: a subsidiary created under a US state’s law is a US-created entity. Registering the Hong Kong company itself to conduct US business is a different route and leaves the Hong Kong company as the operating legal entity.

An LLC may accept corporate and foreign members in most states, according to the IRS explanation of LLC ownership ; check the chosen state and any regulated-business restrictions. For a corporation, identify the shares to be subscribed for and the approvals required for their issuance. Sensitive investments or regulated activities need a separate legal assessment before proceeding.

  1. Set the filing instructions: entity type, proposed name, formation state, operating locations and the intended corporate owner. Keep the acquisition instructions separate from the organizer’s contact details.
  2. Appoint the required registered agent and submit the applicable state document. Delaware, as an illustration rather than a state recommendation, requires an in-state agent with a physical street address and accepts its formation or incorporation documents through the routes on its official formation page.
  3. Retain the accepted state filing, then execute the organizational and acquisition documents required for the selected structure. An application receipt or an unsigned draft should not be marked as completed ownership evidence.
  4. Enter the parent in the appropriate ownership records and reconcile the entry with the consideration and effective date. Give the custodian the executed documents, rather than only a group chart.

The Delaware formation instructions describe the state filing process. In the broader US company formation process , acceptance of that filing is an important milestone, but the group must also finish its internal organizational work and determine operating-state registrations.

Match the record to the legal structure

For a corporation, keep the subscription and issuance approvals with its stock ledger . Delaware’s General Corporation Law, section 219(c) defines the ledger by reference to stockholders of record, their addresses and shares, and issuances and transfers. Authorized shares in a charter should not be confused with shares actually issued to the Hong Kong parent.

For an LLC, retain the executed agreement, admission or acquisition instrument and a current membership record consistent with them. Record who can manage or bind the entity as well as who owns the interest. A member-managed or manager-managed arrangement can place signing power with someone other than the corporate member; draft the delegation accordingly.

The parent identity file and the subsidiary’s records should now join at one clear point: the same Hong Kong entity is named in the acquisition instrument and the resulting ownership entry.

Join the parent evidence to the US ownership entry Two document columns converge in a dated ownership file. Hong Kong identity supports signed acquisition authority; US formation supports the subsidiary ownership ledger. The signed acquisition and ledger must name the same parent. Hong Kong identity Name and BRN US entity created Accepted state filing Signed acquisition Parent acts as owner Ownership entry Shares or membership Dated ownership file Same parent
The bridge is the completed acquisition and matching owner entry; neither identity evidence nor the state filing supplies that bridge alone.

Keep the corporate owner separate from tax and control identities

A corporate owner can remain the legal member while the tax and due-diligence files identify individuals for other purposes. A single-member domestic LLC ordinarily defaults to disregarded status for federal income tax; a domestic LLC with two or more members ordinarily defaults to partnership treatment. An eligible LLC can elect corporate classification using Form 8832. These IRS classification rules do not change who owns the state-law interest. Have US and Hong Kong advisers settle the treatment before relying on a group accounting label.

EIN: identify the person with ultimate control

Under the current Form SS-4 instructions , the responsible party generally must be a natural person, except for government applicants. The Hong Kong company’s status as shareholder does not make it the individual responsible party. Identify the person meeting the IRS control definition; do not substitute the formation agent for convenience. Where that person has no SSN or ITIN and is ineligible to obtain one, the instructions permit “foreign” or N/A on line 7b.

Check the applicant’s actual principal location when selecting the EIN application route. Applicants without the relevant US presence cannot assume online eligibility; the instructions provide international telephone, fax and mail routes. Direct IRS application is free. Keep the EIN confirmation and submitted SS-4 together, and do not present the EIN as evidence of share ownership.

Hong Kong SCR and US BOI: different regimes

Most Hong Kong incorporated companies other than listed companies must maintain a Significant Controllers Register. The Companies Registry SCR guidance says it is kept in Hong Kong and is not delivered to the Registry for registration. It concerns control of the Hong Kong company; it is not a register of that company’s US investments. Keep the relevant parent control information available through the proper custodian.

As checked on 26 October 2026, FinCEN’s current BOI notice confirms the final rule effective 14 August 2026 exempts US-created companies from BOI reporting. A US-created subsidiary stays within that exemption despite its Hong Kong parent. If the Hong Kong company itself registers to do business in a US jurisdiction, assess the foreign-entity reporting rules and exemptions separately. Neither result determines the subsidiary’s IRS obligations or a bank’s information requests.

Resolve a role or identifier mismatch

Bring the proposed ownership entry, signed authority and tax identity fields together to identify which record needs attention.

Record funding and later changes without rewriting history

Before transferring money, decide whether the parent is paying for an ownership interest, advancing a loan or settling an expense. Store the decision with the payment evidence. Include the original currency, any conversion basis, the bank reference and the accounting treatment on both sides. A matching amount without a matching purpose is not a completed reconciliation.

An illustrative problem: a Hong Kong company formed before the BRN transition intends to own all of a new US corporation, but the draft stock ledger names its individual founder. There are two separate questions. The legacy company number may simply need an official identifier bridge. The founder’s name in the owner entry may instead reflect an incorrect draft or an actual personal acquisition. An identifier explanation cannot cure an ownership transaction. Check the executed subscription, approvals and issuance history before deciding whether to correct an error or document a transfer; do not backdate a replacement ledger.

Give the first-year tax preparer the transaction trail

The IRS Form 5472 instructions cover reporting corporations, including 25% foreign-owned US corporations and foreign-owned US disregarded entities, when reportable related-party transactions occur, subject to applicable exceptions. For a foreign-owned disregarded entity, formation contributions and distributions are specifically within the reporting framework. “No sales yet” is therefore not a reliable filing test.

Where required, the disregarded entity attaches Form 5472 to a pro forma Form 1120 by that return’s deadline, including extensions; Form 7004 must be filed by the regular deadline to request an extension. These entities use the prescribed fax or mail route rather than electronic filing. The initial failure-to-file penalty is USD 25,000, and record-maintenance failures can also attract it. Assign the tax-year, deadline, filing-method and submission-evidence decisions to the preparer rather than leaving them in the incorporation folder.

For a layered group, the ownership-chain checks for a foreign corporate member help distinguish the direct owner from parties further up the chain; the transaction file should identify the actual counterparty to each payment.

Keep a dated change log

Record later issuances, transfers, parent name changes, new signing delegations and control changes as events with supporting instruments. Preserve the superseded record and its effective period. Have the relevant custodians determine which state, Hong Kong, IRS or financial-institution records need updating; do not assume that changing an internal chart updates external records.

The operating footprint also needs its own review. The SBA registration guidance explains that activities in additional states can require foreign qualification and associated reporting and fees. A registered agent receives legal papers; its address should not automatically be reused as the actual business location. Budget separately for state filings, agent service, document certification where requested, professional work and recurring tax compliance. Banking and payment approval remain independent decisions, with no guaranteed outcome from a complete file.

Release the Hong Kong subsidiary file only when records agree

Have the parent’s corporate-secretarial custodian and the subsidiary’s records custodian review the reconciliation against executed evidence as of a stated date. Release a verified ownership statement only when the acquisition and owner entry agree on the legal owner, interest and effective date. Record separately whether the entity is formed, its tax setup is complete and any operational approvals are outstanding.

If the uncertainty is documentary, identify the missing source and its custodian. If signed documents show different acquirers, consideration or dates, escalate the transaction history to counsel and the tax preparer before circulating a corrected ownership assertion. The useful completion test is whether another reviewer can trace the claimed parent ownership from the authorization through the acquisition to the current ledger without guessing.

Prepare the ownership handover

Use the reconciled parent and subsidiary records to define the remaining formation, documentation and compliance work.

Frequently asked questions

Does every Hong Kong document need an apostille?

Ask the intended recipient what form of evidence it accepts before ordering authentication. A registry-certified copy, a company-certified copy, translation and apostille serve different purposes. Confirm the document, required certification and language together; do not buy the same treatment for the entire folder automatically.

How should English and Chinese company names be handled?

Use the names actually registered for the parent and preserve the registry source. Where a US form permits only one entry or character set, record the chosen entry and its connection to the original company record. Do not invent an English translation and present it as a registered name.

Must the US subsidiary keep a Hong Kong Significant Controllers Register?

A company formed only under US law is not a Hong Kong incorporated company. The Companies Registry also states that a registered non-Hong Kong company is not required to keep an SCR under that regime. Assess each group entity by its own legal status rather than copying the parent’s compliance list.

Should every counterparty receive the full ownership evidence folder?

Prepare a recipient-specific extract and keep a record of what was shared. A supplier verifying the contracting entity may need different evidence from a bank reviewing controlling individuals. Keep identity documents and sensitive control information with the responsible custodian and confirm the receiving channel before transmitting them.
