Corporation in California: Formation and Requirements
Settle the share structure and corporate authority before filing, then finish the tax and operating setup.
To form a corporation in California, settle the ownership and share structure, choose an eligible agent for service of process, and file Articles of Incorporation with the Secretary of State (SOS). Then organize the board and officers, complete the internal corporate records, obtain an Employer Identification Number (EIN), and address initial disclosure, tax and operating requirements. The ordinary general stock corporation filing fee is USD $100.
This route creates a California corporation even when its founders live overseas. An existing corporation formed elsewhere follows a qualification analysis instead. This guide covers an ordinary general stock corporation; professional, nonprofit and other specialized forms need their own rules. The standard filing does not authorize every business activity.
Key takeaways
- Decide whether to create a new California corporation or qualify an existing outside corporation before preparing documents.
- A share authorization is not the same as issuing founder shares or recording money paid for them.
- Board size depends partly on shareholder count; officers and shareholders have different functions.
- A nonresident alien shareholder prevents an S corporation election, even though state incorporation is a different question.
- Budget the $100 formation filing and $25 initial statement separately from tax, private services and operating approvals.
Choose the corporation action before choosing a tax label
A new subsidiary and registration of an existing company produce different legal results. Start by identifying which entity will sign customer contracts, employ staff and own the business assets. Calling every route “California registration” conceals that choice.
| Your starting position | Action to assess | Decision to resolve |
|---|---|---|
| No corporation exists | Form a new California corporation | Who receives shares and who controls the board? |
| An overseas or other-state corporation already exists | Qualify that corporation if its California activity requires it | Should the existing company itself carry the California contracts and liabilities? |
| An existing parent wants a separate US company | Form a California subsidiary | Which assets, funding and commercial functions belong in the subsidiary? |
The SOS guidance on outside corporations distinguishes qualification before transacting intrastate business from creating a new entity. Incorporating somewhere else does not settle California registration or tax exposure.
If the corporation decision is still open, compare the ownership and administration implications with the separate California LLC formation route . For a company that expects outside investment, agree the proposed investor rights before selecting a standard form solely because it is easy to submit.
Check nonresident owners and S corporation eligibility separately
Foreign founders can participate in forming a California general stock corporation. the published 2025 text of Corporations Code section 200 , reproduced by Justia, allows formation by one or more natural persons and specified entities, including domestic or foreign corporations. A California-created company is domestic to California; its owners’ nationality does not change its place of incorporation.
State incorporation and an S corporation election answer different questions. C corporation treatment and an eligible S election concern taxation, rather than two different ordinary SOS formation filings. Do not put an “S” label on the ownership plan before checking every shareholder.
The IRS S corporation requirements exclude nonresident alien shareholders, partnerships and corporations. Other conditions include a domestic corporation, no more than 100 shareholders, one class of stock and an eligible business type. Form 2553 requires the shareholders’ signatures. US tax residency needs its own assessment; citizenship and an overseas mailing address alone do not answer it.
For example, a corporation directly owned by an overseas corporate parent cannot qualify for the ordinary S election. A founder considering a later investor should test that future ownership as well as the day-one position. Ask a tax adviser to compare company-level tax, shareholder distributions and the owners’ home-country treatment before funds move.
Set the articles, addresses and share authorization
The formation document should reflect decisions already made. The SOS general stock articles, Form ARTS-GS , provide a useful baseline for the public filing. Its purpose clause excludes banking, trust-company business and incorporated professional practice from this ordinary form.
| Filing input | What to settle before submission | Record to reconcile |
|---|---|---|
| Corporate name | Check the current SOS naming requirements and prepare alternatives | The identical legal name across articles, tax and contract records |
| Initial street and mailing addresses | Use a street address rather than a P.O. Box in the street field | A separate explanation of the real operating location |
| Agent designation | Choose an eligible individual or registered corporate agent | Agent agreement and responsibility for forwarding legal notices |
| Authorized shares | Specify a positive number; the standard form allows one class | Founder allocations and any proposed investor rights |
Authorized shares are the capacity set in the articles. They do not themselves identify who owns issued shares. As a planning example, authorizing 10,000 shares and intending to issue 6,000 does not make the remaining 4,000 someone’s property. Document the actual allocation and consideration separately; those example numbers are neither a legal minimum nor a recommended capital amount.
Preferred shares, different voting rights or bespoke investor terms warrant tailored drafting. Resolve those terms with counsel before issuing stock. A standard one-class filing should not be treated as a finished investment agreement.
Build the board and officer structure around the owners
A shareholder owns shares, a director participates in board decisions, and an officer acts within the authority assigned to that office. One founder can wear several hats, but the records should show the capacity in which each decision was made.
The published 2025 text of Corporations Code section 212 , reproduced by Justia, sets an ordinary minimum board size of three. Before shares are issued, one or two directors are permitted; after issuance, one shareholder permits one director, and two shareholders permit two directors. The articles or bylaws can require a larger board. Revisit the rule when admitting a shareholder rather than leaving the initial sole-director arrangement untouched.
The published 2025 text of section 312 requires a chairperson or president, or both, plus a secretary and chief financial officer. One person may hold multiple offices unless the articles or bylaws say otherwise. Have the drafter confirm current law and the governing documents before adopting this structure. Record appointments and authority instead of assuming the person who submitted the articles may sign every later document.
Prepare bylaws, the initial incorporator and board actions as applicable, officer appointments, stock approvals and the ownership ledger. Keep the issued-share record consistent with the underlying approvals and payment evidence. Internal corporate records should explain who can open an account, enter material contracts and approve future issuances.
The SOS confirms that bylaws and meeting minutes are retained by the company rather than filed with that office. An accepted public filing therefore cannot substitute for a review of these internal decisions.
Appoint the agent and submit the signed formation
The California agent is the recipient for service of process, not a replacement for corporate management. An individual agent must reside in California. A corporate agent needs the appropriate active registration with SOS, and its approval must be obtained before designation. The corporation cannot appoint itself as its own agent.
The SOS agent requirements also explain that filing addresses are public. Label the agent, mailing and operating addresses accurately before disclosing them; purchasing agent service does not make that office the place where your team works.
- Review the completed articles against the approved name, addresses, agent and share terms.
- Obtain the required incorporator signatures. If using tailored articles naming initial directors, check the statutory signing requirements with the drafter.
- Submit through the SOS filing route and retain the submitted version and payment evidence.
- Monitor for a correction request, then preserve the accepted, endorsed articles and assigned entity record.
Submission and payment do not establish acceptance. Preparation, agency review, correction and the later operating launch are separate stages. Use the agency’s current processing indication when scheduling; do not turn a filing estimate into a promised opening date.
Complete the initial statement and isolate the filing budget
A general stock corporation must file its initial Statement of Information within 90 days of registration and file annually thereafter. The SOS corporation statement schedule lists the $25 filing fee. Assign the task when the articles are accepted so it does not depend on remembering a later reminder.
As checked November 5, 2026, the standard government filing subtotal is USD $100 + $25 = $125 : one general stock formation filing plus its initial statement. This is a narrow filing subtotal, not the cost to launch a business. Optional copies, expedited handling where available, private agent service, legal work, tax preparation and activity-specific applications are additional.
A useful budget has separate lines for government filings, third-party services, taxes and operating capital. Money paid for shares belongs in the capital records; it is not an SOS filing charge. A founder loan needs its own accounting treatment and supporting agreement where appropriate. Obtain written scopes for private work rather than inferring what a low filing quote includes.
For coordinated entity planning, HSJGlobal’s US company registration and formation services cover the broader formation and EIN work described on that service page. Agree the California-specific deliverables, agent term and continuing responsibilities in writing.
Use the EIN route that matches the real principal location
Apply for the EIN after state formation. The IRS EIN guidance says the number is free directly from the agency. Its online tool requires a US or US-territory principal place of business and the responsible party’s Social Security number (SSN) or individual taxpayer identification number (ITIN), among other conditions.
A California agent address does not by itself establish online eligibility. Where the principal place of business is overseas, use the IRS telephone, fax or mail route available to the relevant applicant. Choose the route from the actual facts rather than changing an address to fit an application screen.
The Form SS-4 instructions require an individual responsible party for an ordinary business applicant. Line 7b permits “foreign” or “N/A” when that individual lacks, and is ineligible to obtain, an SSN or ITIN. That condition is narrower than simply preferring not to supply a number. An authorized third-party designee has an application role; that person does not thereby become the corporation’s controller.
Keep the signed application and the IRS-issued confirmation separately. Confirm the exact legal name and responsible person before submission, and identify who will receive correspondence while the founder is abroad.
Apply the first-taxable-year corporation tax exception
California corporation tax is separate from SOS charges. The first taxable year has a minimum-tax exception, not a blanket income-tax holiday. The FTB’s Guide for Corporations Starting Business in California says a newly incorporated or qualified corporation computes first-year liability on California net income without the $800 minimum franchise tax. After that first taxable year, the general calculation is the larger of income-based tax or the $800 minimum, subject to applicable exceptions.
Do not tell every new corporation to add $800 to its formation checkout. Equally, do not promise that the first year is tax-free. Have the preparer identify the taxable year, return, estimated payments and the treatment of any short period. The “first year” is a tax-accounting concept; it need not be twelve full months after filing. The FTB guide addresses a distinct no-business, 15-days-or-less rule that should be checked before relying on a late-year formation plan.
Agree who records founder funding, reimbursements, expenses and transactions with related companies from the outset. For overseas ownership, ask the adviser to assess federal information returns and cross-border payments alongside income tax; a simple sales forecast cannot settle those duties.
As of November 5, 2026, FinCEN’s current BOI notice confirms that US-created companies are exempt under its final rule effective August 14, 2026. That covers a California-created corporation even with overseas owners. A foreign-law entity registered in California needs a separate eligibility assessment. The exemption does not replace tax reporting or an account provider’s ownership checks.
Match operating permissions to the activity and premises
The articles establish the corporation; the activity and location determine the remaining approvals. California’s CalOSBA setup guidance separates entity registration, tax IDs and licenses or permits. It directs founders to local planning departments for permitted uses and to CalGold for authority contacts.
For each proposed location, ask the city or county about business registration or a business tax certificate, zoning and any home-occupation conditions. Identify additional premises, health, fire, professional, industry or product approvals where the actual business involves them. Review CDTFA registration for the sales activity and employer accounts when hiring. A seller’s permit, EIN and incorporation record have different functions.
For a remote founder, make the operating description concrete: where work occurs, where inventory sits, whether staff or customers attend a site and which entity invoices customers. The registered agent’s city cannot answer those questions. Before committing to a regulated activity or premises, obtain the responsible authority’s requirements and keep the resulting correspondence with the corporate file.
Approve a complete formation instruction before releasing the filing
A useful corporation in California starts with a coherent instruction to the filing preparer and the people who will run it. Approve the decisions below together rather than letting one unresolved item become a contradictory answer in another application.
- Identify the new corporation or existing entity being qualified, the intended contracting party and its commercial purpose.
- Confirm the shareholders, tax-residency questions, intended share rights and whether the standard general stock articles fit.
- Approve the board size, officer appointments and documents recording who can issue shares, sign contracts and instruct banks.
- Confirm each address, the agent’s acceptance, the articles’ signers and the person who will retain the endorsed result.
- Assign the initial statement, EIN application, tax-year decisions and activity-specific permissions to named people.
If any answer is unresolved, state the decision needed and who will make it. A disagreement about investor rights belongs with the founders and legal drafter; a responsible-party question belongs with the EIN preparer; a use-of-premises question belongs with the local authority. Treat each accepted document as evidence of its own task, then connect the records before the corporation begins the proposed activity.
Frequently asked questions
Does the ordinary articles filing require a notarized passport?
Form ARTS-GS requests incorporator signatures and filing information, rather than a notarized passport. A bank or service provider can request separate identity evidence. Obtain that recipient’s requirements before ordering notarization or certification.
Do I have to purchase a corporate seal from the state?
SOS does not issue corporate seals. Ask the recipient of a proposed document whether a seal is needed; do not treat a vendor’s offer as a mandatory state purchase.
Does an articles draft prove that the corporation exists?
Use the accepted, endorsed articles to establish the filed formation, rather than an unsigned draft or payment receipt. A recipient may specify a certified copy or other current evidence, so confirm its document requirements separately.
Can I keep an unused corporation open without further filings?
Inactivity does not itself end the corporation’s filing and tax duties. If the project stops, review formal dissolution and final tax requirements with the preparer rather than abandoning the record.
Does owning the corporation give me permission to work in the United States?
Incorporation is not a determination of immigration status or work authorization. A founder planning to perform work in the United States needs a separate immigration assessment before relying on the ownership arrangement.
