MARYLAND ENTITY FORMATION

How to Form an LLC in Maryland

Resolve the local filing details, preserve acceptance evidence and prepare for the first April 15 report.

To form an LLC in Maryland, arrange a Maryland principal office and resident agent, submit Articles of Organization to SDAT, and retain the accepted filing. The standard government filing fee is $100. Then address the EIN, applicable tax accounts and operating permissions, and calendar the first annual report for the following year.

For an overseas founder, the key dependencies are a workable Maryland address arrangement, valid agent consent and the correct EIN route. A filing receipt alone does not prove the LLC has legally formed.

Key takeaways

  • Maryland’s domestic LLC route creates a new entity; an existing out-of-state LLC may need registration instead.
  • The principal office and resident agent require Maryland address details; agent consent is required.
  • SDAT acceptance, or a later stated time, determines legal formation.
  • The annual report and the conditional personal property return are separate obligations.

Plan the Maryland filing

Discuss the entity, address and agent arrangements needed before submitting Articles.

Choose the Maryland entity route before filing

Start by deciding whether you need a new Maryland entity. A founder living overseas can use the Maryland formation route: the statute allows any person to cause Articles of Organization to be executed and filed. It does not make the founder’s foreign residence the test for whether the new LLC is domestic. Maryland’s formation rule defines the filing event, while the statutory definitions distinguish a Maryland LLC from an LLC formed under another state’s law.

If an LLC already exists elsewhere, assess registration of that existing entity before creating another one. Creating a second LLC introduces a second entity, separate ownership records and another compliance calendar. Write down which legal entity will sign customer contracts and hold business assets before choosing the application.

For a new entity, treat Maryland’s filing, federal identification and permission to operate as separate decisions. A Maryland address entered on Articles is also a different question from where work, inventory and employees will actually be located. Give each agency the facts relevant to its own application.

Secure the Maryland addresses and agent consent

Resolve both Maryland address fields before paying a filing fee. Under section 4A–204 , the Articles identify the LLC’s name, principal office in Maryland, and resident agent’s name and address. A resident agent receives legal papers; naming an overseas founder does not satisfy the Maryland resident-agent requirement unless that person independently qualifies.

Maryland’s resident-agent definition permits an individual residing in Maryland or a Maryland corporation, LLC or limited partnership. Confirm the proposed agent’s legal name and willingness to serve. If using a business agent, obtain its exact registered name rather than a brand nickname. Agree how legal notices will reach you while you are abroad.

The May 2026 Articles form and instructions require the agent’s complete physical Maryland address and reject P.O. Boxes. They also require the agent’s consent signature; a person signing for a business agent supplies their full name and title. Confirm separately that your address arrangement covers the LLC’s principal-office field. Buying an agent service alone does not establish what additional address use its contract permits.

Choose a distinguishable legal name with an accepted ending such as LLC or Limited Liability Company. Review existing SDAT records before settling on it. Keep the spelling, spacing and suffix consistent across the agent consent, Articles and subsequent applications. Do not assume a usable domain name proves the legal name is available.

File the Articles and separate the filing budget

To form an LLC in Maryland, submit Articles of Organization to the State Department of Assessments and Taxation (SDAT), online through Maryland Business Express or using the official paper route. Assemble the required identity, address and signature fields first. The current form makes the business-purpose field optional; avoid treating an outdated checklist as the current application.

The government and payment amounts below come from SDAT’s published charter fee schedule and the current Form 1 fee table . They are filing charges rather than a service-provider quotation; tax liabilities are separate. Figures are stated in USD as published, without adding an assumed tax amount.

Maryland filing budget checked October 20, 2026; optional services and annual maintenance are separate.
Payment item Amount in USD When it applies Budget treatment
Articles of Organization $100 Standard domestic LLC filing One-time government filing fee
Expedited Articles $150 total $100 filing plus $50 expedite charge Optional government service
MBE payment charge 3% Online payment through Maryland Business Express Separate convenience charge
Name reservation / trade name $25 each Separate optional filings, if chosen or needed Exclude unless applicable
Annual report $300 Current ordinary LLC annual filing fee Recurring; waivers are conditional

A standard online Articles payment using the published 3% charge is $100 × 1.03 = $103. Expedited filing is $150 × 1.03 = $154.50. These examples exclude name reservation, trade-name filing, document copies, professional support and any privately charged agent or address service. Request an itemized quote for those private costs; none is included in the government base fee.

The current LLC instructions state 6–8 weeks for standard processing and 7–14 business days for expedited processing. These are agency estimates, separate from your preparation, corrections, EIN work and licensing. Same-day service has its own eligibility, cutoffs and higher charge; confirm the selected route before relying on it. Paying for faster review does not guarantee acceptance.

Before submission, check the agent consent, authorized signature, full Maryland addresses and legal name against one another. Keep a complete copy and the payment receipt. If SDAT rejects the filing, use the stated deficiency to correct it promptly; the fee schedule explains the 60-day correction and refund-request rules. Do not count a rejected submission as a formed LLC.

Review the filing and follow-through

Map the SDAT submission, acceptance evidence and federal identification route for your ownership structure.

Confirm when your Maryland LLC legally exists

Your LLC exists at acceptance for record , or a later time specified in its Articles, subject to substantial compliance with the statute. Section 4A–202 makes that the legal test. A payment receipt or a submitted application is therefore insufficient evidence by itself.

Create a formation evidence folder containing the accepted Articles, the recorded formation date and the SDAT department identification number. Check the state record against the name and addresses you intended to file. Retain any acceptance correspondence so someone taking over administration can distinguish the filing date from the payment date.

Obtain a certified copy or Certificate of Status when a counterparty or authority specifically requires that document. A current status certificate and the original formation record answer different questions. Our explanation of the difference between submission and legal formation provides context for reading registration evidence.

Prepare a written operating agreement alongside these records. As a practical ownership document, it should address contributions, voting, management authority, profit allocations, transfers and exits. Make sure the people controlling the business understand who may bind the LLC, particularly when its members live in different countries.

Maryland LLC filing and first-report dependencies A Maryland office and resident-agent consent lead to accepted Articles and a retained state record. EIN and tax registration run alongside activity permissions. The next April 15 annual report includes a separate property-return decision. Maryland office + resident agent consent Articles accepted or later stated time Retain formation record and SDAT number EIN and tax account route Activity and local permits Next April 15 report + property decision
Use the accepted state record for later applications; assign the annual-report owner before the first year ends.

Connect the EIN, tax accounts and operating permissions

Apply for the federal Employer Identification Number (EIN) after the LLC is formed. The IRS online application criteria require, among other things, a domestic organization, a principal place of business in the United States or its territories, and the responsible party’s Social Security number or individual taxpayer identification number. The EIN itself is free from the IRS.

If the principal place of business is outside the United States, the IRS provides international EIN application routes by phone, fax or mail using Form SS-4. Select the route from the actual business facts. A Maryland agent address alone is not a reason to present overseas operations as a U.S. principal place of business. Keep the EIN confirmation separately from the SDAT number.

Next, review Maryland tax-account registration for applicable sales and use tax, employer withholding and other activity-specific accounts. The Combined Registration Application and Maryland Tax Connect are the state routes described by Maryland Business Express. Have a tax professional assess classification and federal or state returns using the members’ residence, ownership and actual operations; registration alone does not determine the result.

For operating permissions, use Maryland’s state and local license guidance . Check Maryland OneStop for relevant state approvals, the county inspections or licensing office for local requirements, and the circuit court clerk where a trader’s or other business license applies. Confirm premises, zoning and professional approvals for the proposed activity before committing to opening. Formation does not authorize every business activity.

For a coordinated entity-setup discussion, HSJGlobal’s U.S. company registration services describes the broader formation support. Bring your planned Maryland location, ownership and business activity so the discussion starts with the correct scope.

Build the first April 15 reporting file

Calendar the first annual report for April 15 in the year after formation. Maryland Business Express’s annual filing guidance says the first filing is required even if there has been no revenue or the business has not begun operating. An LLC formed during 2026 should therefore plan its first report for April 15, 2027 and use that filing year’s instructions when available.

The 2026 annual report form lists $300 for an ordinary domestic or foreign LLC. It also recognizes an approved MarylandSaves waiver; do not assume that waiver applies automatically. Use the current amount for planning and reconfirm the fee and any approved exemption when the 2027 filing opens. The annual filing charge is separate from a personal property tax assessment.

Decide the property-return question separately . Current guidance for LLCs uses Maryland personal property owned, leased or used, excluding licensed vehicles, with a total original cost of $20,000 or more. Original cost is the relevant test, not the asset’s present resale value. Keep equipment, inventory and leased-property records so the answer can be supported.

The current Form 1 also asks about property disposed of, sold or transferred before January 1. A business below the threshold may still need supplemental details if it previously reported property or received an assessment. Follow the actual form prompts rather than treating the threshold as permission to skip the annual report. Where a return is required, assessment and local property-tax liabilities remain a separate calculation.

As of October 20, 2026, FinCEN’s current BOI notice states that U.S. companies are exempt under its final rule effective August 14, 2026. A newly formed Maryland LLC is a U.S.-created entity, including where owners live overseas. This BOI exemption does not remove tax returns, Maryland reporting or other applicable obligations; an existing entity formed under foreign-country law needs a separate analysis.

Decide whether your Maryland filing is ready

Proceed when you can answer three questions with records: Which entity are you creating? Who will receive legal papers at the Maryland address? Who owns the first-April-15 filing? These answers matter more than choosing the fastest checkout option.

  • Ready to file: legal name, principal office, qualified agent, consent and authorized signature agree.
  • Ready for post-formation work: accepted Articles are retained and the EIN route matches the actual principal place of business.
  • Ready to operate: applicable tax accounts, activity permissions and premises approvals have been checked with the responsible authorities.
  • Ready to maintain: a named person will collect January 1 property information and submit the annual filing.

How to form an LLC in Maryland ultimately turns on an accepted SDAT filing backed by workable local arrangements. If the address or agent consent is unresolved, settle that dependency first. If the entity already exists elsewhere, confirm the correct registration route before creating another legal person.

Assign the first-year responsibilities

Bring the proposed activity, Maryland location and ownership details to a consultation about formation and ongoing administration.

Frequently asked questions

Can the same person sign the Articles and the agent consent?

The form separates the authorized-person signature from the resident-agent consent. If one person fills both roles, ensure that person qualifies for each role and completes the relevant signatures; authorization to file alone does not make someone an eligible agent.

Should I reserve the LLC name before I file?

Treat reservation as a separate choice when you need to hold a proposed name before submitting the formation filing. It is not a substitute for accepted Articles or a reason to assume a similar name will be accepted.

Does a MarylandSaves waiver eliminate property taxes?

No. An approved waiver concerns the annual report filing fee. The property-return decision, any assessment and applicable local property taxes are separate matters.

What if my LLC has several Maryland property locations?

Keep a location-by-location asset record and follow the applicable filing-year instructions for reporting each location. Do not divide assets between locations to treat the statewide original-cost test as a separate allowance for each office.

Will SDAT choose my federal tax treatment?

Do not rely on entity acceptance to settle federal tax classification. Give your tax adviser the ownership, residence and operating facts, including any elections being considered, before preparing the federal returns.
