Partner capacity and SEC recording

Limited Partnership Registration in the Philippines: Roles and Liability

Translate the partners’ deal into a valid public record and a practical boundary between management and investment.

A Philippine limited partnership needs more than an agreement calling an investor “limited.” The Civil Code, Articles 1843–1845 requires at least one general partner and one limited partner, a signed and sworn certificate, and SEC recording, with substantial compliance in good faith. A limited partner contributes cash or property, not services. The limitation concerns liability in that capacity; conduct and statutory exceptions can change the result.

Start by matching each person’s intended work, contribution and authority to the recorded capacity. Someone who expects to run the business should not rely on an investor label for protection. The filing route also matters: SEC’s current selector lists limited partnerships under Regular Only, while broader ZERO messaging creates a qualification discussed below.

Key takeaways

  • Choose the general partner deliberately: management authority comes with exposure beyond the amount contributed.
  • A limited investor can inspect books and request information; daily operational control raises a different liability question.
  • Record property values, future funding commitments and withdrawal terms accurately before any money changes hands.
  • Use the partnership option in eSPARC Regular Processing and confirm the document route shown for the actual application.
  • Keep the SEC recording, payment and signed-document evidence together; tax registration and local operating permissions remain separate.

Assign capacity before negotiating the contribution

The distinction is between an operating partner and a partner investing in a defined capacity. Under Articles 1850–1851 , general partners have the powers and liabilities of ordinary partners, subject to specified restrictions. Limited partners retain inspection, information and court winding-up rights. Those rights allow oversight without treating an investor as the day-to-day operator.

A general partner’s exposure is not capped at the capital contribution. For authorized partnership contracts, Article 1816 provides pro rata liability with personal property after partnership assets are exhausted. Articles 1822–1824 impose a different, solidary liability framework for specified wrongful acts and misapplication of money or property. A private agreement allocating losses between partners does not necessarily restrict a creditor’s rights.

Proposed capacity Contribution and activity Drafting implication
General partner Money, property or industry may support the partnership arrangement; the partner directs the business. State management and signing authority, internal approvals and agreed contribution.
Limited partner Cash or property; monitoring rights accompany the investment. Services cannot be the limited contribution. Describe delivered assets, agreed value, future commitments and information access.
Both capacities Article 1853 permits the same person to hold both if disclosed in the certificate. General-partner powers and restrictions remain; the limited stake does not erase the operating role.

Treat professional qualification, legal capacity and any nationality restrictions on the intended activity as separate eligibility checks. A partnership label does not authorize a restricted business. Broader Philippine company registration planning should identify the business activity and intended ownership before committing to an entity.

Make the certificate match the actual bargain

The Article 1844 certificate requirements are substantive formation requirements, not optional investor disclosures. Use Articles of Partnership and any accompanying certificate or declarations required by SEC to capture the entire statutory bargain. Do not assume a short private agreement will repair omissions from the recorded documents.

  • Identify the name with “Limited,” business activity, principal business location, term, and every member’s name and residence, expressly separating general and limited partners.
  • For each limited partner, state cash and the description and agreed value of other contributed property. Record additional contributions and the dates or events triggering them.
  • Set out income entitlement, any agreed return date, priority rights and rights to receive property instead of cash when contributions are returned.
  • Specify any permitted substitution, admission of further limited partners and continuation by remaining general partners after the events identified in the Code.

For the working file, reconcile the recorded capital with bank evidence, asset ownership and valuation records. Mark promised funding separately from delivered funding. This is an evidence discipline: Article 1858 can make the limited partner liable to the partnership for a shortfall or an unpaid recorded commitment, even when ordinary partnership debts do not attach to that person as a limited partner.

Immovable property requires an additional validity check . Articles 1771–1773 require a public instrument for an immovable-property contribution and a signed inventory attached to it; absence of the required inventory makes that partnership contract void. Article 1772’s PHP 3,000 public-instrument threshold is not permission to bypass the special limited-partnership certificate rules below that amount. These are separate requirements in the Code’s partnership provisions .

The same record must support two different capacities. Keep the management authority, investment commitment and exception checks connected when reviewing the draft.

One recorded bargain, two partner capacities A sworn SEC record identifies general and limited partners. General partners manage with personal exposure. Limited partners contribute cash or property and monitor, subject to statutory exceptions. Signed, sworn and recorded certificate Name each partner’s capacity and contribution General partner Runs the business Limited partner Funds and monitors Personal liability remains Contract and wrongdoing rules differ Cash or property contribution Information rights; control creates risk Check conduct, naming, statements and capital returns A role label alone does not settle liability
Read the recorded capacity together with actual conduct. The two roles carry different powers, but both require accurate disclosures and compliant capital arrangements.

Test proposed investor actions against liability triggers

The following decision table combines the Code’s limited-partner rights and exceptions with the evidence to retain before acting. It is a drafting and escalation tool, not a statutory list of activities guaranteed to be safe. Article 1848 addresses taking part in business control beyond limited-partner rights; a job title alone cannot resolve that factual question.

Proposed action Rule that changes the decision Action before proceeding
Inspect accounts and request a full explanation of transactions. Article 1851 expressly provides books and information rights. Article 1848 separately addresses business control. Document the information request. Distinguish review of performance from instructions to staff or counterparties.
Give an investor authority to negotiate and direct routine trading. Participation in control can produce general-partner liability under Article 1848. Have counsel assess the actual authority. Align the capacity and operating arrangements before granting it.
Put a limited investor’s surname in the business name. Article 1846 permits specified surname exceptions; otherwise liability can arise to creditors extending credit without actual knowledge of limited capacity. Check whether the surname is also a general partner’s or was already in the business name before admission. Change the proposal if no exception applies.
Sign a certificate with an incorrect contribution statement. Article 1847 concerns knowing false statements and loss caused by reliance; Article 1858 separately addresses contribution shortfalls. Correct the record before signature or promptly pursue an amendment when the error is discovered. Preserve delivery evidence.
Return capital or pay the investor while creditors remain unpaid. Articles 1856–1858 impose asset, consent and record requirements; even a lawful capital return can carry repayment exposure for earlier creditor claims. Test liabilities and remaining assets, obtain required approvals and update the certificate. Do not promise an unconditional exit payment.

For major acts, investor consent and business management must also be distinguished. Article 1850 requires all limited partners’ written consent or ratification for specified matters, including contravening the certificate or admitting a general partner. Build a reserved-matters schedule around the statutory rules; do not infer that every operational veto or approval right has the same legal effect.

Capital repayment is not a guaranteed exit . Article 1857 conditions return on creditor protection, necessary consent and cancellation or amendment reflecting the withdrawal or reduction. Article 1858 also preserves exposure, up to the returned contribution with interest, where necessary for qualifying creditor liabilities predating the return. Have the accountant and lawyer review both the payment and the record change.

Review the proposed investor powers

Bring the draft approval rights, signing mandate and exit terms so the control and capital-return questions can be identified before implementation.

Record the partnership through the route SEC currently lists

As checked on November 5, 2026, the eSPARC processing selector expressly includes Limited Partnership under Regular Only. OneSEC is a domestic stock corporation route. Start at eSPARC, select Regular Processing and the limited partnership type, and retain the selected processing office and application reference.

There is a public-instruction inconsistency: the general ZERO notice refers broadly to partnerships, but the selector’s ZERO coverage list omits them and its Regular Only list includes them. Do not infer paperless eligibility from the banner. Confirm the route on the actual application before arranging signatures or delivery.

  1. Prepare the representative’s contact email, partner identities, nationalities, addresses, TIN or passport data as applicable, contribution details, purpose and principal office. The published Regular guide uses the representative’s email OTP to save and retrieve the application; complete eSECURE sign-in or identity credentialing if the current portal requests it. Do not assume that all partners need eSAP accounts for Regular Only.
  2. Enter and verify the name, confirm the email OTP where prompted, and save the reference. Complete the partner and capital fields for the selected type; general corporate field labels in the shared interface do not turn partnership interests into shares.
  3. Review all encoded data against the Articles of Partnership, statutory certificate terms and beneficial-ownership declarations. Submit for SEC review and monitor the designated email and existing-application status.
  4. Respond to a deficiency by correcting the specified field or document in the existing application and resubmitting as instructed. A name failure may require a revised name or the offered appeal process; preserve reservation validity and deadlines.
  5. When qualified for payment, check the Payment Assessment Form, pay through the offered eSPAYSEC or Landbank channel, and retain the acknowledged payment and official receipt. Complete the signature, authentication and document-delivery requirements for that application.
  6. Download any issued digital record and complete release requirements. Check the Certificate of Recording, SEC registration number and recorded Articles of Partnership against the agreed names, capacities and contributions.

The SEC Regular Processing user guide explains email OTP, saved drafts, application review and status retrieval, but its older partnership instructions differ from the live selector. Public pages currently show two hardcopy sets within 60 calendar days from approval, another shows 30 days, and the older guide specifies four sets within 30 days from payment. Ask the selected SEC office to confirm the case’s required set count, deadline and release conditions in writing; diary the earliest potentially applicable deadline while obtaining clarification.

Do not substitute an eSAP login for completed recording. If SEC actually routes the application through eSAP, each required signatory needs the prescribed credentialed eSECURE account and must complete the electronic authentication; eSAP describes OTP authentication in place of wet signatures and notarization for documents handled there. Otherwise follow the signed, sworn and authenticated or notarized document route confirmed for the case.

The Regular Processing terms identify the Certificate of Recording and beneficial-ownership declarations and reserve post-evaluation. A successful payment, a saved draft or a name reservation is therefore insufficient completion evidence. Keep the final recorded instrument, certificate, receipt and any delivery acknowledgement together.

Budget the filing and separate the operating launch

The SEC’s published partnership service schedule states a base filing fee of one-fifth of 1% of partnership capital, with a PHP 2,000 minimum, plus legal research fee of 1% of that filing fee. For PHP 500,000 capital, that base calculation is PHP 2,000 plus PHP 20. This illustrates the published basis, not a current all-in assessment: use the issued PAF for applicable concessions, other charges and the actual amount payable.

That is a one-time SEC recording calculation checked on November 5, 2026. It excludes partner capital, professional fees, notarization or overseas authentication, courier costs, bank charges, taxes and local permits. It is not a VAT-inclusive professional-service quote. Price any adviser’s work separately, with its VAT treatment, scope and exclusions stated; capital remains a partnership contribution rather than a service fee.

Use a staged schedule. The current Regular Processing page gives seven working days for advice on review status; another public selection page gives three. Neither is a deadline for the entire formation or lawful operating launch. Start planning when partner data and the draft are complete, and add signature or authentication, corrections, payment recognition, delivery and release time. With unresolved document instructions, a dependable nationwide end-to-end range cannot be stated.

After SEC recording, the Philippine Business Hub connection can support company TIN and employer-number applications. BIR tax registration, books and invoicing arrangements, barangay/LGU business permissions and activity-specific approvals remain separate completion tasks. Match the premises and intended activity to the relevant local authority before opening. The distinction between the agency stages in business registration prevents an SEC record from being mistaken for permission to operate.

Change the public record when the bargain changes

A private amendment between partners does not complete every statutory change. Articles 1859 and 1864–1865 require recorded amendments for matters including changed contributions, admission or substitution, changed business character, errors and revised return dates. An assignee does not automatically receive the full rights of a substituted limited partner. Align the assignment agreement, necessary consent and filed amendment before describing the transferee as admitted.

Plan continuity as carefully as admission. Article 1860 addresses dissolution following specified events affecting a general partner unless remaining general partners continue under a certificate right or all members’ consent. Include a review trigger for death, retirement, insolvency and proposed withdrawal. For an already incorrect filing, seek the appropriate correction or amendment promptly rather than assuming later internal minutes cure the public record.

Approve the role design before authorizing submission

A limited partnership fits a bargain in which an identified general partner accepts management and its liability consequences, while an investor contributes valid capital and exercises rights consistent with limited capacity. Authorize filing only when those roles match the actual proposed working arrangement, the certificate tells the full story and the SEC document route is confirmed.

If every participant expects routine operational control while relying on limited-partner protection, revisit the entity choice before submitting. If the design fits but signature or delivery instructions conflict, preserve the prepared file and obtain case-specific SEC confirmation. If the partnership is already recorded, prioritize any inaccurate contribution, role or admission statement before the next investment or distribution.

Turn the agreed roles into a filing brief

Prepare the partner roster, contribution evidence, proposed authority and unresolved SEC instructions for a focused registration discussion.

Frequently asked questions

Is this an LLP in which every partner has limited liability?

The Civil Code structure described here has general and limited partner capacities. Do not import an overseas LLP model or assume every participant has a liability cap. Check the Philippine legal form and the intended role of each participant.

Does owning most of the capital automatically make someone the general partner?

The contribution percentage does not replace the certificate’s designation or the assessment of actual control. Review capital entitlement, recorded capacity and operational authority separately.

Can an investor who mistakenly believed the registration was complete simply keep receiving profits?

Article 1852 provides a narrow rule for an erroneous belief in limited status, subject to Article 1848, and requires prompt renunciation of the profit or income interest when the mistake is discovered. Obtain legal advice promptly rather than treating that provision as a substitute for proper formation. See the Civil Code .

Can the partnership promise to return the exact asset originally invested?

The certificate can address a right to receive property rather than cash, but withdrawal still requires the applicable creditor-protection and approval conditions. Do not assume a transfer of the original asset is automatically available or can proceed ahead of creditors.

Should an issued certificate end the document review?

No. Check the recorded partner capacities and contributions, satisfy the application’s release and delivery conditions, and preserve supporting evidence. SEC’s Regular Processing terms expressly reserve post-evaluation of the submitted documents.
