LLC in Arizona: Formation and Requirements
Choose the operating structure, align the public filing and assign the duties that follow formation.
To form an LLC in Arizona, choose its name and management structure, appoint an Arizona statutory agent who accepts the appointment, and file Articles of Organization with the Arizona Corporation Commission. Then resolve the applicable publication requirement and arrange tax and operating permissions. The management choice determines which members and managers appear in the formation record.
For foreign founders, start by distinguishing a new Arizona LLC from registration of an existing non-Arizona entity. Decide who owns, who runs daily affairs and who handles notices before authorizing the filing.
Key takeaways
- Member-managed articles disclose every member; manager-managed articles disclose every manager and members with at least 20% of capital or profits.
- The statutory agent needs an Arizona street address and must accept the appointment.
- The operating agreement governs internal arrangements and is not filed with the ACC.
- LLC publication follows the agent’s county; Arizona LLCs do not file ACC annual reports.
What forms an LLC in Arizona?
A new Arizona limited liability company is created through the Arizona Corporation Commission (ACC). Its formation document is the Articles of Organization. A member is an owner; a manager runs the business under the chosen management structure; an organizer signs the formation filing. These roles can overlap, but appointing someone to prepare the filing does not itself give that person ownership.
First decide whether you are creating a new Arizona entity or registering an entity already formed elsewhere. An overseas founder starting a new Arizona LLC follows the domestic formation route. An existing non-Arizona LLC seeking authority in Arizona instead considers foreign registration. In this context, “foreign” describes the entity’s formation jurisdiction. The ACC’s LLC forms directory lists those as different filings.
This guide covers an ordinary LLC. A licensed profession may require a professional LLC or a different permitted structure; confirm that question with the professional regulator before committing to the ordinary route. Settle the exact legal name with an appropriate LLC identifier, then check its availability through the ACC’s current Arizona Business Center. A name reservation is optional, rather than an automatic formation prerequisite, as the Articles of Organization instructions explain.
Choose management before public disclosure
Management choice changes both daily control and the public formation record.
Under Arizona’s LLC management statute , members manage unless the articles provide for managers. Select the arrangement that matches who will actually run the company. An overseas investor who wants a local operator does not have to give that operator an ownership interest simply to appoint a manager. Conversely, being an owner does not resolve every approval or signing question.
| Operating arrangement | Public articles disclosure | Internal decision to settle |
|---|---|---|
| Member-managed: owners conduct daily affairs | Name and address of every member, including small interests | Who handles contracts, spending and disagreements; which decisions need joint approval |
| Manager-managed: appointed managers conduct daily affairs | Every manager, plus each member owning 20% or more of capital or profits | Manager appointment, limits, reporting and replacement; decisions members retain |
| One owner who also manages | Apply the selected branch; one person can hold both roles | Record the owner’s interest and the capacity in which decisions are signed |
The statutory articles disclosure rules use a 20% threshold only for members of a manager-managed LLC. They do not exempt managers, and they do not apply that threshold to a member-managed LLC. For example, a 10% member must be listed in the member-managed branch. In the manager-managed branch, that person must still be listed if also a manager. This is a formation-disclosure example, not a promise of anonymity from banks or tax authorities.
Check ownership interests in both capital and profits before preparing the disclosure. Keep a complete internal ownership record even when a member falls below the public filing threshold. Choose management for operational reasons; a shorter public member list does not establish that the management arrangement suits the business.
Give each address and agent the right job
An Arizona statutory agent receives service of process for the LLC. Identify an eligible agent with a genuine Arizona physical street address and a reliable method for forwarding legal papers. A post office box cannot replace that physical address. An individual agent must be an Arizona resident aged at least 18; eligible entity agents are also permitted under the ACC’s statutory-agent guidance .
Appointment needs acceptance. For an online formation the agent accepts through the Arizona Business Center dashboard; a paper filing uses the acceptance form. Agree who monitors that task and who receives notices if the owner is overseas. Paying an address provider is not evidence that the statutory-agent appointment has been accepted.
Treat the principal address separately from the agent’s service address. The linked instructions allow a principal address outside Arizona. The articles also require the agent’s Arizona mailing address. Verify what each address service actually permits before using it, and avoid adding personal identity documents to a public filing merely because a private provider requested them for its own checks.
Turn the ownership decision into operating rules
The operating agreement translates ownership and management choices into rules for the people involved. It is an internal record rather than an attachment automatically filed with the ACC. Arizona’s linked instructions explain that an agreement is not a statutory formation prerequisite; without one, statutory rules govern. For an overseas founder, a written agreement is a practical way to make delegated responsibilities and financial expectations explicit.
Discuss contributions, profit and loss arrangements, distributions, manager appointment, spending limits, reserved member approvals, information access and exits. These are drafting decisions, not additional boxes on the state form. A filing that identifies a manager does not tell the founder whether that manager may borrow money, sell assets or appoint another operator without consent.
Make the agreement and the articles consistent. A contract drafted around manager control should not accompany articles selecting member management. Likewise, do not infer voting rights solely from a public ownership percentage. Have counsel resolve provisions that alter statutory defaults or affect investors’ rights before participants sign. Keeping the agreement internal does not make its terms optional once they bind the parties.
Meet the filing and formation milestones
Move through formation once the core choices agree. Use the currently linked Articles of Organization form or the corresponding online filing. The filing identifies the entity, statutory agent, principal address and management structure. Paper articles use the matching Member Structure or Manager Structure Attachment. The organizer signs, prints the signer’s name and dates the document; the organizer need not be an owner or manager.
As checked on October 23, 2026, the ACC’s March 2026 LLC fee schedule lists USD 50 for regular Articles of Organization processing and USD 85 for expedited processing. The current ACC FAQ quotes USD 85 for online articles. These are one-time government filing charges, not taxes, capital contributions or professional service prices. Agent services, any newspaper notice, advice and operating permissions may add separate costs; the filing charge is not a complete business budget.
The ACC’s current business formation guide directs online filings to Arizona Business Center and explains that documents are examined. Retain the filed articles and approval correspondence. Under section 29-3201, the LLC forms when its articles become effective; an application receipt alone is insufficient evidence. Coordinate any delayed effective date before making commitments in the company’s name.
Resolve publication from the agent’s county
For an LLC, the publication branch follows the statutory agent’s street-address county . Under section 29-3201(G) , within 60 calendar days after the Commission files the articles, the required newspaper publication or Commission database action must occur. If that county has a population above 800,000, the Commission enters the approval information in its database. The ACC instructions identify Maricopa and Pima counties for automatic online notice.
Otherwise, arrange notice in a newspaper of general circulation in the agent’s county for three consecutive publications, carrying the required articles information. Follow the approval letter and retain the publication affidavit; the statute permits filing it with the ACC. Do not substitute three weeks for three publications or place the notice based only on the owner’s residence. Identify the responsible person before filing, especially where the founder will not receive local correspondence directly.
Arrange the EIN and foreign-owner tax review
Form the entity first, then arrange its Employer Identification Number (EIN) directly with the IRS when needed. The IRS EIN service is free. Its online route requires a domestic organization, a principal business location in the United States or its territories, and the responsible party’s SSN or ITIN. Use the actual business facts; appointing an Arizona statutory agent does not by itself establish online eligibility.
The Form SS-4 instructions provide fax and mail alternatives and a telephone route for qualifying international applicants. A responsible party without an SSN or ITIN may enter “foreign” or “N/A” only if also ineligible to obtain one. A filing agent is not automatically the responsible party. Choose the correct route and retain the EIN confirmation.
Federal tax classification is another decision. A domestic single-member LLC is generally disregarded for income tax, while a domestic LLC with two or more members generally defaults to partnership treatment unless a valid election changes that result. Management selection does not itself make that tax election.
A U.S. disregarded entity wholly owned by a foreign person can have Form 5472 obligations for reportable related-party transactions, with a pro forma Form 1120. The IRS Form 5472 instructions include formation-related contributions among potentially reportable transactions. Arrange a tax review before funding; no revenue is not a sufficient basis to assume no information return is due.
Separate formation from permission to operate
Formation is one requirement; permission to conduct the intended activity must be assessed separately.
Review Arizona transaction privilege tax registration with the Department of Revenue where the activity is taxable, employment registrations if hiring, and the city or county requirements at the actual operating location. Premises, products and professional services can introduce additional approvals. The ACC formation guide expressly separates these responsibilities from entity formation; it does not issue business or occupational licenses.
The distinction is developed further in the activity and location rules for LLC business licenses . Formation also does not grant immigration permission or assure a bank account. Prepare those workstreams around the real owner, operator and business model. For formation support across those planning decisions, review HSJGlobal’s US company registration and LLC formation services .
Decide whether the LLC is ready to form
An LLC in Arizona is ready to form when the owners can approve one coherent arrangement and assign the remaining tasks. Before authorizing submission, confirm the following:
- The new Arizona LLC route fits the project; an existing overseas entity has not been mistaken for a new domestic entity.
- The owners agree who manages, which names and addresses enter the public record, and how capital and profit interests are documented.
- The statutory agent is eligible, has agreed to act and can forward notices; someone will complete the required acceptance.
- The organizer has the approved details, the correct management attachment and authority to submit the chosen filing.
- An identified person will close the publication branch, obtain the EIN through the appropriate route and arrange the tax review.
- The operating location and activity have a separate list of approvals needed before trading.
After formation, keep the agent and addresses current and review filings when members, managers or management arrangements change. The ACC’s LLC annual-report answer confirms that LLCs do not file annual reports with the Commission. This removes a corporation-style annual report task; it does not remove tax returns, information returns, required change filings or activity-specific renewals. Give each ongoing duty an owner before the formation project closes.
Questions about Arizona LLC choices
Must I use the ACC’s paper template?
No. The ACC accepts documents prepared in another format if they meet the applicable statutory requirements. A custom format does not remove required LLC information, signatures or supporting attachments.
Must the LLC itself act as its statutory agent?
No. The LLC cannot appoint itself. A qualifying individual member or manager can act in a personal capacity, or an eligible separate entity can be appointed.
Does the ordinary form require a fixed duration?
The currently linked ordinary Articles of Organization form does not include a mandatory duration field. Discuss any intended end date or special project terms when preparing the company’s internal arrangements.
Is the public member threshold a banking disclosure exemption?
No. The threshold governs Arizona manager-managed articles. A bank or another authority can require a separate ownership review under its applicable rules; do not treat the articles as the complete diligence file.
