LLC Registration Requirements in Arizona: Conditions and Documents

Audit the state packet, signer authority and document destination before submission.

Arizona LLC registration requires compliant Articles of Organization, the applicable management disclosures and an accepted Arizona statutory-agent appointment. Paper filings also need the matching structure attachment, cover sheet and payment. The organizer signs the Articles; the agent accepts separately. This review identifies what belongs in the public state packet and which supporting records serve other purposes.

Key takeaways

  • Use the LLC formation route for a new Arizona entity, even when its owners live overseas.
  • Match legal names across Articles, structure attachment and agent acceptance.
  • Apply the manager-managed 20% threshold to capital or profits, not capital alone.
  • Separate public filing documents from internal agreements, IRS submissions and bank intake.

Station 1: confirm Arizona LLC registration requirements

For a new Arizona LLC, use Articles of Organization, not corporation incorporation forms. The ACC LLC forms directory separates creation of an LLC from registration of an LLC already formed elsewhere. An overseas founder creating a new Arizona entity uses the domestic formation route; an existing foreign LLC seeking Arizona authority needs a different assessment.

Freeze the intended LLC name, management selection and participant list before collecting signatures. This review assumes an ordinary LLC, not a professional LLC. If the activity requires a professional entity, resolve that requirement with the licensing board first. For broader setup context, the general LLC formation guide covers the surrounding decisions.

Station 2: reconcile names and addresses

Treat the exact legal name as a controlled field. Match spelling, punctuation and the LLC identifier across Articles, the management attachment and agent acceptance. A name reservation is optional; it does not replace compliant Articles. Use the currently linked L010 Articles form to review the actual fields rather than a generic incorporation checklist.

Keep three address roles distinct: the LLC principal address, the agent’s Arizona street address and the agent’s Arizona mailing address. A P.O. Box is permitted for agent mailing, not for its physical address. The principal address need not be in Arizona. If L010 says it equals the agent’s street address, the answer and any entered address must agree. Complete country and province fields when applicable; do not force an overseas address into a US-only format.

The ACC agent eligibility rules require an individual agent to reside in Arizona and be at least 18. An entity agent must be an eligible Arizona corporation or LLC, or an authorized foreign corporation or LLC. The new LLC cannot appoint itself. A founder’s overseas home address cannot satisfy the Arizona agent street-address field.

Station 3: control every packet component

Build one release copy and mark every item by its trigger. This matrix is a packet-control aid; the paper checklist in L010i formation instructions remains the source for that channel. The linked PDFs carry older revision dates, while the current FAQ identifies Arizona Business Center (ABC) as the online channel.

Arizona LLC packet control matrix
Document or data Trigger Release check Evidence to keep
Articles of Organization Every new LLC Ordinary LLC type; exact name; agent and principal fields; one management selection; organizer execution Complete submitted copy
L040 or L041 attachment Paper Articles using ACC forms L040 for manager-managed; L041 for member-managed; entity name and all required people included Attachment in the same release set
Agent acceptance Every agent appointment Paper M002 with packet, or ABC dashboard acceptance for an online formation Signed form or recorded acceptance status
Cover sheet and payment Paper submission Submitter details; documents listed; applicable filing payment enclosed Cover sheet and payment receipt
Additional structure sheets Required people exceed available blocks Repeat the matching attachment; no omitted person or detached page Numbered complete attachment set

Station 4: validate the public management attachment

Validate the selected structure against A.R.S. § 29-3201(B) : member-managed Articles disclose every member’s name and address. Manager-managed Articles disclose every manager and each member owning 20% or more of capital or profits . Test both measures; a member with 15% of capital and 25% of profits meets the disclosure threshold.

The L040 manager attachment allows the appropriate role boxes for each person. Someone who is both a manager and a qualifying member should have both roles recorded. The L041 member attachment collects all members, without a percentage exclusion. Add another matching sheet when necessary; do not attach both structures to avoid deciding which applies.

Keep an internal ownership schedule showing both capital and profit interests as of filing. Use it to explain which members meet the disclosure test, then transfer the required names, addresses and roles to the attachment. This schedule is a review aid, not an extra ACC upload.

Review the public release copy before anyone authorizes submission. L010 warns that filed documents are public records. Required participant addresses and agent details are therefore disclosure decisions, not private onboarding notes.

Station 5: release the correct signatures and acceptance

The organizer signs the Articles and supplies the printed name and date. An organizer can be a person or an entity and need not be an owner or manager. Obtain the correct organizer execution instead of collecting signatures from every owner merely because they appear on an attachment.

Agent acceptance is a separate act. On M002 Statutory Agent Acceptance , the LLC name and agent name must exactly match the appointment, including relevant initials or suffixes. The appointed individual signs personally; an appointed entity uses an authorized representative. Complete the signature, printed name, date and signer-capacity box. The M002i acceptance instructions distinguish signing from submitting: another person may deliver the signed document.

For paper formation, include signed acceptance with the appointing packet. L010i says Articles will be rejected if acceptance is absent from the ACC system when examined. For online formation, the current ACC statutory-agent FAQ permits the agent to accept through its ABC dashboard. Assign that action and verify completion; entering an agent’s name or paying the filing charge is not acceptance.

Route the Arizona LLC document set An intake rail separates the public ACC filing, internal company records and separate IRS or bank requests. Only the ACC branch leads to a filed public record. Document intake ACC packet Articles + appendix Agent acceptance Filed = public record Company file Operating agreement Owner records Separate requests IRS: EIN application Bank: its own intake Different purpose, different file
Route each record by recipient. A private onboarding request does not make a document an ACC attachment.

Station 6: route supporting records to their proper file

The ordinary L010 packet does not list passports, a US Social Security number, a notarized signature or certified parent-company formation papers as universal attachments. Do not add sensitive identity documents to a public filing simply because a service provider collected them. Ask who needs each item and for which purpose.

Keep the operating agreement and detailed owner records in the company file; the ACC FAQ says the agreement is not filed. An EIN application belongs to the IRS. Its Form SS-4 instructions have separate responsible-party rules, including a conditional “foreign” or “N/A” entry when the person has no SSN or ITIN and is ineligible to obtain one. Bank identity and ownership intake is another recipient-specific request; confirm its requirements directly.

For coordinated preparation, HSJGlobal’s US company registration services provides a relevant consultation route. Identify the intended recipient before sharing a document.

Station 7: assign the approval and publication evidence

Approval creates a new evidence task. Save the filed Articles, attachments and ACC approval correspondence, rather than treating a payment receipt as proof of formation. Section 29-3201 ties formation to the Articles becoming effective.

Publication follows the statutory-agent street-address county. Within 60 calendar days after the ACC files the Articles, §29-3201(G) provides for three consecutive newspaper publications in that county, or ACC database entry where the county population exceeds 800,000. The approval letter explains the applicable route; do not publish before approval. Retain the newspaper affidavit if that route applies; filing it with the ACC is optional under the statute.

Approve the packet or return it for correction

Release the Arizona LLC registration packet only after a second reader can reconcile its contents. Compare every repeated name, resolve the principal-address checkbox, check the applicable structure sheet and confirm both organizer execution and agent acceptance. For paper, add the cover sheet and required payment; for ABC, retain the completed filing and acceptance evidence.

Return the packet if a required person is absent, signatures use the wrong capacity, or a private identity document has been mixed into the public set. Assign one person to receive ACC correspondence and preserve the final version. Formation approval still leaves tax registrations and activity or location permissions to their separate authorities.

Questions about the document packet

Must every owner sign the Articles?

The organizer signs the formation Articles. Listing a member on a required attachment does not itself make that person the organizer or replace the separate statutory-agent acceptance.

Can my new LLC act as its own statutory agent?

No. M002i says an LLC cannot appoint itself. It may appoint a qualifying individual or another eligible entity; a member appointed individually must independently meet Arizona agent eligibility.

Do I include a corporate Certificate of Disclosure?

It is absent from the ordinary LLC submission list in L010i. Use the LLC packet rather than importing corporation forms. A different entity type or special filing requires its own review.

Does approval create an annual-report filing requirement?

The ACC FAQ says LLCs do not file ACC annual reports. That does not remove obligations to update entity information or handle applicable taxes, licenses and other reporting.
