LLC Registration Requirements in Alabama: Conditions and Documents

Separate the state filing, private company records and conditional tax or operating documents before you submit.

Alabama LLC registration requires a reserved compliant name, at least one member, an Alabama registered agent and office, and a signed Certificate of Formation filed with the Secretary of State. Attach the name-reservation certificate and pay the filing charge. The required file changes if you are registering an existing LLC formed outside Alabama rather than creating a new Alabama entity.

For a new ordinary LLC, identify what goes to the state, what stays in company records and what is needed only for tax, banking or operating permissions. Foreign ownership alone does not determine the filing route.

Key takeaways

  • Attach the Alabama name reservation to the domestic formation certificate; a preliminary name check is insufficient.
  • Use one registered agent and a real Alabama registered-office street address, with the county recorded.
  • Keep governance and provider identity records separate from ordinary state formation attachments.
  • An existing LLC formed elsewhere uses foreign registration, regardless of its owners’ citizenship.
  • Tax accounts and activity or location permissions require a separate completion review.

Confirm the document route before signing

Settle whether you need a new Alabama LLC or registration of an existing entity, then identify the filing evidence.

LLC registration requirements in Alabama: settle these conditions

For an ordinary new Alabama limited liability company, settle the legal name, at least one member, one registered agent and the registered office before anyone signs. The Secretary of State’s LLC guidance requires an LLC designation in the name and a Certificate of Name Reservation before the formation filing. A preliminary name check does not replace the reservation certificate.

As verified October 19, 2026, the official domestic formation charge is US$200 per filing. The domestic name-reservation instructions state US$25 for a paper request and US$28 for a nonsubscriber online reservation. A paper reservation and formation paid by check therefore total US$25 + US$200 = US$225 in government filing charges. This excludes postage, card or portal charges, agent services, professional advice, taxes and operating permissions; it is not a business-opening budget or HSJGlobal quote.

The current domestic Certificate of Formation requires an Alabama street address for the registered office, its county and an Alabama mailing address if different. A post-office box cannot replace that street address. Confirm that the named agent can receive legal documents at the office; the founder’s overseas address serves a different purpose.

Foreign founders can use the ordinary domestic formation route for a new Alabama LLC. The ordinary form does not request member citizenship, a visa or a member Social Security number. As the IRS explanation of LLC ownership notes, LLC ownership may include foreign entities, subject to state rules. Regulated activities and professional structures need their own eligibility review.

Which documents go into the Alabama formation file?

Build the state submission around the certificate and its required attachment. Keep the preparation file broader so the person signing can verify the particulars. This distinction prevents both missing an essential attachment and sending private records that the ordinary form does not request.

Document disposition for an ordinary new domestic Alabama LLC

Record or information Where it belongs Completeness test
Name Reservation Certificate Attach a copy to the formation filing The reserved legal name matches the certificate, including the LLC ending.
Certificate of Formation Submit to the Secretary of State Complete the name, agent, office and county; certify at least one member; include the required signature, date, typed name and title.
Additional provisions Attach only when included If the certificate indicates other matters are attached, the corresponding pages are present.
Payment and return materials Provide for the chosen filing channel Paper filing instructions call for two copies and a self-addressed stamped envelope; payment details are complete.
Member agreement and authority records Keep with company records Document ownership, decision authority and the instructions given to the organizer.
Owner identity and address evidence Keep for the party requesting it Identify whether a bank, adviser or regulated authority needs it; it is not an ordinary formation attachment.

Use the current official form, including its signing instructions, rather than a generic articles-of-organization template. Its signature area identifies the signer’s capacity as organizer or attorney-in-fact. For an ordinary LLC, do not select professional, nonprofit or series status merely to complete every box. Those classifications change the legal analysis.

The standard certificate does not ask for a lease, passport copy, bank statement, EIN confirmation or a notarized member list. Treat a later request from a provider as a separate onboarding requirement and ask who needs the document and why. Do not infer that a foreign founder must apostille a passport solely to submit this ordinary formation form.

Put each Alabama LLC record in its proper file A vertical allocation diagram separates the state submission, private company records and tax or operating records triggered by the business. The categories are document destinations, not an approval sequence. Alabama LLC document file State submission Reservation + certificate Company records Ownership + authority Triggered follow-on records EIN, tax, operating permits
Keep the three document destinations separate. Follow-on requirements depend on the business; they are not extra attachments to every formation filing.

Prepare the private records and federal tax information separately

A workable company file should explain who owns the LLC and who may act for it. Prepare a written operating agreement addressing contributions, ownership, management, distributions, transfers and member departures. The agreement is a governance record, separate from the state formation attachment; a filed certificate alone does not settle these commercial arrangements.

Distinguish the organizer’s filing role from authority to manage, sign contracts or operate a bank account. Where an overseas company will be a member, preserve its approval and the authority of the individual giving instructions. These are practical authority records, not a claim that Alabama requires every foreign corporate member to attach its home-country records to the ordinary certificate.

The IRS EIN guidance directs founders to form the entity before applying for an Employer Identification Number. The IRS issues the number without an application fee. Retain the application particulars and confirmation separately from Alabama’s filing record; use the exact formed legal name.

For a responsible party without an SSN or ITIN who is ineligible to obtain one, the Form SS-4 instructions permit “foreign” or “N/A” on line 7b. Online eligibility has additional conditions, including the applicant’s U.S. connection and taxpayer identification. Select the appropriate fax or mail route if online conditions are unmet; do not invent a number to force an online application.

An existing out-of-state LLC needs a different document set

Foreign ownership and foreign registration are different questions. An LLC already formed in another U.S. state or country is a foreign LLC for Alabama registration purposes. A new Alabama LLC with a nonresident owner remains an Alabama domestic LLC. Decide which entity will conduct the activity before preparing documents.

The foreign LLC registration application requests the existing legal name, any permitted Alabama name, principal-office addresses, formation jurisdiction and date, Alabama agent and registered office, and the date business began or will begin in Alabama. The signer certifies that the entity exists validly under its home law. Attach the Alabama name reservation; the published form does not list a home-jurisdiction good-standing certificate as a standard attachment.

If an Alabama fictitious name is needed because the original name is unavailable or lacks the required LLC designation, the signer also certifies the governing authority’s adoption of that name. Preserve the underlying approval. The official foreign application charge is US$150 per registration, separate from name reservation and channel charges. Whether the proposed Alabama activity requires foreign registration is a legal threshold to resolve before using this route.

Resolve the conditional documents

Review the ownership, registered-office arrangement and any existing foreign entity before finalizing the submission.

Check the details most likely to interrupt acceptance

Review the completed file against the state form immediately before submission. A name reservation and a paid invoice do not establish that a complete formation instrument has been accepted. Assign one person to compare the final documents rather than relying on separately prepared versions.

  1. Match every version of the legal name to the reservation certificate. Resolve a spelling or designation difference before signing.
  2. Check the agent’s name, Alabama street address and county together. A postal address alone does not complete the registered-office entry.
  3. Complete the membership certification and signer’s capacity. Reconcile any supplemental provisions with the attachments actually enclosed.
  4. For paper filing, type the form, provide the signed original and copy, include the return envelope, and follow the payment instructions. The current form is not accepted by email.
  5. Check any delayed effective-date entry against the form’s permitted limits. Leave scheduling to the filed instrument, rather than treating a requested date as an approval promise.

After acceptance, retain the filed certificate, payment evidence and correspondence in a folder the owners can access. Compare the resulting record with the approved particulars. A missing receipt or an unresolved correction request is a reason to obtain clarification from the filing office, rather than to submit a duplicate formation blindly.

Add tax and operating documents only when their triggers apply

Formation is one layer of the launch file. An accepted LLC certificate does not authorize every business activity. The follow-on documents depend on what the company sells, where it operates, whether it employs people and whether its activity is regulated.

For Alabama tax registration, the Department of Revenue’s entity-registration requirements include the legal name, street location, contacts, officer or owner information, EIN, organization or qualification date, entity subtype, commencement date and North American Industry Classification System (NAICS) code. Prepare these particulars before creating the applicable accounts in My Alabama Taxes. They are different from the information requested on the formation certificate.

Assess Business Privilege Tax separately from operating licenses. The current Business Privilege Tax guidance states that, for taxable years beginning after December 31, 2023, calculated tax of US$100 or less is exempt and does not require a Business Privilege Tax return. That is a tax-calculation threshold, not an annual filing charge or a general exemption from other taxes.

Alabama’s Business Privilege License guidance applies to specified businesses, professions and occupations, with collection through counties. Confirm the activity and location with the relevant county and municipality. Professional credentials, premises approvals or product permissions belong in the file only when the activity triggers them. The broader relationship between LLC formation and operating licenses helps frame that separate review.

Decide whether your Alabama LLC file is ready

The LLC registration requirements in Alabama are ready to act on when you can identify the correct entity route, produce the matching reservation and signed instrument, confirm the agent arrangement and fund the selected filing channel. If any of these remains unresolved, close that gap before submitting.

Use three folders: state submission, company governance, and triggered tax or operating records. For each document, record its recipient, signer and completion status. This simple allocation helps an overseas founder delegate filing without losing control of private records or assuming that every later request came from the state.

If support is needed, the HSJGlobal US company registration and LLC formation services page describes the wider service scope. Specify the Alabama submission, delivery of accepted documents, agent arrangement and follow-on tasks in the engagement. Keep bank acceptance and regulatory permissions as separately assessed outcomes.

The next decision is therefore concrete: submit a complete domestic formation file, assess registration for an existing foreign LLC, or resolve an activity-specific condition first. Keep the accepted evidence and the remaining launch obligations together so the handover does not end at payment.

Frequently asked questions

Does the state form’s business survey determine whether I can form an LLC?

The attached survey concerns small, minority-owned and woman-owned businesses. It offers a preference not to respond and says to disregard it if none of the categories applies. Those survey categories are separate from the formation particulars.

Is a professional designation in the proposed name just a branding choice?

It may trigger additional evidence. The name-reservation instructions identify professional designations that require an Alabama license or permission from the governing agency. Confirm the exact profession before reserving the name.

Will an online name reservation be mailed to me?

The official instructions say a nonsubscriber completing the online reservation receives it by printing at the end of the process; it is not mailed. Save the certificate for the formation attachment.

Can I use one check for several separate formation filings?

The domestic form’s payment sheet instructs applicants to make one check payable for each filing. Follow the payment sheet for the particular submission rather than combining unrelated filing payments.

Will the filing office call when documents held for pickup are ready?

The form’s return instructions state that there is no notification call for pickup. Agree the collection and receipt arrangements with the person handling the filing.
