PHILIPPINE CORPORATE RECORDS

Philippines Certificate of Incorporation: How to Obtain and Verify It

A practical guide to the issued document and the evidence that should accompany it.

The Philippine Securities and Exchange Commission (SEC) issues a Certificate of Incorporation when a domestic corporation meets the applicable registration requirements. An eligible filer obtains the issued certificate through the applicable SEC registration route; a counterparty can compare it with SEC records and request further evidence of current status.

Key takeaways

  • The issued certificate marks incorporation; an application status or payment receipt is a different record.
  • ZERO and Regular-only processing have different document and release requirements.
  • Match the legal entity and registration number before requesting a copy or certification.
  • A historical certificate does not by itself establish current status or permission to operate.
  • Where a public check or requested record is unavailable, seek an appropriate SEC record or clarification.

What the certificate establishes

A Certificate of Incorporation is the SEC-issued record of a domestic corporation’s incorporation. Under section 18 of the Revised Corporation Code , a private corporation organized under the Code begins its corporate existence and juridical personality on issuance of the certificate. The certificate identifies the company at that point; the articles and any amendments provide the fuller constitutional record.

An issued certificate is evidence of incorporation, not proof that every later requirement has been satisfied. It does not alone prove current legal status, BIR tax registration, local business permits, or any sector-specific licence. A company can have been incorporated and subsequently experience a change in status or name.

The Philippines company registration services page outlines broader formation support. The evidence requested for a particular transaction should be chosen separately from the formation work.

Identify the record you need

Clarify whether your transaction calls for the incorporation document, a current status response, or both.

Choose the right registration record

First identify the legal vehicle. A domestic corporation is formed under Philippine law, including when it has foreign shareholders. A foreign corporation is formed under another jurisdiction’s laws; an SEC licence to do business for its branch or representative office is a different document from incorporation of a new Philippine corporation. The SEC route selector separately lists foreign corporation licensing and partnership recording.

A sole proprietor’s DTI business name certificate records a business name; it is not an SEC certificate establishing a domestic corporation. A partnership also has its own recording process. Ask the counterparty for the exact legal name, entity type and relevant SEC registration number before choosing the record to request.

For the materials used to prepare the filing, see the document preparation guide for incorporation . Those inputs are useful to the applicant but are not themselves the issued certificate.

Four evidence layers Four separate records show payment, incorporation, current status and operational permissions. Each answers a different question. Payment receipt: payment evidence Issued certificate: incorporation evidence Current status: seek an SEC response Tax and permits: check each authority
Each layer answers a different question; one record does not automatically establish the others.

How an applicant obtains the issued certificate

Use the current SEC eSPARC selection page and choose the entity and processing route for which the application qualifies. OneSEC is for eligible domestic stock corporations, including eligible one-person corporations; Regular processing also covers domestic stock and non-stock corporations. Read the live route conditions and any special requirements before filing.

For Regular with ZERO processing , the applicant or authorised representative enters the proposed name and company information, reviews the generated forms and assessment, supplies any requested supporting documents, verifies the stated email addresses and submits. After SEC pre-approval, the required officers authenticate the documents through eSAP using credentialed eSECURE accounts. Follow the notice for corrections or additional documents if the processor requests them.

Pay the assessed amount through the available SEC payment route. The SEC Regular ZERO user guide says the authorised representative receives payment confirmation and an electronic official receipt; after payment, return to eSPARC to download the authenticated documents and digital certificate, with a Registration Complete email. Keep the actual issued certificate. A submitted application or a payment receipt alone is not that document. Check the company name and identifying details against the submitted application and preserve the original digital file.

For ZERO, the SEC says the digitally signed certificate has the same legal validity as the original. For eligible Regular-only cases, the SEC describes a digital certificate valid for six months and release of the original after documentary requirements are met. Follow the instructions for the selected route and office: the SEC’s route pages state different hard-copy details, so confirm the live instructions with the SEC rather than assume one deadline or number of copies applies to every case.

Prepare for certificate release

Arrange the filing details, signers and supporting records for the SEC route applicable to your entity.

How to check the evidence

Start by agreeing what the recipient needs to establish: historical incorporation, the contents of a filed document, or the company’s present status. These are separate verification questions and may require different evidence. The following table maps an observed record to a proportionate next action.

What you have What it supports or misses Next action
Application status or payment receipt A filing or payment milestone; neither is the issued certificate. Ask the authorised filer for the certificate. If missing, check the application and contact the SEC with its transaction details.
Certificate supplied by the company Evidence of incorporation if genuine; alone it does not establish current status. Match legal name, number and date with the company’s records. Obtain an SEC-sourced copy or certification if independent evidence is needed.
Name differs across records An amendment or error may explain a difference; do not assume either. Request the relevant amended articles or certificate and reconcile the registration number with SEC records.
Record cannot be located or copy is unclear A missing result is not proof that incorporation never occurred. Confirm identifiers and spelling, then ask the SEC records service or the relevant office to clarify availability and the appropriate request.

The SEC describes its company-filings copy service as offering plain or authenticated copies through SEC Express, with an in-person appointment option. Ask for the specific incorporation record and the form of authentication your recipient accepts; availability, eligibility and current instructions must be confirmed for the record sought. An authenticated copy verifies what the SEC certifies about that copy, not every later event in the company’s life.

For independent confirmation of registration, the SEC also describes a request for a registration certification : a requester prepares a letter for the relevant department, supplies supporting documents if needed, pays the assessed amount and provides proof of payment. Specify the exact company and the question to be certified. The SEC contact directory identifies channels for corporate status enquiries and records requests. Ask whether the requested response covers current status and its effective date; a registration certification may have a narrower scope.

A digital signature can be relevant evidence of provenance, but the SEC sources reviewed here do not establish a universal public instant authenticity check for every certificate. Do not treat a QR image, a screenshot or an unconfirmed database match as conclusive. If the file cannot be validated or the records route is unavailable, obtain a suitable SEC-issued copy or written clarification and document the unresolved gap.

Decide whether your evidence is enough

Use a completion test before relying on the document: identify the entity, obtain the issued certificate in the appropriate form, reconcile its identifiers with the relevant SEC record, and request current status evidence where the decision requires it. If names, numbers or dates conflict, pause and have the discrepancy resolved with the company and SEC before relying on the record.

For a launch decision, separately obtain the applicable tax registration, local permits and industry approvals. The SEC certificate is one important piece of evidence, while each authority and recipient determines its own requirements.

Bring together the certificate, related records and outstanding status questions for a practical next step.

Frequently asked questions

Can a payment receipt stand in for the certificate?

No. It supports evidence that a payment was made; obtain the issued certificate and resolve any missing issuance with the SEC.

Is the ZERO certificate merely a temporary receipt?

No. The SEC describes the digitally signed ZERO certificate as having the same legal validity as the original. Regular-only processing has a different digital and original-document arrangement.

Can a DTI business name certificate prove incorporation?

No. A business name record and a domestic corporation’s SEC incorporation document concern different registrations.

Does a certificate establish that a company is currently active?

Not on its own. Seek current corporate status evidence from the SEC and review the scope and date of any response.

What if the company changed its name?

Ask for the original and amended records, match the SEC registration number and request clarification where the records do not reconcile.
